INTERLOCAL COOPERATION AGREEMENT
This Interlocal Cooperation Agreement (this “Agreement”) is made and entered into by
and between the City of Omaha, Nebraska (hereinafter referred to as the “City”), and Sanitary and
Improvement District No. 404 of Douglas County, Nebraska (hereinafter referred to as “SID 404”).
RECITALS
WHEREAS, the City’s Interceptor Sewer Master Plan approved by the Omaha City
Council on August 18, 2015 contemplates the construction of certain sanitary sewer improvements
in the Elkhorn Area, denoted on such plan as “Footnote #1” and WP-244.1; and
WHEREAS, the City has decided that the location of the interceptor sewer denoted as
“Footnote #1” should be constructed as a lift station and forcemain along Fort Street to tie-into the
future interceptor sanitary sewer system noted WP-244.1 and what has been recently constructed
as WP-243.1c and WP-243.1d (OPW-53193), which new interceptor sewer improvements are
depicted on Exhibit “B” attached hereto (the “Interceptor Sewer Improvements”); and
WHEREAS, the City has requested that SID 404 construct the Interceptor Sewer
Improvements and the City and SID 404 desire to enter into this Agreement to provide for the
design, construction, operation, maintenance, repair, replacement, regulation, payment and
ownership of the Interceptor Sewer Improvements; and
WHEREAS, it is in the best interest and is mutually advantageous to the City and SID 404
to enter into this Agreement to provide for the construction of the Interceptor Sewer Improvements.
NOW, THEREFORE, in consideration of the covenants herein set forth, the City and SID
404 do hereby agree and contract with each other as follows:
1. No Administrative Entity. There shall be no separate legal or administrative entity
created to administer this Agreement and, therefore, no separate budget established for such an
entity.
2. Easement Acquisition. SID 404 shall acquire the appropriate permanent and
temporary construction easements for the locations in which the Interceptor Sewer Improvements
will be constructed. The easements shall run to the benefit of the City and SID 404 and shall be
in the form approved by the City; provided, however, that the permanent easements shall run only
to the benefit of the City. The costs associated with the acquisition of the necessary easements
shall be paid by the City pursuant to Section 5 hereof.
3. Construction Contract Documents and Construction Management and Supervision.
SID 404 will contract with Olsson (“Project Engineer”), registered engineers in the State of
Nebraska, for the preparation of plans and specifications for the construction of the Interceptor
Sewer Improvements (“Construction Contract Documents”). The final Construction Contract
Documents shall be subject to approval by each of the parties hereto, which approval shall not be
unreasonably withheld, conditioned, or delayed. Construction management and construction
supervision of the construction and installation of the Interceptor Sewer Improvements shall be
performed by the Project Engineer.
4. Construction. SID 404 agrees to cause the Interceptor Sewer Improvements to be
constructed in accordance with the Construction Contract Documents approved by the parties
hereto in accordance with Paragraph 3. Construction supervision, administration, and
management shall be performed by the Project Engineer on behalf of the City and SID 404. During
the course of the construction of the Interceptor Sewer Improvements, the Project Engineer will
inspect the work to ensure compliance with the Construction Contract Documents in all material
respects.
5. Total Cost of the Interceptor Sewer Improvements. Project Engineer shall review
the contractors’ invoices related to the Interceptor Sewer Improvements construction for accuracy
and compliance with the Construction Contract Documents. Once approved by the Project
Engineer, SID 404 shall submit directly to the City, along with a recommendation for payment,
which the City shall then pay within thirty (30) days of receipt of the same. SID 404 shall submit
invoices for professional services related to the Interceptor Sewer Improvements directly to the
City, which the City shall pay within thirty (30) days of receipt of the same. Payment for the
Interceptor Sewer Project shall be made from the Interceptor Sewer Fund. In addition, all costs
associated with the acquisition of any required easements, permanent and temporary, shall be paid
for by the City.
6. Engineer’s Estimate of Total Cost of the Interceptor Sewer Improvements. The
Project Engineer’s estimate of the cost of the Interceptor Sewer Improvements is set forth in
Exhibit “A” attached hereto.
7. Bid Letting. The Project Engineer shall take competitive bids, perform project
management, and certify the completion of the Interceptor Sewer Improvements in accordance
with the Construction Contract Documents to the City. Following the receipt of the bids, the
awarding of the contract shall take place only following the concurrence, in writing, by the City of
Omaha Public Works Department. All change orders shall be subject to review by the City of
Omaha Public Works Department prior to approval.
8. Ownership of the Interceptor Sewer Improvements. Upon completion of the
Interceptor Sewer Improvements, the City shall own, operate and maintain the Interceptor Sewer
Improvements. SID 404 shall convey by proper legal instrument all its rights, easements, title, and
interest in the Interceptor Sewer Improvements to the City. The form of acquisition shall be upon
approved City forms.
9. Purpose of Agreement; Timing of Work. It is the mutual desire and intention of
the parties that construction of the Interceptor Sewer Improvements shall be completed by October
31, 2020. Accordingly, the parties agree to cooperate with each other and make reasonable, good
faith efforts to perform their obligations hereunder in a timely manner so as to achieve completion
of all of the Interceptor Sewer Improvements contemplated by the Agreement by October 31, 2020.
10. Records. SID 404 shall maintain records of all construction and other costs
incurred in connection with the Interceptor Sewer Improvements and the City shall have the right
to audit and review such records at any time to assure that such records are accurate. City reserves
the right to withhold final payment until as-built record drawings are submitted.
11. Duration. This Agreement shall continue until such time as the Interceptor Sewer
Improvements to be performed by SID 404 pursuant to this Agreement have been completed,
unless this Agreement is terminated sooner by the written agreement of all parties hereto.
12. Appointment of Administrators. The Project Engineer shall administer this
contract on behalf of SID 404 and the City.
13. Entire Agreement. This instrument contains the entire agreement of the parties and
shall be binding upon the successors and assigns of the respective parties. No amendments,
deletions, or additions shall be made to the Agreement except in writing signed by all parties.
14. Drug Free Workplace Policy. All parties to this Agreement represent that it has
established and maintains a drug free workplace policy.
15. Nondiscrimination. In accordance with the Nebraska Fair Employment Act, Neb.
Rev. Stat. §48-1122, all parties to this Agreement represent that neither it nor any of its
subcontractors or agents shall discriminate against any employee, or applicant for employment to
be employed in the performance of this Agreement, with respect to hire, tenure, terms, conditions,
or privileges or employment because of the race, color, religion, sex, disability, or national origin
of the employee or applicant.
16. New employee work eligibility status. All parties are required and hereby agree to
use a federal immigration verification system to determine the work eligibility status of new
employees physically performing services within Nebraska. A federal immigration verification
system means the electronic verification of the work authorization program authorized by the
Illegal Immigration Reform and Immigrant Responsibility Act of 1996, 8 U.S.C. 1324a, known as
the E-Verify Program, or equivalent federal program designated by the United States Department
of Homeland Security or other federal agency authorized to verify the work eligibility status of
newly hired employees.
