The attached proposed Resolution approves the Ninth Street Apartments, L.L.C. Redevelopment
Plan for the Butternut East Redevelopment Project located at 901 Jones Street. The Plan proposes
the conversion of the Butternut East buildings into a 113 unit apartment complex with commercial
space on the basement and first floor, construction of a 300 stall parking garage, and improvement
of adjacent streets.
The City will participate in the development by providing $1,734,000 in Tax Increment Financing;
the total project cost is estimated to be$15,400,000. The renovation project will reclaim an historic
structure,eliminate an element of blight and contribute to the downtown area through residential and
commercial development. The Planning Board approval was conditional on the requirement that the
parking structure was to be built although a zoning change from DS to CBD was in the process of
being approved which would eliminate the parking requirement.
The Contractor has on file a current Annual Contract Compliance Report Form (CC-1). As is City
policy, the Human Relations Director will review the Contractor to ensure compliance with the
Contract Compliance Ordinance.

REDEVELOPMENT PLAN
The proposed redevelopment of the Butternut East buildings located at 901 Jones
Street will reclaim a substantial vacant building complex for commercial and
residential use. The Downtown East Redevelopment Plan approved by the Omaha
City Council on April 21, 1988, identified the Old Market as an area with major
opportunities for adaptive reuse and included the designation of this area as
blighted and substandard. The Butternut East project is located primarily in a
Downtown Service District (DS) with the southern portion of the property in a
Railroad District (RR). The developer has requested a zoning change from DS to
Central Business District (CBD).
The proposed renovation of the Butternut East buildings will create 57,513 square
feet of commercial space on the basement and first floors. The upper levels of the
buildings will be converted to 112 apartments including one, two and three
bedroom units. A 300-stall parking garage will be constructed in the former railroad
corridor directly south of the Butternut Buildings.
Located at the edge of the Old Market, this redevelopment project will benefit from
and expand the vital area of the Old Market. This vacant building complex has
been cited for code deficiencies with second notice of violation sent in May of 1998.
Consideration of condemnation of the buildings has been laid over to December
1998. Investment at this site will eliminate a major blighted element in the
Downtown East redevelopment area.
The approval of Tax Increment Financing of $1,734,000 as a portion of the
$18,000,000 total project cost will make this project possible. Debt and equity
financing for the remainder of the cost has been committed. TIF funds will first be
expended on any public improvements that are required and then on site-specific
development costs. Approximately $300,000 of TIF will be allocated to the City to
cover a portion of the design, development and construction costs of the
improvements to Jones Street and 9th Street. TIF funding may be increased
contingent upon final estimates of costs for public improvements that may be
required.
The TIF debt for the project would be retired over 15 years and the property qualifies
under Community Development Law for a 15 year amortization period. Excess ad
valorem taxes resulting from the renovation would produce approximately $253,890
per year.
The developer will be responsible for construction of the entire project, except that
the City will manage street improvements that will be required as a part of the

project. Gas,water, electricity, sewer and cable are all readily available in adjacent
rights-of-way for this project. The developer will be responsible for all utility
connections and hook-ups for the project.
Construction is anticipated to begin in September 1998. Completion is anticipated by
June 2000.
Attached maps show the vicinity and the zoning of the redevelopment site. The
legal description of the redevelopment site is the vacated alley adjacent and 14 feet
of vacated 10th Street adjacent and all Lots 1 through 4 and irregular north part of
Lots 5 through 8, Block 191, City Lots; original City of Omaha as surveyed,
lithographed and recorded in Douglas County, Nebraska, commonly known as 901
Jones Street, also known as 711 South 10th Street. The excess ad valorem taxes from
this project will be computed from the base tax value assessed on this site for the
year prior to the passage of this Redevelopment Plan.
BUILDING HISTORY
The Paxton & Gallagher Company built the cluster of buildings east of the 10th
Street viaduct on Jones Street. They dealt in wholesale groceries, jobbers of
hardware and coffee roasting. This last endeavor, Butter-Nut Coffee, eventually
took over this entire group of buildings and the former Parlin, Orendoff & Martin
Plow Building at 714 South 10th Street. The most prominent building of the group
is 901 - 909 Jones, a massive nine-story brick warehouse with a large water tank atop
decorated to resemble a cart of Butter-Nut Coffee. Thomas Kimball, prominent
Omaha architect, designed this building in 1908 for the wholesale grocers. It
replaced a six-story brick 1880's structure originally built by the Parlin, Orendoff &
Martin Company which collapsed in 1907.
The warehouse is semi-mill construction with concrete floors on the first and
second levels. The massive load bearing brick exterior walls have numerous
window openings on the three completely exposed sides: Jones, Ninth Street and
the former railroad corridor. The stately building is composed in the classic three
part eclectic style (base,body, top). The two-story brick base is topped with projecting
dentils (square tooth-like ornamentation) supporting a stone banding just below the
third story windows. The windows at the next six stories are recessed into the pier-
like composition which is topped with segmented arches with limestone keystones.
A corbeled wall (a section of wall that is tapered up and outward) supports the series
of round arches for the ninth floor windows. A limestone cornice is topped off with
a parapet with a limestone coping (protective cap).

PROJECT DESCRIPTION
The Butternut East buildings located on the edge of the historic Old Market have
been a part of the Omaha downtown area for nearly one hundred years. The
proposed adaptive reuse of these buildings will contribute to the residential
development in this area and create commercial space which will expand the
business area of the Old Market.
The basement and first floors of the buildings will be converted to house a variety of
retail stores, restaurants and bars, as well as services. The rentable commercial area
will be more than 57,513 square feet.
The renovation project is intended to create a full-service complex for apartment
residents. The completed project will provide 112 apartments which will include
one, two and three bedroom units ranging in size from 762 to 1,662 square feet with
a total residential area of 137,756 square feet. The apartments will be competitively
priced with rents at $.65 to $1.00 per square foot per month.
Accommodations for residents will include several unique floor plans, spacious
closet areas, individual air conditioning and gas heating controls, central trash
chutes on each floor, central washing facilities on each floor and washer and dryer
hookups, appliances (no-frost refrigerator, oven and range, microwave and
dishwasher), garbage disposal, cable-ready television hook-ups, a building security
system and a health club.
Security features will include optional underground parking, main entrance
security guard, security cameras in common areas, individual floor security phone
system and high-rise fire alarm system.
The developer will construct a 300-stall parking garage in the former railroad
corridor directly south of the Butternut buildings to accommodate new residents,
patrons and associates.
Twin Towers Development & Real Estate has demonstrated the expertise to
accomplish a redevelopment project of this scale. This developer has successful
experience with two large projects in the downtown/midtown area in the last ten
years including one residential-commercial project and one office project.
MARKET
The Butternut buildings' location on the edge of the Old Market near recent and on-
going developments in downtown Omaha, combined with outstanding views from
the building, will make it a desirable place to live. Commercial development in
downtown Omaha has helped to spur residential demand in the area. Large

corporate employers in downtown Omaha, such as Union Pacific Railroad, the U. S.
West Landmark Building, and ConAgra have been constructing and rehabilitating
physical facilities and increasing staff since passage of LB775. Some of these new
employees want to live close to their work.
Downtown housing is concentrated in two areas, the Downtown area and the Old
Market area, each offering slightly different rental and sale products. The
Downtown area, centered on 16th Street, is near the heart of Omaha's commercial
area. The Old Market is located somewhat south and east of this area and is
characterized by older, industrial and warehouse buildings. The Downtown area
rental product features refurbished living spaces within rehabilitated office
buildings and hotels, offering more traditional finishes and floor plans. In contrast,
the Old Market area features turn-of-the-century industrial and warehouse
buildings with rough-hewn timber beams, exposed brick walls, and large, open
spaces with non-traditional floor plans.
The building's proximity to the major downtown employers creates a market for the
Butternut East residential development. The Old Market is a well-established
tourist and entertainment attraction. The proposed commercial space in this project
will accommodate a sufficient variety of shops and restaurants to draw people to its
location at the edge of the Old Market.

Tax Increment Financing: TIF loan to complete financing of the project
assumed not to exceed 8.0% with a 15 year amortization. The TIF loan
will be repaid in 15 years.
* Total Project Funding and Tax Increment Financing may increase to
include the cost of public improvements which may be required such as
street improvements.
UTILITIES/TRANSPORTATION
The project site at 901 Jones Street is served by existing gas, water and electrical
service. This area is served by combination sewers at this time which are adequate
to the proposed use.

Traffic access to this site is provided via Jones and Leavenworth Streets to Ninth
Street. At this time, the intersection of Ninth and Jones is closed to the north.
Reopening this intersection is proposed which would create access from Jackson
Street as well. Jackson and Leavenworth Streets are in excellent condition. Jones
Street along the north side of the project site and Ninth Street along the east are in
poor condition. Improvements to both Jones and Ninth Streets will be necessary to
serve the proposed new uses at this site. These improvements should be
coordinated with the planned replacement of the 10th Street viaduct which crosses
Jones Street.
The plans for the replacement of the 10th Street viaduct are currently in preliminary
stages. This replacement project may be anticipated to begin in the near future. As
part of this project, the City may be required to obtain Right of Way for the vacated
portion of 10th Street under the viaduct which is included in this redevelopment
site whether through easement, purchase or eminent domain. At that time, only
certain uses of this property will be allowable under Federal Highway
Administration regulations. The developer is informed of this future impact
through the public hearing process and consultation with Public Works personnel.
BLIGHT AND SUBSTANDARD CONDITIONS
The Downtown East Redevelopment Plan, approved by the Omaha City Council on
April 21, 1988, included the designation of the Old Market Area as blighted and
substandard. The unemployment in this census tract is greater than 120% of the
state average and the average age of the structures in the area is 59 years. The
Butternut buildings are substandard in relation to the renovated facilities in the
area. This vacant building complex has been cited for code deficiencies with second
notice of violation sent in May of 1998. Consideration of condemnation of the
buildings has been laid over to December 1998. The building presents a negative
impact in its present condition.
ZONING/PARKING
The Butternut East project is located primarily in a Downtown Service District (DS)
with the southern portion of the property in a Railroad District (RR). The developer
has requested a zoning change from DS to Central Business District (CBD). Uses
other than transportation uses are allowed in RR if they are also allowed on the
adjacent property. Commercial and residential adaptive reuse of existing facilities
and construction of a parking facility are allowed uses at this site. The project site
will be adequately served by the proposed 300-stall parking garage as well as existing
parking in the area. The Planning Board approval was conditioned on the
construction of the parking structure as proposed by the developer regardless of the
zoning change which would eliminate the parking requirement.

REDEVELOPMENT PROMISSORY NOTE
$1,734,000 , 19 9,,
FOR VALUE RECEIVED, the Undersigned, Borrower, promises to pay 9th Street Apt.,
LLC, 3001 Douglas Street, Omaha, Nebraska 68131, Holder, and/or its assigns, the principal sum
of One Million Seven Hundred Thirty-four Thousand Dollars ($1,734,000), together with interest
thereon at the rate of eight percent, (8%)per annum from the date of the execution of this Note until
paid in full. The principal balance and interest thereon shall be due and payable to the holder of said
Redevelopment Promissory Note as and at such time as any excess ad valorem taxes generated by
the Redevelopment Project ( the "Project") as set forth in that certain Redevelopment Agreement
dated the /3 day of >?,---// , 19 �, by and between the City of
Omaha, Borrower, and the Holder,(the "Redevelopment Agreement") are collected by the City of
Omaha and available for the retirement of this debt.
Borrower may prepay the principal amount outstanding in whole or in part, without the prior
consent of the Holder.
In the event the monies collected and held in that special fund established under Section
18-2147 of the Nebraska Revised Statutes and pursuant to the Redevelopment Agreement are
insufficient to pay in full all amounts due and owing by December 31, 2013, and all excess ad
valorem real property taxes generated by the Redevelopment Project, as set forth in the
Redevelopment Agreement, have been collected by the City of Omaha and have been paid,
immediately upon being available, towards the retirement of the amounts due hereunder, then, on
December 31, 2013, the Holder shall waive any unpaid portion of the principal and interest due.
The Borrower shall be in default in the event the Borrower shall fail to pay, when due, any
amount required hereunder held in such special fund.
Demand, presentment, protest and notice of nonpayment under this Redevelopment
Promissory Note are hereby waived.
No delay or omission on the part of the Holder or Borrower in exercising any remedy, right
or option under this Redevelopment Promissory Note shall operate as a waiver of such remedy, right
or option. In any event, a waiver on any one occasion shall not be construed as a waiver or bar to
any such remedy, right or option on a future occasion.
Any notice provided for in this Redevelopment Promissory Note to the Borrower or the
Holder shall be in writing and shall be given by regular mail to the Holder or Borrower, or at such
other address as either party may designate by notice in writing.
This Redevelopment Promissory Note shall be governed by and construed in accordance with
the Laws of the State of Nebraska. All payments hereunder shall be payable by warrant of the City
of Omaha drawn solely on the special fund established for such purpose.

RESOLVED BY THE CITY COUNCIL OF THE CITY OF OMAHA:
WHEREAS, the primary objectives of the City of Omaha's Master Plan and
Community Development Program are to encourage additional private investment and infill
development within inner-city neighborhoods; and to eliminate conditions which are detrimental to
public health, safety and welfare, by developing vacant, underutilized property within these
neighborhoods; and,
WHEREAS,the Ninth Street Apartments,L.L.C. Redevelopment Area is located at
901 Jones Street (see Attachment 1 for complete legal description); and,
WHEREAS,this Redevelopment Plan is located within an area previously declared
"blighted and substandard and in need of redevelopment" and recertified by City Council Resolution
No. 1445 passed June 2, 1992; and,
WHEREAS,the Ninth Street Apartments, L.L.C. Redevelopment Plan provides for
the conversion of the Butternut East buildings into a 113 unit apartment complex with commercial
space in the basement and on the first floor, construction of a 300 stall parking garage, and
improvement of adjacent streets, as described in Exhibit "A", attached to and made a part hereof;
and,
WHEREAS,the Ninth Street Apartments,L.L.C. Redevelopment Plan authorizes the
use of Tax Increment Financing for site specific renovation costs; and,
WHEREAS, an Industrial Development Bond issue may be used in this blighted and
substandard area to assist with project financing; and,
WHEREAS, Section 18-2108 of the Nebraska Revised Statutes requires the City of
Omaha to adopt a redevelopment plan before taking an active part in a redevelopment project;
including the division of ad valorem taxes under Sections 18-2147 through 18-2150, Revised
Statutes of Nebraska; and,
WHEREAS,the Ninth Street Apartments,L.L.C. Redevelopment Plan was approved
by the City of Omaha Planning Board on September 2, 1998.
