Approval of the attached resolution allows Felsburg, Holt, and Ullevig to proceed with the work, as outlined in the attached Agreement. This work consists of a traffic study, drainage study, and other services associated with this project. Felsburg, Holt, and Ullevig has agreed to perform these services for a fee not to exceed $49,980.00, which is detailed in Exhibit C of the agreement. These costs will be paid from the Street and Highway Allocation Fund 12131, Traffic Planning and Design Organization 116186. Felsburg, Holt, and Ullevig has filed the required Contract Compliance Report, Form CC-1, in the Human Rights and Relations Department. Curtiss ate Mayor's Office ate Finance Director `'P 1523hra PROFESSIONAL SERVICES AGREEMENT THIS AGREEMENT is hereby made and entered into this IS" day o ,./l1/4, by and between the City of Omaha, a municipal corporation located in Douglas County,Nebraska(hereinafter referred to as the "City"), and Felsburg, Holt, and Ullevig (hereinafter referred to as the "Provider"), on the terms, conditions and provisions as set forth herein below. All references to "Contractor" shall mean "Provider". PROJECT NAME AND DESCRIPTION OPW 52285, Q Street Corridor Study. This project consists of providing engineering services related to the completion of a corridor study for Q Street between 27th Street and 72nd Street. It also includes the completion of a drainage study for the basin at 50th Street and Q Street and downstream from this point to 51s` Street and Y Street. II. DUTIES OF PROVIDER A. Provider agrees to perform professional services, as set out and more fully described in the Proposal attached hereto, for the City, relative to the above-referenced project which is illustrated in Exhibit `B" attached hereto. Such services shall be completed within a 90 day period after receipt of a purchase order from the City. B. Provider designates Adam Denney whose business address and phone number is 11422 Miracle Hills Drive, Suite 115, Omaha, Nebraska 68154, (402) 445-4405 as its project manager and contact person for this project. C. Provider agrees to maintain records and accounts, including personnel, financial and property records, sufficient to identify and account for all costs pertaining to the project and certain other records as may be required by the City to assure a proper accounting for all project funds. These records shall be made available to the City for audit purposes and shall be retained for a period of five(5)years after the expiration of this Agreement. D. Provider agrees to prepare a schedule of compensation, detailing hourly rates for all compensated providers, employees, and subcontractors. E. Provider agrees to complete, within 90 calendar days of receipt of a purchase order from the City, the necessary services. The City recognizes that completion within this deadline is contingent upon timely response from utilities and City input. F. Provider agrees to have a current Contract Compliance Form (CC-1) on file with the City's Human Rights and Relations Department prior to signing the agreement. III. DUTIES OF CITY A. City designates Jeff Babcock whose business address and phone number are 1819 Farnam Street, Suite 600, Omaha,Nebraska 68183, (402)444-5032 as its contact person for this project, who shall provide a notice to proceed and such other written authorizations as are necessary to commence for proceed with the project and various aspects of it. IV. COMPENSATION AND PAYMENT A. The cost of services as specified in the Scope of Service, shall be performed on an hourly basis, but in no event shall exceed $49,980.00. Detailed breakdown of costs shall be shown in Exhibit"C". B. Reimbursable expenses shall be billed to the City by the Provider. C. INCREASE OF FEES The parties hereto acknowledge that, as of the date of the execution of the Agreement, Section 10-142 of the Omaha Municipal Code provides as follows: Any amendment to contracts or purchases which taken alone increase the original fee as awarded (a) by ten percent, if the original fee is one hundred fifty thousand dollars ($150,000) or more, or(b)by seventy-five thousand dollars ($75,000) or more, shall be approved by the City Council in advance of the acceptance of any purchase in excess of such limits. However, neither contract nor purchase amendments will be split to avoid advance approval of the City Council. The originally approved scope and primary features of a contract or purchase will not be significantly revised as a result of amendments not approved in advance by the city council. The provisions of this section will be quoted in all future city contracts. Nothing in this section is intended to alter the authority of the mayor under section 5.16 of the Charter to approve immediate purchases. V. OWNERSHIP OF INSTRUMENTS OF SERVICE The City acknowledges the Provider's documents, including electronic files, as instruments of professional service.Nevertheless, upon completion of the services and payment in full of all monies due to the Provider, the final documents prepared under this Agreement shall become the property of the City. The City shall not reuse at another site or make any modification to the documents without the prior written authorization of the Provider. The City agrees,to the fullest extent permitted by law,to indemnify and hold harmless the Provider, its officers, directors, employees and subconsultants(collectively, Provider)against any damages, liabilities or costs, including reasonable attorneys'fees and defense costs,arising from or in any way connected with the unauthorized reuse or modification of the documents by the City,regardless of whether such reuse or modification is for use at the Project site or another site. VI. ADDITIONAL SERVICES In the event additional services for the aforementioned project not covered under this Agreement are required, Provider agrees to provide such services at a mutually agreed upon cost. VII. INSURANCE REQUIREMENTS Provider shall carry professional liability insurance in the minimum amount of one half million dollars and shall carry workers' compensation insurance in accordance with the statutory requirements of the State of Nebraska. VIII. INDEMNIFICATION The Provider agrees,to the fullest extent permitted by law,to indemnify, defend and hold harmless the City, its officers, directors and employees(collectively, City)against all damages, liabilities or costs, including reasonable attorneys'fees and defense costs,to the extent caused by the Provider's negligent performance of professional services under this Agreement and that of its subconsultants or anyone for whom the Provider is legally liable. The City agrees,to the fullest extent permitted by law,to indemnify and hold harmless the Provider, its officers, directors, employees and subconsultants(collectively,Provider) against all damages, liabilities or costs, including reasonable attorneys' fees and defense costs in connection with the Project,to the extent caused by the City's negligent acts or the negligent acts of anyone for whom the City is legally liable. Neither the City nor the Provider shall be obligated to indemnify the other party in any manner whatsoever for the other party's own negligence. IX. TERMINATION OF AGREEMENT This Agreement may be terminated by the City upon written notice to the provider of such termination and specifying the effective date at least seven (7) days prior to the effective date of such termination. In the event of termination, the provider shall be entitled to just and equitable payment for services rendered to the date of termination, and all finished or unfinished documents, data surveys, studies, drawings, maps, models, reports or photographs shall become, at the City's option, its property. X. GENERAL CONDITIONS A. Non-discrimination. Provider shall not, in the performance of this Agreement, discriminate or permit discrimination in violation of federal or state laws or local ordinances because of race, color, sex, age, or disability as recognized under 42 USCS 12101 et seq. and Omaha Municipal Code section 13-89, race, color, creed, religion, sex, marital status, sexual orientation, gender identity,national origin, age, or disability. B. Captions. Captions used in this Agreement are for convenience and are not used in the construction of this Agreement. C. Applicable Laws. Parties to this Agreement shall conform with all existing and applicable city ordinances, resolutions, state laws, federal laws, and existing and applicable rules and regulations. Nebraska law will govern the terms and the performance under this Agreement. D. Interest of the City. Pursuant to Section 8.05 of the Home Rule Charter, no elected official or any officer or employee of the City shall have a financial interest, direct or indirect, in any City Agreement. Any violation of this section with the knowledge of the person or corporation contracting with the City shall render the Agreement voidable by the Mayor or Council. E. Interest of the Provider. The Provider covenants that he presently has no interest and shall not acquire any interest, direct or indirect, which would conflict with the performance of services required to be performed under this Agreement; he further covenants that in the performance of this Agreement, no person having any such interest shall be employed. F. Merger. This Agreement shall not be merged into any other oral or written agreement, lease or deed of any type. This is the complete and full agreement of the parties. G. Modification. This Agreement contains the entire Agreement of the parties. No representations were made or relied upon by either party other than those that are expressly set forth herein. No agent, employee or other representative of either party is empowered to alter any of the terms hereof unless done in writing and signed by an authorized officer of the respective parties. H. Assignment. The Provider may not assign its rights under this Agreement without the express prior written consent of the City. Strict Compliance. All provisions of this Agreement and each and every document that shall be attached shall be strictly complied with as written, and no substitution or change shall be made except upon written direction from authorized representative. J. LB 403 Contract Provisions. -NEW EMPLOYEE WORK ELIGIBILITY STATUS-The Contractor is required and hereby agrees to use a federal immigration verification system to determine the work eligibility status of new employees physically performing services within the State of Nebraska. A federal immigration verification system means the electronic verification of the work authorization program authorized by the Illegal Immigration Reform and Immigrant Responsibility Act of 1996, 8 U.S.C. 1324a, known as the E-Verify Program, or an equivalent federal program designated by the United States Department of Homeland Security or other federal agency authorized to verify the work eligibility status of a newly hired employee. If the Contractor is an individual or sole proprietorship, the following applies: 1. The Contractor must complete the United States Citizenship Attestation Form, available on the Department of Administrative Services website at www.das.state.ne.us 2. If the Contractor indicates on such attestation form that he or she is a qualified alien,the Contractor agrees to provide the US Citizenship and Immigration Services documentation required to verify the Contractor's lawful presence in the United States using the Systematic Alien Verification for Entitlements (SAVE)Program. 3. The Contractor understands and agrees that lawful presence in the United States is required and the Contractor may be disqualified or the contract terminated if such lawful presence cannot be verified as required by Neb. Rev. Stat. §4-108. K. Certificate of Authorization. If this Agreement contemplates the performance of professional architecture or engineering work by the Provider,the Provider shall provide to the City, and maintain in good standing, a current Certificate of Authorization from the State of Nebraska as required by Neb. Rev. Stat. section 81-3436. L. Debarment or suspension by any federal agency. (This section applies if any part of this Agreement is funded by a federal agency.) Office of Management and Budget (OMB) guidelines require that any individual or entity that has been placed on the Excluded Parties List System ("EPLS" - available for review through www.sam.gov) may not be a participant in a federal agency transaction that is a covered transaction or act as a principal of a person participating in one of those covered transactions. These guidelines apply to covered transactions under a grant from any federal agency for which a recipient expects to receive reimbursement for expenditures incurred or an advance on future expenditures. The Contractor providing goods and/or services to the City of Omaha certifies, by acceptance and execution of this Agreement, that neither it nor its principals are presently debarred, suspended, proposed for debarment, declared ineligible, or voluntarily excluded from participation in this transaction by any federal department or agency. Contractor further agrees, by accepting and executing this Agreement, that it will include this clause without modification in all lower tier transactions, solicitations, proposals, contracts, and subcontracts. Where the Contractor or any lower tier participant is unable to certify this statement, it shall attach an explanation to this Agreement. M. Contract Compliance Ordinance No.35344, Section 10-192 Equal Employment Opportunity Clause During the performance of this contract,the Contractor agrees as follows: 1) The Contractor shall not discriminate against any employee or applicant for employment because of race, color, creed, religion, sex, marital status, sexual orientation, gender identity, national origin, age, or disability. The Contractor shall ensure that applicants are employed and that employees are treated during employment without regard to their race, color, creed, religion, sex, marital status, sexual orientation, gender identity, national origin, age, or disability. As used herein, the word "treated" shall mean and include, without limitation, the following: recruited, whether by advertising or by other means; compensated; selected for training, including apprenticeship; promoted; upgraded; demoted; downgraded; transferred; laid off; and terminated. The Contractor agrees to and shall post in conspicuous places, available to employees and applicants for employment, notices to be provided by the contracting officers setting forth the provisions of this nondiscrimination clause. 2) The Contractor shall, in all solicitations or advertisements for employees placed by or on behalf of the Contractor, state that all qualified applicants will receive consideration for employment without regard to race, color, creed, religion, sex, marital status, sexual orientation,gender identity, national origin, age,or disability. 3) The Contractor shall send to each labor union or representative of workers with which he has a collective bargaining agreement or other contract or understanding a notice advising the labor union or worker's representative of the Contractor's commitments under the Equal Employment Opportunity Clause of the City and shall post copies of the notice in conspicuous places available to employees and applicants for employment. 4) The Contractor shall furnish to the human rights and relations director all Federal forms containing the information and reports required by the Federal government for Federal contracts under Federal rules and regulations, and including the information required by Sections 10-192 to 10-194, inclusive, and shall permit reasonable access to his records. Records accessible to the human rights and relations director shall be those which are related to Paragraphs (1) through (7) of this subsection and only after reasonable notice is given the Contractor. The purpose for this provision is to provide for investigation to ascertain compliance with the program provided for herein. 5) The Contractor shall take such actions with respect to any subcontractor as the City may direct as a means of enforcing the provisions of Paragraphs (I) through (7) herein, including penalties and sanctions for noncompliance; however, in the event the Contractor becomes involved in or is threatened with litigation as the result of such directions by the City,the City will enter into such litigation as necessary to protect the interests of the City and to effectuate the provisions of this division; and in the case of contracts receiving Federal assistance, the Contractor or the City may request the United States to enter into such litigation to protect the interests of the United States. 6) The Contractor shall file and shall cause his subcontractors, if any, to file compliance reports with the Contractor in the same form and to the same extent as required by the Federal government for Federal contracts under Federal rules and regulations. Such compliance reports shall be filed with the human rights and relations director. Compliance reports filed at such times as directed shall contain information as to the employment practices, policies, programs and statistics of the Contractor and his subcontractors. 7) The Contractor shall include the provisions of Paragraphs (1) through (7) of this Section, "Equal Employment Opportunity Clause", and Section 10-193 in every subcontract or purchase order so that such provisions will be binding upon each subcontractor or vendor. The information used to prepare this proposal is based on discussions with the City of Omaha at the meeting held on May 26, 2016. Felsburg Holt& Ullevig (FHU)will be responsible for the contract administration and management of the project, as well as data collection, development of the recommendations, and agency coordination. Kyle Anderson will sever as Principal-in-Charge for both the traffic study and drainage study. For Traffic Study: The Project Manager for the traffic study will be Mark Meisinger, who brings a wealth of traffic engineering knowledge and have experience with several traffic analyses similar in nature to this project. The traffic study will evaluate the following time periods and for each period a list of recommendations will be developed: • Existing morning and evening peak hours • Future Year (2040) for the morning and evening peak hours For the traffic study, a draft report will be prepared summarizing the results of this corridor study and will include graphical illustrations of the study area and analysis. For Drainage Study: The Project Manager for the drainage study will be Dave Lampe, who brings a wealth of drainage engineering knowledge and experience with drainage analyses similar in nature to this project. The drainage study will evaluate sewer capacity from 50th Street and Q Street to 51st Street and Y Street under existing and proposed conditions. 11422 Miracle Hill. A conceptual layout of storm sewer, inlets and alternatives for detention facilities will be provided for the study area. Both the traffic study and drainage study projects will involve data collection efforts from the City of Omaha as well as FHU. A detailed scope of services (Exhibit B) is attached. We propose to conduct the studies on a "time and materials" basis. Under such an agreement, we are compensated on an hourly basis for all labor and other direct costs, such as printing, are reimbursed at a rate of 1.1 times actual cost. The goal of this study is to indentify improvements and outline policies that should be implemented along the Q Street corridor to accommodate the future growth and travel within the study area. The drainage study will assess the impacts that proposed roadway improvements will have on the existing storm sewer system starting at 50t" Street and Q Street and ending at 51 St Street and Y Street. The goal of this study is to identify improvements that may be needed to offset potential impacts from roadway improvements. Q Street Scope of Services Corridor Study Page 1 of 8 City of Omaha Exhibit B August 30, 2016 (B) CONSULTANT RESPONSIBILITIES Task 1 TRAFFIC STUDY Task 1.1 Data Compilation Peak-hour traffic counts at the study intersections will be conducted by the City of Omaha. This information will be used as the base condition for our analysis. FHU will compile the count information for analysis. The count locations are as follows: Signalized Intersections • Q Street& 27th Street • Q Street& 30th Street • Q Street& 33rd Street • Q Street& 36th Street • Q Street& 42nd Street West(future roundabout) • Q Street& 42nd Street East (future roundabout) • Q Street& 48th Street • Q Street& 51st Street • Q Street& 52nd Street • Q Street& 60th Street • Q Street& 72nd Street Pedestrian count data at the signalized crossings will also be provided by the City of Omaha. The locations of these crossings are as follows: Signalized Pedestrian Crossings • Q Street& 38th Street A visual sight distance check will be performed in the field to determine any existing sight distance issues along the corridor and at locations where crash data indicates sight distance may be limited. Problem areas will be identified and potential improvements will be recommended. Assumptions • Peak-hour traffic counts at the study intersections will be provided to FHU by the City of Omaha. This information will be used as the base condition for our analysis. FHU has assumed that no additional counts will be needed. Should additional counts be required, FHU can provide these services at our standard hourly rates. • Any available pedestrian counts at the signalized pedestrian crossings will be provided to FHU by the City of Omaha. • Traffic data from recent traffic studies in the project area will be utilized as well to gather existing and future traffic information. The City will provide any recent traffic studies within the study area. Task 1.2 Existing Traffic Analysis FHU will assess the current level of congestion in the AM and PM peak hours, measured by level of service (LOS), which is experienced on Q Street within the study area boundaries. Q Street Scope of Services Corridor Study Page 2 of 8 City of Omaha Exhibit B August 30,2016 MUTCD traffic signal warrants will be analyzed at various signalized intersections to determine if signalization is still warranted. Based on capacity analyses, FHU will recommend locations for the City to evaluate installation of left-turn arrows. In order to address the traffic operations along the Q Street corridor, the study will include an evaluation of the following locations: Signalized Intersections Roundabout Intersections • Q Street& 27th Street • Q Street& 42nd Street West(future roundabout) • Q Street& 30th Street • Q Street& 42nd Street East (future roundabout) • Q Street& 33rd Street • Q Street& 36th Street • Q Street& 48th Street • Q Street& 51st Street • Q Street& 52nd Street • Q Street& 60th Street • Q Street& 72nd Street Assumptions • Signal timing data for all signalized study area intersections will be provided to FHU by the City of Omaha. • FHU will use Synchro 8.0 and SIDRA 6.1 for analysis. HCM 2010 methodologies will be utilized. Task 1.3 Traffic Forecasting This corridor study will need to take into account the future land uses along Q Street. The Metropolitan Area Planning Agency (MAPA) will provide year 2040 traffic projections which will be used for future traffic analysis. Procedures documented in the Transportation Research Board's publication NCHRP 765 will be used to develop forecasted traffic volumes for AM and PM peak hours at study intersections. The future volumes will be agreed upon by the City of Omaha prior to any additional analysis being conducted. Assumptions • 2040 future traffic forecasts (ADT) will be provided to FHU by MAPA. Task 1.4 Future Traffic Analysis Analysis for the corridor will be performed for a future year (2040). Traffic volumes will be analyzed at all study intersections between 27th Street and 72" Street on Q Street to determine future traffic control and to determine long term improvements for the corridor. Several traffic control and intersection configuration alternatives will be evaluated to define the best long term solution to accommodate the future growth and travel within the corridor study area. This may include an evaluation of the feasibility of traffic signalization versus roundabouts. The signalized intersections of Q Street with 30th Street, 33`1 Street, 515t Street, and the 38th Street pedestrian signal will be analyzed to determine if signalization is still warranted based on Q Street Scope of Services Corridor Study Page 3 of 8 City of Omaha Exhibit B August 30, 2016 exiting counts and future forecasts. Some existing traffic signals may not be warranted. Recommendations to retain signalization should consider spacing to other signals and the ability to provide progression on Q Street. Signal warrants/recommendations could also be considered at locations with inadequate sight distance. Auxiliary turn lane warrants will be evaluated at study area intersections under future traffic conditions. A cross-section recommendation will be made by comparing future ADT volumes to ADT thresholds for specific roadway types which shall be established by FHU in conjunction with the City of Omaha. Schematic drawings on an aerial base will be prepared for the final recommended improvements. No cost estimates will be developed for these schematic drawings. The purpose is to provide a visual of the recommended improvements. A policy on intersection spacing and access management for the corridor will be developed. This will identify traffic control and access locations associated with future development along the Q Street corridor. Additionally, existing driveway locations will be analyzed to determine the feasibility to consolidate or eliminate driveways onto Q Street. The following intersections will be analyzed to assess the level of congestion in the 2040 AM and PM peak hours, measured by level of service (LOS) Signalized Intersections Roundabout Intersections • Q Street& 27th Street • Q Street& 42' Street West (future roundabout) • Q Street& 30th Street • Q Street& 42nd Street East(future roundabout) • Q Street& 33rd Street • Q Street& 36th Street • Q Street& 48th Street • Q Street& 51st Street • Q Street& 52nd Street • Q Street& 60th Street • Q Street& 72nd Street Assumptions • FHU will use Synchro 8.0 and SIDRA 6.1 for analysis. HCM 2010 methodologies will be utilized. • An access management plan will be developed for the corridor. • A pedestrian/bicycle map will be developed for the corridor. Task 1.5 Crash Analysis FHU will compile the crash history from data provided by the City of Omaha for the study area. A minimum of three years of the most recently available data will be assessed to identify potential safety concerns along the study corridor. This analysis will be a high level analysis identifying any high crash rate intersections or roadway segments and then conducting a more detailed investigation with the problem intersections or roadway segments only. FHU shall consider crash patterns in final recommendations for improvements to the corridor. An analysis of four(4) spot speed locations will be conducted as part of the crash study. Assumptions • Crash data will be provided to FHU by the City of Omaha for the most current three-year period. • The City of Omaha will provide the most recent Citywide crash rate to use as a baseline for comparison. If a recent Citywide crash rate is not available, FHU may elect to use the statewide rate for urban arterial streets. • A GIS based crash spot map will be provided as part of the report. • Collision diagrams will not be developed as part of this project. Task 1.6 Corridor Study Report A draft report will be prepared summarizing the results of this corridor study and will include graphical illustrations of the study area and analysis. FHU will identify any traffic operational or roadway deficiencies in the study area and will develop recommendations for short term and long term improvements. The draft report will be submitted to the City of Omaha for review and comment. We have assumed a period of two weeks for the review of the draft report. Comments received will be addressed and incorporated into the final report. The final report will be submitted approximately three weeks after receipt of the draft report comments. Task 1.7 Meetings & Coordination As part of this effort, FHU will attend two meetings with officials representing the City of Omaha. This will include a kick-off meeting as well as a meeting to review preliminary progress and results prior to completion of the final report. This task also includes coordination meetings with stakeholders along the corridor. Up to 8 hours of meeting time is anticipated for this coordination. Any additional meetings or presentations can be provided at FHU's standard hourly rates. Task 1.8 Project Management This task includes activities to initiate and monitor project schedules, workload assignments and internal cost controls throughout the project. Also included are efforts to prepare and process invoices and monthly progress reports; prepare project correspondence with the City; and maintain project records. Task 2 DRAINAGE STUDY Task 2.1 Data Collection The City has provided FHU with a .pdf of the current drainage basins that they have prepared. Along with that they have provided storm sewer and inlet calculations. FHU will request the CADD file from the City that shows those basins along with any topographic survey and preliminary plans available for the roadway and proposed sewers. Assumptions • The City has or will make available topographic survey and preliminary design of storm sewers and paving in the area of 50th & Q Street in CADD format. • The City has or will make available information on manholes and inlets (including rim, pipe sizes, and pipe inverts) downstream of 50th & Q Streets to 51st& Y Streets. • We understand that some of the paving geometry may change as a result of the Traffic Study and will coordinate with FHU traffic engineers and the City of Omaha on any potential modifications to incorporate into the drainage study. Q Street Scope of Services Corridor Study Page 6 of 8 City of Omaha Exhibit B August 30, 2016 Task 2.2 Hydrologic and Hydraulic Analysis FHU will calculate hydrology for existing and proposed conditions at 50th and Q Streets. Peak flow rates will be generated for the 2, 5, 10, and 100-year storm events. These values will be used to check capacity of the existing storm sewer and overflow at the low point of the drainage basin along Q Street. Inlet capacity under the proposed configuration will be checked for suitability and hydraulic grade lines will be generated to verify level of services of the existing storm sewer system. Proper drainage meeting the requirements of the City of Omaha Regional Stormwater Manual shall be included in the design. The design of this section of roadway shall include provisions, which may include detention to reduce peak flows, to show no increase in runoff and no adverse impacts to the downstream areas. If the downstream areas lack conveyance to support 10-year peak runoff flow rates, the design shall utilize smaller storm events. Assumptions • Where topographic survey is not available, LiDAR data will be used to help define drainage boundaries and general channel geometry downstream from Q Street. • Post Construction Stormwater Management requirements will be considered for the site and suggestions made for features within this basin. Task 2.3 Drainage Study Report A draft report will be prepared summarizing the results of the drainage study and will include drainage maps of the study area along with the analysis. FHU will identify alternatives to address deficiencies in the system. The report will also include a conceptual level layout of storm sewer and detention/water quality features related to the intersection.
