RESOLVED BY THE CITY COUNCIL OF THE CITY OF OMAHA:
WHEREAS, by virtue of Section 3-502(1)of the Nebraska Revised Statutes,any city
may create an airport authority to be managed and controlled by a board and pursuant thereto, the
City of Omaha has created an Airport Authority; and,
WHEREAS, Section 3-502(f) of the. Nebraska Revised Statutes provides for
nominations to the Airport Authority Board to be made by the Mayor, with approval of the City
Council; and,
WHEREAS, the Mayor would like to appoint David Karnes to the Airport Authority
Board for a five-year term to replace Bennett Ginsberg, whose term ends on March 16, 2018; and,
WHEREAS,the City Council of the City of Omaha is being requested by Mayor Jean
Stothert to approve David Karnes to serve as a member of the Airport Authority for a five-year term,
said appointment to commence March 17, 2018 and expire March 16, 2023.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF
OMAHA:
THAT,the appointment by Mayor Jean Stothert of David Karnes as a member of the
Airport Authority Board to serve a five-year term, commencing on March 17, 2018 and expiring
March 16, 2023, be and hereby is confirmed and approved.

David Kemp Karnes serves in an"of counsel"capacity to the national law firm of Kutak Rock and is
the national Director of its Governmental Affairs practice. Mr. Karnes practices out of the firm's Omaha and
Washington offices. He joined the firm in 1989 immediately following his tenure as a United States Senator
representing Nebraska. While in the Senate, Senator Karnes served on the Banking,Housing and Urban Affairs
Committee, including its Securities and Consumer Credit subcommittees, as well as the Agriculture, Nutrition
and Forestry Committee and Small Business Committee. Mr.Karnes' areas of principal activity for Kutak Rock
include federal,state and international relations,corporate law,real estate and financial institutions. His diverse
governmental and business experience involves many areas of Kutak Rock's finance and corporate practice
groups, as well as a very broad range of clients and special national and international government issues,
including most recently healthcare, homeland security, defense, infrastructure and transportation and
intelligence. He has served in senior executive positions in the federal executive, regulatory and legislative
branches and has broad expertise and familiarity with state and federal agency operations, including the White
House, the Departments of Housing and Urban Development, Treasury, Transportation, Health & Human
Services,the Defense Department,the federal Intelligence community and all of the federal financial regulatory
agencies. At the state level,Mr.Karnes served as the attorney in charge of the firm's engagement as special tax
counsel to the Nebraska Legislature as it revised the state's personal property tax system and served as counsel
to the State in the development and implementation of Nebraska's awardwinning Section 529 College Savings
Plan. He served for 12 years as the Chairman of the Board of Directors of the $40 billion Federal Home Loan
Bank of Topeka,a principal secured credit source for saving and loans,savings banks,commercial banks,credit
unions and insurance companies in Nebraska, Colorado, Oklahoma and Kansas. Mr.Karnes has also served on
the Boards of,or acted as an Advisory Board member to,publicly traded U.S. companies, including Fannie Mae
(NYSE)and Data Transmission Network Corporation (NASDAQ), Wuhan General Group (China) Corporation
(NASDAQ), Wuhan, China, El Paseo Bank of Palm Desert, California(a$100 million community bank now a
part of Bank of Southern California),and Ameritrade, Inc. (NYSE). Currently,he is a member/shareholder and
serves as a Director of several private companies including Cornerstone Associates, LLC (a developer, owner
and manager of more than 50 Low Income Housing Tax Credit apartment projects in Midwestern and Mountain
states), ATS Secured, LLC (a mortgage block chain artificial intelligence anti-fraud verification network),
Vigilnet, LLC (a national alcohol and GPS offender monitoring systems distributor serving probation offices
and courts in five states), the Big Red Companies (the operator of Nebraska's largest local option keno
network),each headquartered in Omaha as well as a coowner of more than 25 commercial and multi-family real
estate projects primarily in Omaha. He is also Chairman of SCOLA, Inc. (Nebraska nonprofit company), an
international provider of advanced foreign language learning resources with affiliates in more than 130
countries. Mr.Karnes has served as a member of the United States Advisory Committee on Trade Policy and
Negotiations. This committee is appointed by the President and is composed of chief executive officers of 40 of
America's largest corporations as well as presidents of key agriculture and labor organizations. The Committee,
established by Congress in 1974, is the principal trade advisory group representing America's private sector to
the President and Congress in all major trade treaty negotiations such as the Uruguay Round of the GATT, the
World Trade Organization and the North American Free Trade Agreement.
In 1981, Mr. Karnes was selected as a White House Fellow where he served at the Department of
Housing and Urban Development and later at the Treasury Department in the Reagan Administration. He is
actively involved in numerous civic,educational and charitable organizations in Nebraska and nationally.
Mr. Karnes was educated at the University of Nebraska (B.S., with distinction, 1971, and J.D., 1974).
He was married to Dr. Elizabeth Karnes (deceased) and they have four daughters: Korey, Kalen, Kara and
Laurel. He remarried in 2007 to Kristine Andress Karnes, J.D. Kristine is a former partner, and now "of
counsel"with Kutak Rock and currently a Visiting Professor of Law at Creighton University's School of Law in
Omaha. With Kris, Dave has his fifth daughter, Kate, born November 18, 2010 and his sixth daughter,
Alexandra, born May 6, 2013. He also has two granddaughters, Elizabeth and Grace who reside in Chicago
with his oldest daughter Korey and her husband, one grandson, Connell, and another granddaughter, Logan,
born to his second daughter Kalen who lives in New York City and a granddaughter, Kemp, born to his fourth
daughter,Laurel who resides in Boston.
