The six proposals were analyzed by the Benefits Division of the Human Resources Department,with input from the City's contractor,Silverstone Group: Based upon the information obtained during this review, the recommendation is for Minnesota Life Insurance Company to be awarded thecontract •from January 1, 2018,through December 31, 2020. This recommendation is made for the following reasons: 1. Minnesota Life Insurance Company has guaranteed their rates for a five-year period. , 2. Minnesota Life Insurance Company replicated current rates, special enrollment provisions, and actively at work provisions. 3. Minnesota Life Insurance Company offers a comprehensive web-based portal which allows for enhanced administrative management of this life insurance program. 4. Remaining with Minnesota Life Insurance Company avoids any of the disruption caused by switching carriers, particularly at a time when there is significant change being made in the City's HRIS system. RECITALS: A. The Company is engaged in the business of providing life insurance coverage to certain individuals and entities and has proposed to provide certain life insurance coverage to the City of Omaha. B. The Company is willing and capable of providing to the City group term life insurance for its eligible employees and retirees. C. The City desires to provide group term life insurance coverage for its eligible employees and retirees. NOW, THEREFORE, IT IS AGREED AS FOLLOWS: I. This Agreement together with the Company's bid proposal serves to formalize and set forth the commitments between the City of Omaha and Minnesota Life Insurance Company and supersedes all prior understandings and commitments. This Agreement is meant to be a separate agreement from the Company's standard group term life contract with the City. In areas where there is a discrepancy between the Company's group proposal and any other underlying agreements, this Agreement will prevail. Notwithstanding the foregoing, all matters of insurance are governed by the terms and conditions of the Company's group term life contract with the City, and in the event of any conflict with this Agreement,the group term life contract shall control. APPOINTMENT The Company is hereby retained and appointed to provide group term life insurance coverage to the City for its eligible employees and retirees. II. COMPANY SERVICES In carrying out the terms of this Agreement,the Company agrees to provide the following services on a timely basis: A. Provide and administer the coverages, services and benefits as set forth in this Agreement and Minnesota Life Insurance Company's bid proposal opened and received by the City on April 19, 2017 and which includes a Technical Proposal attached as Exhibit "A", a Cost Proposal attached as Exhibit `B", and responses • to Follow-Up questions attached as Exhibit "C", and Minnesota Life Insurance Company's group policy, all of which are incorporated herein by this reference. B. Prepare a schedule of benefits and certificate of coverage for distribution to the eligible employees and retirees of the City upon request. C. Make benefit payments in accordance with the terms of Minnesota Life Insurance Company's group policy to designated beneficiaries, or in accordance with the group life insurance policy if no beneficiary has been designated. D. Provide suitable facilities, personnel, procedures, forms and instructions for administration of the group life insurance policy. E. During the continuance of this Agreement, the Company agrees to indemnify the City and hold it harmless against any and all loss,damage and expense with respect to the administration of the group life insurance policy to the extent resulting from or arising out of the dishonest, fraudulent or criminal acts of the Company's employees, acting alone or in collusion with others. III. CITY SERVICES In carrying out the terms of this Agreement, the City agrees to provide the following services on a timely basis: A. Provide the Company with the following information: 1. If the City and the Company deem it necessary, the City will provide an application for each new eligible employee. 2. An application for each eligible employee changing status of coverage. 3. Notification of employee terminations. 4. A computer listing on a monthly basis or other acceptable media, showing all active eligible employees. 5. An annual audit of eligible employees. B. Approve the group life insurance policy and any changes or modifications thereto as authorized in Paragraph IX below. C. Make payroll deductions from each employee for payment of optional benefits authorized by such employee. D. Make appropriate payment, as set out in this Agreement, on each employee and each retiree for the basic and Accidental Death and Dismemberment (AD&D) coverage. IV. COMPENSATION The City shall calculate the group insurance premium owed to Company pursuant to rates that are separately agreed to by the parties in writing. The group insurance premium shall be self-billed by the City, based on the City's records in a format to be separately agreed to by the parties. Premium payments shall be payable by the City to the Company as provided in the group insurance policy(ies) issued by the Company. V. TERM This Agreement shall be in effect for a period commencing January 1, 2018,through and including December 31, 2020, but to include claims paid after December 31,2015 which were incurred during the term of this Agreement. The City of Omaha shall have two one (1)year options to extend the term of the agreement with no increase in cost. VI. AUTHORIZED REPRESENTATIVE The Director of the Human Resources Department of the City shall be the authorized • representative of the City to monitor performance under this Agreement. The Director will not be authorized to change any of the terms and conditions of this Agreement. Such changes, if any, shall be accomplished only by a properly executed modification of this Agreement in accordance with the terms and conditions of Paragraph IX. The parties hereto expressly agree that for purposes of notice, including legal service of process, during the term of this contract and for the period of any applicable statute of limitations thereafter,the following named individuals shall be the authorized representatives of the parties. St.Paul, MN 55101 VII. CONDITIONS This Agreement is subject to the following conditions: A. The Company shall maintain such records and accounts using an accepted accounting procedure as is determined necessary to assure a proper accounting for all claims paid under the policy. These records or microfilm copies will be made available for audit purposes to the authorized City representatives and shall be retained for a period of at least five years after termination of this Agreement. B. Company shall not, in the performance of this agreement, unlawfully discriminate or permit unlawful discrimination because of race, color, sex, age, political or religious opinions, affiliations or national origin. C. Company is required and hereby agrees to use a federal immigration verification system to determine the work eligibility status of new employees physically performing services within the State of Nebraska.A federal immigration verification system means the electronic verification of the work authorization program authorized by the Illegal Immigration Reform and Immigrant Responsibility Act of 1996, 8 U.S.C. 1324a, known as the E-Verify Program, or an equivalent federal program designated by the United States Department of Homeland Security or other federal agency authorized to verify the work eligibility status of a newly hired employee. D. Except as otherwise agreed by the parties, the Company covenants that it has not retained or employed any company or person other than bona fide employees and agents working for the Company,to solicit or secure this Agreement, and that it has not paid or agreed to pay any company or person other than bona fide employees and agents working for the Company,any fee,commission,percentage,brokerage fee, gift, or any other consideration contingent upon or resulting from the award or making of this Agreement except as specifically stated in Questionnaire Item 10 of the Minnesota Life Insurance Company Bid Proposal. For breach of this statement, the City shall have the right to annul this Agreement without liability. E. The Company shall comply with all applicable municipal ordinances and State and Federal laws relating to or applicable to the group policy and this Agreement, including but not limited to, the Nebraska Workers' Compensation Law and the Fair Labor Standards Act. F. Interest of the City. Pursuant to Section 8.05 of the Home Rule Charter, no elected official or any officer or employee of the City shall have a financial interest, direct or indirect, in any City agreement. Any violation of this section with the knowledge of the person or corporation contracting with the City shall render the agreement voidable by the Mayor or Council. This Section shall not prevent any elected official or any officer or employee of the city from being insured or named as a beneficiary under any insurance coverage issued under the group insurance policy(ies)issued by the Company to the City. G. Except as otherwise agreed to by the parties, the Company guarantees, in addition to the basic rates as set forth under Paragraph IV (Compensation), of this Agreement, the rates specified in Company's bid proposal for optional group term insurance, optional group dependent insurance and optional retiree coverage for the period of January 1, 2018 through December 31, 2020. H. The administration records kept and maintained by the City with regard to this Agreement and group life insurance policy(ies)issued to the by Minnesota Life Insurance Company will contain information agreed upon by the parties. Records, data and information kept and maintained by the City shall be available for review by Minnesota Life Insurance Company at reasonable times and upon prior written notice to the City. Annexed hereto as Exhibit "D" and made a part hereof by reference are the equal employment provisions of this contract required by Omaha Municipal Code Sections 10- 190 through 10-197. All reference in Exhibit "D" to "Contractor" shall mean "Company." Refusal by 'the Company to comply with any portion of this program as therein stated and described will subject the offending party to any or all of the following penalties: (1)Withholding of all future payments under the involved contracts to Company in violation until it is determined that Company is in compliance with the provisions of the contract; (2)Refusal of all future bids for any contracts with the City or any of its departments or divisions until such time as Company demonstrates that he has established and shall carry out the policies of the program as herein outlined. Prior to the disclosure of any records identified in Exhibit"D",Item(4), Company may require that the City execute a privacy and nondisclosure agreement relating to the disclosure of such records. In addition,the parties agree that the use of the term"vendor"in Exhibit"D",Item(7) does not apply to contractors retained by Company to perform functions that are not specifically and exclusively related to City's Contract,but which are standard in its industry and utilized by Company across its portfolio of business, including paramedical exams, laboratory analysis, medical records retrieval, and reinsurance protection. J. Where used in this Agreement, the term "Subcontractor" or"subcontractor" means any person, firm, or company that enters into a contract with Company specifically and exclusively for the performance of one or more of Company's obligations explicitly set forth in this specific Agreement. The term Subcontractor or subcontractor does not include any person, firm, or company utilized or contracted by Company to provide materials or services that are not specifically and exclusively for the performance of one or more of the Company's obligations explicitly set forth in this specific Agreement, including any contract for the provision of any materials or services used by Company across its portfolio of business. VIII. ASSIGNMENT The Company may not assign its rights under this Agreement without the express written consent of the City; provided that the Company may use a Minnesota Life Insurance Company subsidiary or affiliate to perform its obligations specified hereunder, or a portion thereof, so long as the Company retains responsibility for such performance to City. IX. MODIFICATION This Agreement, including any cross-referenced materials, together with the Company's bid proposal and group policy comprises the entire set of agreements between the parties. No prior representations were made or relied upon by either party other than those that are expressly set forth in the documents mentioned in this Section. No agent, employee, or other representative of either party is empowered to alter any of the terms hereof unless done in writing and signed by an authorized officer of the respective parties. Change of Ownership If any change in ownership or control of the company is anticipated during the twelve (12) months following the proposal due date, the VENDOR must describe the circumstances of such change and indicate when the change will likely occur. Relationship with the City The VENDOR shall describe any dealings with the CITY over the previous three (3) years. If the organization, its predecessor, or any party named in the VENDOR's proposal response has contracted with the CITY, the VENDOR shall identify the contract number(s) and/or any other information available to identify such contract(s). Vendor's Employees/Vendors If any party named in the VENDOR's proposal response is or was an employee of the CITY within the past twelve (12) months, identify the individual(s) by name, the CITY department, job title or position held with the CITY, and separation date. If, after review of this information by the CITY, it is determined that a conflict of interest exists or may exist, the VENDOR may be disqualified from further consideration. Contract Performance If the VENDOR or any proposed subcontractor has had a contract terminated or fee disputed during the past three (3) years for a failure to perform services, the VENDOR must submit full details of all terminations or fee disputes experienced during the past three (3) years, including the other party's name, address and telephone number. The response to this section must present the VENDOR's position on the matter. If the VENDOR has experienced no such termination for default in the past three (3) years, so declare. No such contracts exist. 7. Summary of Vendor's Proposed Approach The VENDOR must present a detailed description of its proposed approach to the performance of the scope of services. . The VENDOR must identify the specific professionals who will work on this scope of work for the CITY if awarded the contract resulting from this RFP. The names and titles of the team should be identified in full, with a description of the team leadership, support, and reporting relationships. The primary work assigned to each person should also be identified. Resumes of the team must be provided and cannot be longer than three (3) pages. Resumes shall include, at a minimum, academic background and degrees, professional certifications, and at least three (3) references (name, address, and telephone number) who can attest to the competence and skill level of the individual. The following descriptions illustrate our best practices and will be modified to meet the City's expectations. Premium Remittance and Financial Reporting Premium remittance and financial reporting for the City's plan will continue to be executed by our Experience Reporting team, led by Beth Voermans, Director, Financial Operations. This team prepares and delivers a remittance form to you that contains all required financial information. The City's year-end experience report is also provided by this team. CUSTOMER SERVICE AND TECHNOLOGY Our customer service teams, led by Maria O'Phelan, Second Vice President, Group Customer Service and Technology, will continue to provide all administrative duties, including providing conversion packages, processing conversion requests, processing assignments, viatical settlements, and transfers of ownership requests. We will continue to provide the City with our secure online website. This technology provides benefits staff fast, easy access to plan information and services including: • The ability to securely submit claims online, reducing claim payment time by one week when compared to paper processes. • The ability to track the status of all claims and evidence of insurability applications, 24/7. Information is available at the detail level, or easy to export reports. • Secure delivery of all customized reports. • Access to an online administration manual and plan forms. • Secure contact to us which allows for secure e-mail attachments and quick access to your account team. We can establish different levels of accessibility to accommodate your organizational structure (e.g., different levels for the central staff and branch representatives). Information will be updated daily and sorting capabilities offer additional flexibility in viewing online information. GROUP CLAIMS Ross Stedman, Director, Group Claims, will continue to oversee the group claims unit which will process all life claims for the City's plan. Stephanie Schwietz, Team Leader, will serve as a lead for this team of compassionate claim examiners, as well as an ongoing claims contact for the City. In addition, Jolene Mockler, Client Services Specialist, and Annie Melin, Assistant Client Services Specialist will work directly with the City during implementation and will be the primary claims resources for the City on-going. The process starts with the City's benefits staff or administrator submitting claims online through our eClaims system. This eliminates or reduces the processing of paper. Claim submission screens are customized to your specific plan design. Information is submitted online directly to Securian to begin the claims process, increasing accuracy and speed. Additionally, we happily accept a faxed copy of the death certificate via eClaims so no mailing of the original copy is required. Following receipt of the claim notification, we create a claim record in our proprietary claim system and assign a claim number to the insured. The claims examiner reviews the claim and creates a condolence letter which outlines what information is needed to process their claim. By doing so, the beneficiary receives information specific to their claim easing the burden on them during a difficult time. During the processing of the claim, we ensure there is regular communication with the beneficiary. City of Omaha SECURIAN® coroners when this information is necessary (e.g. accidental death claims) and follow up on any outstanding information at a minimum of every 10 business days. Our automated follow-up system ensures all claims are closely monitored and information needs are actively pursued. In 2016, we paid 99.26% of claims within 10 calendar days and an average of 3.10 calendar days from proof received. Within the claims department, claims examiners and management have tiered approval authority levels. Upon receipt of all necessary information, the claims examiner will make a determination if the claim liability is within their authority. Claims above the examiner's authority are referred to department management for final review. In doing so, approximately 25-35% of claims receive a second set of eyes before payment. For paid claims, we offer a wide array of claim settlement options to support a beneficiary during a difficult time. These includecheck, direct deposit directly into a personal checking/saving account, installments, annuities, and our interest bearing Benefit Account which offers check writing privileges. For denied claims, we provide a detailed explanation for our determination and inform the beneficiary of their appeal rights including adherence to those prescribed by ERISA when applicable. MEDICAL UNDERWRITING Todd Beukelman, Manager, Group Underwriting, will continue to oversee evidence of insurability processing and individual medical risk underwriting for the City's plan. Donna Thomas, Client Service Specialist, Lisa Ramos, Client Services Coordinator, are responsible for coordinating the medical underwriting implementation activities with the City. Both paper and online evidence of insurability options for submitting applications are offered. We use a simplified underwriting approach, with requirements tailored to the level of risk, for amounts above the guaranteed issue limit and coverage applied for outside an eligibility period. We deliver fast efficient underwriting services with solutions to fit every client. Applicants will be asked to provide height and weight and answer three general health questions. Our underwriters take into consideration this information, the amount of insurance applied for, and a report from the Medical Information Bureau in determining if more information is needed to assess insurability. A majority of the applications we receive are approved without asking for additional information. In 2016, we made underwriting decisions on 98.7% of applications within 10 calendar days of receipt of all information; on average we made decisions in 2.1 calendar days.
