This Development Agreement is.method of development control for the City. Under it, the developer has committed to certain special actions governing - reconstruction and improvements on and off the site. The public improvements include primarily sidewalks, street improvements, and storm sewer improvements, and assure that the project will be built as proposed. The Orchard Manor Apartments Development Plan will allow three buildings containing 72 one and two bedroom units of low to moderate housing to be constructed on the site. The development agreement will assure that the Orchard Manor Apartment Project is constructed in accordance with the agreed- upon Development Plan. Section 2. That if this Ordinance, Development Agreement, or portion thereof, is found to be invalid, any zoning ordinance applicable to such site shall not be invalidated for such reason. Section 3. That the Orchard Manor Development, is hereby approved. Section 4. That this Ordinance shall be in full force and take effect 15 days from and after the date of its passage. DEVELOPMENT AGREEMENT THIS DEVELOPMENT AGREEMENT, hereinafter referred to as "AGREEMENT", made and entered into as of the date indicated below, pursuant to Chapter 55, Omaha Municipal Code, by and between the City of Omaha, a Municipal Corporation of the State of Nebraska, hereinafter referred to as "CITY" and Orchard Manor Limited Partnership and New Community Development Corporation, hereinafter referred to as `ORCHARD/NCDC." WITNESSETH: WHEREAS, ORCHARD/NCDC, developer, is the legal owner of the real estate described on the attached plat of Burlington Square Replat 1, a copy of which is attached as Exhibit "A" and incorporated by this reference, and desires to develop such property according to the provisions of Chapter 55 of the Omaha Municipal Code for the construction of multi-family dwellings; and, WHEREAS, in accordance with the requirements of Article XX, Section 55-882, Omaha Municipal Code, ORCHARD/NCDC has presented a development plan to CITY; and, WHEREAS, CITY, in the interest of maintaining the public health, safety and welfare, desi res to ensure that such project is developed substantially in accordance with the development plan and, therefore, considers th is AGREEMENT to be in the best interests of CITY; and, WHEREAS, ORCHARD/NCDC is willing to commit to the development of a project substantially in accordance with the development plan and desires to have a reasonable amount of flexibility to carry out the development and considers this AGREEMENT to be in its best interest; and, WHEREAS, CITY and ORCHARD/NCDC desire to set forth in this AGREEMENT the respective understandings and agreements with regard to Burlington Square Replat 1. NOW THEREFORE, in consideration of the mutual covenants and agreements her ein contained, the parties agree as follows: I. Definitions. For the purposes of this AGREEMENT the following words and phrases shall have the following meanings: A. The "cost" or "entire cost" of a site improvement shall be deemed to include all construction costs, engineering costs, attorneys' fees, testing expenses, publication costs, financing costs and any other miscellaneous costs. B. "Site improvement" shall mean any building, parking, storm sewer work, street improvements, sidewalks, landscaping, signage, fencing or other regulated structures constructed on or as part of the development of Burlington Square Replat 1. II. Development Plan. A. Except as otherwise permitted in this AGREEMENT the project shall be developed in accordance with the development plan a/k/a site plan, which is attached as Exhibit "B" (Purdy & Slack Architects Site Plan for Project No. 94018, dated 4/26/95 and identified as C1.1 R), and by this reference incorporated herein. B. It is intended that this development plan be a general schematic of the development. All parties recognize that from time to time for good and sufficient reasons it may be necessary for ORCHARD/NCDC to alter the size or location of the buildings or other site improvements. ORCHARD/NCDC reserves the right to modify the development plan provided such modification conforms to the provisions of Section 55-882(1), Omaha Municipal Code and obtains approval from CITY for such modifications. III Improvements. The parties agree that the entire cost of all public improvements shall be defrayed as follows: A. ORCHARD/NCDC agrees to install public sidewalks at its sole cost for this development in conformance with the City of Omaha Standards. The locations of the sidewalk construction includes: sidewalks on the west side of 36th Street and sidewalks on the north side of Orchard Avenue. All necessary right-of-way needed for these improvements will be dedicated at no cost to the City of Omaha. B. ORCHARD/NCDC agrees to install the required retaining wall on this site at its sole cost. This will conform with the City of Omaha Standards. The plans will be submitted and approved through the normal City of Omaha channels. C. ORCHARD/NCDC agrees to make the required street improvements to Orchard Avenue and 36th Street at its sole cost. The specific improvements include the widening of Orchard Avenue from 36th Street to 37th Street, and the widening of 36th Street north and south of Orchard Avenue. The plans for these improvements are attached as Exhibit "C" (prepared by Olmsted & Perry Consulting Engineers, Inc. for OPCE Project No. 94085, dated 5/10/95 and described as "Proposed 36th Street &_ 2 JUL-06-1995 10:44 FROM SCHMID MOONEY FREDERICK TO '4446140 P.'03 Orchard Avenue Widening Project"), and by this referenced incorporated herein. All necessary right-of-way needed for these improvements will be dedicated at no cost to the City of Omaha. D. ORCHARD/NCDC agrees to install the required storm sewer in Orchard Avenue (as shown on Exhibit"C" incorporated by this reference), together with the necessary storm sewer located on site and as shown on Exhibit"D" (Purdy & Slack Architects Storm Sewer Plan for Project No. 95023, dated 3/15/95 and identified as C1.4), attached hereto and by this reference incorporated herein. The foregoing installations will be accomplished at the sole cost of ORCHARD/NCDC. E. ORCHARD/NCDC agrees at its sole cost, to construct and maintain the required detention pond as shown on Exhibit "D" attached hereto and by this reference incorporated herein. F. Water and gas distribution mains located within dedicated street right-of- way shall be installed according to the terms of a contract executed between ORCHARD/NCDC and Metropolitan Utilities District (MUD). G. Underground electrical service to each lot, site or building in the development area shall be installed according to the terms of a contract between:. ORCHARD/NCDC and OPPD. H. ORCHARD/NCDC shall grade the property and install at its expense, all erosion and sediment control improvements in accordance with the Soil Erosion ,and Sediment Control Manual. IV. ORCHARD/NCDC agrees to commence the timely and orderly installation of the private improvements following execution of this AGREEMENT pursuant to appropriate provisions of the Omaha Municipal Code. The installation of such improvements shall be completed before a certificate of occupancy will be issued for the project. The installation of public improvements shall be undertaken in accordance with plans and specifications prepared by a registered professional engineer and subject to review and approval by the Public Works Department. V. ORCHARD/NCDC shall pay the entire cost of site improvements, as well as all charges by MUD for water and gas line installation and charges by OPPD for underground electrical service and overhead power installations Further, ORCHARD/NCDC agrees to furnish copies of agreements with the respective utilities to q 3 TOTAL P.03 • • cover the terms and conditions of this AGREEMENT prior to or at the time this AGREEMENT is presented to the City Council for approval. VI. Parking for the project shall be provided in accordance with the "parking plan" included on Exhibit "E" attached hereto (Purdy & Slack Architects Site & Grading Plans for Project No. 94018, dated 8/8/94 and identified as C1.1) attached hereto and by this reference made a part hereof. The parking will meet the minimum requirements of the provisions of the Omaha Municipal Code, Chapter 55, Article XIV, "Off Street Parking and Loading." VII. Landscaping for the project shall be installed in accordance with the "landscape plans" as set forth on Exhibit "Fl" (Purdy & Slack Architects Planting Plan for Project No. 94018, dated 8/8/94 and identified as C1.3R) and on Exhibit "F2" (Purdy & Slack Architects Landscaping Plan for Project No. 94018, dated 5/20/94 and identified as C1.3), both attached hereto and made a part hereof. The landscaping shall meet the minimum requirements of the provisions of the Omaha Municipal Code, Chapter 55, Article XIII, "Landscaping and Screening." VIII. Signage for the project may be installed in accordance with a "signing plan" as hereafter developed, but in any case shall meet the minimum requirements of the provisions of the Omaha Municipal Code, Chapter 55, Article XVIII, "Signs and Street Graphics". IX. Miscellaneous Provisions. A. The Mayor of the City of Omaha shall have the authority to administer this AGREEMENT on behalf of CITY and to exercise discretion with respect to those matters contained herein so long as the development proceeds in general accordance' with the development plan and with regard to those matters not fully determined at the date of this AGREEMENT. The provisions of this AGREEMENT shall run with the land in favor of and for the benefit of CITY and shall be binding upon present and all successor owners of the real estate described in Exhibit "A". Without limitation on the foregoing, New Community Development Corporation (NCDC) shall have the right to assign or otherwise transfer all of its rights and obligations hereunder to an entity sponsored by it for the purpose of owning, developing and improving that portion of the project site known and described as Lot 2, Burlington Square Replat 1. B. Neither CITY nor ORCHARD/NCDC shall, in the performance of this AGREEMENT, discriminate or permit discrimination in violation of federal or state laws or local ordinances because of race, color, sex, age, political or religious opinions or affiliations, national origin or disability. 0 JUL 07 '95 13:56 SCHMID MOONEY & FREDERICK P.2/3 C. Parties to this AGREEMENT shall conform with all existing and applicable ordinances, resolutions, state or federal laws and all existing and applicable rules and regulations. Nebraska law will govern the terms and the performance of this . AGREEMENT. D. Pursuant to Section 8.05 of the Home Rule Charter, no elected official or any officer or employee of CITY shall have a financial interest, direct or indirect, in any CITY agreement A violation of that Section with the knowledge of ORCHARD/NCDC, in addition to constituting employee malfeasance, shall render the agreement voidable by CITY and unilaterally terminated. E. No changes may be made to this AGREEMENT or any attachments thereto except in writing and agreed to by the parties.
