The attached proposed Resolution approves a subrecipient Agreement between the City of Omaha
and Family Service, a Nebraska Non-Profit Corporation,2101 South 42nd Street, Omaha,Nebraska
68105, for Fiscal Year 1996 Continuum of Care Supportive Housing Funding in the amount of
$352,080 to be used to construct'a domestic violence shelter for women and provide support
services.
In March of 1996, the U.S. Department of Housing and Urban Development (HUD) advertised
competition for an estimated$1.3 million in FY96 Continuum of Care for the Homeless Assistance
for the Omaha Metropolitan Area. The purpose of the funding is to support locally developed
continuum of care systems designed to meet the multi-faceted needs of homeless persons.
The City subsequently applied to HUD for Supportive Housing assistance for the Family Service
project and on January 22, 1997,the U. S. Department of Housing and Urban Development notified
the City of the selection of the Family Service for funding under the FY96 Supportive Housing
Program. The City Council previously approved the acceptance of this funding from HUD on June
24, 1997, by Resolution No. 1747.
The Family Service project is one of seven continuum of care projects approved by HUD. The City's
Continuum of Care projects will help provide a much needed comprehensive approach to develop
and implement housing and service delivery programs to help homeless individuals and families
move to permanent living and self-sufficiency to the extent possible.

AGREEMENT
THIS AGREEMENT is entered into by and between the City of Omaha, a Municipal
Corporation in Douglas county,Nebraska(sometimes hereinafter referred to as "City") and Family
Service, a Nebraska Non-Profit Corporation, 2101 South 42nd Street, Omaha, Nebraska 68105
(sometimes hereinafter referred to as "Contractor") on the terms, conditions and provisions as set
forth below:
RECITALS:
WHEREAS, the City of Omaha is a municipal corporation located in Douglas County,
Nebraska, and is organized and exists under the laws of the State of Nebraska, and is authorized and
empowered to exercise all powers conferred by the State constitution, laws, Home Rule Charter of
the City of Omaha, 1956,as amended, and local ordinances including,but not limited to, the power
to contract; and,
WHEREAS, on March 15, 1996,the U.S. Department of Housing and Urban Development
published in the Federal Register a Notice of Funding Availability for Continuum of Care Homeless
Assistance designed to help communities develop Continuum of Care systems to assist homeless
persons; and,
WHEREAS, the Omaha Area Continuum of Care for the Homeless is comprised of
organizations providing shelter and services to homeless individuals and families on an area-wide
basis; and,
WHEREAS,the City of Omaha undertook an inclusive community process for developing
and implementing a Continuum of Care strategy which included participation of the membership of
the Omaha Area Continuum of Care for the Homeless; and,
WHEREAS,the City of Omaha developed and submitted to the U.S.Department of Housing
and Urban Development a consolidated application with the Family Housing Advisory Services,the
Omaha YWCA, The Salvation Army, the Siena/Francis House, the Community Alliance
Rehabilitation Services, Family Service, and the Catholic Charities of the Archdiocese of Omaha,
Inc. for Continuum of Care Supportive Housing assistance; and,
WHEREAS,on January 22, 1997,the U.S. Department of Housing and Urban Development
notified the City of Omaha of the selection of its consolidated application for funding under the
Fiscal Year 1996 Supportive Housing Program; and,
WHEREAS, the U.S. Department of Housing and Urban Development has awarded
Supportive Housing funds in the amount of $352,080 to Family Service and has assigned
NE26B960206 as the grant agreement number for the Family Service project; and,
WHEREAS, Supportive Housing assistance for Omaha's Continuum of Care programs will
help provide a much needed comprehensive approach to develop and implement housing and service
delivery programs to help homeless individuals and families move to permanent living and self-
sufficiency to the extent possible.

NOW, THEREFORE, in consideration of these mutual covenants, Family Service and the
City of Omaha do hereby agree as follows:
SECTION 1. DEFINITIONS - ABBREVIATIONS
1.1 "City" shall mean-the City of Omaha, a Nebraska Municipal Corporation.
1.2 "Contractor" shall mean-Family Service,a non-profit corporation,2101 South 42nd
Street, Omaha,Nebraska 68105. (See Exhibit "A")
1.3 "Director" shall mean-the Planning Department Director of the City of Omaha.
1.4 "Recipient" shall mean-the City of Omaha.
1.5 "Subrecipient" shall mean - a public or private non-profit agency, authority or
organization receiving Continuum of Care Homeless Assistance Supportive Housing
funds to undertake eligible activities. In this Agreement, the subrecipient is Family
Service.
1.6 "HUD" shall mean-the U.S. Department of Housing and Urban Development.
1.7 "Supportive Housing Program(SHP)" shall mean-the program conducted under the
provisions of Title IV, Subtitle C, of the Stewart B. McKinney Homeless Assistance
Act (McKinney Act), as amended, (42 USC 11381) and the Code of Federal
Regulations (24 CFR Part 583).
1.8 "SHP Funds" shall mean - that portion of the Supportive Housing Program Grant
awarded to the City as may be available during Program Years 1997, 1998 and 1999
for the use specified herein, in an amount not to exceed $352,080 subject to the
terms, conditions, and requirements of said Grant.
1.9 "Homeless Person" shall mean- an individual or family who lacks a fixed, regular,
and adequate nighttime residence; and an individual or family who has a primary
nighttime residence that is: 1) a supervised publicly or privately operated shelter
designed to provide temporary living accommodations (including welfare hotels,
congregate shelters, and transitional housing for the mentally ill), 2) an institution
that provides a temporary residence for individuals intended to be institutionalized,
or 3) a public or private place not designed for, or ordinarily used as, a regular
sleeping accommodation for human beings.
1.10 "ANCHoR" shall mean - Automated National Client-specific Homeless Services
Recording System continuum of care information system for homeless recovery
developed by the University of Pennsylvania that standardizes the assessment of
consumer needs, creates individualized service plans, and records the use of housing
and services.

1.11 "Application" shall mean-the Family Service application submission, on the basis
of which the SHP Funds were approved by HUD, including any certifications and
assurances and any information or documentation required to meet any SHP Funds
conditions. The "Application" is contained in Exhibit "B", incorporated herein by
this reference.
1.12 "Continuum of Care" shall mean - the coordinated and responsive network of
programs and services providing emergency,transitional, and supportive shelter and
supportive services to the Omaha area's homeless individuals and families, or near
homeless individuals and families.
1.13 "Property" shall mean - Lot 3, Pelton's Replat, a replat of Pelton's Addition in SW
1/4, Sec. 23, T-14-N, R13E 6th P.M., Sarpy County,Nebraska (commonly known
as 203 Galvin Road North)
1.14 "Grant" shall mean - non-repayable SHP funds in the amount of$352,080, made
subject to the terms, conditions, and provisions of the grant agreement under which
grant is made.
1.15 "Construction Work" shall mean - all construction work provided for in the
construction contract and as may be required hereunder.
1.16 "Construction Contract" shall mean -the ensuing contract for all construction work
to be performed upon the Property as may be required hereunder, or deemed
necessary or advisable and occasioned by said work.
1.17 "Progress Payment" shall mean-that portion of the total construction contract paid
in one or more disbursements, based upon the value of the construction,
administrative or professional services work completed at the time the payment
request is made.
SECTION 2. DUTIES AND CONDITIONS OF CITY FINANCING
2.1 Subject to and conditioned upon actual receipt of same, the City agrees to make
available to the Contractor, in the form of a grant, Three Hundred Fifty-Two
Thousand Eighty Dollars ($352,080) in SHP Funds, Fund NE26B960206, for the
purposes set forth in this Agreement, and as detailed in Exhibit "C" Cope of Work,
incorporated herein by this reference.
2.1.1 City funding pursuant to this Section shall be contingent upon receipt of and
subject to the availability of SHP funds in amounts adequate to meet any
contractual obligations in force upon the date of execution of the Agreement
as well as this proposed obligation. Should adequate funding not be
available,the City shall notify the Contractor as soon as reasonably possible.
At this time, the responsibilities of the Contractor under Section 3 of this
•
• Agreement shall be released,the provisions of Section 5,Paragraph 5.10 will
be exercised and the Agreement will be terminated.
2.1.2 Reimbursement shall be on a monthly basis for the attached budget line item
expenditures. Payments shall be made on the basis of monthly requests for
payment and shall be reimbursements for actual expenditures. The Annual
Operating Budget is attached as Exhibit "D".
2.1.3 Monthly billing shall be submitted to the Director by Family Service with the
monthly progress report. The monthly bill and progress report is due not
later than fifteen(15) days following each monthly reporting period.
2.1.4 The City shall review and monitor the required monthly reports that identify
the progress/accomplishments of Family Service on the activities included in
this Agreement and on contracts entered into with third parties pursuant
thereto.
2.1.5 The City shall prepare monthly payment vouchers for Family Service based
upon the Contractor's monthly progress report and request for payment.
2.1.6 The City shall retain five percent (5%) of the SHP Funds, or Sixteen
Thousand Seven Hundred Sixty-Six Dollars ($16,766), to pay the cost of
eligible administrative activities it may incur.
2.1.7 The Family Service shall use the remaining Three Hundred Thirty-Five
Thousand Three Hundred Fourteen Dollars($335,314) in SHP Funds for the
purposes set forth in this Agreement(See Exhibit "C" Scope of Work).
2.1.8 No financial assistance provided pursuant to this Agreement may be used to
replace State or local funds previously used, or designated for use,to assist
homeless persons.
2.1.9 The City may deobligate the remaining amounts for services in any year if
the actual cost of services for that year is less than the total cost anticipated
in the Application.
2.2 Funds paying for contractual work or purchases shall be payable in consideration
with the construction progress payment schedule, in accordance with the Director's
prior approval. Performance bonds and insurance, required by the Director, shall
name the City as an additional insured.
2.3 In no event shall the City assume any obligation to make any or all of the above
referenced funding available,nor shall the City incur any liability hereunder, unless
and until the Contractor has submitted for and received the approval of the Director
of all of the following:

• 2.3.1 A duly executed contract for Construction Work; and,
2.3.2 Performance and Labor Material Bonds and/or Irrevocable Letters of Credit,
in force for one year following the completion of the Construction Work,
from the General Contractor and all subcontractors in an aggregate amount
of the contract bid. The Bonds and/or Letters of Credit shall be in favor of
the City and shall be submitted for review and approval by the Director. The
City reserves the right to reject the Letters of Credit and choice of surety for
the Bonds.
2.3.3 Evidence of compliance with determinations and recommendations of the
City's Contract Compliance Officer in accordance with Section 10-195
through 10-197 of the Omaha Municipal Code.
2.4 The City does hereby agree to make progress payments and the final payment, as
may be authorized by the Director or his designated representative upon receipt,
verification and approval of an AIA Document G702 "Application and Certification
for Payment". A 10% retainage will be held on each progress payment and on the
final payment. A final payment will not be made until all punch list items have been
corrected to the satisfaction of the Family Service and the City of Omaha
rehabilitation specialist assigned to this project, The Application and Certificate for
Payment,AIA G702 shall be prepared by the architect and approved by the Family
Service and the City rehabilitation specialist before being submitted to the Director
for payment.
2.5 No payments shall be made for any work, labor,material or expense incurred which
the Director deems to be:
2.5.1 Unacceptable or substandard; or,
•
2.5.2 Not in accordance with this Agreement or contract as approved for this
project; or,
2.5.3 Not in conformance with applicable State, Federal, and/or local laws,
including,but not limited to,the building,plumbing and/or electrical codes;
or,
2.5.4 Not in conformance with the working drawings and/or specifications as
approved.
2.6 In no event shall the City become obligated to make any payments for any
acquisition, relocation, work performed, materials furnished, expense incurred, or
any other expenditure of any kind whatsoever, unless same is expressly included in
this Agreement.

2.7 After completion of construction, the property must comply with all appropriate
jurisdictional Municipal Codes and Ordinances.
2.8 In the event the Property, including all improvements thereon, becomes
uninhabitable by reason of fire or other calamity and if the premises is so destroyed
or damaged as to require the Property to be abandoned,the Family Service agrees to
apply the net insurance proceeds to repay the grant.
SECTION 3. DUTIES AND RESPONSIBILITIES OF THE CONTRACTOR
3.1 The Contractor shall use the SHP Funds to secure and operate a domestic abuse
shelter of five-bed capacity capable of housing up to fifteen individuals and to
provide appropriate support services to homeless families and individuals who have
experienced domestic abuse in accordance with Exhibit "C", Scope of Work. This
shall be accomplished by:
3.1.1 Purchasing the property and constructing a new facility designed to house
homeless families and individuals;
3.1.2 Expanding the current Family Service Safe Haven Domestic Abuse program
from a capacity of three bedrooms with ten beds to a capacity of five
bedrooms with fifteen beds; and,
3.1.3 Providing domestic abuse counseling and support services to all household
members participating the Safe Haven Domestic Abuse Program including
any spousal abusers who may not be residing in the shelter facility developed
pursuant to this Agreement.
3.2 The Contractor shall submit an operating budget by line item indicating all proposed
expenditures and sources of revenue for the 1997 SHP year(See Exhibit "D").
3.3 The Contractor shall submit monthly progress report to the Director delineating
Family Service's accomplishments for the previous 30 day period on the specific
activities undertaken pursuant to this Agreement.
3.4 The Contractor shall submit monthly fmancial reports to the Director delineating the
revenue and line item expenditures for Contractors services undertaken pursuant to
this Agreement. In addition, a monthly check register is to be submitted listing each
expenditure by check number,payee, date and amount.
3.5 The Contractor shall comply with all provisions and regulations of the Supportive
Housing Program and have an annual audit completed in compliance with OMB
Circular A-133. A copy of the audit shall be provided to the Director. OMB Circular
A-133 is attached to this Agreement as Exhibit "E".

3.6 The Contractor specifically hereby states, agrees and certifies that it is familiar with
the limited purpose set forth in the Federal Laws, Rules and Regulations, and in the
laws of the State of Nebraska, for which personal information requested may be used
and that the information received will be used solely for those limited purposes and
not to harass, degrade or humiliate any person. The information released shall be
used solely for the limited purpose stated, and the Contractor further agrees to
indemnify and hold harmless the City of Omaha for any liability arising out of the
improper use by the contractor of information provided.
3.7 The Contractor shall maintain such records and accounts, including property,
personnel and financial records, as are deemed necessary by the City to assure a
proper accounting for all expenses. The Comptroller General of the United States of
America or any duly authorized representatives, or any duly authorized
representatives of the City of Omaha, as approved by the Planning Director, shall
have access to any books,documents,papers,records and accounts of the Contractor
or subcontractors which are directly pertinent to this undertaking for the purpose of
making audit, examination, excerpts and transcriptions. Such records and accounts
shall be retained for five years from the contract period completion. Any contract
entered into by the Contractor with any Subcontractors shall include this Section to
ensure said access.
3.7.1 The Contractor shall keep any records and make any reports (including those
pertaining to race,ethnicity,gender,and disability status data)that HUD may
require within the time frame required.
3.8 The Contractor shall provide an annual assurance,in writing to the Director, for each
year SHP Funds are received that the project will be operated for the purpose
specified in the Application.
3.9 The Contractor shall conduct an ongoing assessment of the supportive services
required by the residents of projects and the availability of such services, and make
adjustments as appropriate.
3.10 The Contractor shall provide for the consultation and participation of not less than
one homeless person or formerly homeless person on the board of directors or an
equivalent policy making entity of the Contractor, to the extent that such entity
considers and makes policies and decisions regarding any project, services, or
assistance provided pursuant to this Agreement.
3.10.1 This requirement may be waived, in writing by HUD, if the Contractor is
unable to meet it and presents an acceptable plan to otherwise consult with
homeless or formerly homeless persons in considering and making such
policies and decisions.

3.11 The Contractor must, to the maximum extent practicable, involve homeless
individuals and families, through employment, volunteer services, or otherwise, in
constructing,rehabilitating, maintaining, and operating the project and in providing
supportive services for the project.
3.12 The Contractor must comply with Section 504 of the Rehabilitation Act of 1973 in
the provision of reasonable accommodation to prospective clients and must adopt
procedures to make available information on the existence and locations of facilities
and services that are accessible to persons with a handicap and maintain evidence of
implementation of the procedures.
3.13 The Contractor shall provide information to and participate in the ANCHoR System
as defined in Section 1.10.
SECTION 4. TERM OF THE AGREEMENT
This Agreement shall be in full force and effect from July 15, 1997 through and including
July 14, 2000.
SECTION 5. PROVISIONS OF THE AGREEMENT
5.1 Equal Employment Opportunity/Section 3 Clause. Attached hereto as Exhibits "E"
and "F", and made a part hereof by this reference, are the equal employment
provisions of this Agreement.
5.2 Non-Discrimination. The Contractor shall not,in the performance of this Agreement,
discriminate or permit discrimination in violation of federal or state laws or local
ordinances because of race, color, handicap, familial status, sex, age, political or
religious opinions, affiliations or national origin.
5.3 Captions. Captions used in this Agreement are for convenience and are not used in
the construction of this Agreement.
5.4 Applicable Law. Parties to this Agreement shall conform with all existing and
applicable City ordinances,resolutions, state laws, federal laws, and all existing and
applicable rules and regulations. Nebraska law will govern the terms and the
performance under this Agreement.
5.5 Interest of the City. Pursuant to Section 8.05 of the Home Rule Charter, no elected
official or any officer or employee of the City shall have a financial interest, direct
or indirect,in any City agreement. Any violation of this section with the knowledge
of the person or corporation contracting with the City shall render the Agreement
voidable by the Mayor or Council.
5.6 Merger. This Agreement shall not be merged into any other oral or written
agreement, lease or deed of any type.

5.7 Modification. This Agreement contains the entire agreement of the parties. No
representations were made or relied upon by either party other than those that are
expressly set forth herein. No agent,employee,or other representative of either party
is empowered to alter any of the terms herein unless done in writing and signed by
an authorized officer of the respective parties, pursuant to Section 10-142 of the
Omaha Municipal Code.
5.8 Assignment. The Contractor may not assign its rights or obligations under this
Agreement without the express prior written consent of the City.
5.9 Strict Compliance. All provisions of this Agreement and each and every document
that shall be attached shall be strictly complied with as written, and no substitution •
or change shall be made except upon written direction from authorized
representatives of the parties.
5.10 Termination. This Agreement may be terminated by either party upon thirty (30)
days written notice to the other party. Said notice shall be given when received by
certified mail at the other parry's usual place of business. This Agreement may also
be suspended or terminated in accordance with 24 CFR 85.43, Enforcement or 24
CFR 85.44, Termination for Convenience (Exhibit "G"). Upon termination of this
Agreement all funds and interest in any account hereunder shall become the property
of the City and shall be returned to the City.
5.11 Reversion of Assets. Upon the expiration of this Agreement the Contractor shall
transfer to the City of Omaha any SHP funds on hand at the time of expiration and
any accounts receivable attributable to the use of SHP funds. Additionally, the
Contractor shall ensure that any real property under the Contractor's control that was
acquired or improved in whole or in part with SHP funds in excess of$25,000 is
either:
(i) Used to meet one of the national objectives in 24 CFR 570.208 until
five years after expiration of the Agreement, or such longer period of
time as determined appropriate by the City; or,
(ii) Is disposed of in a manner which results in the City being reimbursed
in the amount of the current fair market value of the property less any
portion thereof attributable to expenditures of non-SHP funds for
acquisition of,or improvement to,the property. Such reimbursement
is not required after the period of time specified in accordance with
(i) above.
5.12 Indemnification. The Contractor shall indemnify and hold the City harmless from
and against: (1)any and all claims arising from contracts between the Contractor and
third parties made to effectuate the purposes of this Agreement; and, (2) any and all
claims, liabilities or damages arising from the preparation or presentation of any of
the work covered by this Agreement.

5.13 Nebraska Law. This Agreement shall be a contract made under and governed by the
laws of the State of Nebraska.
5.14 Unenforceable Provisions. Any provision of this Agreement which is prohibited or
unenforceable in any jurisdiction shall, as to such jurisdiction,be ineffective to the
extent of such prohibition of enforceability without invalidating the remaining
provisions hereof or affecting the validity or enforceability of such provision in any
other jurisdiction.
5.15 Disclosure of Lobbying. The Contractor shall certify and disclose,to the best of its
knowledge and belief, that:
(a) No Federal appropriated funds have been paid or will be paid,by or on behalf
of the Contractor,to any person for influencing or attempting to influence an
officer or employee of Congress, or an employee of a Member of Congress
in connection with the awarding of any Federal contract, the making of any
Federal grant, the making of any Federal loan, the entering into of any
cooperative agreement,and the extension,continuation,renewal, amendment
or modification of any Federal contract, grant, loan, or cooperative
agreement.
(b) If any funds other than Federal appropriated funds have been paid or will be
paid to any person for influencing or attempting to influence an officer or
employee of any agency, a Member of Congress, an officer or employee of
Congress, or an employee of a Member of Congress in connection with this
Federal contract, grant, loan, or cooperative agreement, the Contractor shall
complete and submit Standard Form-LLL, "Disclosure Form to Report
Lobbying", in accordance with its instructions.
(c) The language of this certification be included in the award documents for all
subawards at all tiers,(including subcontracts, subgrants, and contracts under
grants, loans, and cooperative agreements) and that all subrecipients shall
certify and disclose accordingly.
5.16 Drug-Free Workplace. The Contractor is subject to the requirements of Sections
5151-5160 of the Drug-Free Workplace Act of 1988 and HUD's implementing
regulations at 24 CFR Part 24 (See Exhibit "K").
5.17 Use of Debarred, Suspended, or Ineligible Contractors. The provisions of 24 CFR
Part 24 shall apply to the employment, engagement of services, awarding of
contracts, or funding of any contractors or subcontractors during any period of
debarment, suspension, or placement in ineligibility status (See Exhibit "L").

SECTION 6. AUTHORIZED REPRESENTATIVES
In further consideration of the mutual covenants herein contained,the parties hereto expressly
agree that for purposes of notice, including legal service of process, during the term of this
Agreement,and for the period of any applicable statute or limitations thereafter,the following named
individuals shall be authorized representatives of the parties:

ARTICLES AND AGREEMENT OF CONSOLIDATION AND MERGER OF
FAMILY SERVICE OF OMAHA
AND
CHILD WELFARE ASSOCIATION OF OMAHA
KNOW ALL MEN BY THESE PRESENTS;
That, we, the undersigned, all residents of Omaha, .
Dcnglas County, Nebraska, and constituting a majority of each
of the respective Boards of Directors and Trustees of Family
Service of Omaha and Child Welfare Association of Omaha, for
the purpose of merging said corporations into a single corporation
to be known as FAMILY AND CHILD SERVICE OF OMAHA and pursuant to
the Statutes. of the State of Nebraska, hereby enter into the
following agreement and articles :
ARTICLE I
The name of said merged and consolidated corporation
shall be "FAMILY AND CHILD SERVICE OF OMAHA", and its principal
Omaha Loan & Bldg. Assn . Bldg. ,
place of business shall be .in/Omaha, Nebraska.
ARTICLE II
The duration of the corporation shall be until the 31st
day of December, 1999 unless sooner terminated or extended by
action of its members; its resident agent, Curtis Coe, same address.

The affairs of said corporation shall be managed and
. conducted by a Board of Trustees to be known as Directors . The
term of office for board members shall be three years, with
eligibility for re-election for a second term of three years,

following which an individual must remain off the board for at
least one year. Beginning with the annual meeting in January
of 1955, the board shall consist of twenty-four members, eight
:of whose terms shall expire in one year, eight in two years, and
eight in three years . In order to avail themselves of the
services of the board members of the two merging corporations
during the first three years of merger, the members of the
association at the -annual meeting in January, 1952 may elect a
board consisting of not more than forty-one members, but not less
than twenty-four members; at the annual meeting in January, 1953
a board consisting of not more than thirty-six members and not
less than twenty-four members; and at the annual meeting in
January, 1954 a board consisting of not more than twenty-seven
members nor less than twenty-four members. At no annual meeting
shall more than eight be elected to three-year terms. At any
meeting of the board a quorum shall consist of twelve members.
The Directors shall be elected by the membership at the annual
meeting.
ARTICLE IV
'The annual meeting of the corporation shall be held on
the third Thursday in .January of each year unless for good cause
it is determined by. the board to postpone such meeting for a
reasonable period of time. Notice of the annual meeting shall
be mailed to each member at least seven days prior to the date
of such meeting. Directors shall be elected at such annual
meeting except that in case of a vacancy in the board caused by
death, resignation or removal, the board may fill such vacancy
until the next annual meeting of the members.
ARTICLE V
The Board of Directors shall, immediately after the
annual meeting of the membership, meet for the purpose of
electing from its number a President, First Vice President,
Second Vice President, Secretary, and Treasurer, except that
the Treasurer may be retained as an officer but not a board
member if elected as an officer for any year he is not eligible
for membership on the board. Such officers shall serve for one
year and until their successors are elected and qualified, the
respective duties of such officers to be prescribed in the By-Laws
which may be promulgated from time to time by the board. To
promulgate or amend By-Laws shall require a majority vote of the
entire board as then constituted. The board may appoint such
other officers as may from time to time be deemed desirable and
describe their duties, and all such appointed officers, including
the executive secretary, shall hold office during the pleasure
of the board.
The board shall meet regularly on the third Thursday of
each month, except for the months of July and August. Special
meetings may be called as provided in the By-Laws. All board
members and officers except the executive secretary designated by
the board shall serve without compensation.
All action by the membership and by the board shall be
by majority vote of those present and voting subject to the

requirement that in the case of the board a quorum must be
present. The Board of Directors shall constitute and appoint
such committees as may be deemed necessary to execute effectively.
its program and directions. Among others, there shall be an
executive committee, consisting of the officers elected by the
board and board members serving as chairmen of all committees.
The executive committee shall exercise the powers and functions
of the board in the interim of meetings of the board or in the
absence of a quorum of the board or upon special call of the
president, all action subject to approval of the board. A simple
majority of the executive committee shall constitute a quorum.
ARTICLE VI
The membership of the corporation shall comprise any and
all persons who shall evince their interest in the work and
their desire to be members of the "Family and Child Service of
Omaha1P and who shall pay annually the membership fee fixed from
time to time by the board of the corporation, said membership fee,
until otherwise determined, to be a uniform and nominal membership
fee of 01.00.
ARTICLE VII
The objects and purposes of the corporation shall be:
1. To operate and maintain a nonprofit, charitable,
social agency, having as its primary purpose the building up of
a normal family life in those homes where it has not previously
existed or has broken down and to preserve it where a breakdown
is threatened; to restore disadvantaged families and individuals

to self-support and a normal status through investigation,
planning, consultation, supervision and any form of requisite
help by way of relief, employment, medical care, education and
the doing of any and all other things usually comprehended in
the program of family and child welfare or case work agencies.
2. To undertake the care and management of minor
children and to act as guardian-for the person or estate of any
such minor child or children pursuant to the appointment by a
court of competent jurisdiction, in accordance with the
provisions. of the laws of this state°
3. To cooperate with any and all 'other recognized and
responsible social agencies in the community, to the end of
relieving and preventing unsocial or antisocial conditions in
the community.
Li.. To conduct a Travelerst Aid Division for the
assistance of needy or distressed travelers.
5. The corporation shall have the right to acquire real
and personal property by purchase, lease, gift, devise or other-
wise and to the extent that may be convenient or necessary to and.
for the accomplishment of any of its objects, to hold such
property subject only to such restrictions and limitations as
may be imposed by law or by the terms of the gift or devise with
the right to alienate, encumber or dispose of the same property
or any part thereof.
ARTICLE VIII
The surplus funds of the corporation, including permanent
maintenance funds and trust and endowment funds of the corporation

may be invested in any securities or property authorized to
a trustee under the Statutes of this state as from time to time
•
provided, except that they may be also invested in the shares
of so-called investment trusts which have been in existence
•
for at least fifteen years and for the last fifteen years in
each year paid dividends on such shares at least annually, and
provided further that up to 50% .but not in excess thereof of
such funds may be invested in permitted common stocks and
investment trust shares combined. Such investments may be
altered from time 'to time.
ARTICLE IX
• All of the assets and property, real, personal and mixed,
of every character and description, belonging to Family Service
of Omaha or to which it is entitled and Child Welfare Association
•
of Omaha or to which it may be entitled, shall pass to and vest
in Family and Child Service of Omaha upon its legal organization,
including. all endowments and securities.
ARTICLE X
• The Articles of the corporation, as set forth herein,
may be amended in the following manner: An amendment shall first
be proposed and presented at either a regular g meeting of the
board or a special meeting called pursuant to the By-Laws and
thereafter must be approved at either a subsequent regular or
subsequent special meeting of the board and thereafter must be
approved by a majority of the members present and voting at an
annual meeting or at a special meeting called for that purpose

provided in the By-Laws.

Pursuant to the provisions of Sections 21-1932, et
8eq. , of the Nebraska Nonprofit Corporation Act, the undersigned
corporation adopts the following Articles of Amendment to its
Articles of Incorporation, said Articles of Amendment to become
effective March 28, 1989.
I .
The name of the corporation is FAMILY SERVICE.
II .
Article VII of the Articles of Incorporation of the
corporation is hereby deleted in its entirety and in lieu thereof
the following is substituted:
"ARTICLE VII .
MANAGEMENT - BOARD OF DIRECTORS
The affairs of the Corporation shall be conducted
by a Board of Directors, which shall have and shall
exercise all of the powers of the Corporation. The
Board of Directors shall consist of not more than
twenty (20) members nor less than ten ( 10) members,
approximately one-third ( 1/3 ) of whom shall be elected
in each year for a term of three (3 ) years by a
majority of the Directors in office. No individual

A. PROJECT NARRATIVE
1. The project's purpose:
Family Service is a nonprofit, human service organization that has served the Omaha
metropolitan area since 1875. The agency's mission is to strengthen and enhance the quality
of family life and the community. In keeping with this mission, Family Service established
the Domestic Abuse Program in 1979 to provide an array of comprehensive services to
domestic violence victims. Due to the overwhelmin seed for these services, in 1994 Family
Service collaborated with the metro area and surrounding communities and established a
domestic abuse shelter now known as the SAFE MAVEN, which is strategically located in the
Bellevue/Sarpy County area. This is a desperately needed service as it is the only program
which addresses this population in the Sarpy and Cass County area. This shelter also serves
the overflow of nearly 2000 victims of abuse who were turned away the previous year from
the Omaha metro area's only other domestic violence shelter.
This shelter residence which is currently being leased, has the capacity to serve 10 women
and children at any given time (3 bedrooms). Clients may stay anywhere from one day to six
weeks. This service is complimented by:
• 24 hour crisis line
• information and referral
• food assistance for victims residing in shelter care
• transportation to shelter and other needed resources
• financial assistance
• legal advocacy and protection order assistance
• support for men and women
• children's groups
Community gap to be filled Family Service is seeking grant assistance for the purchase of a
facility which will increase the number of individuals served, and to expand the delivery of
support services so that families will be better prepared in transitioning to permanent housing
and thus, be more successful.
Purchasing a facility in this same community to serve as a permanent location for the Safe
Haven Shelter: Purchasing a new facility will allow the Safe Haven Shelter to expand the
number of families and children being served. Families are being turned away because there
are no beds available, the parent is unwilling to "split up" the children into separate rooms or
the opening that is available can not accommodate a parent with many children. (In 1995, 77
women and 172 children were placed on a waiting list for services). Moving the location of
the existing facility is a high priority. This current residence is located in a remote
neighborhood that is isolated from public transportation, community resources, places of
potential employment, etc. The relocation of this facility would enhance client access and
empower them to utilize resources while developing skills to be more independent and self
{ sufficient.

Expanding the number of staff which creates new services for participants: Family Service
plans to expand services by hiring and employing two FTE masters level clinical social
workers. The current staffing pattern for the Safe Haven Shelter consists of one case worker,
four program aides, and several community volunteers. Many of the adults and children
coming into this program are in crisis stemming from a traumatic experience, have a very
limited support system and are in need of more intensive interventions to begin addressing
mental health issues in addition to the obvious need for a safe living environment. With
master's level clinical social workers the shelter will be able to expand services to include an
initial clinical assessment, which can be completed with the client and children so that
interventions/services could be initiated immediately to provide assistance and support.
Having this position would allow the Safe Haven Shelter to fill this gap in staffing and
programming which, in turn, would allow for families to be more successful when their safety
and crisis has been managed.
These positions would also focus on interventions/treatment serving the perpetrator/abuser.
At this time there are no services in the greater Omaha community that coordinate the shelter
services of women and children and the intervention/treatment services of the alleged abuser.
With an innovative treatment approach, as detailed later, Family Service breaks into a new
arena for the treatment of domestic abuse in families.
This also will allow Family Service to provide education/ training and outreach within the
community and across the state of Nebraska for the prevention of domestic violence. This
portion of the domestic abuse services would include facilitating a series of live skits
presented to teens in school classrooms, providing education materials to communities,
-- presentations to community groups, legal advocates, social services professionals, etc.
2. Population to be served:
Women and children leaving their homes where domestic violence is present will be the
primary target for services within the shelter. The frequency and severity of domestic
violence is forcing battered women to flee their homes preferring to risk homelessness rather
than their lives and the lives of their children. Each year, millions of American women and
children are subjected to physical, emotional, and sexual abuse regardless of their race,
income level, education level, or religious beliefs. It is obvious that domestic violence is a
serious problem of epidemic proportions within our society and is a major contributor to
homelessness in the Omaha Metro and surrounding communities.
Local statistics coincide with national figures which exhibit that battered women and their
children compose a significant proportion of occupants of homeless shelters. According to a
1990 report from the Schnider Foundation, 50% of all homeless women and children in the
United States are fleeing domestic violence.
According to the Surgeon General, domestic violence is the number one cause of injury and
the leading non-disease related cause of death among women. It is estimated that domestic
violence will occur at least once in two-thirds of all marriages and three to four million
American women will be battered each year by their husbands or partners.

Annually, over one million women seek medical treatment for domestic violence related
injuries, and 21% of all women treated for injuries in hospital emergency rooms receive their
injuries as a result of domestic violence. The FBI reports that 30% of all homicide victims
are killed by their husbands or partners. Domestic violence not only results in severe
emotional distress and physical injuries, but can also result in death. While battered women
are the obvious victims of domestic violent crimes, their children are the unseen victims. In
homes where domestic violence occurs, children are physically abused or seriously neglected
at a rate 1500% higher than the national average. In Nebraska, 2,356 children came to
domestic/sexual assault programs and 167 of them had been sexually abused. Of the 3,752
children reported living in violent homes, 83% directly witnessed the abuse.
The plan to reach this sub-population will be the'24 hour crisis line currently in place. From
1994 through 1995, Family Service saw a 95% increase in the utilization of this resource,
totaling 3,391 calls. The second sub-group of clients receiving supportive services will be the
perpetrator's of domestic abuse. A large proportion of women and children in domestic abuse
shelter care leave the facility returning to the same environment in which the abuse occurred.
"Things are better now"; "He has changed"; or " I'm stronger now, I know what to do", are
common statements made by women who are returning to their spouse or partner.
Frequently, no services were obtained or implemented with the abuser, leaving the situation
very tenuous. Family Service plans to "invite" the abuser to participate in treatment services
when the likelihood of reunification to the family home is great. Obviously, the safety of the
spouse and children will be the highest priority. This will likely increase the potential of
success and decrease the need for future shelter care services. This will also allow for
"follow-up" or "after care" services, whereby the therapist will work ongoing with the family
through individual, couple, family, and/or group therapy, even after they have left the shelter.
3. The housing where participants will reside:
The facility to be purchased will consist of a residential facility in the Bellevue/Sarpy County
area. This facility will be in close proximity to public transportation, potential employment
opportunities. The location of the facility will be kept confidential for the safety of the
participants. In order to accommodate the expansion of service, the size of the facility will
need to be approximately 2500 to 3000 square feet. The facility to be purchased will be a
single dwelling home that will consist of four to five bedrooms, a large meeting/living area,
community kitchen/laundry facilities, three to four bathrooms, two offices for staff
meetings/private sessions with participants, a rear entrance with privacy fence, and a safe play
area for the children. It will be equipped to manage safety with an alarm system, will meet
fire safety standards, and will be handicapped accessible.
Family Service will develop new alignments with the neighborhood, once relocated.
Neighbors of the existing (leased) facility send greeting cards during the holiday seasons and
are openly pleasant and protective of the participants. The legal/police divisions are as
equally supportive in their responses to our requests for police support/escorts. This
relationship with the community will be imparitive to the success of services.
This facility, as stated earlier, will allow for the expansion of the number of participants being
served. Individuals and/or families may stay in the facility for one day to six weeks. The
number of individuals to be served at any one time will be increased from 10 to 15.

assignment of "chores" within the facility, and will be actively involved in preparation of
meals and the planning of activities.
4. The supportive services the project participants will receive:
Family Service will provide the following supportive services within its Domestic Abuse
Program:
24 Hour Crisis Line: A crisis line is available to the community for crisis intervention,
information and referrals. Clients are provided with information to assist in resolving their
immediate crisis, are provided with options available and safety strategies, and are given
information regarding domestic violence dynamics. In addition, family and friends of clients
receive information on how to support those who are in violent relationships. This crisis line
also acts as an access point for all domestic abuse services. Many community resource
referrals are provided to individuals calling the crisis line including but not limited to the
YWCA, area homeless and domestic violence shelters, area housing authorities, Greater
Omaha Community Action, Together Incorporated, and Nebraska Department of Social
Services.
Prevention/Outreach: In 1995, the domestic abuse program provided seventy-five educational
presentations for 1683 individuals in Cass, Sarpy, and Douglas counties. Physicians, youth,
and community organizations were the primary target groups for the presentations. Youth
. educational presentations include a skit performance coupled with small group discussions in
area high schools. The skits depict violent and non-violent dating relationships, and assertive
verses aggressive ways to react to abusive situations. The goal of this project is to educate
teenagers about common perpetrator characteristics, options available, domestic violence
dynamics, and how to help a friend who is in a violent relationship. Students and teachers
are given our crisis line number and other supportive materials at the conclusion of the
presentations.
Intake and Assessment An assessment of each individual wanting to reside in the Safe
Haven Shelter is completed by phone. The initial phone assessment evaluates the current
crisis situation, safety level, medical and transportation needs. Upon entering the Safe Haven
Shelter the client completes an intake assessment that examines the history and severity of the
abuse, alcohol and drug issues, and present/ past law enforcement involvement. It also
assesses the concerns related to the children. During the intake process a behavior assessment
is completed to evaluate the frequency, duration and the type of abuse. Within 24 hours after
a client enters the facility, goal planning is completed. During this process, the caseworker
and the client assess family support systems, skills and abilities, education, employment and
housing needs. As a part of Omaha's continuum of care, Family Service intends to utilize the
intake assessment case planning and potential evaluation advantages offered by the "Anchor"
information system.
Safe Haven Shelter Support Services: Once the intake process is completed, the caseworker
facilitates the case plan of each individual. Participants are educated on domestic violence
issues individually and in a support group setting. All participants also attend a life skills

training program twice a week. Life skills training educates women on various issues to help
them become more self sufficient. Topics discussed include nutrition, stress and time
management, parenting, decision making, and health issues. In addition to the groups
available to women in the Safe Haven Shelter, Family Service offers a children's group for
children living in violent homes. Information and referrals on social services, transitional and
permanent housing, and other services available are provided to residents on an individual
basis.
Permanent Housing: Family Service Case Workers make referrals to all city, county, and state
housing authorities for subsidized housing. Sources for affordable housing are also available
for capable participants. Family Service also provides used furniture, rent and utility
assistance within our capability.
Family Service will expand its supportive services to include the following new services:
Clinical Assessment/Treatment With the staffing of two Clinical Social Workers, mental
health/mental status exam/drug and alcohol screening will be completed with each participant;
assisting in developing an achievable Case Plan for shelter residents and offer mental health
services immediately and through their stay. In addition, after-care sessions and support
groups will be facilitated to provide ongoing support to the participant and their children.
The Clinical Social Workers will also provide clinical services to the perpetrator and family
members. A clinical assessment will be completed as described above, and service
implementation will begin concurrent to the services offered to the spouse and children.
These services will be provided in a remote location (alternate office) to assure the safety of
all parties. This support will be complemented by educational groups, marital and family
therapy as indicated. The focus of this intervention will be to engage the abusive spouse in
the therapeutic process, to change in the dynamics of the abuse and provide an opportunity to
be accountable.

This service would be provided in a safe location at one of the Family Service satellite
offices. Providing this level of intervention obviously requires that the initial safety of the
woman/children has been managed, and there is an ongoing assessment of the potential risk
and safety plan in place. The sequencing of these interventions will be made on an individual
basis. To reiterate, the safety of all parties will be the overriding priority.
The length of stay in this program will vary. Participants entering the Safe Haven Shelter
will have access to case management and counseling while in the facility, which ranges from
one day to six weeks. The counseling services proposed will be available as needed to assist
in the safety of the family home and/or until treatment goals have been achieved.
Prevention/Outreach: In addition to the clinical functions, these positions will have outreach
responsibilities. These will include providing services in Cass, Sarpy, and Douglas Counties
for domestic victims, their children and abusers. The Domestic Abuse Program will increase
the number of educational presentations to 100 for 2000 individuals.
As mentioned previously, the Domestic Abuse Program has developed a skit-based
presentation for high school youth. As early as Fall 1996, the skits will be professionally
videotaped and made available to high schools across Nebraska. A complete curriculum will
be developed to accompany the videotape. Also, to insure the quality of this product, Family
Service will provide training on dating violence and will facilitate the group discussions using
the curriculum. Training will also be provided to Nebraska Domestic Violence Programs,
teachers, and to other parties.
- No client will be denied services due to an inability to pay. The shelter services will be •
available free of charge to the client.
6. The performance measures:
Goal 1: Victims of domestic violence will have a safe, violent free environment
to live in.
Objective: Increase the shelter occupancy by 10% in a 12 month period.

Indicator. Number of victims receiving shelter services and number of
days of shelter services.
Goal 2: Family Service Domestic Violence Program will provide different
alternatives for women, children and families suffering from domestic
violence.
Objective: Increase the number of domestic violence victims served by 10% within
a 12 month period.

Indicator. Number of crisis calls received; number of intakes receiving legal and
medical advocacy; number of referrals provided to participants.

Goal 5: The family dynamics of the domestic violence patterns with in the
families involved will be impacted creating a safe environment
Objective: Seventy-Five Percent decrease in the problematic symptoms will occur
in the first 45 days of interventions.

Indicator Administration of a check list (pre, during, and post) that measures
present symptoms; Number of counseling sessions attended.

WHEREAS, on March 15, 1996, the U.S. Department of Housing and Urban
Development published in the Federal Register a Notice of Funding Availability for Continuum of
Care Homeless Assistance designed to help communities develop Continuum of Care systems to
assist homeless persons; and,
WHEREAS, Continuum of Care Homeless Assistance funding is designed to create
community systems for combating homelessness; and,
WHEREAS,the Omaha Area Continuum of Care for the Homeless is comprised of
organizations providing shelter and services to homeless individuals and families on an area-wide
basis; and,
WHEREAS, the City of Omaha undertook an inclusive community process for
developing and implementing a Continuum of Care strategy which included participation of the
membership of the Omaha Area Continuum of Care for the Homeless; and,
WHEREAS,the City of Omaha developed and submitted to the U.S. Department of
Housing and Urban Development a consolidated application with the Family Housing Advisory
Services,the Omaha YWCA,The Salvation Army,the Siena/Francis House,the Community Alliance
Rehabilitation Services,the Family Service and the Catholic Charities of the Archdiocese of Omaha,
Inc.for Continuum of Care Supportive Housing assistance; and,
WHEREAS, on January 22, 1997, the U.S. Department of Housing and Urban
Development notified the City of Omaha of the selection of its consolidated application for funding
under the Fiscal Year 1996 Supportive Housing Program; and,
WHEREAS,the U.S.Department of Housing and Urban Development has awarded
Supportive Housing funds in the amount of $352,080 to the Family Service and has assigned
NE26B960206 as the grant agreement number for the Family Service project; and,
WHEREAS,Supportive Housing assistance for Omaha's Continuum Care programs
will help provide a much needed comprehensive approach to develop and implement housing and
service delivery programs to help homeless individuals and families to move to permanent living and
self-sufficiency to the extent possible.
