City of Omaha Public Works Director Hal Daub,Mayor Honorable President and Members of the City Council, That attached Resolution approves the Interlocal Agreement between Sanitary and Improvement District (S.&I.D. 421) of Douglas County, Nebraska, and the City of Omaha. The Interlocal Agreement covers the public improvement of 132nd Street from Sahler to Grand Avenue and Meredith Avenue west of 132 Street adjacent to a future City of Omaha Library,portions of which are within City Limits. The Interlocal Agreement stipulates that the public improvements to these intersections will be built by S.&I.D. 421,and identifies the cost sharing agreement for these projects. The estimated total cost of the projects is $348,000.00 of which the City will pay an estimated amount of$50,000.00. The Agreement states the City will attempt to collect $55',600.00 from the future development south of S&ID 421 as its share of costs for the 132nd Street improvements. Any monies collected by the City will be reimbursed to S&ID 421 to reduce its General Obligation Debt. INTERLOCAL COOPERATION AGREEMENT This Agreement is made and entered into by and between THE CITY OF OMAHA, NEBRASKA (hereinafter referred to as "the City") and SANITARY AND IMPROVEMENT DISTRICT NO. 421 OF City, NEBRASKA (hereinafter referred to as "SID 421"). PRELIMINARY STATEMENT SID 421 is presently undertaking the development of the real property commonly described as Hillsborough Estates which abuts the west side of 132nd Street near Grand Avenue in Omaha, Nebraska. Pursuant to the Interlocal Cooperation Act, Section 23-2201, et seq., the City and SID 421 are authorized to enter into this Agreement with each other so as to make the most efficient use of their powers by enabling them to cooperate on a basis of mutual advantage and thereby provide services and facilities in a manner and pursuant to forms of governmental organization that will accord best with geographic, economic, population, and other factors influencing the needs and development of such entities. It is in the best interests and would be mutually advantageous to the City and SID 421 to improve at this time, pursuant to this Agreement, that portion of 132nd Street and Meredith Avenue shown on the site plan attached hereto as Exhibit "A" and incorporated herein by this reference. Such improvements shall include, without limitation, a change of grade of Meredith Avenue and/or 132nd Street, widening of 132nd Street, and construction of Meredith Avenue as shown on Exhibit "A", relocation of utilities, storm sewers and other drainage facilities, and related improvements, hereinafter referred to as the "Improvements". NOW, THEREFORE, in consideration of the covenants, herein set forth, the City and SID 421 do hereby agree and contract with each other as follows: 1. No Administrative Entity. There shall be no separate legal or administrative entity created to administer this Agreement and, therefore, no separate budget established for such an entity. 2. Plans and Design. SID 421 will contract with Thompson, Dreessen & Dorner, Inc., registered engineers in the State of Nebraska, for the preparation of plans and specifications for the construction of the Improvements and for contract administration, construction management, and the public bidding of the Improvements. The final plans and specifications shall be subject to approval by each of the parties hereto, which approval shall not be unreasonably withheld. 3. Construction. SID 421 agrees to cause the Improvements to be constructed in accordance with the plans and specifications approved by the parties hereto in accordance with Paragraph 2. During the course of the construction of the Improvements, the City may at any time cause inspection of the work to insure compliance with the final plans and specifications. The parties hereto agree that the City will own, operate and, at its cost, maintain the Improvements within the area shown on Exhibit "A". -1- . , 4. Payment of Construction Costs. All construction costs for the Improvements shall be paid as follows: A. The City shall pay a portion of the construction costs associated with the widening of 132nd Street and the construction of Meredith Avenue between 132nd Street and the East Line of Lot 97 Hillsborough Estates plus the related engineering fees not to exceed 12 percent of the construction costs. These improvements are shown on Exhibit "A". B. SID 421 shall pay for the remainder of the construction costs of the widening of 132nd Street and the construction of Meredith Avenue between 132nd Street and the East line of Lot 97, Hillsborough Estates, shown on Exhibit "A" and for all engineering fees, financing. fees, legal fees, and miscellaneous costs except for the engineering fees identified in Paragraph "A" above. C. The estimated costs to the City are $50,000.00, and the estimated costs to SID 421 are $396,300.00 as shown on Exhibit "A". These costs are understood to be estimates only and the final costs to each party shall be based on the actual completed construction costs and the allocation of the work as shown on Exhibit "A". In addition, the City shall in good faith attempt to collect a portion of these costs from the development(s) south of SID No. 421 and adjacent to the 132nd Street improvements (presently estimated at $55,000). To the extent of its' legal authority, the City shall not issue a building permit to such development(s) until said costs are paid to City, which City will then pay to SID No. 421 to reduce its G.O. debt. D. The City shall reimburse SID 421 for its share of the costs as set forth in this Agreement upon completion of construction of the Improvements. Such reimbursement shall be made within thirty (30) days after receipt of a final statement of costs from SID 421 and acceptance of the project by the Public Works Department. City shall use its best efforts to have whatever utilities are necessary to be relocated done so at the cost of the respective utility company. 5. Purpose of Agreement: Timing of Work. It is the mutual desire and intention of the parties that the Improvements shall be completed by June 30, 1998. Accordingly, the parties hereby agree to cooperate with each other and make reasonable, good faith efforts to perform their obligations hereunder in a timely manner so as to achieve completion of all of the Improvements contemplated by this Agreement by June 30, 1998. 6. Records. SID 421 shall maintain records of all construction costs incurred by SID 421 in connection with the Improvements and the City shall have the right to audit and review such records at any time to assure that such records are accurate. 7. Duration. This Agreement shall continue until such time as the Improvements to be performed by SID 421 pursuant to this Agreement have been completed, unless this Agreement is terminated sooner by the written agreement of all parties hereto. -2- 41( 0 . 8. Appointment of Administrators. The Public Works Director or his assignee shall administer this contract on behalf of the City. Thompson, Dreessen& Dorner, Inc. shall administer this contract on behalf of SID 421. 9. Entire Agreement. This instrument contains the entire agreement of the parties and shall be • binding upon the successors and assigns of the respective parties. No amendments, deletions, or additions shall be made to this Agreement except in writing signed by all parties. Nebraska law shall govern the terms and performances under this Agreement. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF OMAHA: THAT, the Interlocal Agreement between the City of Omaha and Sanitary and Improvement District 421 of Douglas County,Nebraska,providing for the Public Improvement of 132nd Street from Sahler to Grand Avenue and Meredith Avenue west of 132 Street adjacent to a future City of Omaha Library, is hereby approved.
