City of Omaha Public Works Director Hal Daub,Mayor Honorable President and Members of the City Council, The attached Resolution approves the Sewer Purchase Agreement between Sanitary and Improvement District 241 of Douglas County,Nebraska and the City of Omaha. S&ID 241 contains the subdivision known as Pheasant Run and is located southeast of 156th and "Q" Streets. The Agreement covers the purchase of the District's interceptor sized sewer line. The City Council approved, on February 9, 1988 via Ordinance No. 31435,the Sanitary Interceptor Sewer Master Plan for the South Branch Papillion Creek Watershed. A section of the plan pertained to the purchase of the sewer. The attached Agreement is in conformance with the plan. The purchase price is $392,984.17, which the City will pay for from the South Branch Papillion Creek Interceptor Sewer Fund No. 132. The Public Works Department requests your consideration and approval of the attached Resolution and Agreement. D'Ercole ate( Mayor's Office/Title ate Finance Director P:\PW 1\3485.PJM i:::( el SEWER PURCHASE AGREEMENT SID 241 AGREEMENT THIS AGREEMENT made and entered into by and between the City of Omaha, a Municipal Corporation of the State of Nebraska (hereinafter called "City") and Sanitary and Improvement District No. 241 of Douglas County, Nebraska, a Sanitary and Improvement District of the State of Nebraska organized and existing under the laws of the State of Nebraska, (hereinafter call "the District"), this 14th day of October , 1997. WHEREAS, the City has performed and approved a study, being the South Papil!ion Creek Outfall Interceptor Sewer Study (hereinafter called "the Plan"), which plan has recommended the purchase of the interceptor sewer line built and owned by the District. WHEREAS, such study recommends an increase in the Interceptor Sewer Fees in order to help finance such purchases for the general purpose of reducing the overall total number and amount of sewer connection fees which must be paid for the development of new properties; and, WHEREAS, City and District, having discussed the same, have agreed that City desires to purchase District's sewer line and District desires to sell the same, all in accordance with the terms and conditions herein contained. NOW, THEREFORE, IT IS AGREED BY AND BETWEEN CITY AND DISTRICT AS FOLLOWS: 1 . District agrees to sell and City agrees to buy the District's sanitary interceptor sewer line, more fully described on Exhibit "A" attached hereto and incorporated herein for the present total sum of $392,984.17. 2. Payment for said sewer line shall be made as follows: Payment of $392,984.17 shall be paid from funds on hand in the Interceptor Sewer Fund upon the execution of this Agreement. 3. Upon the execution of this Agreement, title to the sewer line described on Exhibit "A", heretofore belonging to the District, will vest in the City and the City will assume all rights and responsibilities attendant to ownership of said sewer line and will have the exclusive right subject to whatever limitations exist at law, regarding connections to said sewer line and its operation and use. 4. District makes no representations concerning the physical condition of the sewer line hereby conveyed and makes no warrantees concerning the physical condition of the sewer line or its fitness or usefulness, and City hereby acknowledges that it is relying entirely upon its own examination or knowledge of said sewer line coupled with the original certifications concerning said sewer line made by registered professional engineers as independent contractors. 5. Conveyance of the district sewer line includes conveyance and assignment to the City of Omaha of all easements and other real property rights or interest acquired by the District for construction or, maintenance of the sewer line. The District does warrant to the City that all of said easements are, on the date of this conveyance, held by the District in good and marketable form for the reasonable and adequate use and maintenance of the sewer line subject to all • qualifications, defects and limitations of record and further that the District has not sold or encumbered said line or real property interests prior to this conveyance. 6. City and District agree that in performing this Agreement neither City • nor District will discriminate nor allow discrimination against persons on account of race, color, sex, national origin, age and religious or political affiliations or beliefs. 7. If the City's ability to collect funds in the Sanitary Interceptor Sewer Fund, or the City's ability to pay the same to the District, become impossible ;to perform, (but not due to any act of the City contrary to this Agreement), due to any change in law or any decree of any court of competent jurisdiction, then, the City will be deemed to be the equitable owner of that portion of the value of the sewer line (as that value is herein established), actually paid by. the City (and not ordered refunded by any court), and the parties hereto shall, upon the occurrence of such a contingency: (i) attempt to reach agreement concerning an equitable distribution of any sewer connection charges or user charges due and payable on account of connection to, or use of, said sewer line and (ii) it is agreed that the City shall have an option for paying the residual value of said sewer line (being the balance of funds due the District under this Agreement) by whatever other lawful means City can secure to discharge the obligations of this Agreement.' 8. In the event any condemnation proceeding is brought against said sewer line after the execution of this Agreement, City shall have the right to all proceeds or award, whether negotiated or the subject of condemnation proceedings under the supervision of the courts, but no such transfer by eminent domain or the threat of eminent domain shall in any way relieve the City from its obligation to make the payments provided for in this Agreement. 9. Funds will be deposited to the District Construction Fund as required by State Law. The funds will be accounted for separately and the records maintained by the Board of Trustees in the District's annual audit. The District z Q ( shall determine the most appropriate use of such funds, but agrees to the following general prioritized use of the buyout funds: First Priority: Funds may be used to retire any existing construction fund warrants pursuant to law. Second Priority: Funds may be used to retire outstanding bonds that are in a callable status when such a call would be in the best-fiscal interest of the District as it relates to net interest differentials on investments vs. The District's bond interest rates. Third Priority: Funds may be deposited in the District's Construction Sinking Fund, invested with other District funds, and then used by the District to pay its annual Construction Fund debt service on its outstanding bonds.
