2023-05-19 SID 597 Minutes MINUTES OF THE MEETING OF THE BOARD OF TRUSTEES OF SANITARY AND IMPROVEMENT DISTRICT NO. 597 OF DOUGLAS COUNTY, NEBRASKA A Meeting of the Board of Trustees of Sanitary and Improvement District No. 597 of Douglas County,Nebraska, was convened in open public session at 1505 N. 203`d Street, Omaha, Nebraska, at 12:00 p.m. on May 19, 2023. Present were Marilyn Ellingson, Vera Jane Krejci, Robert F. Krejci and Gail D. Krejci. Also present was James E. Lang, Counsel for the District. Notice of the meeting was given in advance thereof by publication in The Daily Record,of Omaha, Nebraska, on April 20 and April 27, 2023, a copy of the Proof of Publication being attached to these minutes. Notice of this meeting was simultaneously given to all members of the Board of Trustees and a copy of their Acknowledgment of Receipt of Notice of Meeting is attached to these minutes. All proceedings of the Board were taken while the convened meeting was open to the attendance of the public. The Clerk publicly stated to all in attendance that a current copy of the Nebraska Open Meetings Act was available for review and indicated the location of such copy in the room where the meeting was being held. The Clerk stated the first item of business was to approve the April 5,2023 District meeting minutes. After a full discussion, and upon motion being duly made with everyone voting "aye" and no one voting "no", the following Resolution was adopted: RESOLVED, that the Board of Trustees hereby approves the minutes of the District meeting held on April 5, 2023. James E. Lang, the attorney for the District, reported that the Notice of Hearing on the proposed special assessments on parcels of real estate located in the District relating to: STORM SEWER PAVING PIONEER MAIN EXTERIOR WATER BOX CULVERT COMMUNITY PARK FEE CITY REVIEW FEE had been published on April 20,2023 and April 27,2023,in The Daily Record of Omaha,Douglas County, Nebraska, as authorized by the Board of Trustees at its meeting on April 5, 2023. The Proof Publication of said Notice was then presented and is attached to the minutes of this meeting. The Clerk then reported that said Notice,plat and schedules were mailed to the City Clerk, City of Omaha and the City of Omaha Public Works Department per the Subdivision Agreement, to D.A. Davidson & Co., the underwriters for the District, and to each property owner of said District to which the special assessments for the projects listed above were to be adjusted, equalized and levied (copies of the Affidavit of mailing of Notice being attached to the minutes of this meeting), and by posting handbills of said Notice along the line of work(Proof of Publication of posting being attached to the minutes of this meeting). The Chairman then proposed that the Board sit as a Board of Adjustment and Equalization for the hearing on the above- mentioned proposed assessments against each separate piece of property in the District. The Clerk reported that no objections had been received to the proposed special assessments. After full discussion and upon motion being duly made and seconded with all Trustees present voting "aye" and with no Trustees voting "no", the following Resolution was adopted: RESOLUTION WHEREAS, a complete statement of all costs regarding: STORM SEWER PAVING PIONEER MAIN EXTERIOR WATER BOX CULVERT COMMUNITY PARK FEE CITY REVIEW FEE together with a plat of the property within the boundaries of Sanitary & Improvement District No. 597 and a schedule of the amount proposed to be assessed against each separate piece of property in said District, all prepared by Thompson, Dreessen & Dorner, Inc., Engineers for the District, were duly filed with the Clerk and the Board of Trustees of this District, and WHEREAS, notice that said statement of costs, plats and schedules were on file with the Clerk of this District and that all objections thereto or to prior proceeding on account of errors, irregularities or inequalities unless made in writing and filed with the Clerk of the District within twenty (20) days after April 20, 2023, the date of the first publication of said notice, shall be deemed to have been waived, was given by publication thereof in The Daily Record of Douglas County,Nebraska,on April 20,2023 and April 27,2023,and by mailing true copies of said Notice, plats and schedules to Douglas County,Nebraska,to the City of Omaha,to the underwriter for the District and to each property owner of said District to which special assessments were to be adjusted, equalized and levied for said improvements (copies of the Affidavit of Mailing Notice being attached to the minutes of this meeting) and by posting handbills of said Notice along the line of work (Proof of Publication and Proof of Posting being attached to the minutes of this meeting), and WHEREAS,no objections to the proposed assessments were filed in due time and manner, and WHEREAS, no objections to any other proceeding of the District was filed with the Clerk of this District, and WHEREAS,the Board of Trustees met on May 19,2023,and sat as a Board of Adjustment and Equalization and fully adjusted and equalized the proposed assessments, and NOW, THEREFORE, BE IT RESOLVED, that the Board of Trustees of Sanitary & Improvement District No. 597 of Douglas County,Nebraska, finds and determines: 1. That each of the lots of parcels of land in Sanitary&Improvement District No. 597 of Douglas County,Nebraska, identified on the special assessments for the projects entitled: STORM SEWER PAVING PIONEER MAIN EXTERIOR WATER BOX CULVERT COMMUNITY PARK FEE CITY REVIEW FEE was specially benefitted by the amounts shown in each respective special assessment. 2. That each of said lots of parcels of land identified in the schedules attached hereto as Exhibit "A" shall be assessed in the amounts shown opposite such lot number. 3. That the special assessments may be paid without interest within fifty (50) days from May 19, 2023,to wit: July 7, 2023 and if not so paid,the assessments become delinquent in ten (10) equal installments as follows: 1/10th on May 19, 2024 1/10th on May 19, 2025 1/10th on May 19, 2026 1/10th on May 19, 2027 1/10th on May 19, 2028 1/10th on May 19, 2029 1/10th on May 19, 2030 1/10th on May 19, 2031 1/10th on May 19, 2032 1/10th on May 19, 2033 each installment bears interest at the rate of 7.5% per annum from May 19, 2023 until delinquent, and at 9.5%per annum thereafter until paid. BE IT FURTHER RESOLVED, that said special assessments be and they hereby are equalized and apportioned between the several lots or parcels of ground with reference to the benefits resulting from the construction of said improvements and said special assessments are hereby levied upon said several lots or parcels of ground in accordance with the above described schedules of special assessments. BE IT FURTHER RESOLVED, that the Clerk of this District is hereby authorized and directed to certify this levy of special assessments upon the lots and parcels identified on the above described schedule of assessments and that the same may be collected in the same manner as general taxes, such certification to be made to the County Treasurer of Douglas County,Nebraska, and the County Clerk of Douglas County,Nebraska. Discussion was then held concerning amending Interlocal Agreement with County to include the roundabout. The District's attorney and engineer will confer with Douglas County to work out the details of amending the Interlocal Agreement. The Board then discussed other District matters. The Clerk stated that the Board should now issue warrants from the general fund of the District to pay the following: 1. Statement from OPPD in the amount of$218.46 for account number 8007867892. 2. Statement from Thompson, Dreessen & Darner, Inc. in the amount of$1,040.60 for invoice number 156591. 3. Reimbursement to D.A. Davidson & Co. in the amount of $25.19 (2% of$1,259.06) for warrant placement fee. After a full discussion and upon a motion being duly made and seconded, with everyone voting "aye" and no one voting "no", the following resolution was adopted: RESOLVED, by the Board of Trustees of Sanitary and Improvement District No. 597 of Douglas County, Nebraska, that the Chairman and Clerk be and hereby are authorized to execute and deliver the following warrants of the District, dated the date of this meeting,to the following payees and in the following amounts, said Warrants to be drawn on the General Fund of the District and to draw interest at the rate of 7% per annum and to be redeemed no later than May 19, 2026: 1. WARRANT NO. 317 payable to OPPD in the amount of $218.46 for account number 8007867892. 2. WARRANT NO. 318 payable to Thompson, Dreessen & Dorner, Inc. in the amount of$1,040.60 for invoice number 156591. 3. WARRANT NO. 319 payable to D.A. Davidson & Co. in the amount of $25.19 (2% of $1,259.06) for warrant placement fee. Statement from Lang Law LLC in the amount of$3,308.44 for invoice number 33887 relating to levy of special assessments. 4. Placement fee to D.A. Davidson & Co. in the amount of $191.95 (2% of$9,597.25). After discussion and upon motion being duly made by Marilyn Ellingson and seconded by Vera Jane Krejci with Robert F. Krejci, Gail D. Krejci, Vera Jane Krejci and Marilyn Ellingson voting "aye" and with no Trustees voting "no", the following Resolution was adopted: RESOLVED, that the Board of Trustees of Sanitary and Improvement District No. 597 of Douglas County,Nebraska hereby approves the above items for payment and hereby authorizes and directs that the following warrants be prepared and issued by the Chairman and Clerk in payment thereof, said warrants to bear interest at the rate of 7% per annum after registration and to be charged to the Construction Fund of the District,with the interest to be payable on February 10,2024,and each year thereafter, and to be redeemed no later than May 19, 2028, subject to extension of said maturity date by order of the District Court of Douglas County, Nebraska, after notice is given as required by law, to-wit: 1. WARRANT NO. 320 payable to The Daily Record in the amount of$121.31 for invoice number 152118. 2. WARRANT NO. 321 payable to Thompson, Dreessen & Dorner, Inc. in the amount of$6,167.50 for invoice number 156609 relating to 222"d Street Improvements. 3. WARRANT NO. 322 payable to Lang Law LLC in the amount of$3,308.44 for invoice number 33887 relating to levy of special assessments. 4. WARRANT NO. 323 payable to D.A. Davidson & Co. in the amount of$191.95 (2% of$9,597.25). BE IT FURTHER RESOLVED, by the Board of Trustees of Sanitary and Improvement District No. 597 of Douglas County, Nebraska, that both they and the district hereby find and determine and covenant, warrant and agree as follows: the improvements and/or facilities being financed or refinanced by the above Warrants are for essential governmental functions and are designed to serve members of the general public on an equal basis; all said improvements have from the time of their first acquisition and construction been owned, are owned and are to be owned by the District or another political subdivision; to the extent special assessments have been or are to be levied for any of said improvements, such special assessments have been or are to be levied under Nebraska law as a matter of general application to all property specially benefited by said improvements in the District; the development of the land in the District is for residential or commercial use and the development of the land in the District for sale and occupation by the general public has proceeded and is proceeding with reasonable speed; other than any incidental use of said improvements by a developer during the initial period of development of said improvements,there have been,are and will be no persons with rights to use such improvements other than as members of the general public; none of the proceeds of said Bonds or any refinanced indebtedness have been or will be loaned to any private person or entity; the District hereby authorizes and directs the Chairperson or Clerk to file or cause to be filed, when due, an information reporting form pursuant to Section 149(e) of the Internal Revenue Code of 1986,as amended,pertaining to the above Warrants; and the District does not reasonably expect to sell or otherwise dispose of said improvements and/or facilities, in whole or in part,prior to the last maturity of the above Warrants. BE IT FURTHER RESOLVED, by the Board of Trustees of Sanitary and Improvement District No. 597 of Douglas County, Nebraska,that the District hereby covenants,warrants and agrees as follows: (a)to take all actions necessary under current federal law to maintain the tax exempt status (as to taxpayers generally) of interest on the above Warrants; and (b) to the extent that it may lawfully do so,the District hereby designates the above Warrants as its "qualified tax exempt obligations" under Section 265(b)(3)(B)(i)(III) of the Internal Revenue Code of 1986 as amended and covenants and warrants that the District does not reasonably expect to issue warrants or bonds or other obligations aggregating in the principal amount of more than $10,000,000 during the calendar year in which the above Warrants are to be issued. BE IT FURTHER RESOLVED, by the Board of Trustees of Sanitary and Improvement District No. 597 of Douglas County, Nebraska that this and the preceding Resolutions are hereby adopted as the Certificate with Respect to Arbitrage of the District pertaining to the above Warrants and the District and the Chairman and Clerk of the District hereby further certify,as of the date of the registration of the above Warrants with the County Treasurer of Douglas County,Nebraska, as follows: 1. No separate reserve or replacement fund has been or will be established with respect to the above Warrants. The District reasonably anticipates that monies in its Bond Fund reasonably attributable to the above Warrants in excess of the lesser of: (a) 10% of the net principal proceeds of the above Warrants, (b) the maximum annual debt service due on the above Warrants, or (c) 125%of average annual debt service due on the above Warrants will be expended for payment of principal of and interest on the above Warrants within 13 months after receipt of such monies. That amount which is currently held in the District's Bond Fund which exceeds the amount which is to be expended for payment of principal and interest on the above Warrants within 13 months after receipt of such monies, plus that amount arrived at pursuant to the immediately preceding sentence, will not be invested in any securities or any other investment obligations which bear a yield, as computed in accordance with the actuarial method, in excess of the yield on the above Warrants. 2. To the best of their knowledge, information and belief,the above expectations are reasonable. 3. The District has not been notified of any listing of it by the Internal Revenue Service as an issuer that may not certify its bonds. 4. This Certificate is being passed,executed,and delivered pursuant to Section 1.148-2(b)(2) of the Income Tax Regulations under the Internal Revenue Code of 1986, as amended.
