CONTRACT • THIS CONTRACT is entered by and between the City of Omaha, a Municipal Corporation in Douglas County,Nebraska, also referred to as "City" or"Owner" and Corporate Lawn Care,Inc., with its principal place of business at 18605 Harrison Street, also referred to a "Contractor". RECITALS WHEREAS,the City of Omaha is desirous of obtaining necessary services to maintain the parks, parkways and condominium regime as identified in the Grounds Maintenance Contract Specifications attached hereto as part of the bid documents; and, WHEREAS, the Contractor is capable of and desirous of performing in a good and workmanlike manner such services as are set forth herein and in the bid documents included by reference as part of this contract. IN CONSIDERATION OF THESE MUTUAL COVENANTS,THE PARTIES AGREE AS FOLLOWS: I. Additional Contract Parts It is understood that: 1. The notice inviting Contractors to bid as published; 2. The instructions to bidders; 3. The contractor's qualifications statement; 4. The contract specifications; 5. The form of proposal; 6. All proceedings by the governing body of the City relating to this project; and, 7. All addenda are a part of this contract the same as if each had been fully set out and attached hereto. II. Duties. The Contractor shall provide all necessary men and materials to complete the work as identified in this contract and the addenda thereto; and shall pay all just claims for materials, supplies,tools, fuels, lubricants, equipment, equipment rental, machinery, insurance premiums, and services used or consumed in the completion of the work by him or any of his subcontractors. III. Term. This contract shall be for a one year period ending December 31, 1998. The City reserves the right to extend this contract for a period of one additional year at the same bid price. Maximum extension- one time (1999). 5.6 Interest of the Contractor. The Contractor covenants that he presently has no interest and shall not acquire any interest, direct or indirect, which would conflict with the performance of services required to be performed under this contract; he further covenants that in the performance of this contract, no person having any such interest shall be employed. 5.7 Merger. This contract shall not be merged into any other oral or written contract, lease or deed of any type. This is the complete and full agreement of the parties. 5.8 Modification. This contract contains the entire agreement of the parties. No representations were made or relied upon by either party other than those that are expressly set forth herein. No agent, employee or other representative of either party is empowered to alter any of the terms hereof unless done in writing and signed by an authorized officer of the respective partner. 5.9 Assignment. The Contractor may not assign its rights under this contract without the express prior written consent of the City. 5.10 Strict Compliance. All provisions of this contract and each and every document that shall be attached shall be strictly complied with as written,and no substitution or change shall be made except upon written direction from authorized representative. 5.11 Approval of Amendments. The parties hereto acknowledge that, as of the date of the execution of this agreement, Section 10-142 of the Omaha Municipal Code provides as follows: Any amendment to contractors or purchases which taken alone increases the original bid price as awarded (a) by ten percent, if the original bid price is one hundred fifty thousand dollars ($150,000) or more, or (b) by seventy-five thousand dollars ($75,000) or more, shall be approved by the City Council in advance of the acceptance of any purchase in excess of such limits or the authorization of any additional work in excess of such limits. However, neither contract nor purchase amendments will be split to avoid advance approval of the City Council. 5.12 Insurance Requirements. A. Worker's Compensation Insurance. The Contractor shall take out and maintain during the life of the Contract, insurance for all of his employees employed at the site of project protecting the Contractor -2- from all liability that may be imposed under the Worker's Compensation Act,the Occupational Disease Act or other legislation of similar nature. B. Public Liability and Property Damage Insurance. The Contractor shall take out and maintain, during the life of the Contract, such public liability and property damage insurance (including Contractor's contingent or protective insurance, if necessary, to protect the Contractor from damage claims arising from operation under the contract) as shall protect him and his subcontractors from claims for damages for personal injury, including accidental death, as well as from claims for property damages, which may arise from operations under the Contract, including operations of automotive equipment used in making deliveries or in the work, whether such operations by himself or by any subcontractor or by anyone directly or indirectly employed by either of them. The City of Omaha must be expressly included as an additional named insured. The amount of such insurance shall be as follows: Public Liability Insurance in an amount not less than $300,000 for injuries, including accidental death,to any one person, and subject to the same limit for each person, in an amount not less than $500,000 on account of one accident, and property damage insurance in an amount not less than $300,000 for damages to property of any one claimant,with limits of not less than$500,000 for any one accident. IV. The Contractor shall indemnify and save harmless the City of Omaha, its officers, employees, and agents from all claims, suits or actions of every kind and character made upon or brought against the said City of Omaha, its officers, employees and agents, for or on account of any injuries or damages received or sustained by any party or parties by or from the acts of the said Contractor or its servants, agents and subcontractors in doing the work herein contracted for, or by or in consequences of any negligence in guarding the same or any improper material used in its construction, or by or an account of any act or omission of said Contractor or its servants, agents, and subcontractors; and also from all claims of damage or infringement of any patent in fulfilling this Contract. V. Authorized Representative. SIGN ALL COPIES Firm By Title CONTINUATION SHEET CONTRACT SPECIFICATIONS GROUNDS MAINTENANCE WALNUT GROVE SUBDIVISION AND WALNUT GROVE CONDOMINIUM REGIMES OCTOBER 1997 .. _. __. .. .._. .. . .- GENERAL This is a grounds maintenance contract to provide for clean-up and turf maintenance for designated areas within and adjacent to the Walnut Grove Subdivision and Walnut Grove Condominium Regimes. Walnut Grove Subdivision and Walnut Grove Condominium Regimes is located north and west of 144th and"Q" Streets. Clean-up, mowing,,herbicide, pesticide, fungicide and fertilizer application and seeding are included in the maintenance schedule. The areas to be maintained are designated in the attached plan"Limits of Maintenance" and include Walnut Grove Subdivision and Walnut Grove Condominium Regimes park, street islands and adjacent street rights of way. All tractors and other grounds maintenance equipment that are operated on turf areas shall be equipped with turf type tire tread. All mowing shall be done using turf type mowers. The City shall be furnished a listing and must approve all herbicides, pesticide, fungicide and fertilizers used by the Contractor. The Contractor shall notify the Park Maintenance Contract Manager not less than 24 hours prior to the application of all chemicals and fertilizers. The City shall supervise these applications. Copies of all delivery tickets and invoices for materials used shall be submitted to the City. A written weekly progress report shall be submitted to the City. This report shall include all work completed and forwarded to the City no later than Wednesday of the following week. The City will inspect all equipment to be used by the Contractor prior to the commencing of the contract. The Contractor will be responsible for storage of all equipment and material and have adequate provisions for storage off the site. PARK AND RIGHT OF WAY MAINTENANCE Walnut Grove Subdivision and Walnut Grove Condominium Regimes is a 30 acre (contractor to verify) park located north and west of 144th and"Q" Streets. The park will be cleaned up, mowed, fertilized, treated for broadleaf weeds, pesticides applied and overseeded if requested. This includes all street right of way adjacent to all park areas and all nine (9) islands. Walnut Grove Subdivision Maintenance Contract Page 1 • CLEANUP The contractor shall pick up, remove and dispose of all paper, bottles, cans, leaves, trash and all other debris from all areas designated in the "Limits of Maintenance" plan. The contractor shall perform a cleanup at intervals of once each week from April 1 to October 31 and once every two (2) weeks from November 1 to March 31. However, if any particular part of the area becomes - - littered to any unusual extent between such general cleanup intervals the contractor_shall perform a cleanup of that particular area. MOWING The grass shall be mowed as scheduled and approved by the City. In general the grass shall be mowed when the grass is 4 to 4 1/2 inches in height and shall be mowed to a height of 2 1/2 to 2 3/4 inches. All kick-out doors of the mowers shall face away from the street. All streets and concrete shall be kept clean and free from clippings. All areas that cannot be mowed by mechanical mowers shall be trimmed by hand leaving the areas in a neat and well-kept condition. Hand trimmed areas may include but are not limited to grass around or along sign poles, barricade posts, street or traffic light bases, guard rails, rock landscaped areas, planted areas, trees, retaining walls and fence lines and playground equipment. All sand and hard surface areas, (parking lots and sidewalks) shall be kept vegetation free. Chemical trimming may also be used at the contractor's discretion. A maximum 12 inch wide band of Roundup and Surflan or approved equal may be applied around or along areas where hand trimming would take place. If chemical trimming is used it will be done in place of hand trimming and at no additional charge to the City. No herbicides except Monsanto's Roundup and Elanco's Surflan or approved equal may be used. The application of all herbicides will be performed by a Certified Applicator registered in the State of Nebraska. The Contractor will furnish to the City at the time of the bid the name of the certified applicator, the registration card number and the certification expiration date. All damage done to sod, trees or plantings during mowing or trimming shall be repaired by the Contractor by replacement of sod in damaged areas or replacement of trees or plantings. FERTILIZATION - PARK ONLY Fertilizer shall be applied once each year to only park areas. This work shall include the application of substances to enrich the soil and to supply nourishment for the turf. Fertilizer shall be homogeneous granular type containing nitrogen(slow release), phosphoric acid and potash in the amounts specified: 25-5-10 with 50% sulfur coated urea or approved equal. - The fertilizer will be applied at the rate recommended by the manufacturer and consistent with the Walnut Grove Subdivision Maintenance Contract Page 2 label. The contractor will apply the fertilizer using a mechanical spreader approved by the City. The application shall be uniform throughout the coverage area. The contractor shall notify the Park Maintenance Contract Manager prior to the application. A City representative shall be furnished with a container label showing the fertilizer content prior to the application. The City representative will be present and monitor the application. DANDELION AND BROAD LEAF WEED CONTROL The weed control material used shall be 2-4D with Dicamba. The weed control material shall be a type that can be applied with no mist and drift. Extreme precautions must be taken not to damage the trees and shrubs. Any tree or shrub damaged or killed by the weed control material shall be replaced with a similar size and species by the Contractor. The application shall be made a minimum of one time per year during the spring or fall to keep dandelions and broad leaf weeds out of the park turf and right of way areas. Spring or fall spraying will be approved by the Park Maintenance Contract Manager prior to the application. The application rate shall be as recommended by the manufacturer with special consideration given to the proximity of plants that might be damaged. Contractor to vary application rates within limits as appropriate for field and weather conditions at the time of spraying. In the event the application rates of any chemicals specified for weed control is deemed inappropriate by the Contractor, the Contractor shall notify the City with his recommendations for alternate application rates. If the City does not take exception the alternate rates will be acceptable providing satisfactory results are obtained. All weed spraying shall be done by a person holding a Certified Pesticide Applicator Certificate issued by the State of Nebraska. The Contractor assumes all risk and will be solely responsible for any damage caused by the application of chemicals. SEEDING- PARK ONLY Park turf areas will be overseeded once per year at the request of the Park Maintenance Contract Manager. All grass seed (United Seed TFR or approved equal) will be supplied by the Contractor. The seed will be applied with a drill type seeder at a rate of 8 lbs/1000 sq. ft. Overseeding will be ordered in one (1) acre units. Any part of an acre will constitute a whole acre for payment purposes. PESTICIDE/FUNGICIDE The Contractor shall furnish the chemicals and apply the same to designated vegetation. All applications shall be done by a person holding a First Class or a Third Class Arborist License. The Contractor will furnish to the City at the time of the bid the name of the Arborist. If any insect, fungus or other plant infestation appears which are not included in the following list, or in the event the chemical listed becomes restricted by chemicals as then being recommended by the University of Nebraska shall be furnished and used. The Park Maintenance Contract Manager is to be informed in this event. Preventative measures shall be taken during the proper season to protect against pest damage. WORK PROGRESS Walnut Grove Subdivision Maintenance Contract Page 4 �1r� • • • During the spray period the contractor must notify the Park Maintenance Division at least every other workday of work progress. INSPECTION The Park Maintenance Contract Manager, or his designated representative, may inspect the work of the contractor at any time and may suspend operation, if in his opinion, it is not being performed in a SAFE MANNER, or not in accordance with the contract specifications. The acceptance of an individual unit of work is solely within the discretion of the Park Maintenance Contract Manager. RECORD KEEPING For the purpose of this contract all pesticide applications will follow these regulations. This includes applications of non-restricted use pesticides. As an EPA licensed commercial applicator, you are required to keep records of Restricted Use Pesticides in Nebraska. These requirements are taken from 40 C.F.R. Section 171.11 (c) (7) and are listed below: A) Name and address of the person for whom the pesticide was applied; B) Location of the pesticide application; C) Target pest(s); D) Specific crop or commodity, as appropriate, and site for which the pesticide was applied; E) Year, month, date and EPA registration number of the pesticide applied, F) Trade name and EPA registration number of the pesticide applied; G) Amount of the pesticide applied and percentage of active ingredient per unit of the pesticide used; H) Type and amount of the pesticide disposed of, method disposal, and location of the dispersal-site TERMINATION The City of Omaha reserves the right to cancel this agreement for just cause by way of a fifteen (15) day written notice to the Contractor. LENGTH OF AGREEMENT This agreement will be for one year period ending December 31, 1998. The City reserves the right to extend this contract for a period of one additional year at the same bid price. Maximum extension - one time (1999). SUBCONTRACTING Each bidder must have sufficient employees and equipment to perform the requirements of this contact.
