The objective is to offer youth an opportunity to learn about various job opportunities through structured classroom instruction, hands on experience, field trips and work experience. During the above period, the contract will provide classroom activities designed to enhance the participants' knowledge in the areas of vocational and career exploration, work place survival skills, and social and basic living skills. The contractor has on file a current Annual Contract Compliance Report Form (CC-1). As is the City policy, the Human Relations Director will review the contract to ensure compliance with the Contract Compliance Ordinance. D'Ercole, Director Mayor's Office/Title Finance Department 1 AGREEMENT This Agreement is made and entered into the 1S` day of June, 1998, by and between Job Training of Greater Omaha (hereinafter referred to as "JTGO") and Goodwill Industries, Inc., (hereinafter referred to as "Contractor"). RECITALS WHEREAS, the City of Omaha has been designated by the State of Nebraska as Grant Recipient for Job Training Partnership Act(JTPA) funds; and, WHEREAS, the geographic area covered by this grant includes Douglas, Sarpy, and Washington counties; and, WHEREAS, Goodwill Industries submitted a proposal for a Summer Youth Career Exploration project for 30 economically disadvantaged youth, ages 14-21, for 20 hours per week for approximately eight weeks within the period of June 1, 1998 through August 7, 1998, in an amount not to exceed $28,375; and, WHEREAS, funding for this project is provided by the Federal Government pursuant to the JTPA; and, WHEREAS,the Private Industry Council's Executive Committee approved this proposal; and, WHEREAS, the Mayor recommends approval of this contract. NOW, THEREFORE, in consideration of the mutual covenants and agreements herein contained, JTGO and the Contractor mutually undertake and agree as follows: 1. DUTIES OF THE CONTRACTOR The Contractor agrees to do the following along with all other obligations expressed or implied in this agreement: A. The Contractor shall perform the services set forth in the document attached hereto as Exhibit "A" and by this reference incorporated herein as though fully set forth entitled Contractor will take all reasonable means to insure the following goals stated therein are met. B. The Contractor shall submit to JTGO written reports on the progress of the Contractor's project. Such written reports will be due fifteen-days following the end of each calendar quarter. All written reports shall be addressed to Diane Thomas, Director, JTGO, 2421-23 North 24th Street, Omaha,NE 68110. 0 l_ C. The Contractor assures that it shall be liable to repay all funds provided by this grant agreement which are determined to be a wrongful expenditure of funds due to: (1)willful disregard of the Job Training Partnership Act and its implementing regulations, (2)willful disregard of state and local laws,rules or regulations, (3)gross negligence, or(4)failure to observe accepted standards of administration. D. The Contractor assures that it will fully comply with 41 CFR 29-70 and retain all records,books of account, and other documents related to the Agreement for a period of three years. If prior to the expiration of the three-year retention period, litigation or an audit has begun, the records, books of account, and documents relating to the grant agreement will be retained until the litigation is complete and audit findings are resolved. E. The Contractor assures that it will fully comply with Title VI and VII of the Civil Rights Act of 1964, Title IX of the Education amendments of 1972, Section 504 of the Rehabilitation Act of 1983, and the Age Discrimination Act of 1975. The Contractor further assures that no person associated with this grant shall be excluded from participation in, denied the benefits of, subjected to discrimination under, or denied employment because of race, color, religion, sex, national origin, age, handicap, political affiliation or belief and that all programs under this grant shall be open to all citizens and nations of the United States, lawfully admitted permanent resident aliens,lawfully admitted refugees,parolees and other individuals authorized by the Attorney General to work in the Untied States. F. The Contractor assures that it will give the City of Omaha/Job Training of Greater Omaha, Nebraska Department of Education and the Nebraska Department of Labor or its representatives the access to and the right to examine all documents related to this Agreement. G. The Contractor assures that it will comply with federal, state or local laws governing applicable licensing,taxation and insurance requirements. H. The Contractor assures it will comply with the Hazardous Occupations Orders issued pursuant to the Fair Labor Standards Act and set forth as 29 CRF 570.50 with respect to the employment of youths under 18 years of age and the Child Labor Standards of 29 CFR 570.31. I. The Contractor shall not discriminate against any employee or applicant for employment because of race, religion, color, sex, national origin, age, handicap or political affiliation. The Grantee shall take affirmative action to insure that applicants are employed and that employees are treated during employment,without regard to their race,religion, color, sex,national origin, age, handicap or political affiliation. As used herein the word "treated" shall mean and include, without limitation, the following: recruited (whether advertising or by other means) compensated; selected for training, including apprenticeship; promoted; upgraded; demoted; downgraded; transferred; laid off; and,terminated. (Such action shall include,but not be limited to the following: Employment, upgrading, demotion, or transfer, recruitment or recruitment -2- advertising; layoff or termination; rates of pay or other forms of compensation; and selection for training including apprenticeship.) The Grantee agrees to and shall post in conspicuous places, available to employees and applicants for employment, notices setting forth the provisions of this nondiscrimination clause. J. The Contractor will, in all solicitations or advertisements for employees placed by or on behalf of JTGO, state that all qualified applicants will receive consideration for employment without regard to race, religion, color, sex, national origin, age, handicap or political affiliation. K. The Contractor shall send forth to each labor union or representative of worker with which he has a collective bargaining agreement or other contract or understanding notice advising the labor union or worker's representative of the Grantee's commitment under Section 202 of Executive Order 11246 of September 24, 1965, as amended, and shall post copies of the Notice in conspicuous places available to employees and applicants for employment. L. The Contractor shall, in accordance with Omaha Municipal Code Section 10-162, maintaining records and accounts, including property,personnel, and fmancial records, to assure an account of all contract expenses; make such records and accounts available for audit purposes to the finance director, or any authorized Job Training of Greater Omaha representative; to retain such records and accounts for a period of five years; submit to Job Training of Greater Omaha progress reports on a quarterly basis of all activities and functions for which funds of the city are received; submit to the Job Training of Greater Omaha a contract completion report; and be subject to all federal and local legislation prohibiting discrimination including title VI of the Civil Rights Act,the fair employment practices ordinance (sections 13-88 through 13-103) and the provisions of the Home Rule Charter of the City of Omaha, 1956. 2. COMPENSATION A. In consideration of timely performance hereunder,the City agrees to pay an amount not to exceed the sum of$28, 375.00. B. In order to receive payments hereunder, Contractor shall submit to the City an itemized statement and/or voucher reflecting the amounts claimed to be due and owing provided, however, that no amounts shall be paid nor become due and owing until the City has received, verified, approved and accepted said voucher or statement. Said statements or vouchers shall be issued on or after the first day of each calendar month and shall include only amounts claimed for performance rendered during the immediately preceding month. -3- u t C. In no event shall the City become obligated to make any payments nor shall any claims or rights accrue hereunder, at any time, for performance that has not already been rendered in timely compliance with the terms and conditions of this contract. No claims or rights shall accrue nor shall any amount become due and owing hereunder unless and until Contractor shall have first performed and thereafter submitted its statement and/or voucher. All final reports must be submitted before final payment is made. D. It is understood and agreed that this contract is subject to and conditioned upon the availability and receipt by JTGO of Job Training Partnership Act funds. 3. TERM This agreement shall become effective on the date executed by all of the parties hereto; and, shall terminate not later than August 7, 1998. Either party may immediately terminate this agreement upon mailing written notice thereof to the other party;provided that in the event of such early termination, the Contractor shall immediately return to JTGO all unexpended funds advanced to the Contractor under this agreement. 4. INDEMNITY The Contractor covenants and agrees to indemnify and hold harmless the City of Omaha, its officers, agents and employees, its successors and assigns, individually or collectively, from and against all liability for any fines, claims, suits, demands, actions or causes of action of any kind and nature for personal injury or death, or property damage in any way arising out of or resulting from the acts of the Contractor's own employees or agents, and the Contractor further agrees to pay all expenses in defending against any claims made against the City of Omaha based on the acts of the Contractor's employees or agents. The Contractor and City of Omaha shall give prompt and timely written notice of any claim made or suit instituted which, in any way, directly or indirectly, contingently or otherwise, affects or might affect the other parties. 5. CONFLICT OF INTEREST The Contractor assures that no individual under its employment will exercise any function or responsibility in connection with JTPA funded projects or programs if they have a personal financial interest,direct or indirect, in this agreement nor will the Contractor hire any person having such conflicting interests. The Contractor further assures that no council or board member will be allowed to vote on any Job Training Partnership Act (JTPA) projects or programs under this agreement where the member has personal financial interest direct or indirect. -4- i1011 6. CAPTIONS Captions used in the agreement are for convenience and are not used in the construction of this agreement. 7. APPLICABLE LAW Parties to this agreement shall conform with all existing and applicable City ordinances, resolutions, state laws, federal laws, and all existing and applicable rules and regulations. Nebraska law will govern the terms and the performance under this agreement. 8. MERGER This agreement shall not be merged into any other oral or written agreement, lease, or deed of any other type. This is the complete and full agreement of the parties. 9. MODIFICATION This contract contains the entire agreement of the parties. No representations were made or relied upon by either party other than those that are expressly set forth herein. No agent, employee or other representative of either party is empowered to alter any of the terms hereof unless done in writing and signed by an authorized officer of the respective parties. 10. ASSIGNMENT • Neither party may assign its rights under this contract without the express prior written consent of the other party. 11. Our mission is "to develop job skills and employment opportunities for people with disabilities and other disadvantages". We will extend these services to the youth of Omaha through the Summer Youth Employment Program in connection with Job Training of Greater Omaha. We will provide opportunities for those youth who are enrolled in Special Education programs within their respective school districts. With our professional staff and specialized programming for persons with disabilities, we feel that we are in a unique position to offer services to these youth that might be otherwise unavailable. Because this is a specialized program, we will serve a population that is comprised of both 14-15 year olds and 16-21 year olds. Admission and Retention Criteria: Goodwill reserves the right to: 1. Request and inspect appropriate school records of students registered in the program. 2. make a determination concerning the appropriateness of the placement at Goodwill (Admissions policy attached). 3. Dismiss a student for behaviors not conducive to the work setting (Maladaptive behaviors policy attached). PROGRAM DESCRIPTION: Goodwill Industries' Summer Youth Employment Program is intended to serve a maximum of 30 youth with disabilities and behavior disorders. The following schedule will be in force: • June 1-5, 1998 Start up activities begin • June 8, 1998 Participants begin program • July 31, 1998 Last day for participants, picnic celebration and award ceremony • August 3-7, 1998 Close out/reporting activities completed • August 31, 1998 Final report due The program will be comprised of two major components: I. Classroom Based Activities II. Work Experience a, CURRICULUM: 1. Classroom Based Activities: All participants, in groups of no more than 10, will spend two hours per week in classroom activities designed to enhance the participants knowledge in the following areas: 0 Work place survival skills 0 Vocational and career exploration 0 Social and basic living skills 0 Work Maturity Classroom activities may be enhanced with field trips designed to expose participants to alternative choices and settings. Goodwill Industries, Inc. will also coordinate efforts with Boy Scout's of America's COPE Program to provide a team building activity. In order to effectively address the above issues, a curriculum will be developed which will include, but is not limited to the following topics: • Adjusting to a new job • Getting along with your employer • Getting along with co-workers • Safety on the job • Living on your own • Understanding paychecks • Managing your money • Special situations that affect one's job • Personal safety • Accessing public services • Understanding yourself • Job search skills • Career decision making • Job retention II. Work Experience : All participants will work in an integrated environment at one of 12 work stations. Goodwill will utilize all Omaha, LaVista and Bellevue locations for this experience. Goodwill offers a variety of vocational opportunities including clerical, retail, production, custodial, and contract work. Coordination and supervision will be provided by a team of rehabilitation professionals working in concert with the work area supervisors. The rehabilitation professionals will include a Case Manager, 2-3 Employment Specialists (job coaches) and the Manager of Rehabilitation and Community Employment Services. The Store Managers, Contract Manager, Custodial Supervisor and Production Supervisor (work area supervisors) play an important role in maintaining consistent performance levels in the actual work of the participants. In addition, the Director of Career Development Services will provide oversight of the program to ensure compliance with all agency policies and procedures, contract requirements and grant regulations. Goodwill Industries, Inc. has been a major provider of employment and training opportunities for individuals with disabilities and other vocational disadvantages for 60 years in the Omaha community. Currently, Goodwill is a contract provider of Vocational and training services for the Division of Vocational Rehabilitation for both Nebraska and Iowa, Nebraska Department of Education/Omaha Public Schools, Bellevue Public Schools, Fremont Public Schools, the Veteran's Administration, and the Nebraska Department of Health and Human Services. Goodwill holds sub-contracts through NISH to hire disabled workers to perform custodial duties at the Zorinsky Federal Building, the National Parks Service Building and Offutt Air Force Base. Performance Capacity: Goodwill has served as a contractor with Job Training of Greater Omaha for the Summer Youth Program for more than six years. In those programs, youth with identified disabilities were served. These youth were selected for placement at Goodwill because of their need for specialized programming and trained, professional staff supervision. Training Staff Experience: The staff designated to work with the participants in the program have all been selected based on their experience and demonstration of ability to serve the needs of this special population of young people. The staff positions to be included and their involvement are: Rehabilitation and Community Employment Services Manager. Over seven years of experience in working with individuals with disabilities or disadvantages. A Bachelor of Arts graduate of Colorado State University Social Sciences Program, with minors in Human Development, Sociology, and Criminal Justice. Duties will include: coordination of intake and job assignment, monitoring of all administrative details, providing in-service training for volunteer mentors, and management of job coaching activities. Case Manager: A Bachelor of Arts graduate of Wayne State Human Services Counseling program; currently pursuing Masters Degree in Counseling at University of Nebraska at Omaha. Has worked with individuals with disabilities or disadvantages for five years. Currently responsible for case management for Special Education students involved in Work Experience training. Duties will include: job coaching at the main facility, conducting Job Survival Skills classes, and assessment of participant progress. Case Manager: Currently pursing a Bachelor of Arts Degree in Psychology at Creighton University. Has worked with challenging populations for two years. Current responsibilities include case management within assessment, work adjustment, and work experience programs. Duties will include: job coaching at the main facility, conducting Job Survival Skills classes, and assessment of participant progress. Employment Specialists (job coaches): These positions will be filled specifically for this program. The successful candidates will be some one with the experience and ability to serve as a support system for those participants that are having difficulty adjusting to their work environment. Duties will vary depending on the identified needs of the student workers. Financial System: "Goodwill Industries, Inc. was incorporated on November 17, 1933 as a nonprofit corporation with the primary purpose to provide education, employment, training, rehabilitation and opportunities for personal growth for the handicapped and disabled... the accounts of Goodwill are maintained in accordance with the principles of'fund accounting'. This is the procedure whereby resources are classified for accounting and reporting purposes into funds that are in accordance with the primary activities and objectives specified." PERFORMANCE GOALS It is the goal of this program to provide employment and training opportunities to a maximum of 30 youth referred through Job Training of Greater Omaha. These youth present special needs because of their identification as being disabled. Therefore, our intent will be to provide them with first hand experience if what is expected in a job setting and to demonstrate alternative methods of resolving problems that might arise in the performance of these job duties. Our goal is to provide an atmosphere of"challenge and support" that will allow these youth to complete this program. Classroom activities will provide the opportunity for them to explore themselves and the world of work with an eye toward planning for their futures. We will strive to maintain 90% of those participants assigned to our program through the completion. In addition, will incorporate basic academic instruction into the planned curriculum in an attempt to remediate the educational levels of program participants. Funding It is understood and agreed that any and all payments to be made under this Agreement are to be paid solely and exclusively from funds received under JTPA grants and not from any funds of the City of Omaha. Consequently, this Agreement is made subject to, and conditional upon, actual receipt of said federal funding. In the event that such funding is suspended, reduced or terminated, in whole or in part, then this Agreement shall automatically terminate. F. Bonding(OJT Contractors excluded) Every officer, director, agent or employee of the Contractor or subrecipient of funds who is authorized to act on behalf of a Contractor or subrecipient for the purpose of receiving or depositing funds into the program accounts or issuing financial documents, checks or other instruments of payment for program costs, shall be bonded to provide protection against loss in an amount equal to twice the dollar amount of the highest monthly advance or reimbursement received, or projected to be received, during the current fiscal year. Prior to the starting date of the subcontract, the Contractor shall submit a certificate of insurance evidencing the above coverage. The certificate of insurance must contain a thirty (30) day Notice of Cancellation or Reduction in the coverage clause. G. Insurance* Notwithstanding any other provisions to the contrary, this Agreement shall not become effective until the following insurance requirements have been met. Consequently, the Contractor shall not commence any work or otherwise perform hereunder until said requirements have been satisfied. The Contractor shall provide, at the time of execution, a certificate of insurance evidencing compliance with this provision. Said certificate shall be in a form acceptable to the City Law Department, shall include the City as an additional named insured, and must contain a "thirty (30) day Notice of Cancellation or Reduction of coverage clause." All certificates of insurance and the carriers issuing same are subject to approval by the City; however, any such approval shall not relieve nor decrease the liability of the Contractor under this Agreement. The insurance procured must afford the following coverages: 1. Workmen's Compensation in accordance with statutory limits. Employer's liability'coverage shall be maintained with limits of liability of $100,000. OJT Contractors will carry Workmen's Compensation, Liability Insurance and Automobile Liability Insurance in accordance with the statutory limits of the State of Nebraska. 2. Liability Insurance: Public personal injury liability and property damage liability, including contingent liability and contractual liability. 2 GREATER OMAHA SERVICE DELIVERY AREA SPECIAL TERMS AND CONDITIONS A. Performance The Contractor assures that all performance hereunder:will be in accordance with the statement of work and within the period of this contract'as described herein. The Contractor further assures.that°he/she will comply with all applicable laws, ordinances, charters and regulations embraced in this contract. B. Performance Bond (OJT Contractors excluded) 1. The Contractor may be required to file a Performance Bond, with the City of Omaha Law Department, in a dollar amount determined by the City Attorney. 2. If it is determined by the City Attorney that a waiver shall be granted for the Performance Bond requirement, the Contractor shall insure that written documentation, which supports such determination, is issued. 3. The Contractor, in executing this subcontract, understands and accepts that no funds will be advanced or expended for the performance of this contract until such time that a Performance Bond or written documentation in support of a waiver of the requirement for a Performance Bond is on file in the office of the City Attorney. C. Acceptance of Performance It is understood and agreed that performance- hereunder must. be done to the satisfaction of the City, and that no payments shall become due and owing hereunder until such time as the City has verified, reviewed, approved and accepted such performance which acceptance shall be issued in and evidenced by a formal writing in the manner and form prescribed by the City. D. Hold Harmless The Contractor shall indemnify and hold harmless the City, its officers, agents and employees from any and all liability, claims, causes of action, damages, injuries or death as may be occasioned by the act or omission of one or more of the Contractor's officers, agents or employees during the term of this Agreement. Both parties do hereby agree to waive any special, incidental, consequential damages arising as a result of breach of this Agreement provided that both parties do hereby reserve their right to recover from each other general contractual damages arising out of the breach of this Agreement. 1 One person in any one occurrence $100,000 Two or more persons in any one occurrence $300,000 Property damage in any accident $ 50,000 Aggregate property damage limit $ 50,000 3. Automobile Liability Insurance: To have basic coverage as stated under Nebraska law. H. Property(cost reimbursable contracts only) All purchases for consumable supplies or materials, capital equipment and/or services made pursuant to this shall be made by purchase orders or by written contract. All equipment, supplies, materials and other personal property purchased or procured in whole or in part with JTPA funds shall remain the sole and exclusive property of the City. All recoverable expendable and nonexpendable property will be returned to the City upon the completion of each contract or upon request. Records The Contractor shall maintain and shall permit any authorized representative of the City to inspect portions of its books, files, records or other data compilations as is deemed necessary by the City to determine whether it is properly performing hereunder, complying with all terms, conditions and provisions herein and that funds are being utilized, expended appropriately and in accordance with this Agreement. It is understood and agreed that all such records are maintained locally and will be made available there for inspection and copying during normal business hours upon three (3) days written notice. Such records shall be retained for a period of three (3) years. The City shall bear its own expenses or costs incurred in performing such an inspection. The Contractor shall also submit any and all reports as may be periodically required by the City. J. Affirmative Action Report (applicable for contracts of$2,000 or more) The Contractor understands that before any funds may be expended by the City for the Performance of this contract, an Affirmative Action Report must be on file with and in the format required by the Human Relations Department of the City of Omaha (Form CC-1). K. Subcontracting None of the work or services covered by this contract shall be further subcontracted without the prior written approval of the City and the Private Industry Council (PIC). L. Assignment The Contractor may not assign its interest, nor any part thereof, without having first obtained the express written approval of the City. 3 2 M. Conflict of Interest The Contractor does hereby certify that no officer, owner nor other person in its employ is an elected official, officer or employee of the City of Omaha nor any of its JTPA funded projects or programs. N. Monitoring, Evaluation and Audit The Contractor hereby agrees that the Comptroller General of the United States, or any of THE DULY AUTHORIZED REPRESENTATIVES OF THE DEPARTMENT OF LABOR, or any duly authorized representatives of the City of Omaha, shall have access to any books, documents, papers, records and accounts of the Contractor which are directly pertinent to this project for the purpose of making audit, examination, excerpts and transcriptions and otherwise evaluating and/or monitoring its progress and/or performance hereunder. O. Modification The City may unilaterally modify this Agreement at any time by providing the Contractor with notice of same. The Contractor may not modify this Agreement without the express written consent of the City. P. Disputes * 1. The Contractor agrees to attempt to resolve disputes arising from this contract by administrative process and negotiation prior to, and in lieu of, litigation. Continued performance during disputes is assured. 2. Any dispute concerning a question of fact arising under this contract which is not settled by informal means shall be decided by the City's authorized representative, who shall reduce his/her decision to writing and mail or otherwise furnish a copy thereof to the Contractor. 3. In connection with any appeal proceeding under this clause, the Contractor shall be afforded an opportunity to be heard and to offer evidence in support of its appeal. Pending final decision of a dispute hereunder, the Contractor shall proceed diligently with the performance of the contract and in accordance with the City's decision. 4. This "Disputes" clause does not preclude consideration of law questions in connection with decisions provided above; provided that nothing in this contract shall be construed as making final the decision of any administrative official, representative, or board on a question of law. CONTRACTORS MUST ADHERE TO THE ADMINISTRATIVE ENTITY'S GRIEVANCE PROCEDURES UNLESS OTHERWISE APPROVED BY THE ADMINISTRATIVE ENTITY. 4 • Specific grievance procedures are set forth in the agreement between Job Training of Greater Omaha and the State of Nebraska on Page 15, Section J. A copy of these procedures are available upon request. Q. Termination The City shall have an unqualified right to terminate this Agreement upon thirty (30) days written notice. Any such termination shall not constitute a breach of this Agreement. R. Equal Employment Opportunity Clause, During the performance of this Agreement, the Contractor agrees as follows: 1. The Contractor shall not discriminate against any employee/applicant for employment because of race, religion, color, sex or national origin. The Contractor shall take affirmative action to ensure that applicants are employed and that employees are treated during employment without regard to their race, religion, color, sex or national origin. As used herein, the word, "treated" shall mean and include, without limitation, the following: Recruited, whether advertising or by other means; compensated; selected for training, including apprenticeship; promoted; upgraded; demoted; downgraded; transferred; laid off; and, terminated. The Contractor agrees to and shall post in conspicuous places available to employees and applicants for employment, notices to be provided by the contracting officers setting forth the provisions of this non- discrimination clause. 2. The Contractor shall, in all solicitations or advertisements for employees placed by or on behalf of the contractor, state that all qualified applicants will receive consideration for employment without regard to race, religion, color, sex or national origin. 3. The Contractor shall send to each labor union or representative of workers with which it has a collective bargaining agreement or other contract or understanding a notice advising the labor union or worker's representative of its commitments under the equal employment opportunity clause of the City and shall post copies of the notice in conspicuous places available to employees and applicants for employment. 4. The Contractor shall furnish to the contract compliance officer all federal forms containing the information and reports required by the federal government for federal contracts under federal rules and regulations, and including the information required by Sections 10-192 to 10-194, inclusive, and shall permit reasonable access to his/her records. Records accessible to the contract compliance officer shall be only after reasonable notice is given the Contractor. The purpose for this provision is to provide for investigation to ascertain compliance with the program provided for herein. 5 5. The Contractor shall take such actions with respect to any subcontractor as the City may direct as a means of enforcing the provisions of paragraphs 1 through 7 herein, including penalties and sanctions for noncompliance; however, in the event it becomes involved in or is threatened with litigation as the result of such direction by the City, the City will enter into such litigation as is necessary to protect the interests of the City and to effectuate the provisions of this division. The Contractor or the City may request the United States to enter into such litigation to protect the interests of the United States. 6. The Contractor shall file and shall cause his/her subcontractors, if any, to file compliance reports with it in the same form and to the same extent as required by the federal government for federal contracts under federal rules and regulations. Such compliance reports filed at such times as directed shall contain information as to the employment, practices, policies, programs and statistics of the Contractor and his/her subcontractors. 7. The Contractor shall include the provisions of paragraphs (A) through (G) of this section, "Equal Employment Opportunity Clause," and Section 10-193 in every subcontract or purchase order so that such provisions will be binding upon each subcontractor or vendor. Refusal by the Contractor or Subcontractor, if any, to comply with any of the above and foregoing provisions will subject the offending party to any or all of the following penalties: 1. Withholding of all future payments under the involved contracts to the Contractor in violation until it is determined that the Contractor or Subcontractor is in compliance with the provisions of the contract; 2. Refusal of all future bids for any contracts with the City or any of its departments or divisions until such time as the Contractor or Subcontractor demonstrates that he/she has established and shall carry out the policies of the program as herein outlined. S. Non-Discrimination The Contractor shall not, in the performance of this contract, discriminate or permit discrimination in violation of federal or state laws or local ordinances because of race, color, sex, age, political or religious opinions, affiliations or national origin. Individuals in on-the-job training contracts shall be compensated by the employer at the same rate including periodic increases as similarly situated employees or trainees. T. Code of Conduct During the period of performance hereunder, the Contractor and Subcontractors, if any, their officers, owners, staff, agents and employees are subject to the following standards while performing their official duties. Any violation of this code may be grounds for immediate termination of this contract. No person shall: , 1 1. Submit or accept gratuities, favors or anything of monetary value from suppliers or potential suppliers; or 2. Participate in the selection, award or administration of a procurement, where, to the individual's knowledge, any of the following people has a financial or other substantive interest in any organization which may be considered for award: a. The officer, employee or agent; b. Any member of his/her family; c. His/her partner; d. A person or organization which employs any of the above or with whom any of the above has an arrangement concerning prospective employment. U. Strict Compliance All provisions of this contract and each and every document that shall be attached shall be strictly complied with as written, and no substitutions or changes shall be made except upon written direction from an authorized representative. V. Approval of Amendments The parties hereto acknowledge that, as of the date of the execution of this Agreement, Section 10-142 of the Omaha Municipal Code provides as follows: Any amendment to contracts or purchases which taken alone increases the original bid price as awarded (a) by ten percent, if the original bid price is one hundred fifty thousand dollars ($150,000) or more, or (b) by seventy-five thousand dollars ($75,000) or more, shall be approved by the.City Council in advance of the acceptance of any purchase in excess of such limits or the authorization of any additional work in excess of such limits. However, neither contract nor purchase amendments will be split to avoid advance approval of the City Council. The originally approved scope and primary features of a contract or purchase will not be significantly revised as a result of amendments not approved in advance by the City Council. The provisions of this Section will be quoted in all future City contracts. Nothing in this Section is intended to alter the authority of the Mayor under Section 5.16 of the City Charter to approve immediate purchases. W. Restrictions on Use of Funds No funds hereunder shall be used for any partisan political activity or to further the election or defeat of any candidate for public office; nor shall they be used to provide services or the employment or assignment of personnel in a manner supporting or resulting in the identification of programs/project conducted or operated pursuant to this Agreement with: 7 � - 4 4 - 1. Any partisan or non-partisan political activity or any other political activity associated with a candidate, or contending faction or group in public election or party office; 2. Any activity to provide voters or prospective voters with transportation to the polls or similar assistance in connection with any such election; 3. Any voter registration activity. X. Notices Any and all notices, approvals or other required communications shall be sent by certified or registered mail, United States mail, postage prepaid, and shall be deemed effective upon dispatch. Y. Unavoidable Delay It is understood and agreed that in the event that unforeseeable circumstances beyond the reasonable control of either party should prevent the completion of their respective obligations hereunder, neither party shall be penalized for such unavoidable delay. In the event of such an unavoidable delay, the City shall have an unqualified right to immediately terminate the Agreement, or, at the City's sole discretion, to extend the time for completion of all obligations hereunder to a specified date, which shall be mutually agreed upon and set forth in writing. Z. Merger This contract shall not be merged into any other oral or written contract, lease or deed of any type. AA. Caption Captions used in this contract are for convenience and are not used in the construction of this contract. BB. Applicable Law Parties to this contract shall conform with all existing and applicable City ordinances, resolutions, state laws, federal laws and all existing and applicable rules and regulations. Nebraska law will govern the terms and the performance under this contract. CC. Entire Agreement This contract contains the entire agreement of the parties. No representations were made or relied upon by either party than those that are expressly set forth herein. • 8 DD. Single Audit Act of 1984 The Single Audit Act of 1984, P.L. 98-502, establishes audit requirements for State and local governments that receive Federal aid, and defines Federal responsibilities for implementing and monitoring those requirements. The Contractor will comply with all provisions and regulations and have an audit completed in compliance with OMB Circular A-133 or A-128 as applicable. The Contractor shall submit to the City within ninety (90) calendar days after completion of this Agreement all financial, performance and other reports required as a condition of this Agreement. At its discretion, the City may grant an extension of the ninety (90) day limit upon request of the Contractor. The Contractor agrees to reimburse the City of Omaha for all costs which are disallowed as a result of the audit. The Contractor hereby agrees that the Comptroller General of the United States, or any of its duly authorized representatives, or any duly authorized representative of the City of Omaha, shall have access to any books, documents, papers, records and accounts of the contractor which are directly related to this project for the purpose of making an audit, examination, excerpts in transcriptions and otherwise evaluating and/or monitoringits progress and/or itsperformance hereunder. It is understood and agreed P 9 9 that all records are maintained locally and will be made available for inspection and copying during normal business hours upon three (3) days written notice. Such records shall be retained for a period of three (3) years, after completion of the contract. EE. Other Contract Requirements 1. The Contractor shall attend scheduled orientations as designated by Job Training of Greater Omaha prior to contract start date. 2. Contractors with a combination of Education, and any other JTPA activity, must assure that youth participate in Education to continue in the program. 3. Contractors must maintain a file on each participant FOR THREE (3) YEARS, including, but not limited to, the following: -I.S.S. -Pre/post test scores -Measure of achievements - documented -Contact sheet -Time and attendance records 4. Final reports (In-School projects) must be submitted no later than thirty (30) days after contract completion date describing the outcome of the program and must include the following: -Academic credit received -Placements 9 �' -Completion of GED/grade achievement -Competency attained -Completion rate 5. ALL FINAL SYEP REPORTS MUST BE SUBMITTED BEFORE FINAL PAYMENT IS MADE. NO PAYMENTS WILL BE MADE AFTER SEPTEMBER 30, 1998 . UNLESS AUTHORIZED BY THE JTGO DIRECTOR. THE OUTCOME OF THE PROGRAM MUST INCLUDE THE FOLLOWING: -PRE-TEST/POST-TEST RESULTS WHICH REFLECT INDIVIDUAL AND CLASS SIZE GAINS. -COMPLETION RATE FOR PARTICIPATING YOUTH. FF. Sectarian Activities The Contractor shall ensure that no participant hired under the JTPA program will be employed on the construction, operation, or maintenance of so much of any facility as is used or to be used for sectarian instruction or as a place for religious worship. GG. Relocating Establishments The Contractor shall ensure that no JTPA funds will be used to assist in relocating establishments, owned or leased by the contractor, or parts thereof, from one area to another unless the Secretary of Labor determines that such relocation will not result in an increase in unemployment in the area of original location or in any other area. HH. Debarment and Suspension Certification/Lobbvinq Certification According to Executive Order 12549, all recipients of $25,000 or more of Federal funds must certify that its principles are not presently debarred, suspended, proposed for debarment, declared ineligible or voluntarily excluded from participation in transactions by any Federal department or agency. Public Law 101-121, Section 319, prohibits recipients of Federal contracts, grants and loans in excess of $100,000 from using appropriated funds for lobbying the executive or legislative branches of the Federal Government in connection with a specific contract, grant or loan and a certification must be filed with and remain with the awarding organization. Information needs to be secured regarding the potential harm participants may represent to themselves or to others in the organization. This is secured by reviewing information provided by the referral agency. 2. If a positive record of violent criminal activity is uncovered, acceptance. into the Goodwill is predicated upon meeting the following three conditions: a. No deviant activity within the last 90 days. b. Written indication that the person has successfully completed or is currently undergoing counseling for the deviant behavior. c. A written professional opinion that the participant does not presently represent a threat to him/herself or the agency, and that the participant is ready for a regime of work training. 3. Under no circumstance will a participant with a violent past be placed in a training environment without the on-site support of personnel. 4. If an incident of violence or threatening behavior occurs while in training, the.specific procedures will be followed: a. When appropriate, Goodwill Industries will call upon the Police Department to provide emergency management and intervention for these maladaptive behaviors. b. The incident will be reviewed by the case manager, trainer and department supervisor to determine how and why the incident occurred, the degree of seriousness, and likelihood for it to occur again. A recommendation will be made to either suspend training or to continue in another work setting. c. A second incident will result in immediate suspension. d. Evidence of any criminal behavior resulting in arrest, prosecution, sentencing, while in a program of job training at Goodwill, will result in the participant's termination.
