The objective is to offer youth an opportunity to learn about various job opportunities through structured classroom instruction, hands,on experience, field trips and work experience. During the above period, the contract will provide classroom activities designed to enhance the participants' knowledge in the areas of vocational and career exploration, work place survival skills, and social and basic living skills. The contractor has on file a current Annual Contract Compliance Report Form (CC-1). As is the City policy, the Human Relations Director will review the contract to ensure compliance with the Contract Compliance Ordinance. RECITALS WHEREAS, the City of Omaha has been designated by the State of Nebraska as Grant Recipient for Job Training Partnership Act(JTPA) funds; and, WHEREAS, the geographic area covered by this grant includes Douglas, Sarpy, and Washington counties; and, WHEREAS, Omaha Public Schools submitted a proposal for a Summer Youth Career Exploration project for 100 economically disadvantaged youth, ages 14-15, for 20 hours per week for approximately eight weeks within the period of June 1, 1998 through August 7, 1998, in an amount not to exceed $59,315; and, WHEREAS, funding for this project is provided by the Federal Government pursuant to the JTPA; and, WHEREAS,the Private Industry Council's Executive Committee approved this proposal; and, WHEREAS,the Mayor recommends approval of this contract. NOW, THEREFORE, in consideration of the mutual covenants and agreements herein contained, JTGO and the Contractor mutually undertake and agree as follows: 1. DUTIES OF THE CONTRACTOR The Contractor agrees to do the following along with all other obligations expressed or implied in this agreement: A. The Contractor shall perform the services set forth in the document attached hereto as Exhibit"A" and by this reference incorporated herein as though fully set forth entitled Contractor will take all reasonable means to insure the goals set forth herein are met: B. The Contractor shall submit to JTGO written reports on the progress of the Contractor's project. Such written reports will be due fifteen-days following the end of each calendar quarter. All written reports shall be addressed to Diane Thomas, Director, JTGO, 2421-23 North 24th Street, Omaha,NE 68110. 4 s w1 C. The Contractor assures that it shall be liable to repay all funds provided by this grant agreement which are determined to be a wrongful expenditure of funds due to: (1)willful disregard of the Job Training Partnership Act and its implementing regulations, (2)willful disregard of state and local laws,rules or regulations, (3) gross negligence, or(4)failure to observe accepted standards of administration. D. The Contractor assures that it will fully comply with 41 CFR 29-70 and retain all records,books of account, and other documents related to the Agreement for a period of three years. If prior to the expiration of the three-year retention period, litigation or an audit has begun, the records, books of account, and documents relating to the grant agreement will be retained until the litigation is complete and audit findings are resolved. E. The Contractor assures that it will fully comply with Title VI and VII of the Civil Rights Act of 1964, Title IX of the Education amendments of 1972, Section 504 of the Rehabilitation Act of 1983,and the Age Discrimination Act of 1975. The Contractor further assures that no person associated with this grant shall be excluded from participation in,denied the benefits of, subjected to discrimination under, or denied employment because of race, color, religion, sex, national origin, age, handicap, political affiliation or belief and that all programs under this grant shall be open to all citizens and.nations of the United States, lawfully admitted permanent resident aliens,lawfully admitted refugees,parolees and other individuals authorized by the Attorney General to work in the Untied States. F. The Contractor assures that it will give the City of Omaha/Job Training of Greater Omaha, Nebraska Department of Education and the Nebraska Department of Labor or its representatives the access to and the right to examine all documents related to this Agreement. G. The Contractor assures that it will comply with federal, state or local laws governing applicable licensing,taxation and insurance requirements. H. The Contractor assures it will comply with the Hazardous Occupations Orders issued pursuant to the Fair Labor Standards Act and set forth as 29 CRF 570.50 with respect to the employment of youths under 18 years of age and the Child Labor Standards of 29 CFR 570.31. I. The Contractor shall not discriminate against any employee or applicant for employment because of race, religion, color, sex, national origin, age, handicap or political affiliation. The Grantee shall take affirmative action to insure that applicants are employed and that employees are treated during employment,without regard to their race,religion,color, sex,national origin, age, handicap or political affiliation. As used herein the word "treated" shall mean and include, without limitation, the following: recruited (whether advertising or by other means) compensated; selected for training, including apprenticeship; promoted; upgraded; demoted; downgraded;transferred; laid off; and,terminated. (Such action shall include,but not be limited to the following: Employment, upgrading, demotion, or transfer, recruitment or recruitment -2- 4s 'l advertising; layoff or termination; rates of pay or other forms of compensation; and selection for training including apprenticeship.) The Grantee agrees to and shall post in conspicuous places, available to employees and applicants for employment, notices setting forth the provisions of this nondiscrimination clause. J. The Contractor will, in all solicitations or advertisements for employees placed by or on behalf of JTGO, state that all qualified applicants will receive consideration for employment without regard to race,religion, color, sex, national origin, age,handicap or political affiliation. K. The Contractor shall send forth to each labor union or representative of worker with which he has a collective bargaining agreement or other contract or understanding notice advising the labor union or worker's representative of the Grantee's commitment under Section 202 of Executive Order 11246 of September 24, 1965, as amended, and shall post copies of the Notice in conspicuous places available to employees and applicants for employment. L. The Contractor shall, in accordance with Omaha Municipal Code Section 10-162, maintaining records and accounts, including property,personnel, and financial records, to assure an account of all contract expenses;make such records and accounts available for audit purposes to the finance director, or any authorized Job Training of Greater Omaha representative; to retain such records and accounts for a period of five years; submit to Job Training of Greater Omaha progress reports on a quarterly basis of all activities and functions for which funds of the city are received; submit to the Job Training of Greater Omaha a contract completion report; and be subject to all federal and local legislation prohibiting discrimination including title VI of the Civil Rights Act,the fair employment practices ordinance (sections 13-88 through 13-103) and the provisions of the Home Rule Charter of the City of Omaha, 1956. 2. COMPENSATION A. In consideration of timely performance hereunder,the City agrees to pay an amount not to exceed the sum of$59,315.00. B. In order to receive payments hereunder, Contractor shall submit to the City an itemized statement and/or voucher reflecting the amounts claimed to be due and owing provided, however, that no amounts shall be paid nor become due and owing until the City has received, verified, approved and accepted said voucher or statement. Said statements or vouchers shall be issued on or after the first day of each calendar month and shall include only amounts claimed for performance rendered during the immediately preceding month. -3- • •1 C. In no event shall the City become obligated to make any payments nor shall any claims or rights accrue hereunder, at any time, for performance that has not already been rendered in timely compliance with the terms and conditions of this contract. No claims or rights shall accrue nor shall any amount become due and owing hereunder unless and until Contractor shall have first performed and thereafter submitted its statement and/or voucher. All final reports must be submitted before final payment is made. D. It is understood and agreed that this contract is subject to and conditioned upon the availability and receipt by JTGO of Job Training Partnership Act funds. 3. TERM This agreement shall become effective on the date executed by all of the parties hereto; and, shall terminate not later than August 8, 1998. Either party may immediately terminate this agreement upon mailing written notice thereof to the other party;provided that in the event of such early termination,the Contractor shall immediately return to JTGO all unexpended funds advanced to the Contractor under this agreement. 4. INDEMNITY The Contractor covenants and agrees to indemnify and hold harmless the City of Omaha, its officers, agents and employees, its successors and assigns, individually or collectively, from and against all liability for any fines,claims, suits,demands, actions or causes of action of any kind and nature for personal injury or death, or property damage in any way arising out of or resulting from the acts of the Contractor's own employees or agents, and the Contractor further agrees to pay all expenses in defending against any claims made against the City of Omaha based on the acts of the Contractor's employees or agents. The Contractor and City of Omaha shall give prompt and timely written notice of any claim made or suit instituted which, in any way, directly or indirectly, contingently or otherwise, affects or might affect the other parties. 5. CONFLICT OF INTEREST The Contractor assures that no individual under its employment will exercise any function or responsibility in connection with JTPA funded projects or programs if they have a personal financial interest, direct or indirect, in this agreement nor will the Contractor hire any person having such conflicting interests. The Contractor further assures that no council or board member will be allowed to vote on any Job Training Partnership Act (JTPA) projects or programs under this agreement where the member has personal financial interest direct or indirect. -4- . 6. CAPTIONS Captions used in the agreement are for convenience and are not used in the construction of this agreement. 7. APPLICABLE LAW Parties to this agreement shall conform with all existing and applicable City ordinances, resolutions, state laws, federal laws, and all existing and applicable rules and regulations. Nebraska law will govern the terms and the performance under this agreement. 8. MERGER This agreement shall not be merged into any other oral or written agreement, lease, or deed of any other type. This is the complete and full agreement of the parties. 9. MODIFICATION This contract contains the entire agreement of the parties. No representations were made or relied upon by either party other than those that are expressly set forth herein. No agent, employee or other representative of either party is empowered to alter any of the terms hereof unless done in writing and signed by an authorized officer of the respective parties. 10. ASSIGNMENT Neither party may assign its rights under this contract without the express prior written consent of the other party. 11. With only a few years from the 21 st Century, American workers must be prepared to be successful in the competitive workplace. Preparing youth for the future workplace is the main focus of the program. The overall objectives include: 1 .0 To reduce the number of students failing or dropping required subjects due to reading and math deficiencies. 2.0 To help student develop a career plan by determining special interests and skills. 3.0 To increase an awareness and learning about occupational areas. 4.0 To identify and increase an awareness of pertinent life skills. 5.0 To provide technological training by introducing Internet resources for research purposes. Students will participate in progressive education classes in reading, writing, math, career exploration, work maturity, work related math and reading classes. Integrated practices in reading, writing, speaking, listening, and observing will be encouraged. Participants who tested below their current grade level will receive extensive instruction in math and reading; those students with weak skills will receive individual instruction that will raise their level of proficiency in reading comprehension and basic math skills. Job seeking, vocational assessment, job retention skills and life skills will be provided for each student along with the introduction for five (5) occupational clusters. 1 �. � ) s Methods of training will include: lecture method, team approach, individual training, one-on-one tutoring and guest speakers. Study course will be designed to evaluate the student's reason for remaining in school, emotional balance time management, textbook reading, note taking, preparation for exams and how to take exams. The following will be used for training: textbooks, workbooks, computer lab (Internet), computer software, math kits, educational games, library, and career center. Students will participate in career life planning classes that will span the entire eight (8) weeks, beginning June 10, 1998 and ending August 4, 1998. Basic Skills Students in the OPS-SYP 1998 will receive instruction in reading, writing, and mathematics. Participants will have an instructor and teacher's aide comprising the teaching team. The teaching team will present the material in a fashion that will recognize the students' level of achievement and comprehension. Each participant will be assigned to a group of not more that sixteen (16) students. Each student will receive one (1 ) academic credit for each subject successfully completed contingent on previous agreement with the City of Omaha and Omaha Public Schools. The Reading/English goal of the program is to have students maintain their present comprehension and vocabulary levels and/or increase these levels. The Reading/English goal will also concentrate on helping students master reading and writing skills needed in order to function successfully in the working world. The core material will include Employment Reading Skills Lab and a variety of paperback books and dictionaries. The comprehensive curriculum will cover areas related to everyday living and will give the participant a valuable learning opportunity; the curriculum will involve lectures/volunteer speakers from community agencies, hands on materials providing important facts, video presentations, and worksheets. This component will culminate with students successfully passing life skills and attending a luncheon or dinner at a local restaurant to reiterate social skills. Preparing youth for the competitive job market of the 21' Century will be the overall focus of the career exploration component. Five (5) career clusters will be introduced to the program's participants each week. Students will develop an understanding of specific interests, aptitudes, and abilities characteristic of diverse careers. The career exploration component will include valuable information about the following careers as well as nontraditional job emphasis for each career: 1 . Administrative support/clerical careers 2. Arts and communication careers 3. Teachers/Librarians/Counselors 5 A 4. Computer related careers 5. Industrial engineering technology careers The curriculum will include: • 1 .0 Careers in each cluster will be identified and important information related to each career will be provided. Participants will enhance their awareness and understanding of occupational characteristics. 1 .1 Nature of the work 1 .2 Job outlook 1 .3 Working conditions 1 .4 Training and other requirements 1 .5 Earnings 2.0 Students will become familiar with the Occupational Outlook Handbook, Dictionary of Occupational Titles, and other occupational resources. 3.0 IDEAS - Interest, Determination, Exploration and Assessment System. Each student will take this inventory and identify individual interests and match them with a variety of careers. The inventory will be used in making personal assessment and will be filed in students' folders. 4.0 Resource Speakers - career speakers and local role models will address students; students will complete evaluation forms. 5.0 Field Trips - students will broaden their horizons about different work environments and post secondary schools by attending field trips; participants will complete evaluation form. 6.0 Career Portfolio - maintained for each student; student will receive counseling regarding. 7.0 Job Shadowing - Referred students will participate in career shadowing with local professional organizations and businesses. 6 tI' 8.0 Internet Research - participants will be introduced to the Internet and receive five (5) to ten (10) hours of training. Students will be able to research different careers and conduct on line personal assessments. Work Maturity The work maturity component will introduce employability skills needed for the participant's job success in the 21 st Century. The SCANS report of 1991 indicated the necessity for future workers to have workplace competencies and foundational skills in entering the workplace. Students must develop the vital skills to prepare themselves for future employment. Being successful in the new millennium job market will require students to be competent in employability skills. The objectives of the work maturity component are: 1 .0 To enable the youth to function more effectively in an employment setting. 2.0 To enable the youth to develop skills necessary for successful transition from school to work. The participants of this Job Readiness and Job Retention component will demonstrate a knowledge of important skills needed to get the best jobs and promotions. GREATER OMAHA SERVICE DELIVERY AREA SPECIAL TERMS AND CONDITIONS A. Performance The Contractor assures that all performance hereunder will be in accordance with the statement of work and within the period of this contract as described herein. The Contractor further assures that he/she will comply with all applicable laws, ordinances, charters and regulations embraced in this contract. B. Performance Bond (OJT Contractors excluded) 1. The Contractor may be required to file a Performance Bond, with the City of Omaha Law Department, in a dollar amount determined by the City Attorney. 2. If it is determined by the City Attorney that a waiver shall be granted for the Performance Bond requirement, the Contractor shall insure that written documentation, which supports such determination, is issued. 3. The Contractor, in executing this subcontract, understands and accepts that no funds will be advanced or expended for the performance of this contract until such time that a Performance Bond or written documentation in support of a waiver of the requirement for a Performance Bond is on file in the office of the City Attorney. C. Acceptance of Performance It is understood and agreed that performance hereunder must be done to the satisfaction of the City, and that no payments shall become due and owing hereunder until such time as the City has verified, reviewed, approved and accepted such performance which acceptance shall be issued in and evidenced by a formal writing in the manner and form prescribed by the City. D. Hold Harmless The Contractor shall indemnify and hold harmless the City, its officers, agents and employees from any and all liability, claims, causes of action, damages, injuries or death as may be occasioned by the act or omission of one or more of the Contractor's officers, agents or employees during the term of this Agreement. Both parties do hereby agree to waive any special, incidental, consequential damages arising as a result of breach of this Agreement provided that both parties do hereby reserve their right to recover from each other general contractual damages arising out of the breach of this Agreement. Z. 1 1. I - _ 1 E. Funding It is understood and agreed that any and all payments to be made under this Agreement are to be paid solely and exclusively from funds received under JTPA grants and not from any funds of the City of Omaha. Consequently, this Agreement is made subject to, and conditional upon, actual receipt of said federal funding. In the event that such funding is suspended, reduced or terminated, in whole or in part, then this Agreement shall automatically terminate. F. Bonding(OJT Contractors excluded) Every officer, director, agent or employee of the Contractor or subrecipient of funds who is authorized to act on behalf of a Contractor or subrecipient for the purpose of receiving or depositing funds into the program accounts or issuing financial documents, checks or other instruments of payment for program costs, shall be bonded to provide protection against loss in an amount equal to twice the dollar amount of the highest monthly advance or reimbursement received, or projected to be received, during the current fiscal year. Prior to the starting date of the subcontract, the Contractor shall submit a certificate of insurance evidencing the above coverage. The certificate of insurance must contain a thirty (30) day Notice of Cancellation or Reduction in the coverage clause. G. insurance* Notwithstanding any other provisions to the contrary, this Agreement shall not become effective until the following insurance requirements have been met. Consequently, the Contractor shall not commence any work or otherwise perform hereunder until said requirements have been satisfied. The Contractor shall provide, at the time of execution, a certificate of insurance evidencing compliance with this provision. Said certificate shall be in a form acceptable to the City Law Department, shall include the City as an additional named insured, and must contain a "thirty (30) day Notice of Cancellation or Reduction of coverage clause." All certificates of insurance and the carriers issuing same are subject to approval by the City; however, any such approval shall not relieve nor decrease the liability of the Contractor under this Agreement. The insurance procured must afford the following coverages: 1. Workmen's Compensation in accordance with statutory limits. Employer's liability coverage shall be maintained with limits of liability of$100,000. * OJT Contractors will carry Workmen's Compensation, Liability Insurance and Automobile Liability Insurance in accordance with the statutory limits of the State of Nebraska. 2. Liability Insurance: Public personal injury liability and property damage liability, including contingent liability and contractual liability. 2 • One person in any one occurrence $100,000 ; Two or more persons in any one occurrence $300,000 Property damage in any accident $ 50,000 Aggregate property damage limit $ 50,000 3. Automobile Liability Insurance: To have basic coverage as stated under Nebraska law. H. Property (cost reimbursable contracts only) All purchases for consumable supplies or materials, capital equipment and/or services made pursuant to this shall be made by purchase orders or by written contract. All equipment, supplies, materials and other personal property purchased or procured in whole or in part with JTPA funds shall remain the sole and exclusive property of the City. All recoverable expendable and nonexpendable property will be returned to the City upon the completion of each contract or upon request. Records The Contractor shall maintain and shall permit any authorized representative of the City to inspect portions of its books, files, records or other data compilations as is deemed necessary by the City to determine whether it is properly performing hereunder, complying with all terms, conditions and provisions herein and that funds are being utilized, expended appropriately and in accordance with this Agreement. It is understood and agreed that all such records are maintained locally and will be made available there for inspection and copying during normal business hours upon three (3) days written notice. Such records shall be retained for a period of three (3) years. The City shall bear its own expenses or costs incurred in performing such an inspection. The Contractor shall also submit any and all reports as may be periodically required by the City. J. Affirmative Action Report(applicable for contracts of$2,000 or more) The Contractor understands that before any funds may be expended by the City for the Performance of this contract, an Affirmative Action Report must be on file with and in the format required by the Human Relations Department of the City of Omaha (Form CC-1). K. Subcontracting None of the work or services covered by this contract shall be further subcontracted without the prior written approval of the City and the Private Industry Council (PIC). L. Assignment The Contractor may not assign its interest, nor any part thereof, without having first obtained the express written approval of the City. 3 1 M. • Conflict of Interest The Contractor does hereby certify that no officer, owner nor other person in its employ is an elected official, officer or employee of the City of Omaha nor any of its JTPA funded projects or programs. N. Monitoring, Evaluation and Audit The Contractor hereby agrees that the Comptroller General of the United States, or any of THE DULY AUTHORIZED REPRESENTATIVES OF THE DEPARTMENT OF LABOR, or any duly authorized representatives of the City of Omaha, shall have access to any books, documents, papers, records and accounts of the Contractor which are directly pertinent to this project for the purpose of making audit, examination, excerpts and transcriptions and otherwise evaluating and/or monitoring its progress and/or performance hereunder. O. Modification The City may unilaterally modify this Agreement at any time by providing the Contractor with notice of same. The Contractor may not modify this Agreement without the express written consent of the City. P. Disputes* 1. The Contractor agrees to attempt to resolve disputes arising from this contract by administrative process and negotiation prior to, and in lieu of, litigation. Continued performance during disputes is assured. 2. Any dispute concerning a question of fact arising under this contract which is not settled by informal means shall be decided by the City's authorized representative, who shall reduce his/her decision to writing and mail or otherwise furnish a copy thereof to the Contractor. 3. In connection with any appeal proceeding under this clause, the Contractor shall be afforded an opportunity to be heard and to offer evidence in support of its appeal. Pending final decision of a dispute hereunder, the Contractor shall proceed diligently with the performance of the contract and in accordance with the City's decision. 4. This "Disputes" clause does not preclude consideration of law questions in connection with decisions provided above; provided that nothing in this contract shall be construed as making final the decision of any administrative official, representative, or board on a question of law. CONTRACTORS MUST ADHERE TO THE ADMINISTRATIVE ENTITY'S GRIEVANCE PROCEDURES UNLESS OTHERWISE APPROVED BY THE ADMINISTRATIVE ENTITY. 4 • ' Specific grievance procedures are set forth in the agreement between Job Training of Greater Omaha and the State of Nebraska on Page 15, Section J. A copy of these procedures are available upon request. Q. Termination The City shall have an unqualified right to terminate this Agreement upon thirty (30) days written notice. Any such termination shall not constitute a breach of this Agreement. R. Equal Employment Opportunity Clause During the performance of this Agreement, the Contractor agrees as follows: 1. The Contractor shall not discriminate against any employee/applicant for employment because of race, religion, color, sex or national origin. The Contractor shall take affirmative action to ensure that applicants are employed and that employees are treated during employment without regard to their race, religion, color, sex or national origin. As used herein, the word, "treated" shall mean and include, without limitation, the following: Recruited, whether advertising or by other means; compensated; selected for training, including apprenticeship; promoted; upgraded; demoted; downgraded; transferred; laid off; and, terminated. The Contractor agrees to and shall post in conspicuous places available to employees and applicants for employment, notices to be provided by the contracting officers setting forth the provisions of this non- discrimination clause. 2. The Contractor shall, in all solicitations or advertisements for employees placed by or on behalf of the contractor, state that all qualified applicants will receive consideration for employment without regard to race, religion, color, sex or national origin. 3. The Contractor shall send to each labor union or representative of workers with which it has a collective bargaining agreement or other contract or understanding a notice advising the labor union or worker's representative of its commitments under the equal employment opportunity clause of the City and shall post copies of the notice in conspicuous places available to employees and applicants for employment. 4. The Contractor shall furnish to the contract compliance officer all federal forms containing the information and reports required by the federal government for federal contracts under federal rules and regulations, and including the information required by Sections 10-192 to 10-194, inclusive, and shall permit reasonable access to his/her records. Records accessible to the contract compliance officer shall be only after reasonable notice is given the Contractor. The purpose for this provision is to provide for investigation to ascertain compliance with the program provided for herein. �f 5 " 5. The Contractor shall take such actions with respect to any subcontractor as the City may direct as a means of enforcing the provisions of paragraphs 1 through 7 herein, including penalties and sanctions for noncompliance; however, in the event it becomes involved in or is threatened with litigation as the result of such direction by the City, the City will enter into such litigation as is necessary to protect the interests of the City and to effectuate the provisions of this division. The Contractor or the City may request the United States to enter into such litigation to protect the interests of the United States. 6. The Contractor shall file and shall cause his/her subcontractors, if any, to file compliance reports with it in the same form and to the same extent as required by the federal government for federal contracts under federal rules and regulations. Such compliance reports filed at such times as directed shall contain information as to the employment, practices, policies, programs and statistics of the Contractor and his/her subcontractors. 7. The Contractor shall include the provisions of paragraphs (A) through (G) of this section, "Equal Employment Opportunity Clause," and Section 10-193 in every subcontract or purchase order so that such provisions will be binding upon each subcontractor or vendor. Refusal by the Contractor or Subcontractor, if any, to comply with any of the above and foregoing provisions will subject the offending party to any or all of the following penalties: 1. Withholding of all future payments under the involved contracts to the Contractor in violation until it is determined that the Contractor or Subcontractor is in compliance with the provisions of the contract; 2. Refusal of all future bids for any contracts with the City or any of its departments or divisions until such time as the Contractor or Subcontractor demonstrates that he/she has established and shall carry out the policies of the program as herein outlined. S. Non-Discrimination The Contractor shall not, in the performance of this contract, discriminate or permit discrimination in violation of federal or state laws or local ordinances because of race, color, sex, age, political or religious opinions, affiliations or national origin. Individuals in on-the-job training contracts shall be compensated by the employer at the same rate including periodic increases as similarly situated employees or trainees. T. Code of Conduct During the period of performance hereunder, the'Contractor and Subcontractors, if any, their officers, owners, staff, agents and employees are subject to the following standards while performing their official duties. Any violation of this code may be grounds for immediate termination of this contract. No person shall: 6 n • 2+•' 1. Submit or accept gratuities, favors or anything of monetary value from suppliers or potential suppliers; or 2. Participate in the selection, award or administration of a procurement, where, to the individual's knowledge, any of the following people has a financial or other substantive interest in any organization which may be considered for award: a. The officer, employee or agent; b. Any member of his/her family; c. His/her partner, d. A person or organization which employs any of the above or with whom any of the above has an arrangement concerning prospective employment. U. Strict Compliance All provisions of this contract and each and every document that shall be attached shall be strictly complied with as written, and no substitutions or changes shall be made except upon written direction from an authorized representative. V. Approval of Amendments The parties hereto acknowledge that, as of the date of the execution of this Agreement, Section 10-142 of the Omaha Municipal Code provides as follows: Any amendment to contracts or purchases which taken alone increases the original bid price as awarded (a) by ten percent, if the original bid price is one hundred fifty thousand dollars ($150,000) or more, or (b) by seventy-five thousand dollars ($75,000) or more, shall be approved by the City Council in advance of the acceptance of any purchase in excess of such limits or the authorization of any additional work in excess of such limits. However, neither contract nor purchase amendments will be split to avoid advance approval of the City Council. The originally approved scope and primary features of a contract or purchase will not be significantly revised as a result of amendments not approved in advance by the City Council. The provisions of this Section will be quoted in all future City contracts. Nothing in this Section is intended to alter the authority of the Mayor under Section 5.16 of the City Charter to approve immediate purchases. W. Restrictions on Use of Funds No funds hereunder shall be used for any partisan political activity or to further the election or defeat of any candidate for public office; nor shall they be used to provide services or the employment or assignment of personnel in a manner supporting or resulting in the identification of programs/project conducted or operated pursuant to this Agreement with: 7 ti 1. • Any partisan or non-partisan political activity or any other political activity associated with a candidate, or contending faction or group in public election or party office; 2. Any activity to provide voters or prospective voters with transportation to the polls or similar assistance in connection with any such election; 3. Any voter registration activity. X. Notices Any and all notices, approvals or other required communications shall be sent by certified or registered mail, United States mail, postage prepaid, and shall be deemed effective upon dispatch. Y. Unavoidable Delay It is understood and agreed that in the event that unforeseeable circumstances beyond the reasonable control of either party should prevent the completion of their respective obligations hereunder, neither party shall be penalized for such unavoidable delay. In the event of such an unavoidable delay, the City shall have an unqualified right to immediately terminate the Agreement, or, at the City's sole discretion, to extend the time for completion of all obligations hereunder to a specified date, which shall be mutually agreed upon and set forth in writing. Z. Merger This contract shall not be merged into any other oral or written contract, lease or deed of any type. AA. Caption Captions used in this contract are for convenience and are not used in the construction of this contract. BB. Applicable Law Parties to this contract shall conform with all existing and applicable City ordinances, resolutions, state laws, federal laws and all existing and applicable rules and regulations. Nebraska law will govern the terms and the performance under this contract. CC. Entire Agreement This contract contains the entire agreement of the parties. No representations were made or relied upon by either party than those that are expressly set forth herein. ,___ 40 DD. Single Audit Act of 1984 • The Single Audit Act of 1984, P.L. 98-502, establishes audit requirements for State and local governments that receive Federal aid, and defines Federal responsibilities for implementing and monitoring those requirements. The Contractor will comply with all provisions and regulations and have an audit completed in compliance with OMB Circular A-133 or A-128 as applicable. The Contractor shall submit to the City within ninety (90) calendar days after completion of this Agreement all financial, performance and other reports required as a condition of this Agreement. At its discretion, the City may grant an extension of the ninety (90) day limit upon request of the Contractor. The Contractor agrees to reimburse the City of Omaha for all costs which are disallowed as a result of the audit. The Contractor hereby agrees that the Comptroller General of the United States, or any of its duly authorized representatives, or any duly authorized representative of the City of Omaha, shall have access to any books, documents, papers, records and accounts of the contractor which are directly related to this project for the purpose of making an audit, examination, excerpts in transcriptions and otherwise evaluating and/or monitoring its progress and/or its performance hereunder. It is understood and agreed that all records are maintained locally and will be made available for inspection and copying during normal business hours upon three (3) days written notice. Such records shall be retained for a period of three (3) years, after completion of the contract. EE. Other Contract Requirements 1. The Contractor shall attend scheduled orientations as designated by Job Training of Greater Omaha prior to contract start date. 2. Contractors with a combination of Education, and any other JTPA activity, must assure that youth participate in Education to continue in the program. 3. Contractors must maintain a file on each participant FOR THREE (3) YEARS, including, but not limited to, the following: -I.S.S. -Pre/post test scores -Measure of achievements- documented -Contact sheet -Time and attendance records 4. Final reports (In-School projects) must be submitted no later than thirty (30) days after contract completion date describing the outcome of the program and must include the following: -Academic credit received -Placements 9 -Completion of GED/grade achievement -Competency attained -Completion rate 5. ALL FINAL SYEP REPORTS MUST BE SUBMITTED BEFORE FINAL PAYMENT IS MADE. NO PAYMENTS WILL BE MADE AFTER SEPTEMBER 30, 1998 . UNLESS AUTHORIZED BY THE JTGO DIRECTOR. THE OUTCOME OF THE PROGRAM MUST INCLUDE THE FOLLOWING: -PRE-TEST/POST-TEST RESULTS WHICH REFLECT INDIVIDUAL AND CLASS SIZE GAINS. -COMPLETION RATE FOR PARTICIPATING YOUTH. FF. Sectarian Activities The Contractor shall ensure that no participant hired under the JTPA program will be employed on the construction, operation, or maintenance of so much of any facility as is used or to be used for sectarian instruction or as a place for religious worship. GG. Relocating Establishments The Contractor shall ensure that no JTPA funds will be used to assist in relocating establishments, owned or leased by the contractor, or parts thereof, from one area to another unless the Secretary of Labor determines that such relocation will not result in an increase in unemployment in the area of original location or in any other area. HH. Debarment and Suspension Certification/Lobbying Certification According to Executive Order 12549, all recipients of $25,000 or more of Federal funds must certify that its principles are not presently debarred, suspended, proposed for debarment, declared ineligible or voluntarily excluded from participation in transactions by any Federal department or agency. Public Law 101-121, Section 319, prohibits recipients of Federal contracts, grants and loans in excess of $100,000 from using appropriated funds for lobbying the executive or legislative branches of the Federal Government in connection with a specific contract, grant or loan and a certification must be filed with and remain with the awarding organization. Maintenance of records, books, accounts and other documents required by the Agreement must be retained for three years by the employer. 2. a. It possesses legal authority to apply for the grant; that a resolution, motion, or similar action, has been duly adopted or passes as an official act of the contractor's governing body, authorizing the filing of the application, including all understandings and assurances contained therein, and directing and authorizing the person identified as the official representative of the contractor to act in connection with the application and to provide such additional information as may be required. b. It will comply with Title VI and VII of the Civil Rights Act of 1964, and in accordance with Title VI and VII of that Act, no person in the United States shall on the grounds of race, color, sex or national origin be excluded from participation in, be denied the benefits of, or be otherwise subjected to discrimination under any program or activity for which the contractor received Federal financial assistance and will take immediate measures necessary to effectuate this Agreement. 3. That it will administer its programs under the Job Training Partnership Act in full compliance with safeguards against fraud and abuse as set forth therein and in the JTPA regulations; that no portion of its program will in any way discriminate against, deny benefits to, deny employment to or exclude from participation any persons on the grounds of race, color, national origin, religion, age, sex, handicap or political affiliation. 4. In administering programs under JTPA, that: a. These costs can be both personnel and non-personnel and both direct and indirect. Costs of administration shall include costs of salaries, wages, and related costs of the recipient's or subrecipient's staff engaged in (a) overall program management, program coordination, and general administrative functions, including the salaries and related costs of the executive director, project director, personnel officer, fiscal officer/bookkeeper, purchasing officer, secretary, payroll/insurance property clerk and other costs associated with carrying out administrative functions; (b) preparing program plans, budgets, schedules, and amendments thereto; (c) monitoring of programs, projects, subrecipients, and related systems and processes; (d) procurement activities, including the award of specific subgrants, contracts, and purchase orders; (e) providing State and local officials and the general public with information about the program(public relations); (f) developing systems and procedures, including management information systems, for assuring compliance with program requirements; (g) preparing reports and other documents related to the program requirements; (h) coordinating the resolution of audit findings; (i) evaluating program results against stated objectives; and, (j) performing administrative services including general legal, accounting, and auditing services, and managing purchasing, property, payroll, and personnel (costs for goods and services as rental or purchase of equipment, insurance, utilities, office supplies, postage, and rental and maintenance of office space; the costs of organization- wide management functions; and, travel costs incurred for official business in carrying out program management or administrative activities. (2) Indirect or overhead costs normally shall be charged to administration, except that specific costs charged to an overhead or indirect cost pool that can be identified directly with a JTPA cost- objective/category other than administration may be charged to the JTPA cost objective/category directly benefited. Documentation of such changes shall be maintained. (3) Where an award to a subrecipient is for a "commercially available or off- the-shelf training package", the subrecipient may charge all costs of such package to the direct training services cost category. (4)Profits, fees, and other revenues earned by a subrecipient that are in excess of actual costs incurred, to the extent allowable and consistent with the guidelines on allowable costs prescribed by the Govemor(costs principles and allowable costs, may be allocated to all three cost categories based on the proportionate share of actual costs incurred attributable to each category. Direct Training Services Costs for direct training services that may be charged to the program are: (1)the personnel and non-personnel costs directly related to providing those services to participants and which can be specifically identified with one or more of those services.
