The attached Resolution approves the Subdivision Agreement between the City of Omaha and
Sullivan Real Estate Group,LLC,dba Sullivan Homes,Inc. and the Charleston Woods Homeowners
Association. This Subdivision Agreement covers the public improvement of Charleston Woods of
Douglas County,Nebraska located east of 97th Avenue at Pinehurst Circle.
This Subdivision Agreement stipulates which public and private improvements will be built by the
Subdivider in Charleston Woods. The entire cost of improvements made in this development will
be paid by the Subdivider.
The Subdivision Agreement will benefit the City of Omaha and the Subdivider in clarifying the
responsibilities of the parties in building and maintaining the improvements in the subdivision.
The Public Works Department requests your consideration and approval of the attached Resolution
and Subdivision Agreement.

,- . SUBDIVISION AGREEMENT
I
This Subdivision Agreement, made this of , 98, by and between SULLIVAN
REAL ESTATE GROUP LLC dba SULLIVAN HOME , INC., a Nebraska Corporation (hereinafter
referred to as "SUBDIVIDER"), CHARLESTON WOODS HOMEOWNERS' ASSOCIATION, and the
CITY OF OMAHA (hereinafter referred to as "CITY").
WHEREAS, the Subdivider is the owner of the land shown on the proposed plat attached hereto
as Exhibit "A" (hereinafter referred to as "PROPERTY"); and,
WHEREAS, the Subdivider proposes to build public improvements on the property; and
WHEREAS, the Subdivider agrees to form a homeowners' association; and
WHEREAS, the Subdivider and City desire to agree on the method for the installation and
allocation of expenses for public and private improvements to be constructed on the property.
NOW, THEREFORE, in consideration of the above, the following is agreed between the parties
hereto:
1. Public Improvements. Attached hereto as Exhibit "B" and incorporated herein by
reference is a plan that illustrates the public sidewalk, pavement, and sanitary sewer to be
installed adjacent to the Property (hereinafter referred to as Public Improvements). All
Public Improvements must receive the approval of the Public Works Department of the
City prior to construction.
2. Private Improvements. Attached hereto as Exhibit "C" and incorporated herein by
reference is a plan that illustrates the private sidewalk, storm sewer and pavement to be
installed on the Property (hereinafter referred to as Private Improvements).
3. Water, Gas and Electrical Power. The Subdivider agrees to enter into an Agreement with
the Metropolitan Utilities District regarding all water and gas line extensions on the
property and into an Agreement with the Omaha Public Power District for power lines to
be installed on the property. Copies of all Agreements with the Metropolitan Utilities
District and the Omaha Public Power District will be provided to City within four months
from the date of this Agreement.
4. Installation of Improvements. The Subdivider agrees to commence the timely and orderly
installation of the improvements following execution of this Agreement pursuant to Section
53-9 of the Omaha Municipal Code.
5. Payment for Improvements. The Subdivider shall pay the cost of the Public and Private
Improvements as well as all charges by the Metropolitan Utilities District for water and gas
line installation and charges by the Omaha Public Power District for underground electrical
service or overhead power installations.

6. Maintenance of Private Improvements.
A. Maintenance of private improvements shall be the responsibility of a homeowners'
association, its successors and assigns. The homeowners' association shall consist
•
of the owners of Lots 1 thru 10, Inclusive, and Outlot A as shown on Exhibit "A".
Each owner will pay to the Association:
1. Special assessments for capital improvements, and
2. Assessments for maintenance and other operational expenses as deemed
necessary by the Association, and
3. Common Area maintenance assessments for repair, maintenance and other
operational expenses with respect to the Common Area Improvements as
deemed necessary by the Association.
4. The Subdivider shall transfer title to Outlot "A" to the Association,
contemporaneously with the recording of the fmal plat. Outlot "A" shall
be part of the "Common Area" of the Association.
B. The Association may from time to time repair, maintain and operate the Common
Area Improvements, which maintenance may include, but not be limited to, the
following:
a. Maintaining the surface of the roadways on the Common Area in a level,
smooth, and evenly covered condition;
b. Snow removal as to be determined by the guidelines set forth by the Board
of Directors;
c. Placing, keeping in repair, and replacing any necessary or appropriate
directional signs, markers and lines;
d. Maintaining and repairing any and all common storm drains, utility lines,
sewers and other service facilities which are necessary for the operation of
the dwellings on the Properties (common storm drains, utility lines, sewers
and other service facilities are those which serve all of the Lots);
e. Maintaining all common fences including those on the perimeter of the
Properties;
•
f. Payment of all electrical, water, and other utility charges or fees for
services furnished to the Common Area;
g. Payment of all real property taxes and other special taxes and assessments
assessed against the Common Area or the Common Area Improvements;
and

h. Payment of all premiums for general public liability insurance insuring
against claims for personal injury, death or property damage occurring in,
• upon or about the Common Area.
• C. The organisation, operation, and enforcement of the maintenance provisions shall
be in accordance with the "Declaration of Covenants, Conditions, and Restrictions"
pertaining to and recorded against Lots 1-10, Inclusive, and Outlot "A" of
Rockbrook Woods, a subdivision as surveyed, platted, and recorded in Douglas
County, Nebraska.
7. Right to Connect to City Sewer System. The City hereby acknowledges that it has given
the Subdivider the right to connect the sanitary sewer system of the property to the City
sanitary sewer system, subject to obtaining proper permits and paying the regular fees.
8. Binding Effect. This Subdivision Agreement shall be binding upon the parties, their
respective successors, and assigns and shall run with the land shown on Exhibit "A".
9 Tree Mitigation Plan. Per the survey provided by Thompson, Dreessen & Dorner, there
are presently one hundred three (103) deciduous and ten (10) evergreen trees on the site
with trunk diameter of two inches and greater. As of the time when the site is initially
graded and the road is installed, seventy-seven (77) deciduous and six (6) evergreen trees
will remain. In total, seventy-three percent (73%) of the trees will remain on the site.
Pursuant to the Tree Mitigation Plan shown on Exhibit "D" and attached hereto, two
additional trees with trunk diameter of two inches and greater will be planted in
consideration of each of the 30 trees which are to be removed.
The Tree Mitigation Plan stresses that more important than the replanting effort is the
aftercare of the remaining trees. Specifically, a concerted effort will be made to engineer
and manage the construction projects with the protection of the root systems of the trees
as the primary focus. Wherever root zones are at issue, utility and sprinkler lines will be
installed via boring, not trenching. As much as possible during the construction process,
root zone areas will be barricaded to prevent contractors from compacting the soil by
driving vehicles beneath trees or by piling dirt or other construction material on top of
roots. If retaining walls prove necessary, underground aeration systems will be installed
to maintain a reasonable amount of oxygen to the affected roots.

RESOLVED BY THE CITY COUNCIL OF THE CITY OF OMAHA:
WHEREAS, Sullivan Real Estate Group,LLC, dba Sullivan Homes,,Inc. proposes
to build a Subdivision,Charleston Woods, which will be located east of 97th Avenue at Pinehurst
Circle; and,
WHEREAS, Sullivan Real Estate Group,LLC,dba Sullivan Homes,Inc. wishes to
connect to Omaha's sewer system,the system of sanitary sewers to be constructed by the Subdivider
within the area to be developed; and, •
WHEREAS, the Subdivider has or will create the Charleston Woods Homeowners
Association to provide maintenance for the private improvements; and,
WHEREAS,the parties wish to agree upon the manner in which public and private
improvements will be built by Sullivan Real Estate Group, LLC, dba Sullivan Homes, Inc. and to
clarify the responsibilities of the parties in building and maintaining the improvements in the
subdivision;and,
WHEREAS, a Subdivision Agreement has been prepared setting forth all the
provisions mentioned above.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF OMAHA:
THAT, the Subdivision Agreement between the City of Omaha and Sullivan Real
Estate Group,LLC,dba Sullivan Homes,Inc.and the Charleston Woods Homeowners Association,
as recommended by the Mayor, providing for the public and private improvements and sewer
connections to the Omaha sewer system,is hereby approved.
