MINUTES OF SPECIAL MEETING OF THE BOARD OF TRUSTEES OF SANITARY AND IMPROVEMENT DISTRICT NO. 465 DOUGLAS COUNTY,NEBRASKA A special meeting of the Board of Trustees of Sanitary and Improvement District No. 465 of Douglas County,Nebraska,was convened in open public session at 3618 Piney Creek Drive,Elkhorn,Nebraska,at 4:00 p.m.on September 6,2007. Present were:Henry Sudbeck,JeAnn Sudbeck, Melvin Sudbeck, Janet Suing and Stephen Wade. Also present was Robert F. Peterson, Counsel for the District. Notice of the meeting was given in advance thereof by publication in The Daily Record, of Omaha, Nebraska, on August 29, 2007, a copy of the Proof of Publication being attached to these minutes. Notice of this meeting was simultaneously given to all members of the Board of Trustees and a copy of their Acknowledgment of Receipt of Notice of Meeting is attached to these minutes. All proceedings of the Board were taken while the convened meeting was open to the attendance of the public. The Clerk presented Proof of Publication of the Notice of Hearing and directed that it be attached to the minutes of this meeting. The Chairman then called the special meeting and hearing to order. The Clerk explained that the Board of trustees was meeting for the purpose of receiving testimony to determine whether or not the District should adopt a property tax request for the 2007-2008 fiscal year different than the property tax request for the 2006-2007 fiscal year. The Chairman explained that the property tax request for the 2006-2007 fiscal year budget was$176,919.04, and based upon the 2006-2007 property valuation of$20,814,005.00,the 2006-2007 fiscal year budget tax rate was.8500. The Chairman explained that based upon the 2007- 2008 property tax valuation of$22,638,660.00,the property tax request for the 2006-2007 fiscal year budget of$176,919.04 would equal a property tax rate of.785341 needed to fund the 2007-2008 fiscal year property tax request based upon the property valuation for 2006-2007. The Chairman explained that if the District did not adopt a resolution approving a tax request different than the prior year's tax request, then the District's tax request would be the same as the prior fiscal year. The Clerk stated that the District had published a notice of this special meeting setting forth this information. MINUTES OF MEETING OF THE BOARD OF TRUSTEES OF SANITARY & IMPROVEMENT DISTRICT NO. 465 OF DOUGLAS COUNTY,NEBRASKA - A meeting of the Board of Trustees of Sanitary&Improvement District No.465 of Douglas County,Nebraska,was convened in open and public session at 4:15 p.m. on September 6, 2007,at 361.8 Piney Creek Drive,Elkhorn,Nebraska. Present were the following Trustees: Melvin Sudbeck, JeAnn Sudbeck, Janet Suing and Stephen Wade. Also present was Robert F. Peterson, counsel for the District. Absent was Henry Sudbeck. Notice of the meeting was given in advance thereof by publication in The Daily Record,Douglas County,Nebraska,on August 29,2007,a copy of the Proof of Publication being attached to these minutes. Notice of this meeting was simultaneously given to all members of the Board of Trustees,and a copy of their Acknowledgment of Receipt of Notice to the Trustees of this meeting is attached hereto. All proceedings of the Board were taken while the convened meeting was open to the attendance of the public. The Chairperson publicly stated to all in attendance that a current copy of the Nebraska Open Meetings Act was available for review and indicated the location of such copy in the room where the meeting was being held. No person appeared to present support, opposition, criticism, suggestions or observations relating to the proposed budget and tax levy. The Chairman stated that the Board should now vote on the proposed budget. After full discussion, and upon motion being duly made and seconded, with all Trustees voting "aye" and no Trustees voting "no",the following Resolution was adopted: BE IT RESOLVED, that the proposed budget statement for this District, which is attached to the minutes of this meeting be, and hereby is, adopted as the budget of this District. BE IT FURTHER RESOLVED, that the Clerk be, and is hereby authorized and directed to file copies of the adopted budget statement with the County Clerk of Douglas County, Nebraska, and with the auditor of Public Accounts of the State of Nebraska. The Chairman then stated that, the Budget for the District having been adopted, it would be appropriate at this time to levy a tax in accordance with the Budget Statement. After full discussion and upon motion being duly made and seconded, with all Trustees present voting "aye" and with no Trustees voting "no", the following resolution was adopted: BE IT RESOLVED, by the Board of Trustees of Sanitary & Improvement District No. 465 of Douglas County, Nebraska, has given the proper five day published notice of hearing on the proposed budget. 1. That a levy of.20000 cents to the General Fund, and .650000 in the Bond Fund for each $100.00 of actual valuation shall be made upon all taxable property within the District, except intangible property, which levy totals $45,055.32 to the General Fund and $146,429.79 to the Bond Fund, for a total levy and tax of.850000 cents for each $100.00 of actual valuation and $191,485.11 in property taxes. 2. That the Clerk of the District is hereby directed to certify said total levy to the County Clerk of Douglas County,Nebraska, and to file a copy of such certification with the Auditor of Public Accounts of the State of Nebraska on or before September 20, 2007. Counsel submitted to the Chairman a letter regarding the audit responsibilities of the District with regard to the representations made by the District. Counsel noted that he had reviewed the correspondence and it was acceptable. Counsel advised that the court approved the proceedings for the bond issue on August 10,2007 and that the closing on the bond issue was complete. Counsel noted that no one appeared in opposition to the bond issue and the order was entered unopposed. Counsel then submitted for approval an Amendment to the Subdivision Agreement which modified the interceptor sewer fee by reducing the fee in the amount of$2,512.00. This resulted from the rezoning of Lots 1 through 6 Piney Creek Replat II from six individual units to four units. As a result, the District is entitled to a refund in the bond issue in the amount of$2,512.00. After full discussion and upon motion being duly made and seconded, with all Trustees present voting "aye" and with no Trustees voting "no", the following resolution was adopted: BE IT RESOLVED, by the Board of Trustees of Sanitary & Improvement District No.465 of Douglas County,Nebraska,that the Chairman be and hereby is authorized to execute the First Amendment to Subdivision Agreement for Piney Creek. Counsel then advised that he had discussed the removal of the sediment basins with Doug Kellner,the engineer for the District,as well as the proposal to grade and seed the park. Mr. Kellner indicated that the sediment basins could be removed at this time at an estimated cost of $20,000.00. He also felt the District could grade and seed the park for approximately$15,000.00, but silt fencing might cost an additional$5,000.00. He anticipated that the total expenditure would 2 be in the neighborhood of$40,000.00. Counsel noted that the grading and seeding might possibly be an expenditure from the bond fund of the District but would require approval by the City. If the work could be approved from the general fund,the City approval would not be required as it could be considered a maintenance item, but the fiscal agent would have to review and approve this proposal. After discussion, the Trustees requested counsel to present this to the fiscal agent for input. Counsel also advised that he had received correspondence from Dan Kutilek regarding the stop signs that were installed in the District. Mr.Kutilek noted that the stop signs had been installed as an emergency installation resulting from a homeowner request. Mr.Kutilek noted that normally the County does not install the traffic control devices until they receive prepayment. Counsel noted that the total cost is$1,467.00 for all traffic control signs in the District and that they would be completed upon payment of that amount. The'Trustees agreed that most of the traffic control devices are necessary and required and indicated approval for their installation. The Chairman then presented the following items for consideration by the Board: 1. Statement from The Daily Record in the amount of$58.50 for publication of meeting notice. 2. The confusion resulted from our traffic people installing the"4—way" STOP at the intersection of Piney Creek Drive and Douglas Street prior to the S.I.D. approval. It was their opinion the"4—way" STOP was needed immediately. Normally we require payment on our study from the S.I.D. prior to any signs going up!
