The City of Omaha 1999 Consolidated Submission for Community Planning and Development was approved by the City Council on December 1, 1998, setting out the City's Community Development Program for 1999, and identified the provision of emergency shelter and essential services for homeless persons as an urgent need. - The City of Omaha has received a Fiscal Year 1999 Emergency Shelter Grant Entitlement of $227,000.00 from the U.S.Department of Housing and Urban Development. The funds will be used to provide emergency shelter and services to homeless persons. The City solicited proposals from non-profits through a Request for Proposals process earlier this year. Proposals were reviewed by Planning staff who determined applicant eligibility and developed the allocation formula. D'Ercole Date Kellie Paris Date Finance Director oHuman Relations Director P:\PLN3\4368.PJM i v i AGREEMENT • THIS AGREEMENT is entered into by and between the City of Omaha, a Municipal Corporation in Douglas County, Nebraska (sometimes hereinafter referred to as "City"), and the Salvation Army, 3612 Cuming Street, a corporation organized and existing pursuant to the provisions of the Illinois Act Concerning Corporations (sometimes hereinafter referred to as "Contractor") on the terms, conditions and provisions as set forth below: RECITALS: WHEREAS, the City of Omaha is a municipal corporation located in Douglas County, Nebraska, and is organized and existing under the laws of the State of Nebraska, and is authorized and empowered to exercise all powers conferred by the State constitution, laws,Home Rule Charter of the City of Omaha, 1956, as amended, and local ordinances, including but not limited to, the power to contract; and WHEREAS, the City of Omaha received a Fiscal Year 1999 allocation in the amount of $227,000 of Stewart B. McKinney Homeless Assistance Act funds from the United States Department of Housing and Urban Development for the purpose of providing shelter and services to homeless and temporarily displaced families; and, WHEREAS,the City of Omaha 1999 Consolidated Submission for Community Planning and Development was approved by the City Council on December 1, 1998, by Resolution No. 3267, setting out the City's Community Development Program for 1999, and identifying the provision of emergency shelter and essential services for homeless persons as an urgent need in the City of Omaha; and, WHEREAS, it is in the best interests of the City of Omaha and the residents thereof that the City enter into an Agreement with the Salvation Army to provide funding in the amount of$37,750 for the provision of emergency shelter and services to homeless persons. NOW, THEREFORE, in consideration of these mutual covenants,the Salvation Army and the City of Omaha do hereby agree as follows: SECTION 1. DEFINITIONS - ABBREVIATIONS 1.1 "City" shall mean-the City of Omaha, a Nebraska Municipal Corporation. 1.2 "Contractor" shall mean - the Salvation Army, 3612 Cuming Street, Omaha, Nebraska 68131, a non-profit corporation. (See Exhibit "A") 1.3 "Director" shall mean-the Planning Department Director of the City of Omaha. 1.4 "Recipient" shall mean-the City of Omaha. 1.5 "Subrecipient" shall mean - a public or private nonprofit agency, authority or organization receiving ESGP funds to undertake eligible activities. In this Agreement,the Subrecipient is the Salvation Army. 1.6 "HUD" shall mean-the U.S. Department of Housing and Urban Development. 1.7 "Emergency Shelter Grant Program" (ESGP) -shall mean the program administered by the City of Omaha and funded under Subtitle B of Title IV of the Stewart B. McKinney Homeless Assistance Act(Pub. L. 100-77), as amended. The program purpose is to provide assistance to homeless persons in accordance with Federal Regulations in 24 CFR Part 576,the program objectives,priorities, and strategies as stated in the City of Omaha Program Guidelines, the Consolidated Submission for Community Planning and Development, and the most recent ESGP Request for Proposals. 1.8 "ESGP Funds" shall mean - the portion of the Emergency Shelter Grant Program funds awarded to the City as may be available during Program Year 1999 for the use specified herein, in an amount not to exceed $37,750, subject to the terms, conditions, and requirements of said Grant. Availability of funds is subject to and conditioned upon actual receipt of same,by the City of Omaha. 1.9 "Grant" shall mean - non-repayable ESGP funds made subject to the terms, conditions and provisions of the grant agreement under which said grant is made. - 2 - 1.10 "Facility" shall mean - the Salvation Army 37th Street Shelter and the Temporary Crisis Program, located at 3612 Cuming Street, Omaha,Nebraska 68131. 1.11 "Program Income" shall mean - gross income received by the Recipient or Subrecipient directly generated from the use of ESGP funds. When such income is generated by an activity that is only partially assisted with ESGP funds,the income shall be prorated to reflect the percentage of ESGP funds used. (See Exhibit "B".) SECTION 2. DUTIES AND CONDITIONS OF CITY FINANCING 2.1 Subject to and conditioned upon actual receipt of same, the City agrees to make available to the Contractor$37,750 in ESGP funds,Fund No. 154, Organization No. 8500 in the form of a grant for the purposes set forth in this Agreement, and as detailed in Exhibit "C" incorporated herein by this reference. 2.1.1 City funding pursuant to this Section shall be contingent upon receipt of and subject to the availability of ESGP funds in amounts adequate to meet any contractual obligations in force upon the date of execution of this Agreement, as well as, this proposed obligation. Should adequate funding not be available,the City shall notify the Contractor as soon as reasonably possible. At such time, the responsibilities of the Contractor under Section 3 of this Agreement shall be released,the provisions of Section 5, Paragraph 5.10 will be exercised and the Agreement will be terminated. 2.1.2 Reimbursement shall be on a monthly basis for the allowable expenditures. Payments shall be made on the basis of monthly requests for payment and shall be reimbursements for actual expenditures. Allowable expenditures are identified as Exhibit "D". 2.1.3 Monthly billing will be submitted to the Director by the Salvation Army with the monthly progress report. The monthly billing is due no later than fifteen (15) days following each monthly reporting period. 2.2 The City shall refer client cases to the Salvation Army as need dictates to promulgate approved programs and activities. 2.3 The City shall review and monitor the required monthly reports that identify the progress/accomplishments of the Salvation Army on the activities included in this Agreement and on contracts entered into with third parties pursuant thereto (see Exhibit "C"). 2.4 The City shall prepare monthly payment vouchers for the Salvation Army based upon the contractor's monthly progress report and request for payment. - 3 - SECTION 3. DUTIES AND RESPONSIBILITIES OF THE CONTRACTOR 3.1 The Contractor does hereby certify, contract and agree that any and all funding obtained or made available hereunder shall be used solely and exclusively for the express purpose of providing shelter and services to homeless persons. 3.2 The Contractor shall provide shelter and services for clients as required in the scope of work as attached hereto. (See Exhibit "C"). 3.3 The Contractor shall submit a monthly progress report to the Director delineating the Salvation Army accomplishments for the previous 30 day period on the specific activities approved by the City Planning Department. (See Exhibit "C") 3.4 The Contractor shall submit a monthly financial report (income statement) to the Director delineating the revenue and line item expenditures for The Salvation Army In addition, a monthly check register is to be submitted listing each expenditure by check number, payee, date, and amount for each expenditure for which reimbursement is requested. 3.5 The Contractor shall comply with all provisions and regulations of the Emergency Shelter Grant Program and have an annual audit completed in compliance with OMB Circular A-133. The auditor shall determine the appropriate type of audit to be conducted; i.e. limited scope or full compliance. A single Audit is not an allowable expense unless the subrecipient expends total Federal funds over$300,000 in each fiscal year. A limited-scope audit may be allowable provided the auditor conducts the audit in accordance with generally accepted auditing standards and the subrecipient expends less than$300,000 in each fiscal year. A copy of the audit shall be provided to the Director. OMB Circular A-133, is attached as Exhibit "E". 3.6 The Contractor will comply with Section 504 of the Rehabilitation Act of 1973 regarding project accessibility and insure that all work on the facility is in accordance with the design standards as stated in the Uniform Federal Accessibility Standards. 3.7 The Contractor specifically hereby states, agrees and certifies that it is familiar with the limited purpose set forth in the Federal Laws, Rules and Regulations, and in the laws of the State of Nebraska,for which personal information requested may be used and that the information received will be used solely for those limited purposes and not to harass, degrade or humiliate any person. The information released shall be used for the limited purpose stated, and the Contractor further agrees to indemnify and hold harmless the City of Omaha for any liability arising out of the improper use by the Contractor of information provided. 3.8 The Contractor and any Subcontractors shall maintain such records and accounts, including property,personnel and financial records, as are deemed necessary by the City to assure a proper accounting for all expenses. The Comptroller General of the United States, or any of their duly authorized representatives, or any duly authorized - 4 - representatives of the City of Omaha, as approved by the Planning Director, shall have access to any books,documents,papers,records and accounts of the Contractor or subcontractors which are directly pertinent to this project for the purpose of making audit, examination, excerpts and transcriptions. Such records and accounts shall be retained for five years from the contract period completion. Any contract entered into by the Contractor with any Subcontractors shall include this Section to ensure said access. 3.9 Any program income received will be returned to the City of Omaha within thirty (30) days of receipt. 3.10 The Contractor shall comply with all requirements of the Emergency Shelter Grant Program and acknowledge, by execution of this Agreement,receipt of Department of Housing and Urban Development Regulations 24 CFR Parts 50, 58, 575, and 576 Emergency Shelter Grant Program, Stewart B. McKinney Homeless Assistance Act Final Rule, dated August 10, 1988, as amended. (See Exhibit "K"). 3.11 Comply with all federal non-discrimination requirements and accommodate clients without regard to race,color,handicap, familial status, sex, age,religion, or national origin. 3.12 Provide access to the City for on-site reviews when requested. SECTION 4. TERM OF THE AGREEMENT This Agreement shall be in full force and effect and will continue for a period of twelve (12)months,from the time of favorable consideration by the City Council of the City of Omaha and execution by the Mayor. The Director may extend the term of this agreement, but in no event may the term exceed eighteen(18)months from the date of execution of this Agreement. SECTION 5. PROVISIONS OF THE AGREEMENT 5.1 Equal Employment Opportunity Section 3 Clause. Attached hereto as Exhibits "F" and "G", and made a part hereof by this reference, are the equal employment provisions of this Agreement. 5.2 Non-Discrimination. The Contractor shall not,in the performance of this Agreement, discriminate or permit discrimination in violation of federal or state laws or local ordinances because of race, color, handicap, familial status, sex, age, political or religious opinions, affiliations or national origin. 5.3 Captions. Captions used in this Agreement are for convenience and are not used in the construction of this Agreement. - 5 - f 5.4 Applicable Law. Parties to this Agreement shall conform with all existing and applicable City ordinances,resolutions, state laws, federal laws, and all existing and applicable rules and regulations. Nebraska law will govern the terms and the performance under this Agreement. 5.5 Interest of the City. Pursuant to Section 8.05 of the Home Rule Charter, no elected official or any officer or employee of the City shall have a financial interest, direct or indirect, in any City agreement. Any violation of this section with the knowledge of the person or corporation contracting with the City shall render the Agreement voidable by the Mayor or Council. 5.6 Merger. This Agreement shall not be merged into any other oral or written agreement, lease or deed of any type. 5.7 Modification. This Agreement contains the entire agreement of the parties. No representations were made or relied upon by either party other than those that are expressly set forth herein. No agent,employee,or other representative of either party is empowered to alter any of the terms herein unless done in writing and signed by an authorized officer of the respective parties, pursuant to Section 10-142 of the Omaha Municipal Code. 5.8 Assignment. The Contractor may not assign its rights or obligations under this Agreement without the express prior written consent of the City. 5.9 Strict Compliance. All provisions of this Agreement and each and every document that shall be attached shall be strictly complied with as written, and no substitution or change shall be made except upon written direction from authorized representative of the parties. 5.10 Termination. This agreement may be terminated by either party upon thirty(30)days written notice to the other party. Said notice shall be given when received by certified mail at the other party's usual place of business. This Agreement may be suspended or terminated in accordance with 24 CFR 85.43,Enforcement or 24 CFR 85.44, Termination for Convenience (Exhibit "H"). Upon termination of this Agreement,all funds and interest in any account hereunder shall become the property of the City and shall be returned to the City. 5.11 Indemnification. The Contractor shall indemnify and hold the City harmless from and against: (1)any and all claims arising from contracts between the Contractor and third parties made to effectuate the purposes of this Agreement; and (2) any and all claims, liabilities or damages arising from the preparation or presentation of any of the work covered by this Agreement. 5.12 Default. If, through any cause, the Contractor shall fail to fulfill in a timely and proper manner any obligations under this Agreement,or violate any of the covenants, representations or agreements hereof,the City may upon written notice terminate this - 6 - f Agreement or such parts thereof as to this Agreement, and may hold the Contractor liable for any damages caused to the City by reasons of such default and termination. 5.13 Nebraska Law. This Agreement shall be a contract made under and governed by the laws of the State of Nebraska. 5.14 Unenforceable Provisions. Any provision of this Agreement which is prohibited or unenforceable in any jurisdiction shall, as to such jurisdiction, be ineffective to the extent of such prohibition of enforceability without invalidating the remaining provisions hereof or affecting the validity or enforceability of such provision in any other jurisdiction. 5.15 Disclosure of Lobbying. The Contractor shall certify and disclose, to the best of its knowledge and belief,that: (a) No Federal appropriated funds have been paid or will be paid, by or on behalf of the Contractor, to any person for influencing or attempting to influence an officer or employee of Congress, or an employee of a Member of Congress in connection with the awarding of any Federal contract, the making of any Federal grant, the making of any Federal loan, the entering into of any cooperative agreement, and the extension, continuation, renewal, amendment or modification of any Federal contract, grant, loan, or cooperative agreement. (b) If any funds other than Federal appropriated funds have been paid or will be paid to any person for influencing or attempting to influence an officer or employee of any agency, a Member of Congress, an officer or employee of Congress, or an employee of a Member of Congress in connection with this Federal contract, grant, loan, or cooperative agreement, the Contractor shall complete and submit Standard Form-LLL, "Disclosure Form to Report Lobbying", in accordance with its instructions. (c) The language of this certification be included in the award documents for all subawards at all tiers, (including subcontracts, subgrants, and contracts under grants, loans, and cooperative agreements) and that all subrecipients shall certify and disclose accordingly. 5.16 Subrecipients. The Contractor shall comply with the requirements and the standards of OMB Circular No. A-122, "Cost Principles for the Nonprofit Organizations" (Exhibit "I"), and with the requirements of Attachments A, B, C, F, H,N and 0 to OMB Circular A-110 (Exhibit "J"). - 7 - 5.17 Other Program Requirements. The Contractor shall be required to carry out each activity of this Agreement in compliance with all Federal laws and regulations described in Subtitle B of Title IV of the Stewart B. McKinney Homeless Assistance Act (Pub L. 100-77), as amended, and Federal Regulations in 24 CFR Part 576, including the final rule that requires certification regarding the involvement of homeless persons in work or service related to activities assisted under the ESGP grant, and also requires participation of homeless persons on the board of directors of the subrecipient. (Exhibit "K"). 5.18 Termination of Assistance. If an individual or family who receives assistance from a recipient or subrecipient violates program requirements, the recipient or subrecipient may terminate assistance in accordance with a formal process established by the recipient or subrecipient that recognizes the rights of individuals affected, which may include a hearing. SECTION 6. When such income is generated by an activity that is only partially assisted with CDBG funds, the income shall be prorated to reflect the percentage of CDBG funds used. (1) Program income includes, but is not limited to the following: (i) Proceeds from the disposition by sale or long term lease of real property purchased or improved with CDBG funds; (ii) Proceeds from the disposition of equipment purchased with CDBG funds; (iii) Gross income from the use or rental of real or personal property acquired by the Recipient or. a Subrecipient with CDBG funds, less the costs incidental to the generation of such income; (iv) Gross income from the use or rental of real property owned by the Recipient or a Subrecipient that was constructed or improved with CDBG funds, less the costs incidental to the generation of such income; (v) Payments of principal and interest on loans made using CDBG funds; (vi) Proceeds from the sale of loans made with CDBG funds; (vii) Proceeds from the sale of obligations secured by loans made with CDBG funds; (viii) Interest earned on funds held in a revolving fund account; (ix) Interest earned on program income pending disposition of such income; and, (x) Funds collected through special assessments made against properties owned and occupied by households not of low and moderate income, where such assessments are used to recover all or part of the CDBG portion of a public improvement. Examples of other receipts that are not considered program income are proceeds from fundraising activities carried out by Subrecipients receiving CDBG assistance; funds collected through special assessments used to recover the non-CDBG portion of a public improvement; and proceeds from the disposition of real property acquired or improved with CDBG funds when such disposition occurs after the applicable time period specified in § 570.503(b)(8) for Subrecipient-controlled property or § 570.505 for Recipient-controlled property. • , • EXHIBIT C SCOPE OF WORK 1. Provide availability of 30 emergency shelter beds to homeless persons and approximately 6,000 units of shelter and 1,000 total hours of counseling services at the 37th Street Program; and 10 beds and approximately 2,000 nights of shelter and 800 total hours of counseling at the Temporary Crisis Program. The subject of counseling services shall include, but not be limited to, the precipitating causes of the homelessness, relocation planning, daily living skills, budgeting, education and job training, and general case work. 2. Maintain the Facility in compliance with all relevant State and local codes and ordinances. 3. Keep the Facility open on a 24 hour, 7 day per week basis. 4. Provide three meals daily. 5. Coordinate emergency housing and essential services with other shelters and service providers and referral agencies within the City, as need dictates. 6. Supplement the City ESGP Grant with matching funds, in an amount not less than $37,750, to be used for homeless assistance. a. Matching funds must be expended for homeless assistance during the effective period of this Agreement. b. The expenditure and use of matching funds is to be documented pursuant to Section 3, Paragraph 3.4 of this Agreement. 7. Allowable activities which are reimbursable under the provisions of this grant agreement are based upon those activities proposed in the Salvation Army 37th Street Program and Temporary Crisis Program FY 1999 Emergency Shelter Grant Program applications which were submitted to the City of Omaha. Copies of the applications are on file in the City of Omaha Planning Department. 8. Provide monthly and annual documentation of the program activities,client census,and other client information, as requested by, and deemed necessary by the City of Omaha, for the purpose of statistical evaluation,monitoring and coordination of client services. A copy of the required reporting forms follow this exhibit. 9. Participate in the City of Omaha and Omaha Area Continuum of Care for the Homeless (OACCH) activities, including: - The 'Colleague Evaluation and Feedback'process; - Provide the City of Omaha with updated information to maintain the'Continuum of Care' Directory; - Participate in the Continuum of Care ANCHOR system, or other client information base system designated to collect information for the City of Omaha and OACCH; - Provide information for the shelter and service provider census counts administered by OACCH; and - Allow review of your facility and/or program(s) by the OACCH Continuum of Care Quality Control Review Panels. G25, , CITY OF OMAHA LEGISLATIVE CHAMBER Omaha,Nebr August 18 19 99 RESOLVED BY THE CITY COUNCIL OF THE CITY OF OMAHA: WHEREAS,the provisions of emergency shelter and essential services for homeless persons is an urgent need in the City of Omaha; and, =� WHEREAS,the City of Omaha applied for$266,000.00 of Emergency Shelter Grant Program funds from the U.S. Department of Housing and Urban Development, as stated in the Consolidated Submission for Community Planning and Development, and received $227,000.00; and, WHEREAS, the Salvation Army will provide shelter and essential services for homeless persons, as provided in the grant application submitted to the City of Omaha in response to the FY 99 Emergency Shelter Grant Program Request for Proposals; and, WHEREAS,the City of Omaha has previously funded shelters and service providers for the purpose of assisting homeless persons and families with the provision of food, health services, counseling, and shelter; and, WHEREAS, the Planning Department and the Mayor recommend approval of this grant; and, WHEREAS,it is beneficial and desirable to continue to provide shelter and services to homeless persons and families through the Salvation Army for a twelve-month period. NOW,THEREFORE,BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF OMAHA: THAT,the attached Agreement, as recommended by the Mayor,between the City of Omaha and the Salvation Army, 3612 Cuming Street, Omaha, Nebraska 68131, in the amount of $37,750.00 for the purpose of providing shelter to homeless persons and families for the one year period of said Agreement, is hereby approved.
