RES 2002-0825 - Douglas county board of commissioners retains Miriam Moran to assist with lnkage of mainframe legacy systems and Oracle Financial Management system . r BOARD OF COUNTY COMMISSIONERS DOUGLAS COUNTY, NEBRASKA Resolved, WHEREAS, in February of 2001, the Douglas County,Board of • Commissioners, the Omaha City Council and the Public Building Commission authorized the purchase and installation of the Oracle Financial Management System; and, WHEREAS, included in the signed implementation contract is a pool of 5,210 hours at a rate of $150.00 per hour valued at $781,500. This pool of hours was established for technical assistance for customizations. conversions and interfaces involving our current mainframe legacy systems and the Oracle Financial Management System; and, WHEREAS, the County, City and Public Building Commission will only pay for the hours utilized for the "pool". 1504 hours have been committed thus far; and, WHEREAS, expertise in SQL programming language is necessary to assist the City/County interface team complete the necessary linkage of the two systems so certain financial transactions may be processed in the account receivable and account payable modules; and, WHEREAS, the Douglas-Omaha Enterprise Resource System (DOERS) staff has identified that expertise in Miriam Moran, who previously helped provide SQL programming training for current Information Systems Staff. NOW, THEREFORE, BE IT RESOLVED BY THIS BOARD OF COUNTY COMMISSIONERS, DOUGLAS COUNTY, NEBRASKA, THAT Douglas County retain Miriam Moran to assist the City/County interface team at a rate of$45 per hour, not to exceed $7,500. BE IT FURTHER RESOLVED THAT this $7,500 be taken from the pool of hours dollar amount established in the Oracle contract. BE IT FURTHER RESOLVED THAT the Chairman of the County Board be authorized to execute the contract reflected in Exhibit A. WHEREAS, Douglas County and the City of Omaha are interested in securing technical assistance in SQL programming language for interfacing current mainframe legacy systems and a recently purchased Oracle Financial Management System; and, WHEREAS, it is the purpose of this Agreement to delineate the terms and conditions of the independent contractor relationship, including compensation, related to the services of the Contractor. • NOW, THEREFORE, in consideration of the foregoing it is agreed by and between the parties as follows: • 1. The County, through the County Board, does hereby contract for the services of Miriam Moran commencing on the signing of this Agreement, and terminating on April 30, 2002. • 2. Contractor shall provide technical assistance in SQL programming language for the City/County interface team. 3. Contractor shall be paid $45 per hour, not to exceed $7,500 with payment to commence two weeks after the commencement of this Agreement. 4. This Agreement may be terminated by either party with cause or upon mutual consent of the parties. 5. Modification: This Agreement contains the entire agreement of the parties. No representations were made or relied upon by either party other than those that are expressly set forth herein. No agent, employee or other representative of either party is empowered to alter any of the terms hereof unless done in writing and signed by an authorized officer of the respective party. 6. If during the term of this Agreement, it is found that a specific c� clause herein is illegal under federal or state law, the remainder of the Agreement not affected by such ruling shall remain in force. c v) CD T7 C-7 m h:/resol.sgl programming contract p 0 7. Both parties understand and agree that said Contractor is being retained solely as an independent contractor. This Agreement neither creates nor constitutes an employer/employee relationship. Both parties understand and agree that all income received pursuant to this Agreement may be subject to taxes, and to this effect, Douglas County shall provide a Form 1099 to Contractor. Both parties understand and agree that Contractor shall be responsible for any and all withholdings and taxes arising out of this Agreement. Both parties further understand and agree that Contractor is solely responsible for health, accident, dental insurance and any other benefits wholly independent of this Agreement. Contractor agrees to provide proof of health, accident and life insurance upon the commencement of this Agreement. 8. CONFIDENTIALITY. Contractor acknowledges that certain information to which she will necessarily have access is privileged and confidential and agrees to not reveal, share, reproduce, discuss, remove from the custody of the County, or in any way breach the confidentiality of the information. Failure to comply with this term of the Agreement will result in the immediate • termination of this Agreement.
