AGREEMENT
THIS AGREEMENT, made and entered into this ( d day of '-2002, between
The CITY OF OMAHA, 1819 Farnam Street, Omaha,Nebraska 68183, a Municipal Corporation
of the State of Nebraska (hereinafter referred to as the "CITY"), and KEEP OMAHA
BEAUTIFUL, a Non-profit Corporation of the State of Nebraska (hereinafter referred to as
"KOB").
WITNESSETH:
NOW, THEREFORE, the parties, in consideration of the undertakings and commitments
of each party to the other party set forth herein, hereby mutually agree as follows:
1. GENERAL. This Contract is for the conduct and assistance for the successful
completion of Cleanup Omaha 2002.
2. TERM. The term of this agreement shall be for one year beginning on January 1, 2002.
3. DUTIES OF THE CITY. To pay the total sum of$39,900 within ten days of the signing
of this agreement.
4. DUTIES OF KOB. To perform activities (A) to promote the successful completion of
the Cleanup Omaha Campaign 2002 and (B) to execute other programs as specified
hereinbelow.
(A) Keep Omaha Beautiful, Inc. shall assist in the planning, promotion, and
organization of the Spring Cleanup program during January and February, and
shall organize the workshop in February 2002. Additional support in the form of
organizing volunteers shall be provided as requested.
(B) The following are KOB programs that support the City of Omaha which are
partially funded by the compensation specified hereinabove:
1) Keep Omaha Beautiful, Inc. shall continue the Adopt-A-Block program,
designed to encourage business owners to accept responsibility for the

appearance of the private and public ground adjacent to their places of
business, which will be promoted through the Chamber of Commerce.
2) Keep Omaha Beautiful, Inc. shall provide education and promote business
participation in the Waste Exchange Program, compost, litter and
recycling programs of the City of Omaha. Provide materials in English
and Spanish
3) Keep Omaha Beautiful, Inc. shall organize the clean up of yards for
elderly and disabled citizens known as "Helping Hands" through the use
of volunteers during April through October.
4) Keep Omaha Beautiful, Inc. shall organize the stenciling of storm drains
with warnings that the storm drains are connected to open bodies of water.
The actual stenciling will be performed by volunteers beginning in May
and continue through fall.
5) Keep Omaha Beautiful, Inc. shall organize cleanups of local parks and lots
via coordination of various volunteer groups.
6) Keep Omaha Beautiful, Inc. shall provide a "Thank You" breakfast for all
Deffenbaugh garbage and recycling workers.
7) Keep Omaha Beautiful, Inc. shall organize groups of agencies serving
youth in the area to cleanup litter. In particular cleanups at Rosenblatt
Stadium before the College World Series and after the Fourth of July
fireworks show.
8) Keep Omaha Beautiful, Inc. shall work with the City on an Adopt-A-Park
program.
9) Keep Omaha Beautiful, Inc. shall encourage garden clubs to beautify
libraries with flower plantings.
10) Keep Omaha Beautiful, Inc. would expand our trails program to include
weekly cleanup of not only the Keystone Trail and the Papio Trail System,
but also Zorinsky, Standing Bear, Wehrspann/Chalco, Glen Cunningham,
Field Club, West Papio, Big Papio and 144th Street Trail plus any new
trails in the planning process.
11) Marina and waterway — education, bags and cleanup at dam sites and
waterways.
12) Keep Omaha Beautiful, Inc. will work with the City, County and Papio
NRD to site a Household Hazardous Waste facility in Omaha. Keep
Omaha Beautiful, Inc. will concentrate on the education aspect.
13) Educating the community and legal entities on Environmental Courts will
make all of our lives easier if we finally get some enforcement backing
our litter/dumping and code enforcement laws. Keep Omaha Beautiful,
Inc. will work with Planning, Code Enforcement, the City Prosecutor and
Judges to get an Environmental Court docket in place.

14) Administering all these programs will take the help of all Keep Omaha
Beautiful, Inc. staff plus recruiting, training, and working with hundreds of
volunteers. Many program supplies including thousands of bags and
hundreds of gloves are used. We also will be producing printed materials
in Spanish and English.
5. REPORTS AND ACCOUNTS KOB shall keep accounts and make all reports required
by Section 10-162 of the Omaha Municipal Code.
6. ENTIRE AGREEMENT This Agreement constitutes the entire agreement, and no
amendment, change or variance from this Agreement shall be binding on either party
unless mutually agreed to by the parties and executed by their authorized officers or
agents in writing.
7. NON-DISCRIMINATION. Shall not in the performance of this contract, discriminate or
permit discrimination in violation of federal or state laws or local ordinances because of
race, color, sex, age, disability, political or religious opinions, affiliations or national
origin.
8. CAPTIONS. Captions used in this contract are for convenience and are not used in the
construction of this contract.
9. APPLICABLE LAW. Parties to this contract shall conform with all existing and
applicable City Ordinances, Resolutions, State Laws, Federal Laws and all existing and
applicable rules and regulations. Nebraska law will govern the terms and the
performance under this contract.
10. INTEREST OF THE CITY. Pursuant to Section 8.05 of the Home Rule Charter, no
elected official or any officer or employee of the City of Omaha shall have a financial
interest, direct or indirect, in any City of Omaha contract. Any violation of this section
with the knowledge of the person or corporation contracting with the City of Omaha shall
render the contract voidable by the Mayor or Council.
11. MERGER. The Contract shall not be merged into any other oral or written contract,
lease or deed of any type.
12. MODIFICATION This contract contains the entire agreement of the parties. No
representations were made or relied upon by either party other than those that are
expressly set forth herein. No agent, employee or other representative of either party is
empowered to alter any of the terms herein unless done in writing and signed by an
authorized officer of the respective parties.

RESOLVED BY THE CITY COUNCIL OF THE CITY OF OMAHA:
WHEREAS, the City of Omaha engages in a Spring Clean Up program each
Spring and participates in various other environmental beautification programs throughout the
year such as the Adopt a Block, Adopt a Park, and Helping Hands programs; and,
WHEREAS, services are needed to assist in the planning, promotion, and
organization of such Spring Clean Up and other environmental beautification programs; and,
WHEREAS, Keep Omaha Beautiful has the staff and expertise to provide such
services and proposes to provide same for $39,900.00 for the 2002 year as specified in the
attached contract; and,

WHEREAS, it is in the best interests of the City of Omaha to enter into such
contract; and,
WHEREAS, the Mayor recommends approval of such contract.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF OMAHA:
THAT, as recommended by the Mayor, the contract between the City of Omaha
and Keep Omaha Beautiful in the amount of $39,900.00 for planning, promotion, and
organization of the 2002 Spring Clean Up program and various other environmental
beautification programs as specified therein is hereby approved; and,
FURTHER THAT, the Finance Director is authorized to provide payment in the
amount of$39,900.00 from 2002 Funds, General Fund 001, Organization 1454, Solid Waste.
