2022-09-20 SID 455 Minutes (2) CERTIFICATE The undersigned hereby certify that they are the Chairperson and Clerk of Sanitary and Improvement District Number 455 of Douglas County, Nebraska, (the "District") and hereby further certify as follows: 1. Annexed to this certificate is a true and correct transcript of the proceedings of the Board of Trustees of the District relating to a meeting of said District held on the date and at the time reflected in the meeting minutes contained in said foregoing transcript(the"Meeting"). All of the proceedings of the District and of the Board of Trustees thereof which are set out in the annexed and foregoing transcript have been fully recorded in the journal of proceedings of the District and the undersigned District Clerk has carefully compared the annexed and foregoing transcript with said journal and with the records and files of the District which are in such Clerk's official custody and said transcript is a full, true and complete copy of said journal, records and files which are set out therein. 2. Advance notice for the Meeting was given by publication as set forth in the affidavit of publication contained in the foregoing transcript and was mailed to the Clerk of the municipality or county within whose zoning jurisdiction the District is located at least seven days prior to the date of the Meeting. Advance notice for the Meeting, including notice of agenda subjects, was given to all members of the Board of Trustees. All news media requesting notification of meetings of said body were provided with advance notice of the times and places of such meetings and the subjects to be discussed. 3. All of the subjects addressed at the Meeting were contained in the agenda for the Meeting, which agenda was kept continually current and readily available for public inspection at the address listed in the meeting notice for the Meeting and a copy of which is attached to this Certificate; such subjects were contained in said agenda for at least 24 hours prior to the Meeting and each agenda item was sufficiently descriptive to give the public reasonable notice of the matters to be considered at the Meeting. 4, A current copy of the Nebraska Open Meetings Act was available and accessible to members of the public, posted during the Meeting in the room in which such Meeting was held and all in attendance at the Meeting were informed that such copy of the Nebraska Open Meetings Act was available for review and were informed of the location of such copy in the room in which such Meeting was being held. At least one copy of all resolutions and other reproducible written materials, for which actions are shown in said proceedings, was made available for examination and copying by members of the public at the Meeting. 5. The minutes of the Meeting were in written form and available for public inspection within ten (10) working days after the Meeting or prior to the next convened meeting, whichever occurred earlier, at the office of the District; within thirty (30) days after the date of the Meeting, a copy of the minutes of the Meeting was sent to the Clerk of the municipality or county within whose zoning jurisdiction the District is located. 6. No litigation is now pending or threatened to restrain or enjoin the District from the issuance and delivery of any warrants or other obligations issued by the District or the levy and collection of tax or other revenues or relating to any of the improvements for which any such warrants or other obligations were or are issued nor in any manner questioning the proceedings and authority under which any such warrants or other obligations were or are issued or affecting the validity thereof; neither the corporate existence or boundaries of the District nor the title of its present officers to their respective offices is being contested; no authority or proceedings for the issuance of any warrants or other obligations by the District have been repealed, revoked or rescinded as of the date hereof. All actions taken by the Board of Trustees referred to in said transcript were taken at a public meeting while open to the attendance of the public. Got s airman MEETING MINUTES SANITARY AND IMPROVEMENT DISTRICT NO. 455 OF DOUGLAS COUNTY, NEBRASKA The meeting of the Board of Trustees of Sanitary and Improvement District No 455 of Douglas County, Nebraska was convened in open and public session at 10:00 a.m. on September 20, 2022, at 20507 Nicholas Circle, Elkhorn, Nebraska. Present at the meeting were Trustees, Brett Gottsch, William Gottsch, Jeff Jackson, Tammy Zvacek and Charles Olson. Also present were John Fullenkamp and Mark Johnson, attorneys for the District, Olsson, engineer for the District, and Bluestem Capital Properties, fiscal advisors for the District, were also present. The Chairman then stated that a copy of the Nebraska Open Meeting Laws was available for review and inspection and stated the location of said copy in the room in which such meeting was being held. Notice of the meeting was given in advance thereof by publication in The Daily Record on August 24, 2022, a copy of the Proof of Publication being attached to these minutes. Notice of the meeting was simultaneously given to all members of the Board of Trustees and a copy of their Acknowledgment of Receipt of Notice is attached hereto. Availability of the agenda was communicated in the published notice and in the notice to the Trustees of this meeting. All proceedings of the Board were taken while the convened meeting was open to the attendance of the public. The Clerk then certified that notice of this meeting had been given to the City Clerk of Omaha, Nebraska at least seven days prior to the time set by the Board of Trustees for this meeting and filed his Certificate to that effect, said Certificate being attached to these minutes and made a part hereof by this reference. The Chairman then called the Board's attention to the fact that it is advisable for the District to conduct a Special Meeting to increase the levy allocation provided in State Statutes 77-3444 and 13-519, due to the fact that the General Fund has a deficit balance of approximately $84,732. The District needs to set a General Fund levy sufficient to increase the actual tax receipts for that fund next year to $84,732 in order to fund current expenditures and reduce the deficit in that fund, and that the Board can and should lower the Bond Fund levy by a corresponding amount. The Chairman then advised that a vote in favor requires the majority of the legal voters voting at this meeting, which meeting was called after notice, which was published in The Daily Record, a legal newspaper of Douglas County, Nebraska on August 24, 2022, being at least 20 days prior to this meeting, and the Clerk was directed to attach a copy of said Proof of Publication to these minutes. The Chairman further noted that at least ten percent of the legal registered voters within the district shall constitute a quorum for purposes of taking action to exceed the allowable growth percentage. The Clerk then presented the Ballot to be used for the purposes of this election. The Chairman then presented a property owners list reflecting the legal owners of property within the District. The Chairman then advised that the Ballots having been distributed to the registered voters in attendance at this meeting, and the issue voted, it was determined that a majority of the registered voters present at the meeting voted in favor of exceeding the allowable growth percentage and that a copy of that action shall be forwarded to the Auditor of Public Accounts along with the budget documents. The Clerk was then directed to attach a copy of the Ballot, Property Owners List and Notice of Special Meeting to the Budget to be filed with the State Auditor and Douglas County Clerk. The Chairman then advised that it would be necessary to vote on an additional 1% increase of the restricted funds and that in order approve such increase, 75% of the authorized Board must vote in favor of such increase. Following discussion, a motion was duly made, seconded, and unanimously adopted by 100% of the authorized Board approving such 1% increase of the restricted funds. The Budget Hearing of Sanitary and Improvement District No. 455 was held the 20th day of September, 2022 at 9:30 a.m. Three copies of the proposed budget statement were available to the public. The Chairman then presented the proposed budget as discussed at the Budget Hearing outlining the key provisions of the proposed budget statement, including, but not limited to, a comparison with the prior year's budget and advised that the Budget Summary had been published in The Daily Record, (https://www.omahadailyrecord.coml) a legal newspaper of Douglas County, Nebraska on August 24, 2022, a copy of the Proof of Publication being attached to these minutes. The floor was then opened for public comment on the proposed budget statement. All members of the public wishing to address the governing body were provided a reasonable amount of time to do so. The Chairman advised that no property owners in the District appeared at this hearing on the proposed budget and Budget Summary to offer support, opposition, criticism, suggestions, or observations concerning the proposed budget. The Chairman then advised that it would be necessary to vote on an additional 1% increase of the restricted funds and that in order approve such increase, 75% of the authorized Board must vote in favor of such increase. Following discussion, a motion was duly made, seconded and unanimously adopted by 145% of the authorized Board approving such 1% increase of the restricted funds. The Chairman noted that the budget complies with the current provisions of the Nebraska Lid Law, and that the property taxes for the Bond Fund and General Fund are proposed as follows: . General Fund $144,536.90 - $0.400000 Bond Fund $180,671.12 - $0.500000 Total $325,208.02 - $0.900000 The Chairman further stated that the Board is required to hold a separate Special Public Hearing in order to set the 2022/23 Property Tax Request, and that the District has until October 15, 2022, to file with the County Clerk a Resolution setting the final tax request. The District must also publish notice of the Special Public Hearing reflecting the date and time for said Special Public Hearing, and the Chairman noted that such notice had been published as reflected in the Proof of Publication attached hereto. The Chairman then advised that the meeting was now open for a Special Public Hearing on the issue of setting the Property Tax Request as required by Neb. Rev. Stat. §77-1632. The Chairman advised that no one appeared in opposition. Following discussion, the Chairman declared the public hearing on the Budget and the Special Public Hearing to be closed, whereupon, a motion was duly made, seconded, and the following resolutions passed: NOW, THEREFORE BE IT RESOLVED BY SANITARY AND IMPROVEMENT DISTRICT NO. 455 OF DOUGLAS COUNTY, NEBRASKA, AS FOLLOWS: 1) The 2022/23 Property Tax Request be set at $325,208.02, ($0.400000) broken down as follows: General Fund $144,536.90 - $0.400000 Bond Fund $180,671.12 - $0.500000 Total $325,208.02 - $0.900000 2) The total assessed value of property differs from last year's total assessed value by 2%. 3) The tax rate which would levy the same amount of property taxes as last year, when multiplied by the new total assessed value of property, would be $.880161 per $100 of assessed valuation. 4) The District proposes to adopt a Property Tax Request that will cause its tax rate to be $0.900000 per$100 of assessed value, broken down as follows: General Fund $144,536.90 - $0.400000 Bond Fund $180,671.12 - $0.500000 Total $325,208.02 - $0.900000 5) Based on the proposed Property Tax Request and changes in other revenue, the total operating budget of the District will decrease last years by 58%. 6) A copy of this Resolution be certified and forwarded to the County Clerk on or before October 15, 2022. Then, upon a motion duly made, seconded, and unanimously adopted, the Chairman declared the above resolutions hereby adopted and approved. The Clerk was then directed to attach a copy of the budget as adopted to these minutes. The Chairman then presented the following statements for payment from the Construction Fund Account of the District: a) Bluestem Capital Partners Inc., for financial advisor/fiscal agent services $7,500.00 for fiscal year 2022-23. 2713 b) City of Omaha for 25% reimbursement for the 202nd&Maple Intersection 62,500.00 Improvements, per Interlocal Cooperation Agreement approved at prior meeting. 25% of$250,000 Total $70,000.00 The Chairman then presented the following statements for payment from the General Fund Account of the District: a) Omaha Public Power District for street lighting. $2,586.08 Acct. #8501897012 b) Olsson for engineering services. 609.00 424274 c) Lengenmann & Associates, P.C., for accounting services. 7,000.00 8-22-22 invoice d) Fullenkamp, Jobeun, Johnson & Beller for legal services and 11,091.80 reimbursement of expenses. Total $21,286.88 Then, upon a motion duly made, seconded and upon a roll call vote of "aye" by the Trustees, the following resolutions were unanimously adopted: RESOLVED by the Board of Trustees of Sanitary and Improvement District No. 455 of Douglas County, Nebraska that the Chairman and Clerk be and they hereby are authorized and directed to execute and deliver Warrant Nos. 1166 through 1171 inclusive, of the District, dated the date of the meeting, to the following payees, for the following services and in the following amounts, said warrants to draw interest at the rate of 7% per annum, Warrants No. 1166 and 1167, inclusive, to be payable from the Construction Fund Account of the District (interest to be payable on February 1 of each year) and to be redeemed no later than five years from the date hereof, being September 20, 2027, subject to extension of said maturity date by order of the District Court of Douglas County, Nebraska after• notice is given as required by law and Warrant Nos. 1168 through 1171, inclusive, to be payable from the General Fund Account of the District and to be redeemed no later than three years from the date hereof being September 20, 2025 to-wit: CONSTRUCTION FUND WARRANTS: a) Warrant No, 1166 for $7,500.00 payable to Bluestem Capital Partners Inc., for financial advisor/fiscal agent services for fiscal year 2022-23. b) Warrant No. 1167 for $62,500.00 payable to the City of Omaha for 25% reimbursement for the 202nd & Maple Intersection Improvements, per Interlocal Cooperation Agreement approved at prior meeting. N (D CD ,) O "1 RESOLUTION AND EXTRACT OF MINUTES OF BUDGET HEARING AND SPECIAL PUBLIC HEARING TO ADOPT BUDGET AND SET FINAL TAX REQUEST SANITARY AND IMPROVEMENT DISTRICT NO. 455 OF DOUGLAS COUNTY, NEBRASKA The Budget Hearing of Sanitary and Improvement District No. 455 was held the 20th day of September, 2022 at 9:30 a.m. Three copies of the proposed budget statement were available to the public. The Chairman then presented the proposed budget as discussed at the Budget Hearing outlining the key provisions of the proposed budget statement, including, but not limited to, a comparison with the prior year's budget and advised that the Budget Summary had been published in The Daily Record, (https://www.omahadailyrecord.com/) a legal newspaper of Douglas County, Nebraska on August 24, 2022, a copy of the Proof of Publication being attached to these minutes. The floor was then opened for public comment on the proposed budget statement. All members of the public wishing to address the governing body were provided a reasonable amount of time to do so. The Chairman advised that no property owners in the District appeared at this hearing on the proposed budget and Budget Summary to offer support, opposition, criticism, suggestions or observations concerning the proposed budget. The Chairman then advised that it would be necessary to vote on an additional 1% increase of the restricted funds and that in order approve such increase, 75% of the authorized Board must vote in favor of such increase. Following discussion, a motion was duly made, seconded and unanimously adopted by 145% of the authorized Board approving such 1% increase of the restricted funds. The Chairman noted that the budget complies with the current provisions of the Nebraska Lid Law, and that the property taxes for the Bond Fund and General Fund are proposed as follows: General Fund $144,536.90 - $0.400000 Bond Fund $180,671.12 - $0.500000 Total $325,208.02 - $0.900000 The Chairman further stated that the Board is required to hold a separate Special Public Hearing in order to set the 2022/23 Property Tax Request, and that the District has until October 15, 2022, to file with the County Clerk a Resolution setting the final tax request. The District must also publish notice of the Special Public Hearing reflecting the date and time for said Special Public Hearing, and the Chairman noted that such notice had been published as reflected in the Proof of Publication attached hereto. The Chairman then advised that the meeting was now open for a Special Public Hearing on the issue of setting the Property Tax Request as required by Neb. Rev. Stat. §77-1632. The Chairman advised that no one appeared in opposition. Following discussion, the Chairman declared the public hearing on the Budget and the Special Public Hearing to be closed, whereupon, a motion was duly made, seconded, and the following resolutions passed: NOW, THEREFORE BE IT RESOLVED BY SANITARY AND IMPROVEMENT DISTRICT NO. 455 OF DOUGLAS COUNTY, NEBRASKA, AS FOLLOWS: 1) The 2022/23 Property Tax Request be set at $325,208.02, ($0.400000) broken down as follows: General Fund $144,536.90 - $0.400000 Bond Fund $180,671.12 - $0.500000 Total $325,208.02 - $0.900000 2) The total assessed value of property differs from last year's total assessed value by 2%. 3) The tax rate which would levy the same amount of property taxes as last year, when multiplied by the new total assessed value of property, would be $.880161 per $100 of assessed valuation. 4) The District proposes to adopt a Property Tax Request that will cause its tax rate to be $0.900000 per$100 of assessed value, broken down as follows: General Fund $144,536.90 - $0.400000 Bond Fund $180,671.12 - $0.500000 Total $325,208.02 - $0.900000 5) Based on the proposed Property Tax Request and changes in other revenue, the total operating budget of the District will decrease last years by 58%. 6) A copy of this Resolution be certified and forwarded to the County Clerk on or before October 15, 2022. City shall be responsible for all costs related to the Intersection Improvements, subject to reimbursement set forth herein, including, but not limited to, all ongoing maintenance costs following the initial construction/installation. d. City shall provide inspection and project management services during the construction of the Intersection Improvements and shall perform all necessary maintenance and inspections following the initial construction/installation of the Intersection Improvements. 2. SID 404 and SID 455 each agree to pay City the amount of twenty-five percent (25%) of the total cost of the Intersection Improvements, as their share of the Intersection Improvements; such contribution shall be made within 30 days of the final billing from the Contractor and may be a general obligation of the district; provided, however, in no event will the contributions of SID 404 and SID 455 exceed $75,000.00 each. 3. Neither this agreement, nor City's approval of the location of said traffic signal shall be deemed a delegation of City's authority in the exercise of its police power over public traffic signals. Accordingly, City may, at its discretion, cause the removal, relocation or modification of such traffic signal at any time if the following conditions occur, to-wit: a. The traffic signal is no longer required due to a decrease in volume, b. The operation, Iocation or configuration of the traffic signal is deemed to be hazardous or inefficient. 4. Pursuant to Section 8.05 of the Home Rule Charter of the City of Omaha, no elected official or any officer or employee of the City shall have a financial interest, direct or indirect, in any City agreement. A violation of that section with the knowledge of SID 404 or SID 455, in addition to constituting employee malfeasance, shall be cause for the City to unilaterally terminate or void this agreement. 5. SID 404, SID 455, or City shall not, in the performance of this Agreement, discriminate against any parties on account of race, color, creed, political or religious affiliation, sex, marital status, sexual orientation, gender identity, national origin, age, or disability in violation of federal or state laws or local ordinances, 6. This instrument contains the entire agreement of the parties and shall be binding upon the successors and assigns of the respective parties. No amendment, deletions, or additions shall be made to this agreement except in writing. 7. Each party will indemnify, defend and hold harmless the other party(ies) hereto from any and all liability, expense, cost attorney's fees, claim,judgment, suit and/or cause of action (whether or not meritorious), settlement, or demand for personal injury, death or damage to tangible property which may accrue against the other party(ies) to the extent it is caused by the negligent acts or omissions of the indemnifying party, its officers, employees, agents, or subcontractors while performing their duties under this Agreement, provided that the other party gives the indemnifying party prompt, written notice of any such claim, suit, demand or cause of suit, demand or cause of action. These Indemnification provisions are not intended to waive a party's sovereign immunity. A party's liability under this Agreement is governed by and limited to the extent provided by the Nebraska Political Subdivision Tort Claims Act or other applicable provisions of law.
