WHEREAS, the parties have executed a Shopping Center Lease, dated December 1, 1991, and Lease Extension-dated April 1, 1994, and the parties wish to extend and continue the relationship. In consideration of the mutual undertakings herein, the parties agree as follows: 1. The parties agree to extend this Lease for a period of ten years from April 1, 1999, to March 31, 2009, on the same terms and conditions as contained in the original Lease and Extensions, except as follows: a. The base rent for the first eighteen months shall be $10.75/sq. ft. for the 2,363 sq. ft. of restaurant area and $10.75/sq. ft. for the 1,000 square feet of kitchen area. The base rent shall be increased every eighteen months by adding 3% of the base rent to the amount established for the preceding eighteen months. b. In addition to the above annual rent, the Lessee shall pay its pro rata share of the yearly common area costs, insurance, and taxes and other costs as set forth in the original lease. c. The association dues shall be $90.63/month. They shall be increased ever 18 months as set forth above. d. There shall be no rent cost for the Plaza eating area. 2. The Tenant shall receive a $5,000 credit to the base rent for the first and second months of this lease extension to be used generally for minor improvements, replace certain equipment and advertising for the restaurant. Further, the Landlord will advance $6,000 toward the costs of other improvement at any time during the first year of this lease agreement, provided, however, Tenant shall provide Landlord with an itemization and receipts for said improvements after they are completed; and the Tenant will commence repayment of said advance on the 1— day of the following month after the advance at a rate of$124.56 until it is repaid (amortized over 5 years at 9% interest). Said amount shall be accelerated and due and payable in full if a monthly payment is not made or the lease is in default, provided, however, Landlord shall give Tenant prior notice of said default as required on the initial Lease Agreement and subsequent extensions. In the event of a default, then the Landlord can recover that portion that remains to be earned. These amounts shall not be subject to mitigation. 3. Tenant acknowledges that existing plumbing to Building 3 requires proper use, maintenance, and cleaning to prevent grease or debris clogging. Such facts require a regular program of control and cleaning which Tenant agrees to perform. Tenant further agrees to provide verification that regular cleaning is scheduled and performed. 4. Delete Section 12.4 and add the following: Assignment and Subletting. Tenant shall not, either voluntarily or by operation of law, assign, hypothecate or transfer this Lease or sublet the Premises or any portion thereof without the prior written consent of Landlord in each instance. Any such consent of Landlord shall not release the original tenant or its guarantors from any of its obligations under this Lease unless the Landlord consents to such a release. a. In the event Tenant desires to assign, hypothecate or otherwise transfer this Lease or sublet the Premises, or sell or transfer some of its common stock, then at least Thirty (30) days prior to the date when Tenant desires such assignment or sublease or transfer to be effective (the "assignment date"), Tenant shall give Landlord a notice (the "assignment notice"), which notice shall set forth the name, address and business of the proposed assignee or sublessee or transferee, information (including references) concerning the character, ownership and financial condition of the proposed assignee or sublessee, or transferee, the assignment date, any ownership or commercial relationship between Tenant and the proposed assignee or sublessee or transferee, and the consideration and all other material terms and conditions of the proposed assignment or sublease or transfer, all in such detail as Landlord shall reasonably require. If Landlord requests additional detail, the assignment notice shall not be deemed to have been received until Landlord receives such additional detail, and Landlord may withhold its consent to any assignment or sublease or transfer until such additional information is provided to it. b. Landlord may not unreasonably withhold consent to any assignment, hypothecation or transfer of this Lease or the shares. The subletting of substantially all of the Premises for all or any portion of the remaining term of this Lease shall be deemed an assignment rather than a sublease for the purposes of this clause. Notwithstanding the foregoing, Landlord shall consent to the assignment or transfer if the assignment notice states that Tenant desires to assign the Lease to an entity into which Tenant is merged, with which Tenant is consolidated, or which acquires all or substantially all of the assets of Tenant, provided that the assignee first executes, acknowledges and delivers to Landlord an agreement whereby such assignee agrees to be bound by all covenants, conditions and agreements in this Lease which Tenant has agreed to keep, observe or perform; that such assignee agrees that the provisions of this Lease shall be binding upon it as if it had been the original Tenant hereunder; and that such assignee shall have a net worth (determined in accordance with generally accepted accounting principles consistently applied) immediately after such assignment which is at least equal to the net worth (as so determined) of Tenant immediately prior to such assignment. c. Landlord's consent to any sublease shall not be unreasonably withheld. A condition to such consent shall be the delivery by Tenant to Landlord of a true and correct copy of any such sublease or agreement to purchase shares of common stock. As a further condition to Landlord's consent to any assignment, encumbrance or sublease or transfer of shares, Landlord may require that the sublessee or assignee or transferee shall present their personal financial statements and execute the personal guaranty. d. Any sale, transfer of ownership, assignment, hypothecation or transfer of this Lease or subletting of the Premises which is not in compliance with the provisions of this paragraph shall be void and shall, at the option of Landlord, terminate this Lease. The consent by Landlord to any assignment or subletting or 2 • C C ?Y transfer shall not be construed as relieving Tenant or any assignee of this Lease or sublessee or transferee of the Premises from obtaining the express written consent of Landlord to any further assignment or subletting or as releasing Tenant or any assignee or sublessee or transferee of Tenant from any liability or obligation hereunder, whether or not then accrued. This section shall be fully applicable to all further sales, hypothecations, transfers, assignments and subleases of any portion of the Premises by any successor or assignee of Tenant or sublessee of the Premises. 5. Upon full performance of the Lease, and its Extensions, the Tenant may remove the kitchen stove hood. If there shall be a material default in the lease, early vacancy, or any performance less than the full term, then Tenant shall leave the stove hood affixed to the Premises. 6. Landlord hereby grants Tenant the right of first refusal to lease the eastern adjacent space upon the expiration of the now existing lease term or any renewals thereof, including any month to month tenancy, and upon the vacation of the premises by the existing tenant upon the same terms and conditions which exist at the time under this lease extension agreement. Landlord shall give Tenant written notice of said vacancy and Tenant shall have thirty days to exercise the option. The option shall expire after one written notice to exercise the option during the pendency of this Lease. 7. All of the obligations herein and responsibilities of the Landlord are conditioned upon the Tenant's continued timely and current performance of the obligations of the lease and extension. 8. The parties hereby acknowledge, ratify, and undertake all of the terms and conditions of the original lease unless excepted herein. 9. WHEREAS, the parties have entered. into a Shopping Center Lease dated December 1, 1991, a Lease Extension Agreement dated April 1, 1994, and a Lease Extension Agreement dated March 17, 1999; and WHEREAS, the parties desire to abandon the Plaza eating area of approximately 40 ' x 20 ' located 65 feet west of the leased premises, and. substitute for it an outside patio which abuts and is attached to the leased premises . NOW THEREFORE, in consideration of the mutual obligations and undertakings herein, and for other good and valuable consideration, the parties agree as follows : 1 . The Landlord shall forthwith complete remodeling of the exterior facade, construct the covered patio, and plant landscaping. The Patio Area shall include a stained cement, and steel lattice between the columns, surface, and wiring to the exterior. The former outdoor Plaza are (20' x 40 ' ) located 65 feet to the east of the leased premises is abandoned; and in its place is a new outdoor patio area which abuts the leased premises (Space E) of 25 ' x 30 ' . The terms and conditions for the use of this area are as follows : A. Right to Use Common Area, as Patio. So long as the state and local laws, codes, zoning restrictions, ordinances, regulations, and safety requirements, permit Landlord agrees that Tenant shall have a right to use the area adjacent to and, immediately outside of the Premises (Exhibit "A" attached hereto) (the "Patio Area." ) , subject to modification by Landlord from time to time as required. to comply with such laws, codes, restrictions, ordinances, regulations, or safety requirements, solely for the uses permitted by the use of the Lease at Paragraph 1 . 1 (h) (except for the cooking of food) , provided. that: (i) Tenant' s use of the Patio Area complies with all laws, codes, zoning restrictions, ordinances, regulations, safety requirements, approvals, permits, and licenses relating thereto; and. D. Restrictions on Tenant' s Use. Cleanliness of Patio Area. (i) Tenant shall clean and keep in good repair the Patio Area and Furniture and shall remove all trash generated therefrom on a daily basis or more frequently as needed. (ii) If Tenant fails to clean or keep the Patio Area in good. repair or remove tash therefrom as required by this clause, then in addition. to and not in lieu of any other remedy to which Landlord may be entitled at law or equity, Landlord shall have the right but not the obligation, upon 24 hours' prior, written notice to Tenant, to clean, repair or remove the trash on Trustee' s behalf; and Tenant shall pay landlord. 12n of Landlord' s cleaning, repair, or trash removal costs (including any overtime costs) immediately upon Landlord' s demands therefor. F. Repairs to Center. Tenant shall reimburse Landlord immediately upon Landlord' s demand therefor, the cost of repairs or restoration of any areas of the Center, including, but not limited to, other tenants' space arising out of Tenant' s use of the Patio Area or acts of negligence of Tenant, its customers, employees, agents, contractors, invitees, or licensees . G. Lease Provisions Apply to Patio Area. To the extent applicable, all provisions of the Shopping Center lease shall apply to Tenant' s use and occupancy of the Patio Area. H. Rent . It is understood. that so long as the Tenant is in full performance of its obligations in 'the Shopping Center Lease and Addendums, no rent or additional rent shall be charged for the Patio. 1 . Right is Personal to Tenant. Tenant' s right granted herein to use the Patio Area is neither transferable nor assignable. J. Landlord not Liable. Landlord shall have no liability to Tenant if it is unable to use the Patio Area for any reason other than Landlord' s negligence or willful misconduct . Tenant acknowledges and agrees that: (i) Notwithstanding anything herein to the contrary, Landlord may elect to terminate the rights to use the Patio for breach of the provisions of this paragraph or for breach of the provisions of the Lease and Addendums, upon 20 days' prior written notice to Tenant and to remove Tenant therefrom; and (ii) Prior to the revocation of such license, Tenant, at its sole cost and expense, shall remove its Furniture from the Patio Area and restore the Patio Area to its Condition prior to Tenant' s use thereof, ordinary wear and tear excepted. If Tenant fails to do so, then Landlord may remove Tenant' s Furniture and restore the Patio Area, and Tenant shall pay the cost of such removal and restoration to Landlord, upon demand. L.
