Transmitted herewith is a Resolution approving a new Wastewater Service Agreement between
the City of Omaha (Omaha) and the City of Elkhorn (Elkhorn) in regard to wastewater services
for S&ID No. 520 which is in Elkhorn's jurisdictional area.
The enclosed resolution authorizes Omaha to accept and treat the wastewater generated by the
residents of S&iD No. 520. Monthly service charges will be based upon wastewater discharge
metered at the connection point for S&ID No. 520. Elkhorn shall also pay connection fees in the
amount of $89,018.00 representing a total of 94 residential lots as detailed in the attached
Wastewater Service Agreement.
The Public Works Department requests your consideration and approval of the attached
Resolution.

AGREEMENT FOR WASTEWATER SERVICE BETWEEN
CITY OF OMAHA, NEBRASKA,
CITY OF ELKHORN, NEBRASKA, AND
SANITARY AND IMPROVEMENT DISTRICT NO. 520
OF DOUGLAS COUNTY, NEBRASKA
THIS AGREEMENT is made and entered into by and between the City of Elkhorn, a
municipal corporation of the State of Nebraska, hereinafter called "ELKHORN", and the City of
Omaha, also a municipal corporation of the State of Nebraska, hereinafter called"OMAHA", and
Sanitary and Improvement District No. 520 of Douglas County,Nebraska, hereinafter called
"S.I.D. NO. 520".
WITNESSETH :
WHEREAS, OMAHA has constructed a wastewater treatment plant at the confluence of
the Papillion Creek and the Missouri River which was designed to serve the Papillion Creek
watershed; and
WHEREAS, OMAHA has constructed a wastewater interceptor to convey wastewater
from certain areas of ELKHORN and its extraterritorial zoning jurisdiction to the OMAHA
wastewater treatment plant; and
WHEREAS, S.I.D. NO. 520 is a single family residential subdivision known as The
Sanctuary which is within Elkhorn's extraterritorial zoning jurisdiction; and
WHEREAS, S.I.D. NO. 520 is located in the Elkhorn River watershed and not in the
Papillion Creek watershed; and
WHEREAS, ELKHORN and S.I.D. NO. 520 desire to have OMAHA convey and treat
S.I.D. NO. 520's sewage from the connection point; and
WHEREAS, it is to the mutual advantage of the parties hereto and in the general public

interest for the sewage of S.I.D.NO. 520 to be treated by OMAHA at the aforesaid OMAHA
wastewater treatment plant; and
WHEREAS, OMAHA and ELKHORN are involved in annexation litigation which if
Omaha should prevail would result in OMAHA being the successor to ELKHORN and would
bring S.I.D. NO. 520 within OMAHA's extraterritorial zoning jurisdiction, but which if
ELKHORN should prevail would result in S.I.D. NO. 520 remaining within ELKHORN's
extraterritorial zoning jurisdiction; and
WHEREAS, it is to the mutual advantage of the parties hereto and in the general public
interest that when so providing for the conveyance and treatment of S.I.D. NO. 520's sewage,
that the contingencies of the aforesaid annexation litigation be also addressed; and
WHEREAS, the accomplishment of such an arrangement is authorized by law.
NOW, THEREFORE, in consideration of these facts, the parties hereto do mutually agree
as follows:
1. For the services hereinafter stipulated to be performed by OMAHA, ELKHORN will
comply with the applicable terms as set forth in the City of Omaha WASTEWATER
SERVICE AGREEMENT GENERAL PROVISIONS FOR MUNICIPALITIES, dated
February 1, 2000, a copy of which is attached hereto and made a part hereof, and make
payment accordingly.
2. OMAHA shall provide sewage treatment services as called for in said GENERAL
PROVISIONS for the service area shown in Exhibit A-2006 prepared by ELKHORN and
submitted to OMAHA. This agreement covers only that service area identified on
Exhibit A-2006. Connection to the sewer system for any additional area outside of this

service area must be provided for by amending this agreement or by a new wastewater
service agreement. Connection to the contributing system within the service area and
using the connection point shown in Exhibit A-2006 shall not require the amendment of
this agreement or a new wastewater service agreement.
3. OMAHA's permission provided for herein is only that of the owner of the utility. Any
use of sewers, owned by other entities,to convey wastewater from S.I.D. NO. 520 to
OMAHA shall require a written agreement between S.I.D. NO. 520 and the owner of
such sewer. A copy of any such agreement(s) shall be submitted to OMAHA and
ELKHORN.
4. ELKHORN shall pay connection fees in the amount of$89,018.00, which represents a
total of 94 residential lots. Such fees shall be paid to OMAHA within two (2)weeks of
ELKHORN's receipt of such payments from S.I.D. NO. 520, which ELKHORN shall
collect at the time of the execution and filing of the final plat.
5. ELKHORN is required to notify the OMAHA Environmental Quality Control Division of
any proposed rehabilitation or rerouting of the collection or outfall sewer system covered
by this agreement that impacts the quantity of flow at the point of connection or number
of connection points. OMAHA's permission provided for herein is only that of the owner
of the utility.
6. ELKHORN will maintain control over the platting of property within its extraterritorial
zoning jurisdiction and over the design of sewer collection facilities in all such plattings.
ELKHORN sewer design standards will meet or exceed OMAHA's minimum design
standards for all areas served by the OMAHA treatment system.

7. No new points of connection to the OMAHA interceptor system shall occur without the
execution of an Interceptor Connection Agreement and an amendment to the wastewater
service agreement. Connections made prior to completion of a signed Interceptor
Connection Agreement shall be subject to inspection fees ten(10)times the current fees
for interceptor connections.
8. Areas contributing wastewater to OMAHA whose entire flow is either measured by a
sewage meter or documented via individual MUD water meters at each property
connected prior to discharge to OMAHA shall be entitled to Bulk I flow charges.
9. Charges for sewer service to the collection and outfall sewer system shall be based upon
the flow and customer charges as are now and hereafter established in the Omaha
Municipal Code, currently Section 31, Article IV. User fees shall be assessed monthly
beginning the date of connection, and shall include each of the following types of
charges:
a. The wholesale customer charge assessed to a Bulk I customer for the first
connection point (additional connection points will not result in a new charge),
plus
b. The customer charge assessed to Bulk II customers times the total number of
commercial, industrial, and residential water accounts each month, plus
c. The volume of wastewater times the Bulk I wholesale flow charge. The volume
of wastewater is defined to be
i) The actual monthly water consumption of each commercial and industrial
account as measured by individual water meters, plus

ii) The sewer usage of each individual residential account computed as
follows:
(1) During the four (4) winter months, approximately December
through March, the actual water consumption as measured by
individual meters.
(2) During the remaining eight (8) months, the lesser of either the
actual water consumption as measured by each individual meter
OR the monthly winter average water consumption whichever is
smaller, plus
d. An abnormal charge on the Bulk I flow if the wastewater is determined to
have strengths greater than 240 mg/L Biochemical Oxygen Demand and/or
300 mg/L Suspended Solids.
10. ELKHORN shall prepare and submit the information described in provision 9 above
monthly in a timely fashion. ELKHORN shall authorize MUD to provide such
information directly to OMAHA or shall provide the data to OMAHA within twenty (20)
days of the receipt of the consumption records from MUD.
11. S.I.D. NO. 520's wastewater shall be discharge to the OMAHA treatment system by
means of the Box Elder Creek interceptor sewer.
12. ELKHORN will utilize an equitable cost recovery system as required by state and federal
laws and regulations.
13. S.I.D.NO. 520 specifically agrees to pay any additional charges assessed by OMAHA for
dischargers located outside of the Papillion Creek watershed, if based on sound

, engineering principles and determined as part of a future assessment of equitable
allocation of system costs, including but not limited to capitalization and expansion of
treatment facilities.
14. S.I.D. NO. 520's sewer system shall involve sewer lift stations and a force main, and one
of the sewer lift stations will serve as a Regional Lift Station(RLS) so as to provide
sanitary sewer services for future developments and subdivisions within the service area
shown in Exhibit A-2006.
a. S.I.D. NO. 520 shall contract with an engineering firm, registered in the State of
Nebraska, for the preparation of plans and specifications for the construction,
permitting, and easement acquisition for said sewer system. Said plans and
specifications and the award of construction contracts shall be subject to written
approval by OMAHA's Public Works Director and ELKHORN's City Engineer,
which approvals shall not be unreasonably withheld. All construction,
administration, construction management, and public bidding of said sewer
system shall be the responsibility of the engineer for S.I.D. NO. 520, however,
OMAHA and ELKHORN shall have the right to review and inspect any or all
aspects of construction management, and the engineer for S.I.D. NO. 520 shall
address any identified concerns, to the reasonable satisfaction of OMAHA and
ELKHORN.
b. S.I.D. NO. 520 agrees to cause said sewer system to be constructed in accordance
with the approvedplans and specifications, and duringthe course of construction

c. S.I.D. NO. 520 shall maintain records of all construction costs incurred by S.I.D.
NO. 520 in connection with said sewer system, and OMAHA and ELKHORN
shall have the right to audit and review such records at any time to assure such
records are accurate. S.I.D. NO. 520 will provide OMAHA and ELKHORN with
an engineer's certification, easement documents, and"as-built"plans upon
completion of the work.
15. Upon completion of said sewer system, ELKHORN shall be responsible for the operation
and maintenance of those portions of said sewer system which consist of the RLS, force
main, and sanitary outfall sewer main which is outside the boundaries of S.I.D. NO. 520,
and S.I.D. NO. 520 shall be responsible for the operation and maintenance of all other
portions of said sewer system. ELKHORN agrees to notify OMAHA of any change in
pump operation that may impact the discharge rate thereof. ELKHORN agrees to
cooperate with OMAHA to optimize pumping rates and cycle frequencies to minimize
odors and corrosion due to anaerobic conditions. ELKHORN shall provide inspection,
maintenance and repairs to said RLS and force main in accordance with a schedule
reasonably approved by OMAHA, and which is based on the manufacturers'
recommendations and sound preventive maintenance practices. Records of all
inspections, maintenance and repairs shall be documented and made available for review
by OMAHA at reasonable hours.
16. The entire cost of said sewer system shall be paid by S.I.D. NO. 520.

be paid by S.I.D. NO. 520 within ninety (90) days of receipt thereof, and shall be
paid from the operating fund of S.I.D. NO. 520.
17. S.I.D. NO. 520 may collect from system users a separate RLS fee for the equitable
recovery of maintenance, repair and operation costs for the lift and force main system.

The above fees may be amended annually to reflect the actual costs incurred as well as
changing population projections.
18. Any fines or penalties imposed by any federal or state agency or court of competent
jurisdiction arising from the use, operation or maintenance of S.I.D. NO. 520's sewer
system or lift stations shall be the responsibility of S.I.D. NO. 520. To the extent allowed
by law, S.I.D. NO. 520 agrees to indemnify and hold OMAHA and ELKHORN harmless
from any claims associated with the wastewater infrastructure owned by S.I.D. NO. 520.
19. In the event that OMAHA prevails in the aforesaid annexation litigation and OMAHA
becomes the successor to ELKHORN and S.I.D. NO. 520 is brought within OMAHA's
extraterritorial zoning jurisdiction, then the following shall become applicable:
a. The terms as set forth in OMAHA's Wastewater Service Agreement General
Provisions, dated November 1, 1994, shall become applicable and made part
hereof. In any case where terms of this agreement may conflict with the terms of
said General Provisions, this agreement shall prevail.
b. MUD will direct bill sewer charges, at rates now and hereafter established in the
Omaha Municipal Code, currently Section 31, Article IV, to individual customers
of S.I.D. NO. 520 on OMAHA's behalf.
20. This Agreement is effective upon signing by all parties.
21. As provided by Nebraska law(R.R.S. § 14-365.09), this agreement will, unless extended
as provided below, terminate ten (10)years after its effective date. This agreement may
be extended by written amendment. OMAHA acknowledges its sewage treatment system
is a public utility available without discrimination to members of specified classes.

Termination of sewage treatment will not be made without the approval of the •
appropriate state or federal agencies having jurisdiction over wastewater pollution and
treatment. Termination of sewage treatment service will not be made before ninety(90)
days following written notice of such termination. It is acknowledged that during said
period if negotiations produce no new agreement, the parties, or any one of them, may file
an action in any court having jurisdiction over the matter to provide equitable relief
concerning the issue of continued sewage treatment and the conditions and charges
appropriate thereto. Nothing in this paragraph will be construed as a limitation on the
regulations concerning sewage service and the appropriate rates pertaining thereto.
22. This is an agreement between the named parties hereto, enforceable only by them. No
third party beneficiaries are created or allowed to enforce this agreement or claim
damages for its breach.

by the proper officials thereunto duly authorized as of the dates below indicated.

RESOLVED BY THE CITY COUNCIL OF THE CITY OF OMAHA:
WHEREAS, the City of Omaha (Omaha) and the City of Elkhorn (Elkhorn)wish
to enter into a Wastewater Service Agreement to define the duties and responsibility of'each
•
party in regard to wastewater services to S&ID No. 520 which is in Elkhorn's jurisdictional area;
and, f
WHEREAS, S&ID No. 520 has been authorized by the City of Omaha to connect
to an interceptor sewer servicing the area and conveying wastewater to Omaha's treatment
system; and,
WHEREAS, Elkhorn and S&ID No. 520 will not allow anyone outside the area
defined in the agreement to connect onto the sewer line without Omaha's permission; and,
WHEREAS, Omaha agrees to accept and treat the wastewater generated by the
defined services area; and,
WHEREAS, the attached agreement, which by this reference will become a part
hereof,details all the parts of the agreement between Omaha and Elkhorn.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF OMAHA:
THAT, as recommended by the Mayor, the wastewater Service Agreement,
between the City of Omaha and the City of Elkhorn regarding wastewater services for S&ID No.
520 which is in the City of Elkhorn's jurisdiction, is hereby approved.
