WHEREAS, City and MAT wish to enter into an Interlocal Agreement and lease for construction of a bus lane and its subsequent use; and, WHEREAS, City and MAT desire to memorialize their understanding and agreement regarding the terms of the agreement and lease and the responsibilities related thereto; and, WHEREAS, The Federal Transit Administration (hereinafter referred to as "FTA") requires completion of a lease document prior to releasing the federal funds obligated in FTA Grant NE-03-0036 and any other federal funds required to complete the project. NOW THEREFORE, for and in consideration of the mutual covenants and agreements herein contained City and MAT do mutually undertake, promise, agree and contract each for itself and its successors and assigns as follows: 1. MAT agrees to provide mass transportation services to the West Roads area Transit Center shown on Exhibit A, attached hereto and incorporated herein, and to cause, within a reasonable time,the construction of the improvements shown on Exhibit A at no cost to the City. 2. Subject to the termination terms contained in this Agreement, City agrees to lease to MAT for one dollar($1.00), and other valuable consideration, the bus lane/bus parking reflected in Exhibit "A" for a period of twenty (20) years commencing on the date first shown above for the sole purpose of operating a transit center. This Agreement may be extended upon mutual agreement of the Parties. 3. MAT shall not be responsible for any lease or rental payment related to this Agreement during the twenty (20) year term, other than the consideration of these mutual promises. 4. MAT shall maintain and repair the bus lane and the landscaping along the bus lane in accordance with its usual and customary standards, provided such standards are consistent with those established and adhered to by City in maintaining the improvements along it roadways. Said maintenance and repairs shall include, but not be limited to, maintaining ingress and egress, snow removal, repair and maintenance of the surface of the bus lane, and all other maintenance and repairs to allow the bus lane to be used for its intended purpose. 5. Except as may be necessary, including utility excavations and paving repairs or repaving, or agreed to in advance, City and MAT shall not block ingress or egress from the bus lane. City does not grant exclusive use or possession of such bus lane to MAT. Neither MAT nor City may assign or delegate any interest or responsibility or obligation in this Agreement or transfer any interest in this Agreement without the express prior written consent of the other. Consent to assignment or delegation pursuant to this paragraph will not be unreasonably withheld. 7. It is understood and agreed by and between MAT and City that any and all acts that MAT or City or their respective personnel, employees, agents, contractors, or servants, perform pursuant to the terms of this Agreement shall be undertaken as independent contractors and not as employees of the other party. City and MAT shall each act in their individual capacities and not as agents, employees, partners, joint ventures, servants, or associates of the other. An employee or agent of one party shall not be deemed or construed to be the employee or agent of the other party for any purpose whatsoever. Neither, MAT nor City nor their respective personnel, employees, agents, contractors, or servants shall be entitled to any employee benefits of the other. Neither MAT nor City shall provide any insurance coverage to or for the other or their employees including, but not limited to, workers' compensation insurance. MAT and City shall each pay all wages, salaries and other amounts due their respective employees and each shall be responsible for all reports, obligations, and payments pertaining to social security taxation, income tax withholding, workers' compensation, unemployment compensation, group insurance coverage, collective bargaining agreements and any other such similar matters. Neither MAT nor City shall have authority to bind the other by or with any contract or agreement, nor to impose any liability upon the other. All acts and contracts of MAT or City shall be in such party's own name and not in the name of the other party, unless otherwise provided herein. 8. Each party shall retain sole and exclusive legal responsibility respecting any legal liability imposed by law upon such party as a result of any act or omission of such party, its employees or agents under or pursuant to the Agreement. 9. Either party may terminate this Agreement for cause upon ninety (90) days written notice to the other party. For purposes of this paragraph, "cause" shall mean a material failure of the other party to perform its obligations under this Agreement, or its obligations under any subsequent written agreements entered into relating directly to this Agreement. Upon notification of an intent to terminate for cause, the party receiving the notice shall have thirty (30) days to correct the failure to perform, which correction shall nullify the termination notice. Termination of this Agreement for cause shall not be considered a waiver of any other legal claims the party may have against the other for the non performance. 10. This Agreement may be cancelled, at any time,by mutual consent of the parties. 11. In the event of any dispute between City and MAT with respect to this Agreement, either party may notify the other in writing of the dispute then existing in lieu of terminating the Agreement for cause. The Parties shall then make a good faith attempt to resolve the Dispute, through direct discussions between their respective designated representatives. Such representatives will discuss the problem and/or negotiate in good faith in an effort to resolve the dispute without the necessity of any formal proceeding relating thereto. The costs of any mutuality acceptable mediator shall be split equally between the parties. Either party, in its sole discretion, may terminate the discussions under this paragraph and terminate the Agreement in accordance with and subject to the terms of the Agreement, invoke litigation, or otherwise act to protect its interests. 12. Parties to this Agreement shall conform with all existing and applicable federal, state and local laws, and all existing and applicable rules and regulations. This Agreement shall be governed by and construed in accordance with the laws of the United States and the State of Nebraska. 14. This Agreement shall not be merged into any other oral or written contract, lease or deed of any type. This is the complete and full Lease Agreement of the Parties. 15. Metro Area Transit Curt Simon, Executive Director 2222 Cuming Street Omaha,NE 68102-4392 Any request, notice, consent or approval of any kind required by any provision of this Agreement shall be required to be in writing. Notice, consent or approval and service thereof shall be deemed sufficient only if, in the case of City, it is delivered personally or sent by certified mail with postage prepaid to City in care of the Authorized Representative and in the case of MAT, it is delivered personally or sent by certified mail with postage prepaid to MAT in care of the Executive Director. 3 notification of an intent to terminate for cause, the party receiving the notice shall have thirty (30) days to correct the failure to perform, which correction shall nullify the termination notice. Termination of this Agreement for cause shall not be considered a waiver of any other legal claims the party may have against the other for the non performance. 10. This Agreement may be cancelled, at any time,by mutual consent of the parties. 11. In the event of any dispute between City and MAT with respect to this Agreement, either party may notify the other in writing of the dispute then existing in lieu of terminating the Agreement for cause. The Parties shall then make a good faith attempt to resolve the Dispute, through direct discussions between their respective designated representatives. Such representatives will discuss the problem and/or negotiate in good faith in an effort to resolve the dispute without the necessity of any formal proceeding relating thereto.
