RESOLVED BY THE CITY COUNCIL OF THE CITY OF OMAHA:
WHEREAS, the One-Hundredth Legislature, First Session of the State of
Nebraska will convene at the State Capitol, Lincoln, Nebraska, on January 3, 2007; and,
WHEREAS, legislative bills will be introduced in the Legislature as the Annual
Legislative Package of the City of Omaha and other legislative bills will be introduced affecting
the City of Omaha, a city of the metropolitan class in the State of Nebraska, and its citizens; and,
WHEREAS, the position of the City of Omaha and its citizens should be made
known to the Legislature, legislative committees, and individual senators on any and all
legislative bills which may or might affect the City and its citizens.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF OMAHA:
THAT, pursuant to the recommendation of the Law Committee of the City
Council, the City Lobbyist, John A. "Jack" Cheloha, is hereby designated as the official lobbyist
of the City of Omaha and its citizens before the Legislature, legislative committees and
individual senators, and that all City employees are authorized to furnish information, reports,
data and testimony before the Legislature, legislative committees, and individual senators when
deemed necessary or appropriate by the City Lobbyist when he is acting in his capacity as the
official representative of the City.

consult their tax advisors as to the tax consequences of purchasing or holding the Bonds.
It is further our opinion that, under the existing laws of the State of Nebraska, the interest on the
Series 2006A Bonds and the Series 2006C Bonds is exempt from Nebraska state income taxation so long
as it is exempt for purposes of the federal income tax.
We express no opinion as to whether the interest on the Series 2006B Bonds is exempt from
federal or State of Nebraska taxation.
We express no opinion as to the title to, or the sufficiency in, the Agreement, the Indenture or the
Lease or otherwise of the description of the Project or the priority of any liens, charges or encumbrances
of the Project.

requested by an authorized representative of DTC. The deposit of Bonds with DTC and their registration

approval of legality of the Bonds by Kutak Rock LLP,Bond Counsel,and to certain other conditions. Certain matters will be passed upon for the
Underwriter by its counsel, Kutak Rock LLP. It is expected that delivery of the Bonds will be made on or about December 14, 2006 at DTC
against payment therefor.
