Transmitted herewith is an Ordinance approving a lease with SONA Security of North America,
Inc., for four (4) self checkout units manufactured by Sentry Technology USA, Inc. (formerly ID
Systems USA, Inc.) These units will provide public self service use of the library and provide
increased efficiency in the use of library staff at Benson, Millard, Charles B. Washington and
Willa Cather branches of the Omaha Public Library system.
The bid of Sentry Technology USA, Inc. (formerly ID Systems USA, Inc.), and the leasing agent
SONA Security of North America, was previously accepted in Ordinance#37050, June 14, 2005
and is being expanded to include four(4).additional units.
This award is for a five (5) year period. The lease cost is firm for the length of the agreement.
The annual lease cost for the four(4) self checkout units is $22,172.36.
The contractor has on file a current Annual Contract Compliance Report Form (CC-1). As is •
City policy, the Human Rights and Relations Director will review the contractor to ensure
compliance with the Contract Compliance Ordinance.
Funds for this service will be paid from the 2005, and subsequent years, General Fund 11111,
Organization 117017, Obj ect.42474.
The Library requests your consideration and approval of the attached Ordinance.

AN ORDINANCE to approve and authorize payment to SONA Security of North America, Inc.
for the lease of four (4) Quick Check Self Check Out units by the Omaha Public Library
involving the payment of money from appropriations of more than one year in
accordance with Section 5.17 of the Home Rule Charter of the City of Omaha, 1956, as
amended; to authorize the lease payments in the amount of $22,172.36 annually to be
paid from a specific account; and to provide an effective date.
BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF OMAHA:
Section 1. That the bid pricing of Sentry Technology USA, Inc. (formerly ID Systems
USA, Inc.) specifying SONA Security of North America, Inc. as lease agent, as previously
accepted in Ordinance # 37050, June 14, 2005, is hereby expanded and the Purchase Order
approved to provide lease financing for four (4) additional Quick Check Self Check Out units to
the Omaha Public Library for an additional five (5) year period.
Section 2. That the Purchasing Agent of the City of Omaha be, and is hereby authorized
and empowered to issue a Purchase Order for lease for four (4) self checkout units, the terms of
which shall run from the date this Ordinance takes effect and will end 60 months after the
delivery date of the equipment. The lease price will be firm.
Section 3. SONA Security of North America will submit an annual invoice which will be
paid after receipt at the current rate, as bid, per amounts listed on the attached document, with
payments anticipated to be $22,172.36 annually.

AMENDMENTS TO AGREEMENT
This document shall serve as amendments and modifications to the Equipment Lease Agreement by and between
SONA Financial Services hereinafter referred to as the "Lessor", and City of Omaha, A Municipal Corporation,
hereinafter referred to as the"Lessee".
This document shall become an integral part of the above referenced agreement dated L r 2006.
The Agreement is modified as is follows:
Section 3.Late Charge
This section is replaced as follows:
The Lessee agrees to make all payments,on annual basis,therefore provided payment is received within
Forty-five(45)days of the annual"due date"the Lessor agrees not to charge late fees. If payment is received after
Forty-five(45)day period,Lessor may charge a late fee of one percent(1%).
Section 9.Location and Use of Equipment
The last sentence is deleted and replaced with the following sentence to the end of this section.
"The Lessee is excused from returning equipment, provided they have fulfilled all other provisions of this agreement,
exercise the purchase option provided by Lessor,and make all payments per the terms of the agreement. Lessee, may at
their option, decline to exercise purchase option., and return equipment. Provided Lessee makes all payments, Lessor
will contact Supplier,and arrange to retrieve equipment at Supplier's expense.
Section 12. Taxes and Fees
This section is deleted and replaced with the following.
It is mutually understood that the Lessee is a Tax Exempt,and therefore the Lessor shall not collect taxes for this lease.
If necessary,Lessee shall provide any necessary documentation to verify Tax Exempt status.
Section 14.Default and Remedies
The following sentence is removed from this section:
"Furthermore,Lessee authorizes Lessor to directly debit(charge) Lessee's bank accounts for all past due rent and other
charges and for all rent through the remaining balance of the Lease Term.
This Lease will not be binding on Lessor until it is accepted below. This Lease is non-cancellable and cannot be changed
except in writing signed by Lessor and Lessee

Section 15.Assignment
This section is modified as follows:
The second sentence is modified by adding the following to the end of the sentence:
...provided that such assignment shall not require Lessee to pay rent more than one entity and provided further that
any such assignee agrees it shall take no action to interfere with Lessee's quiet possession and use of the equipment,so
long as lessee is not in default of Section 14.
Section 16. Renewal
The following sentence is added to the end of this section.
Provided Lessee has fulfilled all terms of the agreement, with no defaults of any provision, Lessee may exercise an
option to purchase the equipment provided by the Lessor. If Lessee defaults for any reason,the terms of this section shall
govern this agreement.
Section 17.Miscellaneous
The state of California shall be replaced by the state of Nebraska.
All other provisions of the Equipment Lease Agreement not related to the special terms and conditions stated above,
are on two(2)typewritten pages and shall remain in effect for the term of the agreement.
These Amendments and modifications are stated and shall not be valid unless accepted by an officer of the
Lessor and authorized individual representing the Lessee.

Provided further the lessee makes all payments and complies with all its obligations to Lessor or
Lessor's assignee under the terms of the lease,Lessee shall have the following option at the end of
the original term.
Buy: Purchase the equipment for One Dollar($1) Legal Tender, plus any taxes or filing
fees.
This amount is payable in a single sum immediately upon the expiration of the lease.It is the
responsibility of the Lessee to exercise this option by providing Lessor written notices of intent as
well a copy of this document.
Should the Lessee terminate the agreement early for any reason, default on any of terms and
conditions of the Equipment Lease Agreement, this option shall be null and void.
Lessee agrees that its option and interests hereunder(including any security interests in the lease
equipment)shall be subordinate to the interests, if any of Lessor's assignee.

If Lessee requests from its legislative body of funding authority funds to be paid to Lessor under this Lease and,
1. Notwithstanding the making of such request in accordance with appropriate procedures, such legislative body or
funding authority does not appropriate funds to be paid to Lessor in the next occurring renewal term; and
2. Such non-appropriation did not result from any act or failure to act of Lessee; and
3. Lessee has exhausted all funds legally available for obligations under the Lease; and
4. There is no other legal procedure by which payment can be made to Lessor;then
Lessee may, upon prior written notice to Lessor effective 60 days after the giving of such notice or upon the exhaustion
of the funding authorized for the then current appropriation period,whichever is later,return the equipment to Lessor at
Lessee's expense and thereupon be released from its obligation to make any further rental payments to Lessor, provided:
(a) Lessor has received a written opinion from Lessee's counsel verifying items 1 through 4 above: and
(b) the equipment is returned to lessor in compliance with the terms of the Lease; and
(c) the notice is accompanied by payment of all amounts then due to Lessor under this Lease; and
(d) Lessee does not directly or indirectly purchase, lease or in any way acquire any services or equipment which in
whole or part are essentially the same services or equipment supplied or provided hereunder, for the balance of the
appropriation period following Lessee's exercise of its termination rights provided herein and also for the next
following appropriation period.
Lessor's remedies following such termination shall be to retain all sums paid hereunder by Lessee including any advance
rental payments and security deposit,take possession of the equipment, and/or sell, dispose of,hold, use or lease the
equipment as Lessor in its sole discretion may desire,without any duty to account to Lessee.
Lessee agrees that the terms and conditions of this Lease and this Addendum conform with the terms and conditions of
any purchase order, bid or other specifications issued regarding the equipment covered by the Lease or, if they do not
conform, that the terms and conditions of this Lease and this Addendum shall prevail over any conflicting terms of a
purchase order bid or other specifications. Lessee verifies that the Lease is a valid and binding obligation of the Lessee
and that Lessee has consulted with its legal counsel and confirmed that the terms of the Lease are not violative of any
applicable state or federal law.

prior approval of the awarding agency. To be considered for approval, the organization must demonstrate that such costs are
consistently incurred pursuant to an established training and education program, and that the course or degree pursued is
relative to the field in which the employee is now working or may reasonably be expected to work.
54. Transportation costs. Transportation costs include freight, express, cartage and postage charges relating either to goods
purchased, in process or delivered. These costs are allowable. When such costs can readily be identified with the items involved,
they may be directly charged as transportation costs or added to the cost of such items (see Paragraph 28). Where identification
with the materials received cannot readily be made, transportation costs may be charged to the appropriate indirect cost accounts
if the organization follows a consistent,equitable procedure in this respect.
55. Travel costs.
a. Travel costs are the expenses for transportation, lodging, subsistence and related items incurred by employees who are in
travel status on official business of the organization. Travel costs are allowable subject to sub-paragraphs b through e,
