WITNESSED: WHEREAS, Developer is the equitable owner of the real estate described on the attached Exhibit"A",which is incorporated herein by this reference and desires to establish and develop such property according to the provisions of the City Zoning Ordinances for the development of a project; and WHEREAS,in accordance with the requirements of the City Code,Developer has presented a Development Plan to the City; and WHEREAS,City,in the interest of maintaining the public health,safety and welfare,desires to assure that such project is developed substantially in accordance with the Development Plan and therefore considers this Agreement to be in the best interests of the City; and WHEREAS, Developer is willing to commit itself to the development of a project substantially in accordance with the Development Plan and desires to have a reasonable amount of flexibility to carry out the development and therefore considers this Agreement to be in its best interests; and WHEREAS,the City and Developer desire to set forth in this Agreement their respective understandings and agreements with regard to Lot 1,Ranch Bowl Replat One. Except as otherwise permitted in this Agreement, the project shall be developed in accordance with the City of Omaha Master Plan, and the City of Omaha Zoning and Subdivision regulations,the terms and conditions of this Agreement, and the Development Plan (Plan) a/k/a site plan, which is attached hereto as Exhibit "B" and by this reference incorporated herein. B. In the event there is a conflict between the dimensions shown on the site plan and the regulatory terms of this Agreement relating to site development, parking, landscaping or signage regulations, the more restrictive standard shall apply. C. Notwithstanding anything to the contrary set forth in this Agreement,Developer's duties set forth in this Agreement are contingent upon Developer's development of the subject property and construction of the site improvements. III. Improvements The parties agree that the entire cost of all public improvements shall be defrayed as follows: A. City hereby acknowledges it has given Developer the right to connect to the sanitary sewer system on the property to the City sanitary sewer system,subject to obtaining proper permits and paying the regular fees. B. Water and gas distribution mains located within dedicated street right-of-way shall be installed according to the terms of a contract with the Metropolitan Utilities District(MUD). C. Street lighting for public streets shall be installed according to the terms of a contract with the Omaha Public Power District(OPPD). D. Underground electrical service to each lot, site or building in the area to be developed shall be installed according to the terms of a contract with OPPD. E. Developer shall install at its own cost and expense all internal sidewalks shown on Exhibit "B"and perimeter sidewalks along 72nd Street and Hickory Street,according to the following schedule:Upon completion of the Development Plan. A sidewalk easement shall be granted by Developer on any portion of the sidewalk area along 72nd Street or Hickory Street which is not located in the right-of-way. F. Developer shall grade the property and install at its own cost and expense all erosion and sediment control improvements as shown on Exhibit"C". G. Installation of Improvements Developer agrees to commence the timely and orderly installation of the improvements following execution of this Agreement pursuant to appropriate provisions of the Omaha Municipal Code. The installation of such improvements may occur concurrently with private improvements on the site, but shall be completed prior to an occupancy certificate being issued for the project. Prior to the commencement of the construction of the public improvements,Developer shall submit to the Public Works Department plans and specifications for such improvements, adequate liability insurance and indemnity in favor of the City, and adequate material and labor bonds or letters of credit. All plans for public improvements shall be prepared by an approved licensed professional engineer and shall be subject to review and approval by the Public Works Director. V. Payment for Improvements Developer shall pay the costs of all site improvements, as well as all charges by the Metropolitan Utilities District for water and gas line installation,and charges by the Omaha Public Power District for underground electrical service and overhead power installations. Further,Developer agrees to submit a bond or letters of credit sufficient to cover the terms and conditions of this Agreement as to public improvements prior to issuance of its building permit. Such bond or letters of credit shall be approved by the City Attorney. VI. Right-of-Way Dedication If City determines that some additional right-of-way or easements are necessary to provide adequate public facilities to service the subject site,Developer agrees to dedicate same if it is located on the Exhibit"A"real estate. If outside of Exhibit"A,"Developer agrees to use its best efforts to obtain same and City, if necessary, will acquire same. VII. Easements Developer agrees to grant to City such easements as are necessary on the Exhibit "A" property in connection with this Development Plan which do not affect the use or operation of the site improvements by Developer and its invitees. VIII. Site Development Regulations Except as otherwise permitted in this Agreement, Lot 1, Ranch Bowl Replat One shall be developed in accordance with the applicable site development regulations of the CC Commercial District and Exhibits `B", "B-1", "E", "F", "G", "G-1", "G-2", "H-1" and"H- 2". . X. Parking Parking for the project shall be in accordance with the Parking Plan, Exhibit"E", attached hereto and made a part hereof The Parking Plan is in compliance with the Omaha City Code requirements, including Section 55-739(b)(2). XI. Landscaping Landscaping for the project shall be according to the Landscape Plan,Exhibit"F",attached hereto and made a part hereof The landscaping shall meet or exceed the minimum requirements ofthe provisions of the Omaha City Code,Chapter 55,Article 13,Landscaping and Screening, for the CC District. Developer will require all landscaping to be placed in soil of a quality that will allow the plant materials to grow and thrive in accordance with Section 02900-Planting of its standard specifications. Developer is responsible to maintain and replace all landscaping materials as necessary to maintain the Landscape Plan. The over story tree plantings along 72nd Street will exceed the minimum caliper code requirements. XII. Signage A. Signage for the project shall be in accordance with the Sign Budget(Exhibit"G"), Site Plan (Exhibit `B") and Sign Plan (Exhibit "G-1" and "G-2") attached hereto and made a part hereof The signage shall meet the minimum requirements of the Omaha Municipal Code, Chapter 55, Article 18, Signs and Street Graphics. B. The general location of and detailed site and design plans for the project's signs showing height, area, and advertising features is attached as part of Exhibit"G-1" and"G-2". C. All signs will be installed subject to a sign permit from the City of Omaha. Unless provided for in this agreement, all other provisions and regulations governing signs in effect at the time of application for a sign permit shall apply. XIII. Lighting Plan. Semi-trailer delivery trucks will not load or unload between 12:00 midnight and 7:00 a.m. (Except in emergencies) or idle at the loading dock overnight. B. There will be no displaying of merchandise outside the garden center area or the main structure. C. There will be no outdoor storage of any kind. D. There will be no portable or temporary structures or containers kept on the site. XV. Misce llaneous Provisions. A. The Mayor of the City of Omaha shall have the authority to administer this Agreement on behalf of the City and to exercise discretion with respect to those matters contained herein so long as the development proceeds in general accord with the Development Plan and with regard to those matters not fully determined at the date of this Agreement. The provisions of this Agreement shall run with the land in favor of and for the benefit of the City and shall be binding upon present and all successor owners of the real estate described in the attached Exhibit"A". B. Nondiscrimination. Developer shall not, in the performance of this contract, discriminate or permit discrimination in violation of federal or state laws or local ordinances because of race, color, sex, age,political or religious opinions, affiliations, or national origins. C. Applicable Law. Parties to this contract shall conform with all existing and applicable City ordinances, resolutions, state and federal laws, and all existing and applicable rules and regulations. Nebraska law will govern the terms and the performance under this contract. D. Interest to the City. Pursuant to Sec. 8.05 of the Home Rule Charter, no elected official or any officer or employee of the City of Omaha shall have a financial interest, direct or indirect, in any City of Omaha contract. Any violation of this section with the knowledge of the person or corporation contracting with the City of Omaha shall render the contract voidable by the Mayor or Council. In conclusion, the District has no objection to allowing the proposed storm sewer discharge into NRD Right-of-Way as long as the outlet is designed appropriately and a permit or easement is obtained. Any fill or excavation that will be performed in any waterway or wetland will Section 404 permit from the U.S. Army Corps of Engineers. Please contact their office at (402)896-0723.
