AN ORDINANCE to approve a Major Amendment to a Mixed Use Development Agreement for
property located at 8005 Farnam Drive between the City of Omaha and Midwest
Neuroscience Center, LLC and MNC Land, LLC, providing site development standards;
and to provide for an effective date.
BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF OMAHA:
Section 1. That the City of Omaha, in the interest of maintaining public health safety,
and welfare, desires to assure that the property located at 8005 Farnam Drive is developed in
accordance with the provisions of the Major Amendment to a Mixed Use Development
Agreement attached hereto and made a part hereof by reference.
Section 2. That if this Ordinance, or portion thereof, is found to be invalid, any zoning
ordinance applicable to such site shall not be invalidated for such reason.
Section 3. That this Major Amendment to a Mixed Use Development Agreement is
hereby approved.
Section 4. That this Ordinance shall be in full force and take effect fifteen (15) days from
and after the date of its passage.

SECOND AMENDMENT TO MIXED USE DEVELOPMENT AGREEMENT
THIS SECOND AMENDMENT TO MIXED USE DEVELOPMENT AGREEMENT is made
pursuant to the Omaha Master Plan and Chapter 55, Omaha Municipal Code, and is made and entered
into by and between the CITY OF OMAHA, NEBRASKA, a municipal corporation of the State of
Nebraska("City"), MIDWEST NEUROSCIENCE CENTER, LLC, a Nebraska limited liability company
("MIDWEST"),and MNC LAND, LLC,a Nebraska limited liability company("MNC")(MIDWEST and
MNC are hereinafter collectively referred to as the"Developer").
WITNESSETH:
WHEREAS,the City and MIDWEST entered into a certain Mixed Use Development Agreement
(the"Agreement"), approved by the City Council of the City of Omaha on February 2, 1999,setting forth
certain conditions with respect to the development of property owned by the Developer known as Lots 1
and 2, Beverly Hills Replat 4;
WHEREAS, the City and Developer entered into a certain First Amendment to Mixed Use
Development Agreement on February 16,2006,and
WHEREAS, the Developer desires to modify certain provisions of the Agreement and to clarify
intent and to revise Exhibit "B" to more adequately reflect the development, as shown on Exhibit "A,"
attached hereto,and
WHEREAS, The Agreement needs to be amended to revise Exhibit `B," previously attached to
the Agreement,and to modify certain provisions of the Agreement.
NOW,THEREFORE,the following is agreed between the parties hereto:
1. Exhibit`B"to the Agreement, as amended, is repealed in its entirety and the attached Exhibit"A"
is substituted in its place as Exhibit`B"to the Agreement,as amended.
2. Section II(B)(1) is repealed in its entirety and the following language is added in its place: "The
Site Development Regulations shall be the same as those for the GO Zoning District in effect on
February 2, 1999. As long as the Site Development Regulations are not violated,Developer may
alter the location, physical shape, exterior dimensions, or number of any structure(s) shown on
the Development Plan, within the boundaries of any platted Lot. The permitted uses for the
property shall be those defined as General Office, Medical Office, Hospital Services (Limited)
and Hospital Services(General)use types as defined in the Omaha Zoning Code."
3. Section II(B)(3)(B) is repealed in its entirety and the following language is added in its place:
"Mechanical equipment for the buildings (air conditioners, condensers, etc.) may be placed on
building roofs so long as they are properly screened, otherwise, such mechanical units should be
placed on ground level."
Except as specifically set forth herein, the Mixed Use Development Agreement and First
Amendment to Mixed Use Development Agreement shall remain in full force and effect.
IN WITNESS WHEREOF, the executing parties, by their respective duly authorized
agents, have entered into this amendment to the Development Agreement effective on the date of
the Mayor's signature.
