Subsequent to execution and approval.by the City Council of the Purchase Agreement and Ordinance, the City and the Buyer determined it is in,the mutual interest of both parties to amend the Purchase Agreement to provide for closing of the sale of the property at a mutually agreed time, not contingent to a redevelopment agreement as required in the original Purchase Agreement. This amendment will allow,for sale of the property while obligating the Buyer to finalize a Redevelopment Agreement which must be approved by the City Council. All other provisions of the original Purchase Agreement shall remain in force. The sale proceeds will reimburse the City for a portion of the cost of public improvements. 1 Proceeds will be paid to the 2006 Community .Development Block Grant, Fund 13459, Organization No. 129132. RECITALS WHEREAS, the Agreement provided for sale of Lots 7 and 8, Stockyards Business Park (hereinafter referred to as "The Property")pursuant to a redevelopment proposal; and, WHEREAS, subsequent to execution and approval by the City Council of the Purchase Agreement and Ordinance, the City and the Buyer have determined it is in the mutual interest of both parties to amend Section 4.b. of the agreement to provide for closing of the sale at a mutually agreed time, not contingent to an approved redevelopment agreement; and, WHERERAS, with the exception of those changes providing for closing of the sale being not contingent on approval of a Redevelopment Agreement between the parties by the City Council of the City of Omaha, the parties contemplate that all other terms, conditions and requirements in the Purchase Agreement approved by the City Council on October 24, 2006, by Ordinance No. 37508, shall remain the same and shall remain in full force and effect; and, WHEREAS, it is in the best interest of the City of Omaha and its residents to enter into this Purchase Agreement Amendment with the Buyer to insure the successful completion of the worthwhile development project in the Stockyards Business Park contemplated by the Agreement. City of Omaha Planning Department Attn Ken Johnson Re: TIF application and Offer for Purchase of land in Stockyards Business Park It is the intent of our company, CCL&B, INC., to purchase land including lots 7 and 8 that combined equals 4.53 acres, and develop the land to provide a home for a future • regional Johnstone Supply distribution center to service the inventory demands of our four Nebraska stores. Kim B and Mary Ann Cafferty are the sole owners of CCL&B, INC., a Nebraska"C" corporation CCL&B, INC is a real estate holding company that primarily owns buildings that are currently housing Johnstone stores in Iowa and Nebraska. We also own Six Johnstone Supply stores in Iowa and Nebraska. . A. Offer: It is our plan that CCL&B, INC purchase lots 7 and 8 in the city redevelopment zone known as Stockyards Business Park. We are offering 2.530/sq. ft. for the land which is less than the city of Omaha's offering price. 4.53 acres equates to 197326.8 square ft and at 3.00/ square foot, the price we propose is$499,236.80. We feel justified in this offer since several factors must be taken into account. Following.are some of those factors: 1. We recently purchased similar lots of slightly smaller size in Des Moines and Kearney only two blocks off primary exits off I-80 at lower prices. The market has dictated that these lots are overpriced, They have been on the market for years and still remain unsold. 2. The other lots were not in"Blighted"neighborhoods and will not require the expenditures that we will feel compelled to make for additional security, sight work, soils compaction, etc. . 3. The land in the Stockyards, even though it has been"Stabilized" includes the low spots of the old stockyards and has existing weep pools that will need extra expenditures in order to facilitate building the type of building that we propose to build in the business park 4. Even though part of the lot costs will be offset by the TIF financing program offered by the City, considering that the full impact of that will take 15 years to realize, given the compounding nature of invested capital and the "Opportunity cost of capital", we feel that the asking price is still excessive at$3.50/sq ft. 5. Also, the location, although it will have good access from L street and Hi Way 73/75, it is still outside the primary traffic flow for the majority of our customers that currently frequent our existing store in the Old Market area. It will cost us to reeducate the customers that South 0 is a safe, expedient and logical place to come and shop. 6. The last consideration is that the land in the proposed area is not of as high value since our other lots are corner lots with two way access and visibility. These Stockyard lots are a bit"Landlocked" and will be more difficult to utilize fully due to the layout. We will have to pour a lot more concrete to accommodate the traffic and parking, loading docks, etc. These combined two lots are also larger than what we really need, and that is another reason that we can not feel compelled to pay your asking price. We really wanted to buy about 3.25 acres on a corner lot!..Much of the land we purchase from you will need to be left unused and we will have to pay to maintain it, mow it,water,.etc. B. Scope of the proposed project: The building will propose to build is 40,500 square foot nearly square warehouse/office with lots of nice amenities. We will submit a detailed plan that shows color scheme, building materials, landscaping, etc attached. Our Dist. Ctr.Will also house a fully stocked and staffed local Johnstone store with local will call counter, delivery trucks and delivery service, a large warehouse to store mainly HVAC and Refrigeration equipment and tools. WE propose to provide a 3000 Sq Ft classroom/multi purpose room that can accommodate 100 people, we will have about 3025 Sq Ft of showroom, and nearly 2000Sq Ft of offices initially that may expand to include another 6000Sq Ft of office in the future. We will have covered freight docks of three heights, a covered area for.customers and employees to be able to use for picnic lunches outside in the shade, we will cater to a customer base that includes mainly maintenance technicians, service companies, and installers in the Heating, Cooling, Refrigeration, and Appliance repair industry. We hope to use our building as a working showplace for High efficiency HVAC equipment, lighting, and ventilation equipment. We plan to use only the highest efficiency HVAC equipment, snow-melt, in floor heat, and boilers with high efficiency filtration in the air handlers, and lots of use of passive light and windows to light the warehouse as well as super high efficiency lighting products. This will be as close to a "Green" structure as we can get it! The building will be situated on the lot so as to screen the freight docks from the street. C.
