2021-07-22 SID 277 MinutesCERTIFICATE The undersi ned hereby certify that they are the Chairman and Clerk of Sanitary and Improvement District Number 277 ofDou1 as County, Nebraska, (the "District") and hereby further certify as follows : 1. Anr exed to this certificate is a true and correct transcript of the proceedings of the Board of Trustees of the District relatin f to a meeting of said District held on the date and at the time reflected in the meeting minutes contained in said for f.going transcript (the "Meeting"). All of the proceedings of the District and of the Board of Trustees thereof which are set out in the annexed and foregoing transcript have been fully recorded in the journal of proceedings of the district and the undersigned District Clerk has carefully compared the annexed and foregoing transcript with said jo~rnal and with the records and files of the District which are in such Clerk's official custody and said transcript is a fu v, true and complete copy of said journal, records and files which are set out therein. 2. Advanc9 notice for the Meeting was given by publication as set forth in the affidavit of publication contained in the fore~oing transcript and was mailed to the Clerk of the municipality or county within whose zoning jurisdiction the Distri . tis located at least seven days prior to the date of the Meeting . Advance notice for the Meeting, including notice of a enda subjects, was given to all members of the Board of Trustees. All news media requesting notification ofmeeti gs of said body were provided with advance notice of the times and places of such meetings and the subjects to be dis ~ussed. 3. All ofth1 subjects addressed at the Meeting were contained in the agenda for the Meeting, which agenda was kept continually urrent and readily available for public inspection at the address listed in the meeting notice for the Meeting and a c py of which is attached to this Certificate ; such subjects were contained in said agenda for at least 24 hours prior t the Meeting and each agenda item was sufficiently descriptive to give the public reasonable notice of the matters1to be considered at the Meeting. 4 . A curren copy of the Nebraska Open Meetings Act was available and accessible to members of the public, posted during the M eting in the room in which such Meeting was held and all in attendance at the Meeting were informed that such c py of the Nebraska Open Meetings Act was available for review and were informed of the location of such copy in the room in which such Meeting was being held . At least one copy of all resolutions and other reproducible written aterials, for which actions are shown in said proceedings, was made available for examination and copying by mem ers of the public at the Meeting. 5. The m ~ tes of the Meeting were in written form and available for public inspection within ten (10) working days after th f Meeting or prior to the next convened meeting, whichever occurred earlier, at the office of the District; within thi:1)1 .(30) days after the date of the Meeting, a copy of the minutes of the Meeting was sent to the Clerk of the municipality or county within whose zoning jurisdiction the District is located . 6 . No litiga ion is now pending or threatened to restrain or enjoin the District from the issuance and delivery of any warrants or ot er obligations issued by the District or the levy and collection of tax or other revenues or relating to any of the improv ments for which any such warrants or other obligations were or are issued nor in any manner questioning the proc edings and authority under which any such warrants or other obligations were or are issued or affecting the validity thereof; neither the corporate existence or boundaries of the District nor the title of its present officers to their resp ctive offices is being contested ; no authority or proceedings for the issuance of any warrants or other obligations by e District have been repealed , revoked or rescinded as of the date hereof. MEETING MINUTES ANITARY AND IMPROVEMENT DISTRICT NO. 277 OFDOUGLASCOUNTY,NEBRASKA The meeti g of the Board of Trustees of Sanitary and Improvement District No. 277 of Douglas County , ebraska was convened in open and public session at 6:00 P.M. on July 22 , 2021 at 4008 S. 224 Cr , Elkhorn, Nebraska. Present at he meeting were Trustees Ken Heinrich , Bruce Dean , Duane Bartelt and Mike Hansen . Also , pr sent were Mark Johnson , the District's attorney , John Kuehl, the District's Financial Adviso ,, Russell Mahalek , the District's engineer and Chris Peabody the Districts engineer. Matthe Stamp was absent. The Chair an then stated that a copy of the Nebraska Open Meeting Laws was available for review and in pection and stated the location of said copy in the room in which said meeting was held. Notice of he meeting was given in advance thereof by publication in The Daily Record on July 12, 2021 , copy of the Proof of Publication being attached to these minutes . Notice of the meeting was sim ltaneously given to all members of the Board of Trustees and a copy of their Acknowledgmen of Receipt of Notice is attached to these minutes. Availability of the agenda was comrnunicat d in the published notice and in the notice to the Trustees of this meeting. All proceedings oft e Board were taken while the convened meeting was open to the attendance of the public. The Cle j then certified that notice of this meeting had been given to the City Clerk of Omaha , Nebrask at least seven days prior to the time set by the Board of Trustees for this meeting and filed her Ce ificate to that effect, said Certificate being attached to these minutes and made a part hereof by thi reference. The Distr ct's Financial report was presented for SID #277 expenditures since last meeting andFYTD. The Chai r an then acknowledged the following statements which had been paid prior to the date of them eting from the District's General Fund: a) Warrant o. 3048 , issued on April 9, 2021, for $72 .00 payable to Enfields for tree services. b) Warrants o. 3049 was never issued. c) Warrant o. 3050 , issued on May 25, 2021, for $600.00 payable to Clean Sweep Commerci 1 Inc., for street sweeping. d) Warrant N . 3051 , issued on May 25, 2021 , for $4 ,150.00 payable to EMC Insurance was ecause the insurance company destroyed the warrant instead of cashing for payment. he Districts warrant register has been updated. The attorney for the District issued a c eek to EMC and the District will reimburse Fullenkamp, Jobeun, Johnson & Beller. e) Warrant o. 3052, issued on May 25, 2021, for $185.00 payable to Containers to Go for a motion duly made , seconded and upon a roll call vote of "aye" by the Trustees , the fo~l wing Resolutions were unanimously adopted: SOLVED by the Board of Trustees of Sanitary and Improvement Di trict No. 277 of Douglas County, Nebraska that the execution anf delivery of the above-described Warrants (including the dates th reof, the payees , the services rendered and the amounts), said w rrants to draw interest at the rate of 6% per annum, are hereby ap roved and ratified and shall be payable from the General Fund A count of the District and are to be redeemed no later than three (3 y ears from the date of issuance. There wa a brief discussion regarding the OPPD line replacement issued. The Boar members filled out their Candidate Filing forms for the upcoming SID election. The attorney's o+ce filed their forms with the Douglas County Election Commission. Russell ~ahalek with HGM and Chris Peabody with Omni went over the street sealing and closure plans . Oinni will get an update on crack sealing prices. The Board decided to crack seal now and defer th seal coat at a later time . Omni will get updated pricing for the summer of 2022. The budg t meeting has been scheduled for September 14 , 2021 at 6:00 p.m., and will be held at 4008 S. 24 Cr, Elkhorn, Nebraska. Russell Mahalek will email the District's Financial Advisor regardin expenditures.
