The attached proposed Resolution transmits the Tax Increment Financing Redevelopment Project
Plan for the construction of a 25,600 sq. ft. masonry replacement facility in the Riverfront
Industrial Park by S & S Properties, L.L.C., a Nebraska limited liability corporation, the
developer of the facility, for Heartland Scenic Studio, Inc. S & S Properties, L.L.C. is wholly
.-iwned by Steven D. Wheeldon and Scott A. Hoyt who are also the owners and operators of
Heartland Scenic Studio, Inc.
The approximately $1,801,400 project will develop the 1.89-acre vacant site located at 5329
Lindbergh Drive, Lot 5, Riverfront Industrial Park Replat 1, commonly known as the Airport.
Business Park. The project site fronts Lindbergh Drive and is generally located in the area
between Hartman Avenue and Fort Street.

The new state-of-the-art office and operations facility is designed to meet the current need for a
replacement facility and the future growth of the company. The TIE will be used to facilitate the
development by financing public improvements and TIF eligible site acquisition, site demolition
and site preparation cost. The approval of the Redevelopment Plan will eliminate substandard
and blighting conditions resulting from illegal dumping, poor drainage and other negative site
conditions. The'approval will facilitate the development of the proposed project site by creating
the opportunity for TIT to be used as a financing mechanism. Without financial assistance this
proposed project site would not be developed.
With the approval of$250,000.00 in Tax Increment Financing to cover a portion of the eligible
TIT expenses of about $462,235.00 as a portion of the $1,801,241.00 estimated total project cost
will make this project feasible. Other. financing, including private financing and developer's •
equity are committed. The TIF will be retired over 15 years.

The project area meets the requirements of Community Development Law, which establishes the
criteria for the approval of a redevelopment plan. The site has been underutilized for several
years and was a health and safety hazard due to deterioration caused by a lack of maintenance,
illegal dumping and storm drainage difficulties.

FACILITY IN RIVERFRONT INDUSTRIAL PARK
$1.65 million re-investment in Omaha provides state-of-the-art operations and increases
staff by five employees over next twelve months
OMAHA, Neb., April 20, 2006—Today, Heartland Scenic Studio announced their$1.65 million
re-investment plans to construct a 25,600 square-foot corporate headquarters including a state-
of-the-art plant facility at 5329 Lindbergh Drive in the Riverfront Industrial Park northwest of
Eppley Airfield. Ground-breaking for the new facility is this spring with completion scheduled for
late summer. Mark Sanford Group is the architect and the general contractor is TAS
Construction. Real Estate Transactions are being handled by the St Ellen Group and the
financing is being provided by Enterprise Bank of Omaha.
Heartland Scenic Studio, presently located at 1308 Jackson in Omaha's Old Market, was founded
in 1983 as a design and fabrication shop for theatrical scenery and displays by Steve Wheeldon,
president, and Dick Mueller, owner of the Firehouse Dinner Theater. In 1985 the company was
incorporated and Mueller's interest was purchased by Wheeldon and A. Scott Hoyt, vice-
president. Both Wheeldon and Hoyt were students in the UNO Theater Arts Program. Today, in
addition to theatrical productions, Heartland prides itself in their work on permanent exhibits for
museums and commercial displays and is one of the Midwest's largest suppliers of theatrical
equipment and lighting for theatres, multi-use facilities, museums, television studios, commercial
office and retail space.
The firm currently employs a staff of 30 including project managers, carpenters, designers,
marketing and sales managers, service technicians, and equipment rental personnel with an
anticipated staff increase of five over the next twelve months. The company is known for the high
quality of their craftsmanship and many of the employees have been with Heartland Scenic
Studio since the early years of the company.
Scott Hoyt said, "We are very excited about our move to a new expanded facility allowing us to
add the latest technology and increase productivity for our customers at the same time. We are
delighted to relocate to within five miles of our present downtown/Old Market location because
over sixty per cent of our employees live east of 72nd Street. We also looked at sites all over the
metropolitan area and, in the end, decided that somewhere near the downtown area is where we
need to be."
Although this is primarily a regional business, Hoyt said the company has clients from coast to

Preliminary discussions have been held with the city of Omaha regarding possible TIF financing
for a portion of this project.

HEARTLAND SCENIC STUDIO INC.
INTRODUCTION
This site presents numerous development difficulties that are not present at other sites which
could be purchased and which would not have resulted in increased project costs. Without TIF
financing, additional site development costs would necessitate construction of this facility at
another site. Included in the increased development costs are poor soil conditions and poor
drainage. The developer selected the Omaha location over sites in predicated on the availability
of TIF to cover some of the eligible project cost.
PROJECT DESCRIPTION
S&S Properties, L.L.C., a Nebraska limited liability corporation, intends to build a new
freestanding 25,600 square foot masonry facility in the Riverfront Industrial Park to house the
operations of Heartland Scenic Studio, Inc. This facility, to be located at 5329 Lindbergh Drive,
will include areas for fabrication, sales, warehousing and offices, as well as parking, truck
loading and dock areas. Steven D. Wheeldon and A. Scott Hoyt, who are also the
owner/operators of Heartland Scenic Studio, Inc, wholly own S&S Properties.
Heartland Scenic Studio, Inc. was founded in 1983 at 1108 Jackson Street in the Old Market area
of Omaha. The company moved to 1308 Jackson Street in 1991. This move more than doubled
the size of the company's space and the purchase of an adjoining building three years later
increased it further. Following the sale of those buildings, Heartland Scenic Studio, Inc. wishes
to relocate in an area that will accommodate its current customer base and its thirty current
employees, the majority of whom live east of 72nd Street in Omaha.
Heartland Scenic Studio, Inc. designs and fabricates commercial displays and fixtures, museum
exhibits and scenery for a variety of local, regional and national clients. Heartland also sells and
installs stage equipment and supplies including theatrical and architectural dimming and control
systems, stage rigging and curtains, stage hardware and paints and over 200 other products used
by schools, churches, theaters, auditoriums, museums and commercial clients.
The new facilities will permit Heartland Scenic Studio, Inc. to more efficiently serve its existing
customers and provide additional capacity to enlarge its markets and expand the business.
Heartland Scenic Studio, inc. and S&S Properties, L.L.C. have considered other locations. The
site in the Riverfront Industrial Park, a/k/a Airport Business Park, will serve the needs of the firm
so long as TIF funds are available to help compensate for increased development costs, which

The total costs for this project are estimated to be One Million Eight Hundred One Thousand,
Two Hundred Forty-One Dollars ($1,801,241.00). The applicant is requesting tax increment
financing in the principal sum of Two Hundred Fifty Thousand Dollars ($250,000).
A description and cost estimate of the building and related improvements is attached hereto as
Exhibit A. Exhibit A also identifies the TIF-eligible costs associated with this redevelopment
project. The source of funds for the improvements include: (1) equity contributions by the
applicant; (2) debt financing; and (3) approval by the City of Omaha to allow the developers to
use excess TIF dollars to fund the costs of the site preparation and other TIF eligible costs. A
copy of the Proforma is attached as Exhibit B.
FINANCING PLAN
The funds for this project are coming from a combination of funds from the proceeds of the sale
of their current location, internally generated funds, and borrowed money. Preliminary loan
commitments have been received by S&S from lenders that are now under review.
NEED FOR TIF
This site presents development difficulties not present at other sites that could be purchased, and
which will result in increased project costs to S&S and Heartland Scenic. Additional site
development costs would necessitate construction of this facility at another location without TIF
financing. Included in the increased development costs are poor soil conditions and poor
drainage.
EVALUATION CRITERIA
Mandatory Criteria:
This project meets the mandatory evaluation criteria as follows:
1. The project must be located within a blighted areas or an area eligible for a
designation of blight as required and set forth by State Statute.
The area where the project will be located is in a designated substandard and blighted
area.
2. The project must further the objectives of the City Comprehensive Plan.
The project will further the objectives of the City's Comprehensive Plan by further
developing vacant land in the Riverfront Industrial Park, a/k/a Airport Business Park,
for industrial purposes. This will improve the tax base of the area, will add industrial
capacity to the area, and will increase employment opportunities in the area.

3. The use of TIF for the project will not result in a loss of pre-existingtax revenues
to the City and other taxing subdivisions.
During the TIF amortization period, the underlying real property will continue to be
taxed based upon its original assessed value at the time the TIF financing is approved.
The tax revenues collected as the base valuation will be distributed to the various
taxing jurisdictions, and there will be no loss of current tax revenues. It is anticipated
that this project will actually improve the tax base in the area, in that it will result in
the continued development of a large parcel of property that is not presently being
utilized.
4. The developer is able to demonstrate that the project would not be economically
feasible without the use of Tax Increment Financing.
If TIF funds were not available, the increased site development cost, when compared
with other sites that would not have these costs would require the company to locate
the project at another site, possibly outside of Douglas County,Nebraska.
5. The project will eliminate an actual or potential hazard to the public.
This project will develop property that is presently vacant. As a result, it will
eliminate the possibility of illegal dumping and environmental contamination that
may result. In addition, it will eliminate standing water areas that constitute a health
hazard.
Discretionary Criteria
The project meets the following discretionary criteria as follows:
1. The project is located in an approved substandard and blighted area.
The project is located in the Riverfront Industrial Park, a/k/a Airport Business Park,
which is included in and part of the designated North Omaha and Downtown Omaha
substandard and blighted area.
2. The project will directly benefit low- and moderate-income people.
At least 51% of the jobs created or retained by this non-residential project will be
held by low- or moderate-income people as defined by the Community Development
Block Grant Program.
3. The building or site that is to be redeveloped itself displays conditions of blight
as established by Nebraska State Statute.
The proposed site is vacant and undeveloped. Much of the site has poor drainage,

4. TIF proceeds will be utilized to fund the cost of all project specific public
improvements that may be required. A portion of the TIF may be utilized to fund the
cost of detention cell development and other required improvements in the Airport
Business Park resulting from increased development.
COST BENEFIT ANALYSIS
1) The use of Tax Increment Financing will not result in tax shifts. The current level of
taxes will continue to flow to the current taxing entities and only the increased value of
revenues resulting from the improvements will be applied to the cost of the improvement.
2) No community public service needs will be generated as a result of this project. The TIF
proposed will be used to offset any public infrastructure improvement cost as may be
required. The expansion will increase the level of truck traffic above that which currently
exists in this industrial area. The industrial capacity of the infrastructure is more than
adequate to serve the increased demands.
3) This expansion project will not significantly impact other industries in the area except to
increase demand for construction and any manufacturing supplies that are locally
procured.
4) The expansion at this site, rather than moving to a green field site, will maintain and add
new jobs in the eastern part of the city.
UTILITIES AND TRANSPORTATION
Gas, water, electrical and sewer services suitable to the proposed use are available at the site.
The developer as may be required will install all additional services. Good access to the site is
available from Fort Street and Lindbergh Drive. The site is convenient to air transport facilities.
LAND USE/ZONING
This site is located in a General Industrial District with abutting properties that are also zoned for
General Industrial use. The proposed recycling, processing, warehousing, distribution and office
complex is in compliance with the proposed Land Use Plan and Master Plan for this area. The
proposed development will comply with the site development regulations for GI use as follows:
Lot area 10,000 square feet minimum
Lot width 100 feet minimum
Floor area ratio 2.0 maximum
Front yard(minimum) 50 feet from the centerline of the fronting street

industrial park is in a low lying area that has water table problems which require that special
infrastructure and site preparation construction techniques be utilized in order to make the site

NOTICE OF PUBLIC HEARING ON THE HEARTLAND SCENIC STUDIO TAX
INCREMENT FINANCING REDEVELOPMENT PLAN
Notice is hereby given that the Omaha City Council has set Tuesday, April 24, 2007 at
2:00 p.m. as the date of Public Hearing on the Heartland Scenic Studio Tax Increment
Financing Redevelopment Plan.
The Heartland Scenic Studio Tax Increment Financing Redevelopment Plan is an
approximately 1.89 acre development located at 5329 Lindbergh Drive. The
Redevelopment Plan is located within an area declared blighted and substandard and in
need of redevelopment by the City Council by Resolution 2555, adopted September 28,
1976 and.recertified June 4, 1985 and June 2, 1993.
The Heartland Scenic Studio Tax Increment Financing Redevelopment Plan proposes
the construction of a 25,600 square foot masonry replacement facility in the Riverfront
Industrial Park for Heartland Scenic Studio, Inc.
The plan proposes up to $462,235 in Tax Increment Financing. The total project cost is
estimated to be $1,801,241.00. A copy of said plan is available for public inspection in
the City Clerk's Office.
Public Hearing will be held before the City Council of the City of Omaha, in the
Legislative Chambers, Omaha/Douglas Civic Center, 1819 Farnam Street, Omaha,
Nebraska.

RESOLVED BY THE CITY COUNCIL OF THE CITY OF OMAHA:
WHEREAS, the primary objectives of the City of Omaha's Master Plan and
Community Development Program are to encourage additional private investment and infill
development within inner-city neighborhoods; and to eliminate conditions which are detrimental
to public health, safety and welfare, by developing vacant, underutilized property within these
neighborhoods; and,
WHEREAS, the 1.89-acre S & S Properties, L.L.C., a Nebraska Limited Liability
Corporation, Tax Increment Financing (TIF) Redevelopment Project Plan Area for the Heartland
Scenic Studio, Inc. TIF Redevelopment Project is legally described as LOT 5, RIVERFRONT
INDUSTRIAL PARK REPLAT 1, City of Omaha, Douglas County, Nebraska and is commonly
Addressed as 5329 Lindbergh Drive. (see Attachment 1 for complete legal description); and,
WHEREAS, this Redevelopment Plan is located within an area previously
declared "blighted and substandard and in need of redevelopment" by City Council Resolution
No. 2555, adopted September 28,1976 and recertified June 4, 1985 and June 2, 1993; and,
WHEREAS, the S&S Properties, L.L.0 Tax Increment Financing (TIF)
Redevelopment Project Plan provided for the purchase of the vacant site for the complete
rehabilitation of the site through the construction of a 25,600 sq. ft. masonry replacement facility
in the Airport Business Park by S & S Properties, L.L.C., for Heartland Scenic Studio, Inc., as
described in Exhibit "A", attached hereto and made a part hereof; and,
WHEREAS, S & S Properties, L.L.C., a Nebraska limited liability corporation, is
the developer of the facility for Heartland Scenic Studio, Inc. and S & S Properties, L.L.C. is
wholly owned by Steven D. Wheeldon and Scott A. Hoyt,who are also the owners and operators
of Heartland Scenic Studio, Inc; and,
WHEREAS, the S & S Properties, L.L.0 Tax Increment Financing (TIF)
Redevelopment Project Plan provides for the use of Tax Increment Financing to offset the cost of
site acquisition, demolition, preparation and public improvements; and,
WHEREAS, an Industrial Development Bond issue may be used in this blighted
and substandard area to assist with project financing; and,

WHEREAS, Section 18-2108 of the Nebraska Revised Statutes requires the City
of Omaha to adopt a redevelopment plan before taking an active part in a redevelopment project
including the division of ad valorem taxes under Sections 18-2147 through 18-2150, Revised
Statutes of Nebraska; and,
WHEREAS, the S & S Properties, L.L.C. Tax Increment Financing (TIF)
Redevelopment Project Plan was previously approved by the action of the City of Omaha
Planning Board on October 4, 2006.
WHEREAS, It is in the best interest of the Citizens of the City of Omaha to
participate in the renovation of the vacant, underutilized site for the development of the
replacement facilities by S & S Properties, L.L.0 for the new office and operation/production
facilities for Heartland Scenic Studio, Inc.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF OMAHA:
THAT, the S & S Properties, L.L.C., a Nebraska limited liability corporation, Tax
Increment Financing (TIF) Redevelopment Project Plan, that provided for the purchase of the
vacant project site for the complete rehabilitation of the site through the development of a new
office, operation/production facility, as prepared by the Omaha City Planning Department,
containing a provision for the division of ad valorem taxes under Section 18-2147 through
18-2150, Revised Statutes of Nebraska, be and hereby is approved as the Redevelopment Plan
for the S & S Properties, L.L.0 Tax Increment Financing (TIF) Redevelopment Project Plan -
Area for the construction of the new office, operation/production facility for Heartland Scenic
Studio, Inc. to be located at 5329 Lindbergh Drive.
