The attached Resolution approves the Subdivision Agreement between Nebraska Methodist
Health System, Inc. and the City of Omaha. This Subdivision Agreement covers the public
improvement of Methodist West (Lots 1 and 2), a subdivision located Northeast of 192nd Street
and West Dodge Road.
This Subdivision Agreement stipulates which public improvements will be built by Nebraska
Methodist Health System, Inc. The cost of improvements will be paid by Nebraska Methodist
Health System, Inc.
The Public Works Department requests your consideration and approval of the attached
Resolution and Subdivision Agreement.

SUBDIVISION AGREEMENT
METHODIST WEST
(Lots One (1) and Two (2))

THIS AGREEMENT, made and entered into thist.D day of , 2007,
by and between NEBRASKSA METHODIST HEALTH SYSTEM, INC., a ebraska non-
profit corporation (hereinafter referred to as "Subdivider"), and the CITY OF OMAHA, a
Municipal Corporation in the State of Nebraska (hereinafter referred to as "City").
WITNESSETH
WHEREAS, Subdivider is the owner of the land included with the proposed plat
attached hereto as Exhibit "A", which parcel of land (hereinafter referred to as the "Area
to be Developed") is outside the corporate limits of the City's zoning and platting
jurisdiction; and
WHEREAS, the Subdivider wants to subdivide the Area to be Developed into
Lots One (1) and Two (2), Methodist West (hereinafter referred to individually as "Lot"
and collectively the "Lots") and Subdivider proposes to build public improvements in the
Area to be Developed; and
WHEREAS, the Subdivider wishes to connect the system of sanitary sewers to
be constructed by the Subdivider, or by subsequent owners of lots within the Area to be
Developed, to the sewer system of the City; and
WHEREAS, the parties wish to agree upon the manner and the extent to which
the contemplated public improvements shall be constructed.
NOW, THEREFORE, IT IS AGREED AS FOLLOWS:
For the purpose of this Agreement the following words "cost" or "entire cost" of a
type of improvement shall be deemed to include all construction costs, engineering
fees, attorney's fees, testing expenses, publication costs, financing costs and
miscellaneous costs.
SECTION I
A. Prior to the date of this Agreement, Subdivider entered into an agreement with
Five Fountains, LLC and Sanitary and Improvement District 523 ("SID 253")
providing for payment by Subdivider to SID 253 of certain amounts to pay for a
portion of the of public improvements installed by SID 523 as a part of the
construction of H.W.S. Cleveland Boulevard. Those costs to be paid include
special assessments for those public improvements, plus an additional amount
representing a portion of the general obligation costs related to the public
improvements installed. The estimated cost of these payments by Subdivider to
SID 523 is $443,988.87 which estimate includes the following:

B. In addition to the estimated contribution toward public improvements construction
referred to in Section I-A above, Subdivider covenants that Subdivider shall
install the following public improvements in accordance with the following terms
and conditions:
1. Certain street improvements are indicated for 192nd Street between West
Dodge Road and H.W.S. Cleveland Boulevard and to the intersection of
192nd Street and H.W.S. Cleveland Boulevard in the traffic study submitted
by Subdivider in connection with the submission of Methodist West plat.
The Subdivider's equitable share of the cost of such street improvements
shall be paid at such time as the development of the site warrants the
installation of said improvements. An amendment to this subdivision
agreement may be negotiated by Subdivider and the City at the time that
the future public improvements are required to serve the site.
2. Subdivider will install at its cost such modifications to the intersection of
H.W.S. Cleveland Boulevard and the access drive to the Lots as
necessary to accommodate the access drive, including lengthening the left
turn lanes on H.W.S. Cleveland Boulevard.
3. Subdivider may install, at Subdivider's cost, a traffic signal in the public
right of way at the intersection of H.W.S. Cleveland Boulevard and the
access road into the Area to be Developed. The traffic signal may be
installed at any time after the initial private improvements are constructed
in the Area to be Developed. The traffic signal will be interconnected by
Subdivider with any traffic signal installed at the intersection of 192nd
Street and H.W.S. Cleveland Boulevard. Upon installation of the traffic
signal, Subdivider will enter into a maintenance agreement with the City
for the maintenance of the traffic signal and pay the then current
maintenance fee charged by the City for such traffic signal.
4. Sanitary sewer mains, manholes and related appurtenances abutting the
property that were previously installed by SID 523 to serve the Lots are
shown on the attached Exhibit "C". Connection to the existing sanitary
sewer mains to serve the Lots will be made as shown on Exhibit C.
5. Storm sewers, inlets, manholes and related appurtenances that were
constructed by SID 523 to serve the Lots are show on the attached Exhibit
"C". Additional storm sewer facilities to serve the Lots will be determined
and constructed in connection with the construction of private
improvements on the Lots (Exhibit A)

6. Water and gas distribution mains to serve the Lots that are located within
dedicated street rights-of-way were constructed in connection with the
improvement of H.W.S. Cleveland Boulevard. Any further water and gas
mains to serve the private improvements on the Lots will be constructed at
the time the private improvements to be served by such mains are
constructed.
7. Street lighting for public streets was installed when H.W.S Cleveland
Boulevard was constructed. There are no publicly dedicated streets in the
area to be developed.
8. Underground electrical service to each of the lots in the area to be
developed will be installed by the Omaha Public Power District at the time
that the private improvements to be served by such electrical service are
constructed.
C. Any improvements referred to in Section I-B-2 and I-B-4 through I-B-8, inclusive,
shall be constructed when required for the construction and use of the private
improvements to be constructed on the Lots.
SECTION II
Except as provided in Section I-B-1 above, the parties agree that the entire cost
of all public improvements set forth in this Agreement shall be paid by Subdivider.
SECTION III
Subdivider covenants and agrees that Subdivider will abide by and incorporate
into all of its construction contracts for any public improvements the provisions required
by the regulations of the City pertaining to construction of public improvements in
subdivisions and testing procedures therefore.
SECTION IV
A. Subject to the conditions and provisions hereinafter specified, the City hereby
grants permission to the Subdivider and any subsequent owner of any Lot in the
Subdivision to connect its sewer system to the sewer system of the City for a
period not to exceed ten (10) years, in such manner and at such place or places
designed on plans submitted by the Subdivider and approved by the City.
B. Upon the completion of any Sanitary Outfall Sewer, if any, built by Subdivider,
the City shall be granted and they shall accept control and operation of the
facility. Subdivider shall convey by proper legal instrument all its rights,
easements, title and interest in such Sanitary Outfall Sewer to the City. The form
of acquisition shall be upon approved City forms.
C. Without prior written approval by the City, Subdivider shall not permit any sewer
lines or sewers outside the presently described boundaries to be connected to:

the sewer or sewer lines of the Subdivision, any sewer within the Subdivision,
any outfall sewer of the City, or any sewage treatment plant of the City. The City
shall have exclusive control over connections to its sewers whether inside or
outside the Subdivision. Subdivider shall not collect connect charges for such
connections.
D. At all times all sewage from and through said Subdivision into the City sewer
system shall be in conformity with the ordinances, regulations, and conditions
applicable to sewers and sewage within the City as now existing and as from
time to time may be amended.
E. Before any connection from any premises to the sewer system of the Subdivider
may be made, a permit shall be obtained for said premises and its connection
from the proper department of the City, which permit shall be obtainable on the
same terms, conditions, and requirements of the City and for the same permit fee
of the City applicable from time to time to permit property outside of the City to
connect to the sewer system of the City; it being expressly understood that the
City reserves the right to collect all connections charges and fees as required by
City ordinances or rules now or hereafter in force; all such connections shall
comply with minimum standards prescribed by the City.
F. Notwithstanding any other provisions of this Agreement, City retains the right to
disconnect the sewer of any industry, or other sewer user within the area to be
developed, which is discharging into the sewer system in violation of any
applicable ordinances, statute, rule or regulation.
G. The Subdivider warrants that it has not employed or retained any company or
person, other than a bona fide employee, working for the Subdivider, to solicit or
secure this Agreement, and that is has not paid or agreed to pay any company or
person, other than a bona fide employee working for the Subdivider, any fee,
commission, percentage, brokerage fee, gifts, or making of this Agreement. For
breach or violation of this warranty, the City shall have the right to annul this
Agreement without liability. The Subdivider shall require the same warranty from
each contractor with whom its contracts in any way pertaining to its sewage
system. The prohibition provided for herein shall not apply to the retention of any
attorney or other agent for the purpose of negotiating the provisions of this
Agreement where the existence of such agency has been disclosed to the City.
SECTION V
A. Payment for Construction of Interceptor Sewers.
Subdivider shall make payment to the City for the fee in the amount of
$170,354.46 for the construction of interceptor sewers. This fee is computed as
follows for the lots shown on the plat (Exhibit "A"):

If the area is replanted or the use of the lots is changed, the fee charged shall be
changed by the City on the basis of the wastewater flow generated compared to
that generated by single family residences.
B. City Sewer Connection and Sewer Use Fees to be Paid.
The City may collect, within the area to be developed, the City's sewer
connection and permit fees, as provided by existing City ordinances, and its
sewer use and connection fees as now or hereafter existing. Such fees shall be
in addition to the payments provided for in Section V-A herein, however, the City
shall reduce its "Special Connection Fee — Papillion Creek Watershed" for any lot
listed in Section V-A herein, by the amount paid by the Subdivider for that lot
pursuant to that section and collected by the Subdivider from the party for whom
the connection is made.
C. Upon execution of this Agreement, Subdivider shall make payment to the City in
cash in the amount as stated in Section V-A of this Agreement. The City shall
accept and retain such monies to make progress payments for the design,
construction and construction supervision for building interceptor sewers.
SECTION VI
Subdivider agrees that it will provide tree mitigation as provided in the separate
Development Agreement with City. Subdivider agrees that it will deposit with the City, in
order to secure performance of the Subdivider's tree mitigation responsibilities, an
amount equal to $200.00 for each tree to be planted, together with another 20% of the
total amount for administrative charges, for a total amount of $7920.00. Such amount
may be submitted to the City by Subdivider's check or by a bond. Upon compliance
with the tree mitigation planting requirements, the amounts held by the City or the bond,
as applicable, will be refunded to Subdivider.
SECTION VII
A. Installation of entrance signs or related fixtures and any median landscaping and
related fixtures shall be paid for by the Subdivider. Plans for such proposed
improvements that are to be located in public right-of-way and a proposed
maintenance agreement for the improvements must be submitted to the City for
review and approval prior to the installation of improvements.
B. No separate administrative entity nor joint venture, among the parties, is deemed
created by virtue of this Subdivision Agreement.
C. The administration of this Subdivision Agreement shall be through the offices of
the undersigned officers for their respective entities.
D. The Erosion Control Plan between the Subdivider and PNRD is attached hereto
and incorporated herein as Exhibit "D". Costs for erosion control shall be paid by

RESOLVED BY THE CITY COUNCIL OF THE CITY OF OMAHA: ;
,
WHEREAS,Nebraska Methodist Health System,Inc.proposes to build a subdivision
to be known as Methodist West(Lots 1 and 2)which will be located Northeast of 192nd Street and'
West Dodge Road; and, ,
WHEREAS, Nebraska Health System, Inc. will build public and private
improvements in this subdivision; and,
WHEREAS,Nebraska Methodist Health System,Inc.wishes to construct a sanitary
sewer system and connect said system to the Sanitary Sewer System of the City of Omaha; and,
WHEREAS,the parties wish to agree upon the manner and the extent to which public
funds may be expended in connection with public improvements to be constructed within the area to
be developed or serving the area to be developed and the extent to which the contemplated public
improvements specifically benefit property in the area to be developed and to what extent the cost of
the same shall be specially assessed; and,
WHEREAS,Nebraska Methodist Health System,Inc.agrees to pay$170,354.46 as a
sewer connection fee to be used for the construction of the sewers in the Papillion Creek Watershed;
and,
WHEREAS, a Subdivision Agreement has been prepared setting forth all the
provisions mentioned above..
NOW,THEREFORE,BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY
OF OMAHA:
THAT, the Subdivision Agreement between the City of Omaha and Nebraska
Methodist Health System, Inc., as recommended by the Mayor, providing for the public
improvements and sewer connection to the Omaha Sanitary Sewer System,is hereby approved. The
Subdivision is to be known as Methodist West(Lots 1 and 2)and is located Northeast of 192nd Street
and West Dodge Road.
