AN ORDINANCE to approve a Major Amendment to a Mixed Use Development Agreement for
property located Northwest of 175th Street and West Center Road between the City of
Omaha and Tivoli Lakeside, LLC, providing site development standards; and to provide
for an effective date.
BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF OMAHA:
Section 1. That the City of Omaha, in the interest of maintaining public health safety,
and welfare, desires to assure that the property located Northwest of 175th Street and West
Center Road is developed in accordance with the provisions of the Major Amendment to a
Mixed Use Development Agreement attached hereto and made a part hereof by reference.
Section 2. That if this Ordinance, or portion thereof, is found to be invalid, any zoning
ordinance applicable to such site shall not be invalidated for such reason.
Section 3. That this Major Amendment to a Mixed Use Development Agreement is
hereby approved.
Section 4. That this Ordinance shall be in full force and take effect fifteen (15) days from
and after the date of its passage.

THIRD AMENDMENT TO DEVELOPMENT AGREEMENT FOR TIVOLI
THIS AMENDMENT TO DEVELOPMENT AGREEMENT is made pursuant to the Omaha
Master Plan and Chapter 55 of the Omaha Municipal Code, and is made and entered into as of the
date of signatures below, by and between THE CITY OF OMAHA, NEBRASKA, a Municipal
Corporation of the State of Nebraska, (hereinafter "City"), and Tivoli Lakeside, LLC, a Nebraska
limited liability company(hereinafter"Developer").
WITNESSETH:
WHEREAS, City and Developer entered into a certain Development Agreement adopted by
the City Council of the City of Omaha on July 27, 2004, Ordinance 36703, Amendment to
Development Agreement dated September 1, 2005 and Second Amendment to Development
Agreement for Tivoli dated June 21, 2006 pending the filing and approval of the Omaha City
Council (collectively the "Agreement"), setting forth certain conditions with respect to the
development of property now owned by the Developer known as Lots 1, 2, 3, 6, 7, 8, 9, Tivoli; and
Lots 1 and 2 Tivoli Replat 1 (being a replat of Lots 4 and 5 Tivoli) and Lot 1 Tivoli Replat 2 (being a
replat of Lots 10-13 Tivoli); and
WHEREAS, Developer desires to submit a replat for Lots 10-13 Tivoli to be known as Lot 1
Tivoli Replat 2;
WHEREAS, Developer desires to clarify paragraph B of Installation of Public Improvements
on page 2 of the Agreement;
WHEREAS, Developer desires to clarify paragraph C of Landscaping/Open Space/Plaza
Space on page 4 of the Agreement;
WHEREAS, the Agreement needs to be amended to reflect the replat of Lots 10-13 Tivoli to
be known as Lot 1 Tivoli Replat 2 (being a replat of Lots 10-13 Tivoli); and to revise the
Development Plan,Exhibit"C"and the Individual Site Plans Exhibits C-10 through C-13.
NOW, THEREFORE, in consideration of the mutual covenants and agreements herein
contained,the parties agree as follows:
1. The following paragraph shall be inserted in the Agreement under Landscaping/Open
Space/Plaza Space,page 4 of the Agreement and shall replace said paragraph:
Lot 1 Tivoli Replat 2 (being a replat of Lots 10— 13 Tivoli), is required to
provide a minimum of 10,000 square feet of open space as shown on
Exhibit "C-10" as attached to this Agreement. This open space must be
coordinated and be designed to create at least one (1) contiguous area of
functional pedestrian plaza where buildings are grouped together to form a
distinctive space. Specific required plaza areas are designated on the
Development Plan, Exhibit "C", and Individual Development Plans,
Exhibits C 1-C 10.
2. The following sentence shall be inserted in the Agreement under paragraph B — Installation
of Public Improvements,page 2 of the Agreement and shall replace the first sentence of the same
paragraph:

The Improvements to West Center Road required by the City of Omaha shall
be commenced on April 1, 2007 and be substantially completed by July 1,
2007.
3. Exhibits C-Development Plan, C-10 through C-13 Individual Development Plans and D-1
through D-5 to the original Agreement are deleted and the attached Exhibits C-Development
Plan and C-10 Individual Development Plan are inserted in place thereof.
4. Exhibit E-Sign Plan and Sign Budget to the original Agreement is hereby deleted and the
attached Exhibit E-Sign Plan and Sign Budget is inserted in place thereof.
In all other respects, the Agreement shall not be affected hereby and it is hereby ratified and
confirmed.
