N E B R A S K A Thomas C.Marfisi Mike Fahey,Mayor Director Honorable President and Members of the City Council, The current group contract for life insurance between EMC National Life Company and the City of Omaha terminates on June 30, 2007. Requests for Proposals (RFP) were sent out to approximately twenty (20) companies. Six (6) companies submitted responses as summarized • on the attached sheet. Based on the analysis of the six (6) proposals conducted by the Benefits Division of the Human Resources Department,.the top three (3) were identified. One company was the current carrier, EMC Life, along with The Standard and Sun Life. A committee involving representatives from Finance, Law and Human Resources conducted interviews with The Standard and Sun Life. Based upon the information obtained during these interviews and the three -(3) proposals, the recommendation is for Sun Life to be awarded the contract from July 1, 2007 through June 30, 2010. This recommendation is made for the following reasons: 1. Sun Life has guaranteed their rates for the three (3) year period of the contract. 2. All benefits are equal to or better than the current group life coverage. 3. There will be a savings to the City based on current volume and coverage of approximately$90,000/year for the three (3) year period. 4. Employees who have optional life coverage will have no change in their premium. 5. This new contract will add an additional option under the dependent life term life. Currently the only amount available was $5,00 term coverage on the spouse, and $2,000 each for each child (6 months up to age 19 unless a full-time student then up to age 24). This benefit will continue, however, a second option will be $10,000 spouse; $4,000 each dependent. The premium rate will be the same for each option - $1.25/month (this is the current premium for the $5,000/$2,000 benefit). The Company is engaged in the business of providing life insurance coverage to certain individuals and entities and has proposed to provide certain life insurance coverage to the City of Omaha. B. Provide and administer the coverages, services and benefits as set forth in this Agreement and Sun Life Assurance Company of Canada's bid proposal opened and received by the City on March 28, 2007, and Sun Life Assurance Company of Canada's group policy both incorporated herein by this reference. B. Prepare a schedule of benefits and certificate of coverage for distribution to the eligible employees and retirees of the City upon request. C. Make benefit payments in accordance with the terms of Sun Life Assurance Company of Canada's group policy on behalf of eligible employees and retirees to designated beneficiaries, or in accordance with the order of beneficiary in the group life insurance policy if no beneficiary has been designated. D. Provide suitable facilities, personnel, procedures, forms and instructions for administration of the group life insurance policy. E. During the continuance of this Agreement, the Company agrees to indemnify the City and hold it harmless against any and all loss, damage and expense with respect to the administration of the group life insurance policy resulting from or arising out of the dishonest, fraudulent or criminal acts of the Company's employees, acting alone or in collusion with others. III. CITY SERVICES In carrying out the terms of this Agreement, the City agrees to provide the following services on a timely basis: A. Provide the Company with the following information: 1. If the City and the Company deem it necessary, the City will provide an application for each new eligible employee. 2. An application for each eligible employee changing status of coverage. 3. An annual audit of eligible employees. B. Approve the group life insurance policy and any changes or modifications thereto as authorized in Paragraph IX below. C. Make payroll deductions from each employee for payment of optional benefits authorized by such employee. D. Make appropriate payment, as set out in this Agreement, on each employee and each retiree for the basic and Accidental Death and Dismemberment (AD&D) coverage. IV. COMPENSATION The City shall remit to Sun Life Assurance Company of Canada a monthly billing premium of .11.0 per $1,000.00 of term life insurance, plus an additional .020 per $1,000.00 of accidental death and dismemberment insurance, for the total amount of insurance provided its employees and shall remit monthly an amount deducted from retirees' pension benefits equivalent to the full premium for coverage selected by retirees as set out in Sun Life Assurance Company of Canada's bid proposal. The specific rates identified herein along with those specified in the Company's bid proposal are guaranteed for the entire term of this contract (July 1, 2007 through June 30, 2010). V. TERM This Agreement shall be in effect for a period commencing July 1, 2007, through and including June 30, 2010, but to include claims paid after June 30, 2010, which were incurred during the term of this Agreement. - 3 - carrying out the terms of this Agreement, the City agrees to provide the following services on a timely basis: A. These records or microfilm copies will be made available for audit purposes to the authorized City representatives and shall be retained for a period of five years after termination of this Agreement. B. Affirmative Action Program of the City, as contained in Resolution No. 1345, of the.City, adopted March 14, 1972, and the provisions of the City Charter. The Company assures that no person shall, on the grounds of race, color, national origin, political or religious opinion or affiliation, or disability, be excluded from participation in, be denied the proceeds of, or be subject to discrimination under the program supported by this Agreement. For breach of this assurance, the City shall have the right to terminate this Agreement or take appropriate judicial action for its enforcement. The Company shall furnish such compliance information and other reports as may be required by the City. C. The Company covenants that it has not retained or employed any company or person other than bona fide employees and agents working for the Company, to solicit or secure this Agreement, and that it has not paid or agreed to pay any company or person other than bona fide employees and agents working for the Company, any fee, commission, percentage, brokerage fee, gift, or any other consideration contingent upon or resulting from the award or making of this Agreement, except as specifically stated in Questionnaire Item 7 of the Sun Life Bid Proposal. For breach of this statement, the City shall have the right to annul this Agreement without liability. D. The Company shall comply with all municipal ordinances and State and Federal laws relating to or applicable to the group policy and this Agreement, including but not limited to, the Nebraska Workers' Compensation Law and the Fair Labor Standards Act. E. Pursuant to Section 8.05 of the Home Rule Charter, no elected official or any officer or employee of the City shall have a financial interest, direct or indirect, which would conflict with the performance or services required to be performed under this Agreement; it further covenants that in the performance of this contract, no person having any such interest shall be employed. F. The Company guarantees, in addition to the basic rates as set forth under Paragraph IV (Compensation) of this Agreement, the rates specified in Company's bid proposal for optional group term insurance, optional group dependent insurance and optional retiree coverage for the period of July 1, 2007 through June 30, 2010. Subject to the terms of Company's bid proposal, group policy and application, Company agrees to maintain all life insurance benefits which were available to City employees immediately prior to the conclusion of the Agreement between the City and Employers Modern Life Company during the period July 1, 2001 through June 30, 2007. G. In accordance with Company policy, the Company shall not discriminate against any employee or applicant for employment because of race, religion, color, sex, disability or national origin. In accordance with City policy, the Company shall, in all solicitations or advertisements for employees, placed by or on behalf of Company, state all qualified applicants will receive consideration for employment without regard to race, religion, color, sex, disability or national origin. In accordance with City policy, the Company shall furnish to the Contract Compliance Officer all Federal forms containing the information and reports required by Federal government for Federal contracts under Federal rules and regulations and including the information required by Omaha Municipal Code Section 10.192 to 10.194, inclusive, and shall permit reasonable access to their records. Records accessible to the Contract Compliance Officer shall be those which are related to paragraphs (G) through (L) and only after reasonable notice is given to the Company. The purpose for this provision is to provide for investigation to ascertain compliance with the program provided for herein. J. To the extent the Company contracts with a subcontractor to perform services under this Agreement and in relation to the insurance coverage, in accordance with City policy, the Company shall take such actions with respect to any subcontractor as the City may direct as a means of enforcing the provisions of paragraphs (G) through (L) herein, including penalties and sanctions for noncompliance, provided, however, that in the event the Company becomes involved in or is threatened with litigation as is necessary to protect the interest of the City and to effectuate the provisions of the Ordinance and in the case of contracts receiving Federal assistance, the Company or the City may request the United States to enter into such litigation to protect the interest of the United States. K. To the extent the Company contracts with a subcontractor to perform services under this Agreement and in relation to the insurance coverage, in accordance with City policy, the Company shall file and cause his subcontractor, if any, to file compliance reports with the Company in the same form and to the same extent as required by the Federal government for Federal contracts under Federal rules and regulations. Such compliance reports filed at such times as directed shall contain information as to the employment practices, policies, programs and statistics of the Company and his subcontractors. L. To the extent the Company contracts with a subcontractor to perform services under this Agreement and in relation to the insurance coverage, the Company shall include the provisions of paragraphs (H) through (L) of this section, Equal Employment Opportunity Clause, and Omaha Municipal Code Section 10.192 in every subcontract order so that such provisions will be binding upon each subcontractor. - 6 - ployee or applicant for employment because of race, religion, color, sex, disability or national origin.
