Submitted for your consideration is a resolution regarding the redemption of the
City of Omaha's $32,000,000 Special Obligation Bonds (Riverfront
Redevelopment Project), Series 2002B, and $1,830,000 Special Tax Revenue
Redevelopment Bonds, Series 2002E (collectively, the "Outstanding Bonds").
This resolution also authorizes and directs the Finance Director to give notice of
redemption of said Bonds.
We urge your favorable consideration of this resolution.

RESOLVED BY THE CITY COUNCIL OF THE CITY OF OMAHA .
WHEREAS, the City of Omaha, Nebraska (the "City") is preparing to issue
not-to-exceed $42,000,000 aggregate principal amount of its Special Obligation Refunding
Bonds (Riverfront Redevelopment Project), Taxable Series 2008 and Special Tax Revenue
Refunding Redevelopment Bonds, Taxable Series 2008 (collectively, the "Bonds"), for the
purpose of providing funds, together with other available moneys, to refund the City's
outstanding $32,000,000 Special Obligation Bonds (Riverfront Redevelopment Project),
Series 2002B and $1,830,000 Special Tax Revenue Redevelopment Bonds, Series 2002B
respectively (collectively, the "Outstanding Bonds"); and
WHEREAS, the City Council desires to direct the Finance Director of the City to give
notice of the redemption on March 25, 2008 (or such other date not later than September 11,
2008 as the Finance Director shall determine) of the Outstanding Bonds and to make other
necessary determinations as hereinafter set forth.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY
OF OMAHA:
Section 1. The City Council hereby authorizes and directs the Finance Director to
sign a notice of redemption with respect to the Outstanding Bonds to be redeemed, file said
signed notice with the Paying Agent for such Outstanding Bonds and with the Nebraska State
Auditor of Public Accounts and mail said signed notice, postage prepaid, to each registered
owner of Outstanding Bonds to be redeemed at the addresses which appear on the registration
books for such Outstanding Bonds. The redemption notice hereinabove authorized shall be in

NOTICE IS HEREBY GIVEN that the Special Obligation Bonds (Riverfront
Redevelopment Project), Series 2002B (the-'"Special Obligation Bonds") and the Special Tax
Revenue Redevelopment Bonds, Series 2002B (the "Special Tax Bonds") of the City'of Omaha,
Nebraska (the "City"), dated February 28, 2002, then outstanding, scheduled to mature in the
case of the Special Obligation Bonds;-on February 1, 2026 arid, in the ease of the Special Tax
Bonds, on February 1, 2013, will be irrevocably called in whole for redemption on
2008, subject to the satisfaction of the following conditions: (1) the City shall have received the
duly signed Consent Agreement of D.A.Davidson & Co'., as beneficial owner of at least 66-
2/3% of each issue of said bonds, to the redemption of said bonds on , 2008 at the
principal amount thereof plus interest accrued and unpaid thereon to , 2008; (2) the
City shall have issued, sold and delivered on or before , 2008 its not-to-exceed
$42,000,000 aggregate principal amount of Special Obligation Refunding Bonds (Riverfront
Redevelopment Project), Taxable Series 2008 and. Special Tax Revenue Refunding
Redevelopment Bonds, Taxable Series 2008; and (3) the'Paying Agent shall have received from
the City and shall have on deposit in the bond redemption accounts corresponding to said bonds,
the respective amounts of money required to pay the aforesaid redemption prices of said bonds

Payment of the principal amount of said bonds will be made on or after said redemption
date of , 2008 upon the presentation of said bonds at First National Bank of Omaha,
