Transmitted herewith is a Resolution approving the Fourth Amendment to the Redevelopment
Agreement with Ak-Sar-Ben Future Trust.
The attached Fourth Amendment spells out the additional terms for the changes to the
agreement. As part of this Amendment it is necessary to increase the funding for the sewer
separation work by an additional $215,000 which will be paid by the City of Omaha to the Ak-
Sar-Ben Future Trust. The funding for this additional sewer separation work will come from the
Sanitary Sewer Improvement Fund 21124, Sewer Separation Organization 116912.
The Public Works Department requests your consideration and approval of the attached
Resolution and Amendment to the Redevelopment Agreement with Ak-Sar-Ben Future Trust.

FOURTH AMENDMENT TO REDEVELOPMENT AGREEMENT
THIS FOURTH AMENDMENT TO REDEVELOPMENT AGREEMENT (this
"Amendment") is made and entered into this day of QtiGu c7-- , 2008 (the "Effective
Date"), by and between the City of Omaha, Nebraska, a municipal corporation (the'City") and
Ak-Sar-Ben Future Trust, a Nebraska non-profit corporation ("Future Trust").
RECITALS :
WHEREAS, on or about May 20, 1997, the City, Future Trust and other parties entered
into that certain Redevelopment Agreement which was recorded in the office of the Register of
Deeds of Douglas County, Nebraska, at Book 1214, Page 252 of Miscellaneous Records, as
amended by that certain (i) First Amendment to Redevelopment Agreement dated December
28, 2000 and approved by Omaha City Council Ordinance No. 35410 on December 19, 2000,
(ii) Second Amendment to Redevelopment Agreement approved by Omaha City Council
Ordinance No. 35381 on November 7, 2000; and (iii) Third Amendment to Redevelopment
Agreement (the "Third Amendment") approved by Omaha City Counsel Ordinance No. 32537
on November 14, 2006 (collectively, the "Redevelopment Agreement");
WHEREAS, the parties hereto wish to provide for (i) an additional contribution by the
City for additional Sewer Separation Work (as contemplated in Section 5 of the Third
Amendment) and (ii) a revised list of the off-site street improvements (Exhibit "E" of the Third
Amendment); and
•
WHEREAS, the parties wish to amend the Redevelopment Agreement to provide for the
development of open space improvements.
NOW, THEREFORE, in consideration of the mutual covenants herein contained, and for
other good and valuable consideration, the receipt and sufficiency of which is hereby
acknowledged, the parties hereto agree as follows:
1. Definitions. Except as specifically provided otherwise in this Amendment,
capitalized terms used herein shall have the same meanings as set forth in the Redevelopment
Agreement.
2. Sewer Separation Work Funding. In addition to the City's contribution for sewer
separation work, as contemplated in Section 5 of the Third Amendment, the City has agreed to
contribute an additional Two Hundred Fifteen Thousand Dollars ($215,000.00) for unexpected
costs incurred by Future Trust in connection with the performance of the sewer separation work,
which total amount shall be paid to Future Trust by the City within thirty (30) days after the
Effective Date.
3. Funding by Future Trust for Off-Site Improvements. The first sentence of
Section 7 of the Third Amendment is hereby deleted in its entirety and replaced with the
following:
"Future Trust agrees to grant to the City $1,000,000.00 for off-site
street improvements associated with the development of the Ak-
Sar-Ben Business and Education Campus Redevelopment Plan
Area as identified in the Aksarben Village Traffic Impact Study
prepared by HWS dated February 2006."

4. Exhibit "E". Exhibit "E" to the Third Amendment is hereby deleted in its entirety
and replaced with the attached Exhibit "A".
5. Open Space Property. City is the record owner of certain property legally
described and depicted on Exhibit "B" attached hereto (the "City Property"). AFT is the record
owner of adjacent property legally described and depicted on Exhibit "C" attached hereto ("AFT
Property"). City and AFT agree to join the City Property and the AFT Property (collectively, the
"Open Space Property") under City ownership and designate the Open Space Property as
public open space. So long as tax increment financing funds are available, AFT shall cause the
Open Space Property to be developed generally as depicted on the plan attached as
Exhibit "D". AFT agrees to cause the formation of an owner's association or associations which
will maintain and operate the Open Space Property, all in accordance with a separate
agreement to be entered into between AFT and the City. Exhibit A-1 of the Third Amendment is
amended to include "open space improvements" as an "Additional Public Improvement."
6. Binding Effect. This Amendment will be binding upon the parties hereto and on
their respective successors and assigns and will run with the land in the same manner as the
Redevelopment Agreement. To the extent any provisions of this Amendment conflict with any
provisions of the Redevelopment Agreement, the provisions of this Amendment shall control.
7. Incorporation of Exhibits. The exhibits attached hereto and referred to herein are
incorporated into and are a part of this Amendment.
8. Reaffirmation of Redevelopment Agreement. Except as modified and amended
herein, all other terms and conditions of the Redevelopment Agreement shall remain unchanged
and in full force and effect.

RESOLVED BY THE CITY COUNCIL OF THE CITY OF OMAHA:
WHEREAS, the Third Amendment to the Redevelopment Agreement between the
City of Omaha and Ak-Sar-Ben Future Trust, was approved by Ordinance No. 37537 on
November 14, 2006; and,
WHEREAS, Section 5 of this Amendment spelled out the terms for the City of
Omaha to pay for the Ak-Sar-Ben Future Trust for the cost of sewer separation work, in
conjunction with the redevelopment, in the amount of$1,500,000; and,
WHEREAS, the attached Fourth Amendment to the Redevelopment Agreement
between the City of Omaha and Ak-Sar-Ben Future Trust spells out the additional terms for the
changes to the Agreement; and,
WHEREAS, it is necessary to increase this contribution from the City of Omaha
to the Ak-Sar-Ben Future Trust for sewer separation work by$215,000, which will be paid from
the Sanitary Sewer Improvement Fund 21124, Sewer Separation Organization 116912.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF OMAHA:
THAT, as recommended by the Mayor, the Fourth Amendment to the
Redevelopment Agreement between the City of Omaha and Ak-Sar-Ben Future Trust, is hereby
approved.
BE IT FURTHER RESOLVED:
THAT, the Finance Department is authorized to pay the additional $215,000 to
the Ak-Sar-Ben Future Trust for increased cost for sewer separation from the Sanitary Sewer
Improvement Fund 21124, Sewer Separation Organization 116912.
