Transmitted herewith is a Resolution approving an Amendment to the Agreement of March 7,
1967 between the City of Omaha and Energy Systems Company to allow the installation of new
steam and chilled water piping crossing 19th Street from West to East between Farnam Street and
Douglas Street to serve the Douglas Building.
The construction and maintenance of the connections will be undertaken in accord with the terms
of the Agreement and under a $200,000.00 bond provided by Energy Systems. All expenses
incurred in making these connections will be borne by Energy Systems.
The Public Works Depaittiient requests your consideration and approval of the attached
Resolution.

SCHEDULE
Tasks 1 and 2 will be completed based upon a mutually agreeable schedule. Please provide a City of
Omaha purchase order with an attached copy of this Scope of Services as WLA's notice to proceed.
COMPENSATION
WLA proposes to furnish the services in Tasks 1 and 2 for a lump sum fee of$41,500. This fee includes
professional,technical and administrative labor and miscellaneous costs associated with the project.

contractor in the same form and to the same extent as required by the federal government for federal
contracts under federal rules and regulations. Such compliance reports shall be filed with the contract
compliance officer. Compliance reports filed at such times as directed shall contain information as to the
employment practices,policies,programs and statistics of the contractor and his subcontractors.
7) The contractor shall include the provisions of paragraphs (1) through (7) of this section, "Equal
Employment Opportunity Clause," and section 10-193 in every subcontract of purchase order so that such
provisions will be binding upon each subcontractor or vendor.

ADDENDUM TO AGREEMENT OF MARCH 7, 1967
THIS AGREEMENT ADDENDUM,made and entered into by and between the
City of Omaha, Municipal Corporation, hereinafter called"CITY" and Energy Systems
Company, a Nebraska Corporation, with its principal place of business in Omaha,
Douglas County,Nebraska, hereinafter called "COMPANY".
WITNESSETH THAT:
WHEREAS,there has been executed between the CITY and COMPANY an
agreement authorized by City Council resolution No. 821 and passed March 7, 1967; and,
WHEREAS, said Agreement provided in part for the issuance of an area and
subway permit to extend to certain streets and areas owned by the CITY; and
WHEREAS, said Agreement has been amended from time to time and it is the
mutual desire of the CITY and COMPANY to further amend said Agreement.
NOW,THEREFORE, in consideration of the mutual benefits to the parties and
the fulfillment of the covenants herein contained,the parties hereto do mutually agree as
follows:
1. Paragraph 1 of the aforesaid March 7, 1967 agreement shall be further
amended by the addition thereto of the area below the alley between Farnam
and Douglas and west of 19th street and the 20 feet of sidewalk area adjacent
and north of the alley and below 19th street from the west curb to the east
curb. The area below the alley will be eight foot deep and six foot wide.
Below the street the excavation is expected to be nine foot wide and seven
foot deep, the entire excavation will be 126' long in an East/West direction
and 25' long in a North/South direction below the sidewalk. All as shown on
Plat QQ, which is attached hereto and by this reference made a part hereof:
2. All construction shall be substantially completed and street cuts shall be
closed no later than December 1, 2008.
3. Except as specifically amended by this Agreement Addendum,the terms and
conditions of the original Agreement dated March 7, 1967, as amended, shall
remain binding and in full force and effect.

WHEREAS, the City of Omaha and Energy Systems Company entered into an
Agreement dated March 7, 1967 to provide for the installation of steam and chilled water lines to
provide heating and air conditioning services to buildings in the downtown'area; and,
WHEREAS, that Agreement has been amended many times since to provide for
extensions to and connection of specific buildings and facilities to the system; and,
WHEREAS, Energy Systems requests approval to install new steam and chilled
water piping crossing 19th Street from West to East between Farnam Street and Douglas Street to
serve the Douglas Building as shown in attached Amendment; and,
WHEREAS, the Public Works Department has no objections to the request and
recommends approval.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF OMAHA:
THAT, as recommended by the Mayor, the Amendment to the Agreement
between the City of Omaha and.Energy Systems Company, dated March 7, 1967, to provide for
the connection of steam and chilled water piping crossing 19th Street from West to East between
Farnam Street and Douglas Street to serve the Douglas Building as shown in attached
Amendment, is hereby approved.
