Transmitted herewith is a Resolution approving a third amendment to a Professional Services
Agreement for the South 24th Street Streetscape Design project with RDG Schutte Wilscam
Birge, Inc., d/b/a RDG Planning and Design, 900 Farnam Street, Suite 100, Omaha, NE 68102.
The Amendment provides for additional design development, construction documents, and
construction administration services for the next phase of the project.
RDG Schutte Wilscam Birge, Inc. was previously selected as architect/engineer for the South
24th Street Streetscape project by the Architectural and Engineering Selection Committee
administered by the Public Works Department, in accord with the Architects and Engineers
Review and Selection Process. This Amendment extends the term of the Agreement, increases
the scope of work to include Phase 3a and Phase 4 of the project and increases compensation by
$210,798.00. The services to be provided are detailed in the Agreement.
RDG Schutte Wilscam Birge, Inc. has agreed to perform the services required for a fee not to
exceed $810,730.50. The costs incurred will be paid from the Community Development Block
Grant,Fund 12186, Organization 129133.
The last review by the Human Relations Director showed the Contractor is in compliance with
Ordinance No. 28885 and that the Contractor has on file a current Annual Contract Compliance
Report Form (CC-1). As is City policy, the Human Relations Director will continue to review
the Contractor to ensure compliance with the Contract Compliance Ordinance.

be senior to any mortgage or deed of trust in favor of the General Partner or
its affiliate, New Community Development Corporation.

shall bear interest thereon at the statutory rate, but not to exceed 9% per
annum.

PROFESSIONAL SERVICES AGREEMENT AMENDMENT
THIS AMENDMENT amends the Professional Services Agreement (hereinafter
referred to as"the Agreement") approved by the City Council on July 31, 2007 by Resolution
No. 944, between the City of Omaha, a Municipal Corporation in Douglas County,Nebraska
(hereinafter referred to as the "City") and RDG Schutte Wilscam Birge, Inc. (hereinafter
referred to as the "Provider"). This Amendment shall relate back to the Agreement.
RECITALS
WHEREAS, the construction of the South 24th Street Streetscape Improvement
Project, Phase 3a and Phase 4 requires schematic design, design development, construction
documents, and construction administration services; and,
WHEREAS, the Architectural and Engineering Selection Committee previously
selected the firm of RDG Schutte Wilscam Birge, Inc. to perform schematic design, design
development, construction documents, and construction administration services for the South
24th Street Streetscape Improvement Project; and,
WHEREAS, the City Council approved an amended Professional Services Agreement
between the City of Omaha and RDG Schutte Wilscam Birge, Inc. for the South 24th Street
Streetscape Improvement Project on July 31, 2007 by Resolution No. 944; and,
WHEREAS, RDG SWB, Inc. has agreed to perform the design and engineering
services detailed in the attached Agreement, which by this reference is made a part hereof,
for a fee not to exceed$810,730.50; and,
WHEREAS, the Consolidated Submission for Community Planning and
Development Programs: 2008 Action Plan, approved by the City Council on November 6,
ervices required for a fee not to
exceed $810,730.50. The costs incurred will be paid from the Community Development Block
Grant,Fund 12186, Organization 129133.
The last review by the Human Relations Director showed the Contractor is in compliance with
Ordinance No. 28885 and that the Contractor has on file a current Annual Contract Compliance
Report Form (CC-1). As is City policy, the Human Relations Director will continue to review

2007 by Resolution No. 1278 allocated Community Development Block Grant funding for
the South 24th Street Business District Improvements Project; and,
WHEREAS, this Amendment, expands the scope of work and increases the fee
schedule and extends the project schedule in the Agreement.
WHEREAS, all other terms, conditions and requirements in the Professional Services
Agreement between the City of Omaha and RDG Schulte Wilscam Birge, Inc. for the South
24th Street Streetscape Improvement Project approved on July 31, 2007 by Resolution No.
944, shall remain the same and shall remain in full force and effect.; and,
WHEREAS, it is in the best interest of the City of Omaha and its residents to enter
into an Amended Agreement with the Provider for the continuation of the South 24th Street
Streetscape Improvement Project.
NOW, THEREFORE, IN CONSIDERATION OF THESE MUTUAL
COVENANTS,the LLC and the City do hereby agree as follows:
1. Section II DUTIES OF THE PROVIDER, E., shall be deleted in its
entirety and the following language shall be substituted in its place:
E. Provider agrees to complete, within 365 calendar days of receipt of a
purchase order from the City, the necessary services. The City
recognizes that completion within this deadline is contingent upon
timely response from utilities and City input.
2. Section IV. COMPENSATION AND PAYMENT, A. shall be deleted
in its entirety and the following language shall be substituted in its place:
A. The cost of services as specified in the Scope of Service, shall be
performed on an hourly basis, but in no event shall exceed
$810,730.50,plus expenses and travel.
3. Exhibit D. Scope of Services, shall be amended to provide
additional services for Phase 3a and Phase 4 of the South 24th
Street Streetscape Improvement Project and the attached
Exhibit D. shall be in addition to the prior Exhibit D. Scopes of
Services.

be senior to any mortgage or deed of trust in favor of the General Partner or

RESOLVED BY THE CITY COUNCIL OF THE CITY OF OMAHA:
WHEREAS, the construction of the South 24th Street Streetscape Improvement Project,
Phase 3a and Phase 4 requires design development, construction documents, and construction
administration services; and,
WHEREAS, the Architectural and Engineering Selection Committee previously selected
the firm of RDG Schutte Wilscam Birge, Inc. to perform schematic design, design development,
construction documents, and construction administration services for the South 24th Street
Streetscape Improvement Project; and,
WHEREAS, the City Council approved a Professional Services Agreement, as amended,
between the City of Omaha and RDG Schutte Wilscam Birge, Inc. for the South 24th Street
Streetscape Improvement Project on July 31, 2007 by Resolution No. 944; and,
WHEREAS, RDG Schutte Wilscam Birge, Inc. has agreed to perform the design and
engineering services detailed in the attached Agreement, which by this reference is made a part
hereof, for a fee not to exceed $810,730.50; and,
WHEREAS, the Consolidated Submission for Community Planning and Development
Programs: 2008 Action Plan, approved by the City Council on November 6, 2007 by Resolution
No. 1278 allocated Community Development Block Grant funding for the South 24th Street
Business District Improvements Project; and,
WHEREAS, this Amendment, expands the scope of work and increases the fee schedule
and extends the project schedule in the Agreement; and,
WHEREAS, all other terms, conditions and requirements in the Professional Services
Agreement between the City of Omaha and RDG Schutte Wilscam Birge, Inc. for the South 24th
Street Streetscape Improvement Project approved on July 31, 2007 by Resolution No. 944, shall
remain the same and shall remain in full force and effect; and,
WHEREAS, RDG Schutte Wilscam Birge, Inc. has complied with the City's Contract
Compliance Ordinance No. 28885 in relation to Civil Rights -Human Relations.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY
OF OMAHA:
