The attached Ordinance approves a two-year extension with up to three one(1)year renewal options
to an existing agreement between the City of Omaha and TALX Corporation. TALX Corporation
provides account management, tax management, and claims administration for City of Omaha's
unemployment cost control program. This Addendum is extending the current Agreement for two
(2)years with three one(1)year renewal options. By agreeing to this extension,we will be paying
less for each of the next five years than we did for 2007. The current one(1)year Agreement costs
the City$9,522 for 2007. -
This Addendum continues the existing relationship for a period of two:(2)years with three one(1)
year renewal options at a cost of eight thousand seven hundred sixty dollars($8,760)for 2008, and
nine thousand twenty-three dollars ($9,023) for 2009. It is contemplated that the costs of this
extension of the agreement shall come from Fund No. 11111,Organization 105012,Account 42239.
Approval of this Addendum is respectfully requested by the Human Resources Department.

AN ORDINANCE to approve Addendum#2 to a contract between the City of Omaha,a municipal

BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF OMAHA:
Section 1. Authority is hereby granted and approval hereby given for an execution of
Addendum#2 to an agreement between the Cityof Omaha and TALX Corporation which provides

account management, tax management, and claims administration for City's unemployment cost
control program.
Section 2. That the Mayor is authorized to execute and the City Clerk to attest on behalf of
the City of Omaha the attached Addendum # 2 with TALX Corporation which provides the
described services for an annual fee of eight thousand seven hundred sixty dollars($8,760)for 2008,
and nine thousand twenty-three dollars($9,023)for 2009 and provides for three one(1)year renewal

This ADDENDUM # 2 TO THE TALX UC eXpresssM UNEMPLOYMENT COST
MANAGEMENT SERVICE AGREEMENT is made and entered into between Client and TALX.
RECITALS:
A. Client and TALX entered into the TALX UC eXpresssM UNEMPLOYMENT COST
MANAGEMENT SERVICE AGREEMENT with an original effective date of January 1,2004(the
"Agreement");and
B. The parties wish to amend the terms of the Agreement;
Now,therefore,the parties amend the Agreement as follows:
1. The term of the Agreement shall be extended from January 1,2008 through December 31,
2009. The Agreement shall automatically renew for one (1) year terms unless either party
provides the other with written notice of termination of the Agreement at least 90 days prior
to the end of the then existing term. In any event,there shall not be more than three one year
renewals.
2. The annual fee to be paid to TALX for the year January 1, 2008 to December 31, 2008 is
$8,760 to be paid in equal quarterly installments of$2,190. The annual fee to be paid to
TALX for the year January 1,2009 to December 31,2009,shall be$9,023 to be paid in equal
quarterly installments of $2256. The annual fee for each additional one year term as
described above in paragraph 1 shall be$9,023 to be paid in equal quarterly installments.
3. Except as modified herein, all terms and conditions of the Agreement shall remain in full
force and effect.
