The Nebraska Department of Health and Human Services is Providing Funding for this grant to enhance the ability of the Omaha Metropolitan,Medical Response System(OMMRS) to respond to any mass effect event, including widespread disease,terrorist, accidental, or natural incidents where a large number of patients must be treated. PURPOSE. The purpose of this Contract is: to establish a system that coordinates all facets of patient health care and to ensure resources, expertise, communications and personnel are present to respond to any mass effect event including widespread disease, terrorist, accidental or natural incident where a large number of casualties must be treated, while at the same time accomplishing the priority planning areas set forth by the federal Health and Human Services Office of Assistant Secretary for Preparedness and Response (ASPR) for the State of Nebraska's Hospital Preparedness Program. The goal of ASPR programs is to improve the capacity to respond to bioterrorism, weapons of mass destruction, widespread disease occurrences, and other public health threat. Through the continuation of the effort already underway, the Contractor, as fiscal agent, will assist OMMRS to continue to prepare the local hospitals, medical personnel, fire, law enforcement, business, governmental and community organizations for a planned, tiered, integrated, and coordinated response to any mass effect event. This agreement may be terminated at any time upon mutual written consent or by either party for any reason upon submission of written notice to the other party at least 30 (Thirty) days prior to the effective date of termination. The Department may also terminate this agreement in accord with the provisions designated "AVAILABILITY OF FUNDING" and "BREACH OF AGREEMENT." In the event either party terminates this agreement, the Contractor shall provide to the Department all work in progress, work completed, and materials provided to it by the Department in connection with this agreement immediately. II. CONSIDERATION A. The Department agrees to pay the Contractor the total amount not to exceed $240,000 fTwo Hundred Forty Thousand dollars) for the services specified in Article III. SCOPE OF SERVICES. B. PAYMENT STRUCTURE. Payment shall be made for time periods no less than three months in length, unless agreed to otherwise, upon receipt and acceptance of deliverables and invoices, based on the amounts shown in III. SCOPE OF SERVICES, item M. Deliverables, and determination by the Department that sufficient progress has been made in accomplishing the Scope of Services. The Department retains the sole discretion to determine if the Contractor is progressing in accomplishing the SCOPE OF SERVICES III. SCOPE OF SERVICES The Contractor agrees to perform the following services: A. Work Plan and Budget Within 30 (thirty) days of the date on which the Contractor signs this agreement, submit to the Department, 1. A work plan using Attachment 2 that addresses each item in the Section III. • SCOPE OF SERVICES, and 2. A line-item budget. 3. It is understood that any carryover funds from previous contracts will be spent in accordance with the terms of that contract. B. Reporting 1. Unless a different frequency is approved by the Department, periodic progress reports of activities and invoices are due not later than April 15, 2009 for the period January 1, 2009 through March 31, 2009; July 15, 2009 for the period April 1, 2009 through June 30, 2009, and October 15, 2009 for the period July 1, 2009 through September 30, 2009. The final invoice and progress report for all activities are due no later than October 15, 2009. Invoices and progress reports may be submitted individually or in combination. 2. Using a format provided by the Department (Attachments 2), the periodic progress reports will address each activity listed in III. The reports will include, but not necessarily be limited to, a summary • of steps taken to complete the projects, percentage of completion for each project, a description of the completed activities, and when applicable, the number of participants trained by locations and dates of events. C. Continue to work with the Omaha Metropolitan Medical Response System (OMMRS) steering committee to provide the contract deliverables outlined in III. Scope of Services. Deliverables: Using formats provided by the Department (Attachments 2), an initial work plan and budget and periodic reports of progress made toward workplan activities and the percentage of completion for each activity. Provide a line item budget. D. Assist OMMRS in supporting the Behavioral Health community and the Omaha (Nebraska/Western Iowa) Medical Reserve Corps to recruit, train, register and credential medically skilled personnel, behavioral health professionals and clergy who will provide care and assistance during mass casualty and mass public health events. The Contractor will purchase personal protective and administrative support equipment, contribute to the Behavioral Health Conference, and support other trainingtravel costs as identified training workshops, conferences and associated by OMMRS. Deliverable: In the progress report for the period ending June 30, 2009, copies of invoices or purchasesupplies,orders for su lies equipment, or educational and training activities thepurchases or payments are in approved by the Department. Attestation thatp y process will be accepted in lieu of invoices or purchase orders. E. Exercise Development 1. Develop and maintain a 5-year Exercise calendar of known planned or completed exercises within the region that include hospital partners. 2. Provide or contribute significantly to the coordination and planning for at least 9 Y one regional exercise that includes hospitals. Exercise programs funded all or in part by HPP cooperative agreement funds must be compliant with the Homeland Security Exercise and Evaluation Program (HSEEP) including use of the National Exercise Schedule (NEXS) system found at https://hseep.dhs.gov/pages/1001 HSEEP7.aspx in the HSEEP Tool Kit. Exercise planning committee will include representation from local health departments. Whenever possible, exercises should be combined with exercises scheduled by public health, Homeland Security, emergency management or other responders to minimize the burden on exercise planners and participants and to optimize available financials resources. When possible, exercises should involve external partners and address the needs of specific health care professions or at-risk populations during planning and execution of the exercise. 4. OMMRS will participate in Cities Readiness Initiative exercises held during the term of the contract. Deliverables: a. In the periodic progress reports, submission of updated exercise calendar showing dates, locations, subject focus of the exercise, and how each exercise integrates with the training program. b. Use of the HSEEP toolkit to document all exercise activities including the exercise plan (EXPLAN), the After Action Report (AAR) and the Improvement Plan (IP). Improvement Plan must contain an executive summary, three (3) ) The corrective actions and the timeline for correcting the deficiencies. . F. Support Development of Statewide Tiered Medical Surge System to ensure coordinated and effective tiered medical surge response in an all-hazards environment. 1. The OMMRS Coordinator will participate in meetings scheduled by the Department with representatives from the Lincoln-Lancaster Metropolitan Medical Response System (LMMRS), Panhandle Regional Medical Response System (PRMRS), Rural Region One Medical Response System (RROMRS), TriCities Medical Response System (TRIMRS), Southeast Nebraska Medical Response System (SEMRS), and West Central Medical Response System (WCMRS). 2. Work with the State of Nebraska Trauma system Coordinators and EMS personnel to coordinate efforts at readiness for emergency issues, whether man-made, natural or terrorist events. 3. Develop a training plan The OMMRS Steering Committee will work with the regional planning, exercise and training entity to develop a training plan for the MRS that includes training for MRS personnel, emergency medical technicians and paramedics, vehicle drivers, emergency room and other hospital personnel who will be providing care to victims of a mass effect incident or other public health emergency. This training plan will include initial and refresher training requirements and will integrate with the exercise program. During January through March 2009, OMMRS will confer with emergency managers, funeral industry professionals, and local health departments to determine the need to enlarge or expand supply and equipment caches for management of mass fatalities events. If expansion of the cache is desired, the group will develop a list of desired items with cost estimate, MOUs for sharing cache items, and locations for storing the caches. Deliverables: 1. In the progress report for the period ending March 31, 2009, a description of the decision concerning the desire to enhance mortuary supply and equipment capability, a prioritized list of items desired and estimated cost, a listing of locations where caches will be placed, a draft plan for rotating or replacing used items, and a draft Memorandum of Understanding on sharing of mortuary cache assets. 2. In the progress report for the period ending June 30, 2009 copies of invoices or purchase orders for mortuary supplies and equipment approved by the Department and funded by an amendment to this Agreement. Scope of Services, items A through H, it may then pursue planning and development of one or more of the following activities: 1. Assessment of the need for Alternate Care Sites and mobile medical assets and planning to establish ACS or mobile medical assets as part of their tiered surge response capacity. 2. Bolster Pharmaceutical Caches of amoxicillin, doxycycline, and ciprofloxacin and create operational plans that assure storage and distribution of critical medications. No antivirals may be purchased. 3. Assessment of the need for PPE assets within the region and continue planning to procure these assets as part of its tiered surge response capacity. Assets may include PPE fit-testing equipment and initial or refresher competency based training and exercising. 4. Assessment of the need for additional decontamination assets within the region and continue planning procure these assets as part of the tiered surge response capacity. Assets may include initial and refresher competency-based training to minimize the risks to persons exposed to hazardous elements, the healthcare and first responder workforce, and medical assets. J. In addition to the foregoing retention • periods, all records shall be maintained until all issues related to an audit, litigation or other action are resolved to the satisfaction of the Department. The Contractor agrees to provide the Department any and all written communications received by the Contractor from an auditor related to Contractor's internal control over financial reporting requirements and communication with those charged with governance including those in compliance with or related to Statement of Auditing Standards (SAS) 112 Communicating Internal Control related Matters Identified in an Audit and SAS 114 The Auditor's Communication with Those Charged With Governance. The Contractor agrees to provide the Department with a copy of all such written communications immediately upon receipt or instruct any auditor it employs to deliver copies of such written communications to the Department at the same time copies are delivered to the Contractor, in which case the Contractor agrees to verify that the Department has received a copy. 3. The Contractor agrees to immediately correct any material weakness or condition reported to the Department in the course of an audit and notify the Department that the corrections have been made. 4. In addition to, and in no way in limitation of any obligation in this agreement, the Contractor agrees that it will be liable for audit exceptions, and shall return to the Department all payments made under this agreement for which an exception has been taken or which has been disallowed because of such an exception, upon demand from the Department. B. AMENDMENT. This agreement may be modified only by written amendment, duly executed by both parties. No alteration or variation of the terms and conditions of this agreement shall be valid unless made in writing and signed by the parties hereto. Every amendment shall specify the date on which its provisions shall be effective. C. ASSIGNMENT. The Contractor agrees not to assign or transfer any interest, rights, or duties under this agreement to any person, firm, or corporation without prior written consent of the Department. In the absence of such written consent, any assignment or attempt to assign shall constitute a breach of this agreement. D. AVAILABILITY OF FUNDING. Due to possible future reductions in State and/or Federal appropriations, the Department cannot guarantee the continued availability of funding for this agreement notwithstanding the consideration stated above. The effective date of such • agreement termination or reduction in consideration shall be specified in the notice as the date of service of said notice or the actual effective date of the funding reduction, whichever is later. Provided, that reductions shall not apply to payments made for services satisfactorily completed prior to said effective date. The Department will give the Contractor written notice thirty (30) days prior to termination, if possible. In the event of a reduction in consideration, the Contractor may terminate this agreement as of the effective date of the proposed reduction upon the provision of advance written notice to the Department. E. BREACH OF AGREEMENT. 1. Should the Contractor breach this agreement, the Department may, at its discretion, terminate this agreement immediately upon written notice to the Contractor. The Department shall pay the Contractor only for such performance as has been properly completed prior to notice of termination. 2. The waiver by either party of a breach of this agreement by the other party shall • not operate or be construed as a waiver of any subsequent breach. No waiver shall be valid unless in writing and signed by the party. F. CONFIDENTIALITY. The Contractor agrees that any and all information gathered in the performance of this agreement, either independently or through the Department, shall be held in the strictest confidence and shall be released to no one other than the Department without the prior written authorization of the Department unless otherwise expressly required by law, provided, that contrary agreement provisions set forth herein shall be deemed to be authorized exceptions to this general confidentiality provision. This provision shall survive termination of this agreement. G. CONFLICTS OF INTEREST. In the performance of this agreement, the Contractor agrees to avoid all conflicts of interest and all appearances of conflicts of interest; the Contractor will notify the Department of any such instances encountered in the course of his/her work so that other arrangements can be made to complete the work. H. COST PRINCIPLES AND AUDIT REQUIREMENTS. The Contractor is to follow the cost principles set forth in OMB Circular A-87 for State, Local and Indian Tribe Governments. Audit requirements are dependent on the total amount of federal funds received by the Contractor. See the table below and Attachment 1, Audit Requirement Certification form. All data collected as a result of this project shall be the property of the Department. The Contractor may copyright any of the copyrightable material produced in conjunction with the performance required under this agreement. The Department and the appropriate federal funding agency hereby reserve a royalty-free, nonexclusive, and irrevocable right to reproduce, publish, or otherwise use, and to authorize others to use the copyrightable material for State or Federal Government purposes. L. DRUG-FREE WORKPLACE. The Contractor agrees to assume all risk of loss, defend and hold the Department, its employees, agents, assignees, and legal representatives harmless from all liabilities, demands, claims, suits, losses, damages, causes of action, fines, or judgments and expenses incident thereto, including attorneys fees, for injuries to persons and for loss of, damages to, or destruction of property arising out of or in connection with this agreement and proximately caused by the negligent or intentional acts or omission of the Contractor, its officers, 9 , or employees, assignees, agents. 9 2. Q. INDIRECT COST RATE. Utilization of an indirect cost rate is allowed only when the CONTRACTOR has a negotiated rate with its federal or state cognizant agency. R. INTEGRATION. This written agreement represents the entire agreement between the parties, and any prior or contemporaneous representations, promises, or statements by the parties, that are not incorporated herein, shall not serve to vary or contradict the terms set forth in this agreement. T. NEBRASKA TECHNOLOGY ACCESS STANDARDS. The Contractor shall review the Nebraska Access Technology Standards, found at http://www.nitc.state.ne.us/standards/accessibility/tacfinal.html and ensure that products and/or services provided under the agreement comply with the applicable standards. In the event such standards change during the Contractor's performance, the State may create an amendment to the agreement to request that agreement comply with the changed standard at a cost mutually acceptable to the parties. U. NON-DISCRIMINATION. The parties agree to comply fully with Title VI of the Civil Rights Act of 1964, as amended; the Rehabilitation Act of 1973, Public Law 93-112, as amended; the Americans With Disabilities Act of 1990, Public Law 101-336; and the Nebraska Fair Employment Practice Act, as amended, in that there shall be no discrimination against any employee who is employed in the performance of this agreement, or against any applicant for such employment, because of age, color, national origin, ancestry, race, religion, creed, disability, sex or marital status. This provision shall include, but not be limited to the following: employment, promotion, demotion, or transfer; recruitment or recruitment advertising; layoff or termination; rates of pay or other forms of compensation; and selection for training including apprenticeship. The parties agree that no qualified handicapped person shall, on the basis of handicap, be excluded from participation in, be denied the benefits of, or otherwise be subjected to discrimination under any program or activity of the party. The Contractor further agrees to insert similar provisions in all sub-contracts for services allowed under this agreement under any program or activity. V. PROMPT PAYMENT. If any term or condition of this agreement is declared by a court of competent jurisdiction to be illegal or in conflict with any law, the validity of the remaining terms and conditions shall not be affected, and the rights and obligations of the parties shall be construed and enforced as if this agreement did not contain the particular provision held to be invalid. Z. STATE PROPERTY. The Contractor shall be responsible for the proper care and custody of any Department-owned property which is furnished for the use by the Contractor during the performance of this agreement. Upon the Department's request, the Contractor shall reimburse the Department for any loss or damage of such property, normal wear and tear excepted. AA. SUBCONTRACTORS. The Contractor agrees that before subcontractors may be utilized in the performance of this agreement, the Department must give prior written approval.
