The attached Resolution approves the Subdivision Agreement between Southern Valley Limited
Partnership and the City of Omaha. This Subdivision Agreement covers the public improvement
of Southern Valley (Lots 1-23 and Outlot A), a subdivision located southwest of 18th & Q
Streets.
This Subdivision Agreement stipulates which public improvements will be built by Southern
Valley Limited Partnership. The total cost of improvements will be paid by Southern Valley
Limited Partnership.
The Public Works Department requests your consideration and approval of the attached
Resolution and Subdivision Agreement.

" SUBDIVISION AGREEMENT
SOUTHERN VALLEY
• LOTS 1 THRU 23, INCLUSIVE AND OUTLOT"A" 1
This Subdivision Agreement, made the /I/ day of , 2009 by and between SOUTHERN
VALLEY LIMITED PARTNERSHIP, a Nebraska limit partnership company (hereinafter referred to as
"SUBDIVIDER")and the CITY OF OMAHA(hereinafter referred to as"CITY")
WHEREAS, the Subdivider is the owner of the land shown on the proposed plat attached hereto as Exhibit"A"
(hereinafter referred to as"Property"); and,
WHEREAS,the Subdivider proposes to build public and private improvements; and,
WHEREAS,the Subdivider wishes to connect the Property to the sewer system of the City of Omaha; and,
WHEREAS, the Subdivider and City desire to agree on the method for the installation and allocation of
expenses for public improvements to be constructed to serve the Property.
NOW, THEREFORE, in consideration of the above,the following is agreed between the parties hereto:
1. Public Improvements. Attached hereto as Exhibit "B", and incorporated herein by reference, are
drawings showing the public improvements to be installed to serve the Property (hereinafter referred to
as "Improvements"). All Improvements must receive the approval of the City prior to construction. All
improvements are to be constructed by the Subdivider at the sole expense of the Subdivider.
Maintenance of all improvements including the stormwater detention cell shall be by the city of Omaha
after final acceptance of as-builts by the city.
2. An Erosion Control Plan between the Subdivider and the City of Omaha shall be submitted and
approved prior to any grading operation. The City of Omaha and the Papio Missouri Natural Resources
District (PMNRD) must approve said plan prior to City Engineer's second signature. The proposed
Erosion Control Plan is attached hereto and incorporated herein as Exhibit "C". Costs for erosion
control shall be paid by Subdivider.
3. Right to Connect to City Sewer System. The City hereby acknowledges that it has given the Subdivider
- the right to connect the Property to the City sanitary sewer system and storm sewer system, subject to
obtaining proper permits and paying the regular fees.
4. Sidewalks. Sidewalks will be constructed along the frontage of 17th Street, Q Street and S Street at the
expense of the Subdivider.
5. Post Construction Stormwater Management Plan. Attached hereto as Exhibit "B", and incorporated
herein by reference, are drawings showing all proposed storm sewer improvements and the storm water
detention basin. A Post Construction Stormwater Management Plan with supporting documentation,
acceptable to the Public Works Department, must be submitted concurrently with the Public
Improvement Plans. The associated Post Construction Stormwater Management Plan application
number is OPW51709-PCSMP. The Post Construction Stormwater Management Plan must comply with
the requirements set for in the Ordinance No. 38222 to amend Chapters 32 and 53 of the Omaha
Municipal Code, approved by the City Council August 26,2008.
6. Binding Effect. This Subdivision Agreement shall be binding upon the parties, their successors and
assigns, and shall run with the land shown on Exhibit"A".

7. Tree Mitigation. The Tree Mitigation Plan between the Subdivider and the City is attached hereto and
incorporated as Exhibit"D". Costs for tree mitigation shall be paid by the Subdivider. The Subdivider
shall provide to the City with a bond, certified check, or other suitable financial guarantee to ensure the
completion of the mitigation amount equal to $56,880, based on a cost of $200 per tree plus 20%
administrative costs. The time frame for the mitigation plan completion shall be two years from City
Council approval of the Subdivision Agreement. The City shall reimburse the Subdivider for all trees
which have been planted and growing at the end of the two year time frame, or sooner if plan is
completed. The City shall retain any remaining monies to plant any trees not planted by the Subdivider
in locations shown on Exhibit "D". The City is hereby granted permission to come onto the property to
plant such trees. When the plan has been implemented and certified by the Subdivider's engineer, the
funds shall be released to the Subdivider.

IV. In case the ownership of the property transfers, the current owner shall, within 30
working days of transfer of ownership, notify the City of Omaha Public Works
Department of such ownership transfer. If the current owner fails to notify the City
of Omaha Public Works Department of ownership transfer, the responsible party in
this agreement will remain liable for all stormwater management costs and
maintenance.
V. The Property Owner shall perform maintenance and inspection in accordance with
the above table. A written report of all maintenance and inspections shall be
prepared annually and kept on file by the Owner. The first report shall be prepared
within one year of receiving the Certificate of Occupancy. Upon request of the
City, the Owner shall provide copies of the annual maintenance inspection reports
within three (3)business days.

RESOLVED BY THE CITY COUNCIL OF THE CITY OF OMAHA: `
WHEREAS, Southern Valley Limited Partnership proposes to build a subdivision to
be known as Southern Valley(Lots 1-23 and Outlot A)which will be located southwest of 18t''&Q
Streets; and,
WHEREAS, Southern Valley Limited.Partnership will build public and private
improvements in this subdivision; and,
WHEREAS, Southern Valley Limited Partnership wishes to construct a sanitary sewer
system and connect said system to the Sanitary Sewer System of the City of Omaha; and,
WHEREAS,the parties wish to agree upon the manner and the extent to which public
funds may be expended in connection with public improvements to be constructed within the area to
be developed or serving the area to be developed and the extent to which the contemplated public
improvements specifically benefit property in the area to be developed and to what extent the cost of
the same shall be specially assessed; and,
WHEREAS, a Subdivision Agreement has been prepared setting forth all the
provisions mentioned above.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF OMAHA:
THAT, the Subdivision Agreement between the City of Omaha and Southern Valley
Limited Partnership, as recommended by the Mayor, providing for the public improvements and
sewer connection to the Omaha Sanitary Sewer System, is hereby approved. The Subdivision is to be
known as Southern Valley(Lots 1-23 and Outlot A) and is located southwest of 18t'' & Q Streets.
