and Members of the City Council,
Transmitted herewith is a Resolution approving an Interlocal Agreement with the Metropolitan
Area Planning Agency that allows the City of Omaha to administer, monitor and contract for the
construction of water quality management project structural best management practices for the
purpose of restoring the water environment of the lake known as Carter Lake. The City Council
approved by Resolution. No. 1404 on December 8, 2009 a Memorandum of Understanding
allowing the City of Omaha to participate in the effort to rehabilitate and protect Carter Lake.
The attached Interlocal Agreement with MAPA details the terms and conditions for the City of
Omaha.to be the lead agency for the construction of the water quality improvements solutions for
Carter Lake.
The Public Works Department requests your consideration and approval of the attached
Resolution.

And
The City of Omaha,Nebraska
For
Contracted Services for the
Water Quality Management Project for Carter Lake
THIS INTERLOCAL AGREEMENT is made and entered into by and among the
METROPOLITAN AREA PLANNING AGENCY (hereinafter referred to as MAPA), and the
CITY OF OMAHA,NEBRASKA, a political subdivision of the State of Nebraska(hereinafter
referred to as OMAHA).
AUTHORITY
This Agreement is an Agreement for collective and cooperative action made pursuant to
authority provided in the Nebraska Interlocal Cooperation Act(Neb. Rev. Stat. § 13-801, R.R.S.,
2007, et seq.), without a separate entity being created, and, whenever possible, this Agreement
shall be construed in conformity therewith.
RECITALS
WHEREAS, OMAHA, the City of Carter Lake, Iowa(CARTER LAKE), MAPA,the
Iowa Department of Natural Resources(IDNR),Nebraska Department of Environmental Quality
(NDEQ), and the Nebraska Game and Parks Commission (NE G&P), are hereafter known as
Party Members.
WHEREAS,the Party Members have entered into a Memorandum of Understanding
(MOU) (December 2009)to cooperate in the rehabilitation of Carter Lake, including but not
limited to construction and implementation of structural and non-structural best management
practices (BMPs) designed to improve the water quality of Carter Lake.
WHEREAS, MAPA has agreed to serve as the lead agency for purposes of coordinating
the Party Members' efforts in the Carter Lake Water Quality Management Project and Omaha
has agreed to bid projects for in-lake BMPs and Omaha Levi Carter Park BMPs.

WHEREAS, Tetra Tech will identify qualifying projects in their contract with MAPA to
provide design, engineering and implementation services for the Carter Lake Water Quality
project, January 2010.
WHEREAS,the NDEQ issued a Total Maximum Daily Load for Carter Lake on June
2007, and
WHEREAS, OMAHA believes the Carter Lake Water Quality Management Project will
address the TMDLs for Carter Lake,
NOW, THEREFORE, in consideration of the foregoing recitals and the mutual
covenants hereinafter expressed, the parties agree as follows:
OMAHA RESPONSIBILITIES
1. OMAHA will let, administer, monitor, and contract for the construction of Carter Lake
Water Quality Management Project structural BMPs in Levi Carter Park and for in-lake
water quality BMPs (structural and non-structural).
2. OMAHA will coordinate bidding and contracting with MAPA and will not engage in
bidding without MAPA's approval.
3. OMAHA will submit invoices to MAPA for qualifying contracted services related to the
Carter Lake Water Quality Management Project.
MAPA RESPONSIBILITIES
1. MAPA will secure funds from funding sources identified and agreed to by the Party
Members.
2. MAPA will give OMAHA approval to let bids for Carter Lake Water Quality
Management Projects.
3. MAPA will remit payment of invoices that OMAHA submits for qualifying projects
directly to the contractors within 30 days of receipt of the invoices.
4. Upon request, MAPA shall provide OMAHA with a report of payment history.
TERMS
1. Term of Agreement: This agreement shall become effective on the date the last
signature is applied, and shall remain in effect for ten(10) years or until it is
terminated as provided herein.

• 2. Termination: This agreement may be terminated at any time by either party for any
reason with sixty (60) days written notice to the other party provided that all financial
commitments pursuant to the agreement have been met.
3. Non-discrimination clause: In connection with the carrying out of the activities
herein, the parties to this agreement shall not discriminate against an employee or an
applicant for employment because of race, color, religion, sex, disability, national
origin, age, marital status, or receipt of public assistance.
4. Hold harmless clause: Each party agrees to indemnify and hold harmless to the •
fullest extent allowed by law, the other party from and against any and all claims,
damages, losses, and expenses (including attorney's fees) arising out of or resulting
from the acts or omissions of the indemnifying party or its agents or employees in the
performance of this agreement. Each party agrees that it will be responsible for its
own acts and omissions and the results of its own acts and omissions, and shall not be
responsible for the acts and omissions of the other party. The parties agree to assume
all risk and liability for any injury to persons or property resulting in any manner
from each party's own agents or employees related to this agreement. Liability
includes any claims, damages, losses, and expenses (including attorney's fees) arising
out of or resulting from performance of this agreement that results in any claim for
damages whatsoever including any bodily injury, sickness, disease, property,
including any resulting loss of use. The provisions of this section shall survive
expiration or termination of this Agreement.
5. Interlocal agreement provisions: This agreement shall not create any separate legal
or administrative entity. It shall be administered jointly by the parties, through one
representative to be designated by each party. There shall be no jointly held property
as a result of this agreement. This agreement does not authorize the levying,
collecting or accounting of any tax.
IN WITNESSWHEREOF,the parties have executed this agreement on the dates
hereinafter indicated pursuant to authorizing resolutions duly adopted at regularly-called
meetings of their governing bodies.

SUBJECT: MAPA/Omaha Carter Lake Interlocal Agreement
Attached please find an Agreement and proposed resolution which I have approved as to
form on behalf of the City.
As you know, our office serves as legal counsel to both MAPA and the City of Omaha.
Both of these entities are parties to this agreement. Thus, it is possible that the interests of
MAPA and the City could become adverse, with respect to the formation or performance of those
contracts. In such event, our office would have a conflict of interest.
I have approved the contract as to form. It appears to fairly state the present intent of the
parties as I understand it. However, we do need to disclose to all involved parties that there is the
possibility of a conflict of interest.

includes any claims, damages, losses, and expenses (including attorney's fees) arising
out of or resulting from performance of this agreement that results in any claim for
damages whatsoever including any bodily injury, sickness, disease, property,
including any resulting loss of use. The provisions of this section shall survive
expiration or termination of this Agreement.
5. Interlocal agreement provisions: This agreement shall not create any separate legal
or administrative entity. It shall be administered jointly by the parties, through one
representative to be designated by each party. There shall be no jointly held property
as a result of this agreement. This agreement does not authorize the levying,
collecting or accounting of any tax.
IN WITNESSWHEREOF,the parties have executed this agreement on the dates
hereinafter indicated pursuant to authorizing resolutions duly adopted at regularly-called
meetings of their governing bodies.

RESOLVED BY THE CITY COUNCIL OF THE CITY OF OMAHA:
WHEREAS, the City of Omaha and the Metropolitan Area Planning Agency desire to
enter into an Interlocal Agreement where the City of Omaha agrees to administer, monitor and
contract for the construction of water quality management project structural best management
practices for the purpose of restoring the water environment of Carter Lake; and,
WHEREAS, the City passed by Resolution No. 1404 on December 8, 2009 a
Memorandum of Understanding allowing the City of Omaha to participate in the effort to
rehabilitate and protect the lake known as Carter Lake; and,
WHEREAS, the attached Interlocal Agreement with the Metropolitan Planning Agency
(MAPA), which by this reference becomes part herein, details the terms and conditions for the
City of Omaha's participation in this project where the City of Omaha will coordinate specific
responsibilities as spelled out in the Agreement.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY
OF OMAHA:
THAT, as recommended by the Mayor, the Interlocal Agreement between the City of
Omaha and the Metropolitan Area Planning Agency, providing for the City of Omaha to
administer, monitor and contract for the construction of water quality management project
structural best management practices for the purpose of restoring the water environment of
Carter Lake, is hereby approved.
