Transmitted herewith is a Resolution approving an Agreement between the City of Omaha and•
Douglas County, Nebraska, for the City to assist the County in financing the cost of the Victim
Assistance Program. The term of this Agreement is from January through December 31,2010. The
total cost of the Agreement is$36,000 which represents a payment of$18,000 for the year 2009 and
quarterly payments equaling$18,000 for 2010.
The Finance Department is authorized to pay'the cost of Victim Assistance Program from General
Fund 11111 and Organization 111111.

WHEREAS, Douglas County and the City of Omaha have agreed to match grant funds received by the
County to fund a Victim Assistance Program; and
WHEREAS, the City of Omaha has approved an Agreement between the City of Omaha and Douglas
County, Nebraska for the City to assist the County in financing the cost of the Victim Assistance Program
in the amount of$18,000.00 per year; and
WHEREAS, the term of this Agreement is January 1, 2009 through December 31, 2010, and the City's
contribution is$36,000.00 which represents a payment of$18,000.00 for the year 2009 and quarterly
payments equaling$18,000.00 for 2010; and
WHEREAS, it is in the best interests of the citizens of Omaha to have a Victim Assistance Program.
NOW THEREFORE, BE IT RESOLVED BY THE DOUGLAS COUNTY BOARD OF COMMISSIONERS
THAT the Agreement between Douglas County, Nebraska, and the City of Omaha for the funding of the
Victim Assistance Program in the amount of$36,000.00,which represents a lump sum payment by the
City of$18,000.00 for 2009 and quarterly payments of$4,500.00 for 2010,which is incorporated herein by
this reference, is hereby accepted and the same hereby approved.

AGREEMENT BETWEEN DOUGLAS COUNTY,NEBRASKA,
AND THE CITY OF OMAHA,NEBRASKA
This Agreement is hereby entered into by and between Douglas County, Nebraska,
(hereinafter"County"), on behalf of the Douglas County Attorney's Office, and the City of
Omaha, Nebraska, (hereinafter"City").
WHEREAS, the County has received funds from the State of Nebraska, Nebraska Crime
Commission on Law Enforcement and Criminal Justice, Victim Assistance Grant Funds; and
WHEREAS, the County and City together have agreed to match twenty percent (20%) of
the funds received through the Victim Assistance Grant; and
WHEREAS, the County has agreed to administer the Victim Assistance Grant; and
WHEREAS, the City has agreed to transfer funds to the County in the amount of Thirty-
six Thousand Dollars ($36,000.00), as part of its share of the match of grant funds.
NOW, THEREFORE, in consideration for the mutual covenants set forth herein, the
parties agree as follows:
1. Purpose. In order to assist the County in financing the cost of the program, the City shall
transfer funds to the County in the amount of Eighteen Thousand Dollars ($18,000.00) for each
of two years, beginning on January 1, 2009. The County agrees it will expend the funds granted
hereunder only for the purposes authorized in the Victims Assistance Grant.
2. Payment Schedule. Upon signing this Agreement, the City will pay the County
Eighteen Thousand Dollars ($18,000.00), for the time period January 1, 2009, to December 31,
2009. Thereafter, payments shall be made on a quarterly basis in the amount of Four Thousand
Five Hundred Dollars ($4,500.00) according to the following schedule: on or after March 31,
2010 -- $4,500.00; on or after June 30, 2010—$4,500.00; on or after September 31, 2010 --
$4,500.00; on or after December 31, 2010 -- $4,500.00.
3. Term and Termination. This Agreement is effective commencing January 1, 2009, and
ending December 31, 2010.
4. Independent Contractor. Both parties understand and agree that this Agreement does
not create an employer/employee relationship between the City and County. Any and all acts
that City or County or their personnel, employees, agents, or contractors perform pursuant to the
terms of this Agreement shall be undertaken as independent contractors and not as employees of
the other. The parties are responsible for acquiring and maintaining Workers' Compensation and
Unemployment Insurance coverage as required by law for its employees, officers and agents, and
for the payment of all federal, state, local and any other applicable payroll taxes with respect to
said employees' compensation. Neither party shall have the authority to bind the other by or
with any contract or agreement, nor to impose any liability upon the other. All acts and contracts

of each shall be in its own name and not in the name of the other, unless otherwise provided
herein.
5. Release and Indemnify. Each party will indemnify, defend and hold harmless the other
party from any and all liability, expense, cost, attorney's fees, claim,judgment, suit and/or cause
of action (whether or not meritorious), settlement, or demand for personal injury, death or
damage to tangible property which may accrue against the other party to the extent it is caused
by the negligent acts or omissions of the Indemnifying Party, its officers, employees, agents, or
subcontractors while performing their duties under this Agreement, provided that the other party
gives the Indemnifying Party prompt, written notice of any such claim, suit, demand or cause of
action. The other party shall cooperate in the defense or settlement negotiation of such claim,
suit, demand or cause of action. The provisions of this section shall survive expiration or
termination of this Agreement.
6. Nondiscrimination Clause. Both parties agree that in accordance with the Nebraska
Fair Employment Practice Act,NEB.REV.STAT. §48-1122 (Reissue 2004), they will not
discriminate against any employee, or applicant for employment, to be employed in the
performance of this Agreement, with respect to hire, tenure, terms, conditions, or privileges of
employment because of the race, color, religion, sex, disability, or national origin of the
employee or applicant. Neither party shall, in the performance of this Agreement, discriminate
or permit discrimination in violation of federal or state laws or local ordinances.
7. Choice of Law. This Agreement shall be governed in all respects by the laws of the
State of Nebraska. Venue for any non-federal legal proceeding under this Agreement shall be in
the State of Nebraska,District Court of Douglas County, and for any federal legal proceedings in
the United District Court for the District of Nebraska located in Omaha, Nebraska.
8. Assignment and Delegation. This Agreement is exclusive to the parties and may not be
assigned nor duties delegated by the parties except on prior written consent of the parties. Any
attempted assignment without such approval shall be void and shall constitute a breach of
contract.
9. Insurance. Each party shall maintain adequate general liability insurance providing
coverage for claims against itself, its employees and agents for damages arising by reason of
personal injury or death incurred in connection with any service provided under the terms of this
Agreement.
10. Entire Agreement. This Agreement contains the entire agreement of the parties. No
representations were made or relied upon by either party other than those that are expressly set
forth herein. No agent, employee or other representative of either party is empowered to alter
any of the terms hereof except as provided herein.
11. Amendments. This Agreement may be modified only by written amendment, duly
executed by authorized officials of the parties. No alteration or variation of the terms and
conditions of this Agreement shall be valid unless made in writing and signed by the parties
hereto. Every amendment shall specify the date on which its provisions shall be effective.

• 12. Severability. If any provision of this Agreement is determined by a court of competent
jurisdiction to be invalid or otherwise unenforceable, that provision will be severed and the
remainder of this Agreement shall remain in full force and effect.
13. New Employee Work Eligibility Status. Pursuant to and in order to be in compliance with
NEB.REV.STAT. §4-114(2), the parties shall use a federal immigration verification system to determine
the work eligibility status of new employees physically performing services within the State of
Nebraska. A federal immigration verification system means the electronic verification of the work
authorization program authorized by the illegal Immigration Reform and Immigrant Responsibility Act
of 1996, 8 U.S.C. §1324a, known as the E-Verify Program, or an equivalent federal program designated
by the United States Department of Homeland Security or other federal agency authorized to verify the
work eligibility status of a newly hired employee. Neither Party is an individual or sole proprietorship.
Therefore, neither Party is subject to the public benefits attestation and related requirements of NEB.REV.STAT.
§§4-108 - 113.

executed by authorized officials of the parties. No alteration or variation of the terms and
conditions of this Agreement shall be valid unless made in writing and signed by the parties

WHEREAS,Douglas County and the Omaha Police Department have agreed to match grant.
funds received by the County to fund a Victim Assistance Program in the amountof$18000 per
year; and, -
WHEREAS, the County has a agreed to administer the grant and the program; and,
WHEREAS, it is in the best interest of the citizens of Omaha to have a Victim Assistance
Program; and
WHEREAS, the Mayor has recommended the approval of this Agreement.
NOW THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF
OMAHA:
THAT as recommended by the Mayor,the Agreement between Douglas County,Nebraska,
and the City of Omaha for the funding of the Victim Assistance Program in the amount of
$36,000.00,which represents a lump sum payment of$18,000.00 for 2009 and quarterly payments of
$4,500.00 for 2010,which is incorporated herein by this reference,is hereby accepted and the same
hereby approved.
BE IT FURTHER RESOLVED;
THAT the Finance Department of the City of Omaha is authorized to pay the cost of the
Agreement in the amount of$36,000.00 from Fiscal Year 2010,General Fund 11111,Organization
