The scope of services is included in the Agreement. E&A Consulting Group, Inc. has agreed to perform the services detailed in the attached agreement for a fee of$125,868, which is payable from the Street and Highway Allocation Fund 12131, Bridge Maintenance and Rehabilitation Organization 116164. E&A Consulting Group, Inc. has filed the required Annual Contract Compliance Report, Form," CC-1, in the Human Rights and Relations Department. (hereinafter referred to as the "Provider"), on the terms, conditions and provisions as set forth herein below. I. PROJECT NAME AND DESCRIPTION OPW 51915-SP being the redeck and repair of the Pacific St. bridge over the Big Papio Creek at approx. 106th St. II. DUTIES OF PROVIDER A. Provider agrees to perform professional services, as set out and more fully described in the Proposal attached hereto, for the City, relative to the above-referenced project which is illustrated in Exhibit `B" attached hereto. Such services shall be completed within a 180 calendar day period after receipt of a purchase order from the City. B. Provider designates Joe Ficenec whose business address and phone number are 300North 117th St., Omaha, NE 68154 and (402) 895-4700 as its project manager and contact person for this project. C. Provider agrees to maintain records and accounts, including personnel, financial and property records, sufficient to identify and account for all costs pertaining to the project and certain other records as may be required by the City to assure a proper accounting for all project funds. These records shall be made available to the City for audit purposes and shall be retained for a period of five(5)years after the expiration of this Agreement. D. Provider agrees to prepare a schedule of compensation, detailing hourly rates for all compensated providers, employees,and subcontractors. E. Provider agrees to complete, within 180 calendar days of receipt of a purchase order from the City, the necessary services. The City recognizes that completion within this deadline is contingent upon timely response from utilities and City input. F. Provider agrees to have a current Contract Compliance Form (CC-1) on file with the City's Human Rights and Relations Department prior to signing the agreement. III. DUTIES OF CITY A. The cost of services as specified in the Scope of Service, shall be performed on an hourly basis,but in no event shall exceed$125,868.00. Detailed breakdown of costs shall be shown in Exhibit"C". B. Reimbursable expenses shall be billed to the City by the Provider. C. INCREASE OF FEES The parties hereto acknowledge that, as of the date of the execution of the Agreement, Section 10-142 of the Omaha Municipal Code provides as follows: Any amendment to contracts or purchases which taken alone increase the original fee as awarded (a) by ten percent, if the original fee is one hundred fifty thousand dollars($150,000)or more,or(b)by seventy-five thousand dollars ($75,000) or more, shall be approved by the City Council in advance of the acceptance of any purchase in excess of such limits. However, neither contract nor purchase amendments will be split to avoid advance approval of the City Council. The originally approved scope and primary features of a contract or purchase will not be significantly revised as a result of amendments not approved in advance by the city council. The provisions of this section will be quoted in all future city contracts. Nothing in this section is intended to alter the authority of the mayor under section 5.16 of the Charter to approve immediate purchases. V. OWNERSHIP OF INSTRUMENTS OF SERVICE The City acknowledges the Provider's construction documents, including electronic files, as instruments of professional service.Nevertheless,upon completion of the services and payment in full of all monies due to the Provider,the final construction documents prepared under this Agreement shall become the property of the City. The City shall not reuse at another site or make any modification to the construction documents without the prior written authorization of the Provider. The City agrees,to the fullest extent permitted by law,to indemnify and hold harmless the Provider, its officers,directors, employees and subconsultants(collectively,Provider)against any damages, liabilities or costs,including reasonable attorneys'fees and defense costs, arising from or in any way connected with the unauthorized reuse or modification of the construction documents by the City,regardless of whether such reuse or modification is for use at the Project site or another site. VI. ADDITIONAL SERVICES In the event additional services for the aforementioned project not covered under this Agreement are required,Provider agrees to provide such services at a mutually agreed upon cost. VII. INDEMNIFICATION The Provider agrees,to the fullest extent permitted by law,to indemnify and hold harmless the City, its officers, directors and employees(collectively, City)against all damages, liabilities or costs, including reasonable attorneys'fees and defense costs,to the extent caused by the Provider's negligent performance of professional services under this Agreement and that of its subconsultants or anyone for whom the Provider is legally liable. The City agrees,to the fullest extent permitted by law,to indemnify and hold harmless the Provider, its officers,directors, employees and subconsultants(collectively,Provider)against all damages, liabilities or costs, including reasonable attorneys'fees and defense costs in connection with the Project,to the extent caused by the City's negligent acts or the negligent acts of anyone for whom the City is legally liable. Neither the City nor the Provider shall be obligated to indemnify the other party in any manner whatsoever for the other parry's own negligence. IX. TERMINATION OF AGREEMENT This Agreement may be terminated by the City upon written notice to the provider of such termination and specifying the effective date at least seven (7) days prior to the effective date of such termination. In the event of termination, the provider shall be entitled to just and equitable payment for services rendered to the date of termination, and all finished or unfinished documents, data surveys, studies, drawings, maps, models, reports or photographs shall become, at the City's option, its property. X. GENERAL CONDITIONS A. Non-discrimination. Provider shall not, in the performance of this Agreement, discriminate or permit discrimination in violation of federal or state laws or local ordinances because of race, color, sec, age, or disability as recognized under 42 USCS 12101 et seq. and Omaha Municipal Code section 13-89,political or religious opinions, affiliations or national origin. B. Captions. Captions used in this Agreement are for convenience and are not used in the construction of this Agreement. C. Applicable Laws. Parties to this Agreement shall conform with all existing and applicable city ordinances, resolutions, state laws, federal laws, and existing and applicable rules and regulations. Nebraska law will govern the terms and the performance under this Agreement. D. Interest of the City. Pursuant to Section 8.05 of the Home Rule Charter, no elected official or any officer or employee of the City shall have a financial interest, direct or indirect, in any City Agreement. Any violation of this section with the knowledge of the person or corporation contracting with the City shall render the Agreement voidable by the Mayor or Council. E. Interest of the Provider. The Provider covenants that he presently has no interest and shall not acquire any interest, direct or indirect, which would conflict with the performance of services required to be performed under this Agreement; he further covenants that in the performance of this Agreement,no person having any such interest shall be employed. F. Merger. This Agreement shall not be merged into any other oral or written agreement, lease or deed of any type. This is the complete and full agreement of the parties. Assignment. The Provider may not assign its rights under this Agreement without the express prior written consent of the City. Strict Compliance. LB 403 Contract Provisions. -NEW EMPLOYEE WORK ELIGIBILITY STATUS-The Contractor is required and hereby agrees to use a federal immigration verification system to determine the work eligibility status of new employees physically performing services within the State of Nebraska. A federal immigration verification system means the electronic verification of the work authorization program authorized by the Illegal Immigration Reform and Immigrant Responsibility Act of 1996, 8 U.S.C. 1324a,known as the E-Verify Program, or an equivalent federal program designated by the United States Department of Homeland Security or other federal agency authorized to verify the work eligibility status of a newly hired employee. Description of Services: This service phase provides for preliminary engineering services such as field survey (including alignments, levels, topography, utilities and any special survey required for the preparation of intermediate and final plan sets), review of all available reports and data relative to the project, utility coordination and meetings to safeguard against conflicts, environmental assessment and reporting, geotechnical exploration and report finalization, permit application initiation with both the COE and the Papio-Missouri River NRD, and development of preliminary plans and cost estimates to facilitate selection of a preferred solution to be carried into pre-final and final design phases. Options will be reviewed with both the AGC and the City during this phase and the City will select, based on AGC and E&A recommendations, the favored solution for plan development during post preliminary phases. 2. Scope of Services: The scope currently scheduled and budgeted for includes the following: a. Complete field survey work, including utilities, in conformance with City of Omaha Electronic Survey Scope. Survey will include ROW for the bridge and will extend from a location slightly west of the 107th Avenue intersection to a location slightly east of the 105th Street intersection. Survey base sheets will be developed and will include information supplied by the City, such as sewers and traffic signals within the area of the project. b. All existing reports, plans, maps and other data relative to the project will be reviewed and features will be accounted for during this design phase. c. The topographic survey base sheets will be supplied to all utilities so that their facilities can be incorporated into the project. A preliminary meeting will be held with all affected, interested utilities present. d. An environmental assessment will be completed and a report issued during this phase of the project. e. Geotechnical exploration, testing and evaluation and a summary report will be provided during this phase. f. Contact will be initiated with local permitting agencies, such as the COE and the Papio-Missouri River NRD. g. Preliminary concepts/plans will be developed, along with cost estimates. Preliminary plans will include TS&L plans, typical sections of the proposed bridge/roadway, tentative grades, tentative drainage, utility conflicts, proposed pavement geometry, limits of construction, ROW impacts and other relevant features. Concepts will be reviewed by both the AGC and the City and the most attractive alternate will be selected by the City for commencement of pre-final design. h. Preliminary plans will be developed in accordance with City guidelines, as follows: i. There will be no major painting of the bridge girders; however, the ends, the top flanges and other obvious areas needing immediate attention will be thoroughly cleaned and painted. Additional painting will be under separate contract, at a later date. 1 of 4 means; compensated; selected for training, including apprenticeship; promoted; upgraded; demoted; downgraded; transferred; laid off; and terminated. The City wishes to extend sidewalks on both side of the street to connect to existing sidewalks. iii. The center median will be maintained and may be reduced from 14 feet to no less than 11 feet. It will be raised and concrete will be stamped and colored similar to the 156th Street Bridge, recently completed south of Center Street. iv. Median separated eastbound and westbound traffic lane widths of 25 feet will be provided and attached sidewalks will be provided on each side of the bridge to match clear widths currently in place on the Pacific Street Bridge over 1-680. That is, the clear width on the north side will be 10 feet and on the south side it will be 7 feet. v. Girder ends will be cleaned, abutment bearings replaced and the ends will be encapsulated in concrete turndowns. Approach slabs will be tied directly to the concrete turndowns and deck joints will be moved away from bridge deck end-of-floor location, to the far ends of the approach slabs. That is, expansion joints will be centered over grade beams (i.e. at the far end of the approach slabs). 3. Preliminary Design Meetings: A preliminary meeting will be held with all utilities. A conceptual meeting will be held to discuss bridge and roadway options and to solicit input from the City. Preliminary plans will then be developed, as scoped above, based on feedback received by E&A during or as a direct result of these meetings. Preliminary design will conclude with a meeting between E&A and the City. During this meeting, E&A will furnish Preliminary Plans and Cost Estimates to the City for their review and comment. 4. Conclusion of the Preliminary Design Phase: This phase of the project will conclude and E&A will initiate the Pre-Final phase only after receiving approval of Preliminary Plans from the City and an authorization to proceed into the next phase. PHASE II, PRE-FINAL DESIGN: 1. Description of Services: This service phase provides for the development of pre-final plans, special provisions and cost estimates. During this phase, Bridge Plans and Special Provisions will be prepared in accordance with current NDOR Specifications for Highway Construction, AASHTO Standard Specification for Highway Bridges and other current State and Local Standards. Roadway Plans will be prepared in accordance with City Standards. Pre-Final Plans sets will be at or near the 95% completion level with all major issues clearly delineated, detailed. Cost Estimates will be developed during this phase as well. Updated plans sets will be furnished to all utilities in an effort to continue the coordination process. A coordination meeting with the utilities will be held and hosted by E&A. During this phase, permitting will be obtained as required by the COE and the NRD. 2. Scope of Services: The scope currently scheduled and budgeted includes the following: a. At the 65% completion level of bridge and roadway plan sets, E&A will distribute plan sets to all utilities in an effort to continue the coordination process. All existing and future planned utility information will be obtained and will be incorporated into the Pre-Final Drawings. E&A will host a coordination meeting with all interested utilities. b. Permitting, as required, will be obtained during this phase of the project. c. Drawings, Special Provisions and Cost Estimates will be developed to a completion level and to standards as described above. Pre-Final Plans, Specifications and Estimates will be forwarded the City for review and comment. d. A plan-in-hand meeting will be scheduled and conducted by E&A with appropriate personnel from the City present. e. Comments from the City's review of the Pre-Final Documents and the City's plan-in-hand observations/conclusions will be provided to E&A. Top of girder elevations will be surveyed along girder centerlines at conventional locations (i.e. along all girder centerlines, at supports and at 10 foot increments longitudinally). b.
