The undersigned hereby certify that they are the Chairman and Clerk of Sanitary and Improvement District
Number 277 of Douglas County,Nebraska, (the "District")and hereby further certify as follows:
1. Annexed to this certificate is a true and correct transcript of the proceedings of the Board of Trustees
of the District relating to a meeting of said District held on the date and at the time reflected in the meeting minutes
contained in said foregoing transcript (the "Meeting"). All of the proceedings of the District and of the Board of
Trustees thereof which are set out in the annexed and foregoing transcript have been fully recorded in the journal of
proceedings of the District and the undersigned District Clerk has carefully compared the annexed and foregoing
transcript with said journal and with the records and files of the District which are in such Clerk's official custody and
said transcript is a full,true and complete copy of said journal,records and files which are set out therein.
2. Advance notice for the Meeting was given by publication as set forth in the affidavit of publication
contained in the foregoing transcript and was mailed to the Clerk of the municipality or county within whose zoning
jurisdiction the District is located at least seven days prior to the date of the Meeting.Advance notice for the Meeting,
including notice of agenda subjects, was given to all members of the Board of Trustees. All news media requesting
notification of meetings of said body were provided with advance notice of the times and places of such meetings and
the subjects to be discussed.
3. All of the subjects addressed at the Meeting were contained in the agenda for the Meeting,which agenda
was kept continually current and readily available for public inspection at the address listed in the meeting notice for
the Meeting and a copy of which is attached to this Certificate; such subjects were contained in said agenda for at
least 24 hours prior to the Meeting and each agenda item was sufficiently descriptive to give the public reasonable
notice of the matters to be considered at the Meeting.
4. A current copy of the Nebraska Open Meetings Act was available and accessible to members of the public,
posted during the Meeting in the room in which such Meeting was held and all in attendance at the Meeting were
informed that such copy of the Nebraska Open Meetings Act was available for review and were informed of the
location of such copy in the room in which such Meeting was being held.At least one copy of all resolutions and other
reproducible written materials,for which actions are shown in said proceedings,was made available for examination
and copying by members of the public at the Meeting.
5. The minutes of the Meeting were in written form and available for public inspection within ten (10)
working days after the Meeting or prior to the next convened meeting, whichever occurred earlier,at the office of the
District; within thirty (30) days after the date of the Meeting, a copy of the minutes of the Meeting was sent to the
Clerk of the municipality or county within whose zoning jurisdiction the District is located.
6. No litigation is now pending or threatened to restrain or enjoin the District from the issuance and delivery
of any warrants or other obligations issued by the District or the levy and collection of tax or other revenues or relating
to any of the improvements for which any such warrants or other obligations were or are issued nor in any manner
questioning the proceedings and authority under which any such warrants or other obligations were or are issued or
affecting the validity thereof; neither the corporate existence or boundaries of the District nor the title of its present
officers to their respective offices is being contested; no authority or proceedings for the issuance of any warrants or
other obligations by the District have been repealed,revoked or rescinded as of the date hereof. All actions taken by
the Board of Trustees referred to in said transcript were taken at a public meeting while open to the attendance of the
public.

MEETING MINUTES
SANITARY AND IMPROVEMENT DISTRICT NO. 277
OF DOUGLAS COUNTY, NEBRASKA
The meeting of the Board of Trustees of Sanitary and Improvement District No. 277 of
Douglas County, Nebraska was convened in open and public session at 7:00 p.m. on August 11,
2020 at 4008 S 224th Circle, Elkhorn, Nebraska.
Matthew Stamp, Bruce Dean, Ken Heinrich and Duane Bartelt were present. Also present
was Mark Johnson, the District's attorney. John Krager, the District's engineer and John Kuehl,
the District's Financial Advisor were not at the meeting, but were available by phone. Jim Holley
was absent.
Notice of the meeting was given in advance thereof by publication in The Daily Record on
August 4, 2020, a copy of the Proof of Publication being attached to these minutes. Notice of the
meeting was simultaneously given to all members of the Board of Trustees and a copy of their
Acknowledgment of Receipt of Notice is attached to these minutes. Availability of the agenda
was communicated in the published notice and in the notice to the Trustees of this meeting. All
proceedings of the Board were taken while the convened meeting was open to the attendance of
the public.
The Chairman publicly stated to all in attendance that a current copy of the Nebraska Open
Meetings Act was available for review and indicated the location of such copy in the room where
the meeting takes place.
The Clerk then certified that notice of this meeting had been given to the City CIerk of
Omaha,Nebraska at least seven days prior to the time set by the Board of Trustees for this meeting
and filed his Certificate to that effect, said Certificate being attached to these minutes and made a
part hereof by this reference.
Ken Heinrich presented the District's Financial report and distributed copies of SID #277
expenditures since last meeting and FYTD.
The Chairman then called the Board's attention that the following warrants need to be
voided:
a) General Fund Warrant No. 3014 dated November 22, 2019 to the OPPD for
$1,101.02.
b) General Fund Warrant No, 3015 dated November 22, 2019 to Shamrock Lawns for
$135.00
c) General Fund Warrant No. 3016 dated November 22, 2019 to Nebraska Public
Health for $15.00.
d) General Fund Warrant No. 3017 dated January 1, 2020 to OPPD for$430.12.
e) General Fund Warrant No. 3023 dated May 5, 2020 to Uleman Enterprises for
$668.94.
f) General Fund Warrant No. 3024 dated May 7, 2020 to Inspro for$4,127.00.
The reason for voiding General Fund warrants 3014, 3015, 3016, 3017 and 3023 were never
cashed by the payee and General Fund warrant 3024 warrant was returned because Inspro was
having difficulties cashing the warrant. The attorney's office issued a check to Inspro from their
operating account and the District will reimburse them at the budget meeting.
These warrants have been voided and the Districts records were changed accordingly.
The Chairman then acknowledged the following statements which had been paid prior to
the date of the meeting from the District's General Fund:
a) Warrant No. 3018 issued on March 17, 2020 totaling $3,600.00 payable to
payable to People Service Inc.
b) Warrant No. 3019 issued on March 17, 2020 totaling $140.00 payable to the
Nebraska Public Health Environmental Lab for coliform testing.
c) Warrant No. 3020 issued on March 17, 2020 totaling $2,192.58 payable to
OPPD for street lighting (Acct. No. 8125000090).
d) Warrant No. 3021 issued on April 24,2020 totaling$2,069.10 payable to OPPD
for Water System Ops—electricity (Acct No. 7125000090),
e) Warrant No, 3022 issued on March 17,2020 totaling$3,150.00 payable to Walk
Up Tree Service for tree removal.
f) Warrant No. 3023 issued on May 5, 2020 totaling $668.94 payable to Uleman
Enterprises Inc., for sprinkler repairs.
g) Warrant No, 3025 issued on May 20, 2020 totaling $72.00 payable to Enfields.
h) Warrant No. 3026 issued on May 20, 2020 totaling $979.56 payable to
Shamrocks Lawns.
i) Warrant No. 3027 issued on May 30, 2020 totaling $600.00 payable to Clean
Sweep for street sweeping.
j) Warrant No. 3028 issued on July 31,2020 totaling$500.00 payable to Nebraska
Public Health Environmental Lab for coliform testing.
k) Warrant No. 3029 issued on August 10, 2020 totaling $787.96 payable to Uleman
Enterprises Inc., for sprinkler work.
1) Warrant No. 3030 issued on August 10, 2020 totaling $3,411.30 payable to People
Service Inc., for Water System Ops
m) Warrant No. 3031 issued on August 10, 2020 totaling $2,792.03 payable to Breaking
Ground for sprinkler repairs.
n) Warrant No. 3032 issued on August 10, 2020 totaling $2,078.73 payable to OPPD for
streetlights (Acct. No. 8125000090).
o) Warrant No. 3033 issued on August 10, 2020 totaling $2,393.29 payable to OPPD for
Water System Electricity (Acct. No. 7125000090).
Then, upon a motion duly made, seconded and upon a roll call vote of "aye" by the
Trustees, the following Resolutions were unanimously adopted:
RESOLVED by the Board of Trustees of Sanitary and Improvement
District No. 277 of Douglas County, Nebraska that the execution
and delivery of the above-described Warrants (including the dates
thereof, the payees, the services rendered and the amounts), said
warrants to draw interest at the rate of 6% per annum, are hereby
approved and ratified and shall be payable from the General Fund
Account of the District and are to be redeemed no later than three
(3) years from the date of issuance.
Finally, there were also additional items that were discussed. (1) A discussion was had
about pavement sealing. Crack sealant to be done in early fall and the "topcoat" will done next
year. (2) Report that the water survey was sent to all residents, to respond back to the operator. (3)
SID Water Quality report was sent to all residents (4) A discussion of removal of boundary stakes
in the Common Area and Reick mowing. The Board decided not to do anything at this time, (5)
The budget process and proposed levy was approved. (6) An audit waiver will be submitted in
September at the same time as the budget.
There being no further business before the Board, the Chairman adjourned the meeting.
