RESOLVED BY THE CITY COUNICL OF THE CITY OF OMAHA:
THAT, in accordance with the provisions of the Nebraska Liquor Control Act, as
amended, after a hearing held within 45 days after receiving notice and a copy of the license
application and upon due consideration of all standards and criteria provided by law,this
Council hereby recommends that the following application for a Class "C"Liquor License
be granted.
JA*CK Entertainment, LLC, dba"21st Amendment", 4727 South 96th Street.
That, the cost of publication of notice of the hearing was $26.00.

sale of said Bonds.
NOW, THEREFORE,BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF
OMAHA:
Bonds in Exhibit A attached hereto and by this reference made a part hereof as fully as if set forth
herein is hereby approved in substantially the form attached hereto, the Finance Director of the City of
Omaha is hereby authorized to deem final the Preliminary Official Statement as of its date, within the
meaning of Rule 15c2-12 under the Securities Exchange Act of 1934, as amended (except for certain
omissions permitted by said Rule 15c2-12), and the Finance Director of the City of Omaha is hereby
authorized to deliver the aforesaid Preliminary Official Statement on behalf of the City of Omaha, and the
distribution of the Preliminary Official Statement by the prospective underwriter of the Bonds is hereby
approved.

City chooses to include any information from any document or notice of occurrence of a Material Event
in addition to that which is specifically required by this Agreement,the City shall not have any obligation
under this Agreement to update such information or include it in any future disclosure or notice of the
occurrence of a Material Event.
(k) This Letter Agreement has been executed in order to assist the Participating Underwriter
in complying with the Rule; however, this Agreement shall inure solely to the benefit of the City, the
Dissemination Agent, if any, the Trustee and the Bondholders of the Bonds and shall create no rights in
any other person or entity.
(1) The City shall maintain records of all Annual Financial Information Disclosure and
Material Events Disclosure, including the content of such disclosure,the names of the entities with whom
such disclosure was filed and the date of filing such disclosure.

(m) The City represents that, except as otherwise disclosed in the Final Official Statement, it
has complied with the requirements of each continuing disclosure undertaking entered into by it pursuant
to the Rule in connection with previous financings to which the Rule was applicable.
(n) The City shall not transfer its obligations under the Ordinance unless the transferee
agrees to assume all obligations of the City under this Agreement or to execute a continuing disclosure
undertaking under the Rule.
