The attached Ordinance approves an Agreement with Mosaic, Inc., a Nebraska Non-profit
Corporation, 4980 South 118th Street, Omaha, Nebraska 68137, for the City to convey a vacant
parcel located near 66th and Sorensen Parkway for development of two (2), six (6)unit residential
structures to provide housing for developmentally disabled persons.
The property will be assembled with an adjacent parcel already owned by Mosaic. Both parcels
will be replatted together to create a site sufficient to accommodate the two residential structures.
There are no expenses associated with the conveyance of the property to Mosaic.

ORDINANCE NO. c 7i Z2
AN ORDINANCE approving an Agreement for the sale of City-owned real property; to provide
that notwithstanding any provisions of the Omaha Municipal Code to the contrary, the
City is authorized to enter into the attached Agreement with Mosaic, Inc. a Nebraska non-
profit corporation, 4980 South 118th Street, Omaha, Nebraska 68137, to convey the
property described in the attached agreement, near 66th and Sorensen Parkway, in
consideration of the sum of One and 00/100 Dollars ($1.00).for development of two (2),
six (6) unit residential structures to provide housing for developmentally disabled
persons; there are no expenses associated with the transfer of the property to Mosaic, Inc.;
and to provide the effective date hereof.
BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF OMAHA:
Section 1. Notwithstanding any portion of the Omaha Municipal Code to the contrary,
the attached Agreement with Mosaic, Inc., is hereby approved and the Mayor is hereby
authorized to execute, and the City Clerk to attest any documents necessary or appropriate to
convey the property described in the attached agreement, in consideration of the sum of One and
00/100 Dollars ($1.00). There are no expenses associated with the transfer of the property to
Mosaic, Inc.
Section 2. Upon completion of the conditions in the attached Agreement, the Mayor of
the City of Omaha is hereby authorized and empowered to execute a Warranty Deed to said
property, and the City Clerk to attest the same to Mosaic, Inc., a Nebraska Non-Profit
Corporation.
Section 3. That this Ordinance, not being legislative in character, shall take effect upon
the date of its passage in accord with Section 2.12 of the Omaha Municipal Code.

REAL ESTATE PURCHASE AGREEMENT
This Real Estate Purchase Agreement ("Agreement") is made and entered into as of this
czlay of February, 2010, by and between MOSAIC, a Nebraska Non-Profit Corporation
("Buyer"), and the City of Omaha, a Municipal Corporation in the State of Nebraska("Seller"):
In consideration of the mutual covenants of the parties recited herein, it is mutually
agreed as follows:
1. Property. Seller agrees to sell to Buyer and Buyer agrees to purchase from Seller
real estate (as defined in Neb. Rev. Stat. § 76-201) described as follows:
A parcel of land comprising approximately 0.808 acres (35,207 square.
feet), as described on the Exhibit Drawing incorporated in the agreement
as Attachment I.
(the "Property"), together with any easements and servient estates appurtenant thereto, free and
clear of all liens and encumbrances, but with reservations and exceptions as follows:
a. Title shall be taken subject to any restrictive covenants, easements, mineral rights,
reservations or conditions of record; prior to closing,
b. Seller will comply with all local zoning regulations;
c. And subject to the Permitted Exceptions as defined in Paragraph 5;
d. And subject to restrictions, conditions and limitations hereinafter stated.
2. Price and Payment. Buyer agrees to pay Seller for Property the sum of One and
No/100 Dollars ($1.00) ("Purchase Price"). The Purchase Price shall be at Closing in cash or
certified funds subject to the allocations and prorations provided in this Agreement.
3. Title. At closing, Seller will execute and deliver to Buyer a warranty deed (the
"Deed") conveying the Property in fee simple free and clear of all liens, encumbrances, and
encroachments,pursuant to and in conformity with this Agreement.
4. Closing Costs. Seller shall be obligated to prepare the Deed and Real Estate
Transfer Statement and to pay Nebraska Documentary Stamp taxes relating to this transfer, and
the cost, if any, of filing said deed. Each party shall pay its own attorney fees.
5. Title Insurance. Buyer shall promptly obtain'a title insurance commitment (the
"Title Commitment") on the Property. The title insurance commitment will show marketable
title to the Property in Seller and in accordance with the terms and conditions of this Agreement.
The cost of the final title insurance policy shall be paid by the Buyer.
Buyer shall approve or disapprove title to the Property within ten (10) days after receipt
of the title insurance commitment. If any defect in title is discovered during the examination of
the title commitment by either Buyer or the lender of Buyer, Buyer shall furnish Seller with a

copy of the attorney's opinion which reflects such defect. Any matters reflected in the title
commitment to which Buyer does not object shall be deemed to be "Permitted Exceptions".
Seller shall have a reasonable time to cure such a defect and Seller shall bear the expense of
curing the same. If efforts to cure any such defect fail, both Seller and Buyer shall have the
option to rescind this Agreement, in which case Buyer shall be entitled to receive a refund of its
earnest money deposit. In addition to the terms and conditions of this Agreement, the land title
law of Nebraska, and the title standards approved by the Nebraska State Bar Association to the
date of examination of title shall serve as a guide to marketability of title. Seller shall pay costs
of additional abstracting and/or title work due to acts of omission of Seller.
6. Survey. Buyer, at its cost and expense, may obtain an ALTA/ACSM Land Title
Survey of the Property within thirty days of the date of this Agreement to determine the legal
boundaries, the quantity of land included in the parcel comprising the Property, and to identify
any encroachments onto the Property from neighboring homes (the "Survey"). The quantity of
land so determined by the Survey shall be acceptable to Buyer in its sole and complete
discretion. The legal description determined shall be attached to this Agreement and shall be
used for the description of the Property in the Deed to be delivered to Buyer at Closing.
7. Possession. Seller shall deliver possession of the Property to Buyer at the Date of
Closing.
8. Closing Date. The Closing Date ("Closing Date") shall be on or before December
31, 2010 provided that the conditions described in paragraph 12 are satisfied. If closing has not
occurred by December 31, 2010 either party may rescind this Agreement and be released from
any liability.
9. Risk of Loss. Risk of loss or damage to the Property shall rest with Seller until
the time of delivery of possession.
10. Taxes. Real estate taxes assessed against the Property for all years prior to the
year of Closing shall be paid by Seller on or before the Closing Date. Taxes for year of Closing
shall be prorated to the Date of Closing and shall be prorated based upon the most current
valuation and the most current tax levy rate, as determined by the Douglas County Board of
Equalization.
11. Condition of Property. Buyer acknowledges that the Property consists of
unimproved real estate and Seller represents to the best of Seller's knowledge, information and
belief, there are no latent defects in the Property and no conditions present or existing with
respect to the Property which may give rise to or create environmental hazards or liabilities and
there are no enforcement actions pending or threatened with respect thereto. Buyer and Seller
agree and acknowledge that the Property does not constitute "residential real property" for
purposes of Neb. Rev. Stat. § 76-2,120 and thus no disclosure statement shall be required.
12. Conditions Precedent. This Agreement and Buyer's obligation to close shall be
contingent upon the satisfaction, or at Buyer's sole option, waiver of the following conditions:

• a. Buyer at its expense may acquire an environmental assessment evidencing that the
Property is free from any hazardous material or substance, including but not
limited to a satisfactory Phase I Environment Site Assessment;
b. Buyer shall have received an allocation of low income housing tax credits
(LIHTC) from the Nebraska Investment Finance Authority ("NIFA") and met all
requirements established by NIFA for receipt of such; Buyer may substitute other
financing to complete the project and provide evidence, thereof, to complete the
construction of two (2), six (6) unit residential structures to house developmental
disabled persons;
c. Buyer shall have received all governmental approvals for zoning, special use or
other land use permits and subdivision of the Property desired by Buyer, in its sole
and absolute discretion, by all governmental units, subdivisions or departments
having jurisdiction thereof;
d. Utilities (gas, water, sanitary sewer, electrical) shall be available to the Property at
a location, size and cost acceptable to Buyer in its sole and absolute discretion;
e. This agreement is subject to the City Council and the Mayor approving an
Ordinance authorizing the sale of this property. If that action does not occur, this
Agreement will be null and void.
13. Default. Time is agreed to be of the essence. In the event either party fails to
comply with any of the material terms hereof for a period of fifteen (15) days after written notice
to defaulting party from the other party specifying the nature thereof, then the other party may
declare a default and seek any remedy at law or in equity without notice or demand, including
specific performance.
14. Remedies. If any of the events of default set forth in this Agreement shall occur
and a defaulting party fails to cure the same within the express time period herein provided, the
other party, in addition to any other rights of that party under this Agreement, may at its option
and with ten (10) days prior written notice or demand exercise any rights and remedies available
at law or equity, including, without limitation, specific performance of this Agreement. No
remedy herein is intended to be exclusive of any other remedy herein or by law provided, but
each shall be cumulative and shall be in addition to every other remedy given hereunder or now
or hereafter existing at law or in equity or by statute. No delay or omission of any party in
exercising any remedies or power accruing upon any event of default shall impair any remedies
or power or shall be construed to be a waiver of any event of default or any acquiescence therein.
15. Assignment. This Agreement may not be assigned by either party without the
prior written consent of the nonassigning party. Any such assignment shall not terminate the
liability of the assignor to perform, unless a specific release in writing is given and signed by the
other party to this Agreement. Provided however, Buyer may assign this Agreement to a
Nebraska limited liability company of which Buyer serves as managing member without Seller's
consent.

16. Visitation. Until the Closing Date, Buyer or Buyer's agents shall have the right to
reasonable visitation and inspections of the Property after Buyer has given reasonable notice to
Seller or their agents and Seller or their agents have consented. Seller or their agents will not
unreasonably withhold their consent.
17. Lien.Affidavit. Seller shall execute on the Closing Date an affidavit on the title
insurance company's form which will remove all standard exceptions to Buyer's title insurance
policy, whereby Seller represents that, including without limitation (i) there are no unpaid special
assessments levied against the Property as of the Closing Date, (ii) there are no outstanding
unpaid bills for labor, material, or utilities furnished to the Property as of the Closing Date, (iii)
there has been no off-site work taking place in the immediate vicinity such as grading or paving
of streets, installation of sewer lines, in the past six (6) months; (iv) Seller has not received any
notice of future improvements which might result in special assessments; and (v) agreeing to
indemnify and hold harmless the Buyer and title insurance company against all payments and
expenses, including court costs and attorney's fees, if the above representations prove inaccurate
in whole or in part.
18. Real Estate Commission. Buyer and Seller represent that neither have executed
any listing agreement or other document with a real estate broker. In the event that any real
estate broker claims a commission, finder's fee, or other compensation as a result of this
transaction, the party alleged to have entered into an agreement with such a broker shall
indemnify and hold the other party harmless from and against any such commission, finder' s
fee, or other compensation.
19. Severability. If any noneconomic mutual term or provision of this Agreement or
•the application thereof to any person or circumstances shall to any extent be invalid or
unenforceable, the remainder of this Agreement or the application of such term or provision to
persons or circumstances other than those as to which it is held invalid or unenforceable shall not
be affected thereby, and each term and provision of this Agreement shall be valid and enforced
to the fullest extent permitted by law.
20. Further Assurances. Each undersigned party will, whenever it shall be reasonably
requested to do so by the other, promptly execute, acknowledge, and deliver, or cause to be
executed, acknowledged, or delivered, any and all such further conveyances, confirmations,
instruments, or further assurances and consents as may be necessary or proper, in order to
effectuate the covenants and agreements herein provided. Each of the undersigned parties shall
cooperate in good faith with the other and shall do any and all other acts and execute,
acknowledge and deliver any and all documents so requested in order to satisfy the conditions set
forth herein and carry out the intent and purposes of this Agreement.
21. Interpretations. Any uncertainty or ambiguity existing herein shall not be
interpreted against either party because such party prepared any portion of this Agreement, but
shall be interpreted according to the application of rules of interpretation of contracts generally.
22. Construction. Whenever used herein including acknowledgments, the singular
shall be construed to include the plural, the plural the singular, and the use of any gender shall be
construed to include and be applicable to all genders as the context shall warrant.

23. Time of the Essence. Time is of the essence of this Agreement.
24. Entire Agreement. This Agreement contains the entire agreement of the parties.
This Agreement cannot be modified or altered unless reduced to writing and consented to by all
the undersigned parties.
25. Notice and Demands. Notice, demand, or other communication mandated by this
Agreement by either party to the other shall be sufficiently given or delivered if it is sent by
registered or certified mail, postage prepaid, return receipt requested or delivered personally.

26. Execution in Counterparts. This Agreement may be executed in two counterparts,
each of which shall be an original, but all of which shall constitute one and the same instrument.
27. Governing Law. All aspects of this Agreement shall be governed by the laws of
the State of Nebraska.
28. Successors and Assigns. This Agreement shall be binding upon and shall inure to
the benefit of the parties hereto and their respective heirs, legatees, devisees, personal
representatives, successors and permitted assigns.
29. Acceptance. This Real Estate Purchase Agreement constitute Buyer's offer to
purchase the Property and shall form the Agreement between Buyer and Seller if accepted by
Seller and returned to Buyer by 5:00 o'clock p.m. on March 31, 2010.

27. Governing Law. All aspects of this Agreement shall be governed by the laws of
the State of Nebraska.
28. Successors and Assigns. This Agreement shall be binding upon and shall inure to
the benefit of the parties hereto and their respective heirs, legatees, devisees, personal

unenforceable, the remainder of this Agreement or the application of such term or provision to
persons or circumstances other than those as to which it is held invalid or unenforceable shall not
be affected thereby, and each term and provision of this Agreement shall be valid and enforced
to the fullest extent permitted by law.
20. Further Assurances. Each undersigned party will, whenever it shall be reasonably
requested to do so by the other, promptly execute, acknowledge, and deliver, or cause to be
executed, acknowledged, or delivered, any and all such further conveyances, confirmations,
instruments, or further assurances and consents as may be necessary or proper, in order to
effectuate the covenants and agreements herein provided. Each of the undersigned parties shall
cooperate in good faith with the other and shall do any and all other acts and execute,
acknowledge and deliver any and all documents so requested in order to satisfy the conditions set
forth herein and carry out the intent and purposes of this Agreement.
21. Interpretations. Any uncertainty or ambiguity existing herein shall not be
interpreted against either party because such party prepared any portion of this Agreement, but
shall be interpreted according to the application of rules of interpretation of contracts generally.
