Attached is an ordinance which approves an Addendum to a current agreement between the City
of Omaha and SSA Global Technologies (now known as Infor Global Solutions (Michigan),
Inc.) Infor Global is the sole source provider of the Masterpiece — Human Capital Management
(HCM) payroll system which is currently being used by the City. By Ordinance No. 36777,
approved on September 21, 2004, the City entered into a contractual and multi-year service
agreement with SSA Global Technologies to use this software.
By Ordinance No. 38492, approved on August 18, 2009 an Addendum and Master Lease
Purchase agreement the City entered into a perpetual license to use the HCM software along with
one year of maintenance for tax updates, bug fixes and enhancements.
The Addendum contemplates that we will purchase a five year maintenance plan for tax updates,
bug fixes and enhancements. The total cost of the maintenance contract is $358,298.16 payable
annually as‘listed:
$68,850.00 Payment due on or before August 20, 2010
$70,227.00 Payment due on or before August 20, 2011
$71,631.54 Payment due on or before August 20, 2012
$73,064.17 Payment due on or before August 20, 2013
$74,525.45 Payment due on or before August 20, 2014
Due to the five year commitment, Infor Global has agreed to an annual two percent (2%)uplift in
the cost of maintenance rather than the standard six percent (6%) annual increase for a total
savings of$45,035.84 as long as we execute the maintenance contract by August 20, 2010.
This is software used by the payroll division to complete fifty-two (52) bi-weekly and twelve
(12) monthly payrolls each year. The functionality of the software helps to accommodate the
complex processes necessary as a result of the various union contract and pension rules. City
payroll is a mission critical application that requires significant attention to detail. This
maintenance contract will allow us to continue to process employee and retiree payrolls and
provide for efficient processing of yearly W2 and 1099R tax forms.
Funding for this purchase shall be from the General Fund 11111, General Expense 119014.

AN ORDINANCE to approve an Addendum to Term Software License Agreement dated September
30,2004,and amended on August 18,2009,between SSA Technologies,Inc.(now known as
Infor Global Solutions (Michigan), Inc.) and the City of Omaha, by extending the term for
support services for the City of Omaha's payroll software entitled Masterpiece for five
additional years with five(5)annual installments for a total payment of three hundred fifty-
eight thousand two hundred ninety eight dollars and sixteen cents($358,298.16);to authorize
the Finance Director to make payments in conformance therewith from the General Fund
11111 General Expense 119014; to provide an effective date hereof.
BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF OMAHA:
Section 1. That the Addendum to Term Software License Agreement dated September 30,
2004, and amended on August 18, 2009, between SSA Technologies, Inc. (now known as Infor
Global Solutions(Michigan),Inc.)and the City of Omaha to extend support services for the City of

ADDENDUM
FIVE-YEAR SUPPORT COMMITMENT
This Addendum, effective as of (the"Addendum"),amends the Software
License Agreement between City of Omaha,A Municipal Corporation ("Client"), successor-in-
interest to City of Omaha/Douglas Omaha Technology Commission, and Infor Global Solutions
(Michigan), Inc. ("Infor"), successor-in-interest to SSA Global Technologies, Inc., effective as of
September 30,2004,as amended(the"Agreement"). In case of any conflict between the
Agreement and this Addendum,the terms and conditions of this Addendum shall control. Except
as otherwise modified herein, all terms and conditions of the Agreement shall remain in full force
and effect.
The parties agree as follows:
1. Client hereby agrees to a non-cancelable commitment for a five-year Support Term for
the period of 08/21/2010 through 08/20/2015 for the following Software:
Masterpiece(45 Named Users)
consisting of the following modules:
Masterpiece/Net—Human Resources
Masterpiece/Net—Payroll
2. In consideration of Client's non-cancelable five-year Support commitment,the Support
Fee is hereby modified as set forth below and Client shall pay the Support Fee according
to the following Payment Schedule:
Support Fee: $358,298.16

4. The parties agree the fees specified above are offered by Infor solely in reliance upon
Client's commitment to renew Support through the end of the Support Term specified
above. The five-year Support Term specified herein is a binding term, and Support may
not be canceled during this time.
5. Post-Initial Support Term: For the 12 month period immediately following the Support
Term listed above, Client will acquire further Support in respect of the Software
identified herein,by paying a Support fee of$74,525.45, plus applicable taxes. This fee
may be increased by an annual "escalator." Such"escalator"shall not exceed the
officially published annual inflation index in Client's country of domicile, or six percent
(6%),whichever is the greater, in respect of the preceding annual period of Support.
Client at its option may elect to terminate the Post-Initial Support Term or a future
Support Term by giving Infor not less than ninety(90)days written notice, such notice to
be sent by registered mail, prior to the expiration of the then current Support Term.
The foregoing terms and conditions are accepted and agreed by the following authorized.
