("HDR") to provide marketing and engagement services for the Omaha/Lincoln Retrofit Ramp-up (OLRR) Program over a three year period ending May 25, 2013. The OLRR Program is wholly funded by a Ten Million 00/00 ($10,000,000.00) grant (No. DE- EE0003578) to the City of Omaha from the American Recovery and Reinvestment Act grant administered through the Department of Energy (DOE) Office of Energy Efficiency and Renewable Energy's EECBG Competitive Grant Program — Omaha/Lincoln Retrofit Ramp-up Program. HDR has agreed to provide these marketing and engagement services, at a cost not to exceed Five Hundred and Twenty-five Thousand Dollars ($525,000.00), and the Ordinance authorizes the Finance Department to make payments from Fund No. 17112, Organization No. 117792. Funding for this agreement will be provided wholly by the grant monies awarded to the City of Omaha from the Department of Energy. HDR has on file a current Annual Contract Compliance Form (CC-1). That the City Council of the City of Omaha hereby authorizes the expenditures for the Omaha/Lincoln Retrofit Ramp-up (OLRR) Program Marketing/Engagement Implementation as listed in the agreement documents, which by this reference are made a part hereof. Section 2. That the Finance Department is authorized to pay the fees for this agreement in an amount not to exceed Five Hundred Twenty Five Thousand 00/00 Dollars ($525,000.00) with an end date for the agreement on May 25, 2013. Section 3. That the payments to HDR Engineering, Inc. shall be made from the Retrofit Ramp-up Grant monies, Fund No. 17112, Organization No. 117792, which was accepted by City Council on June 29, 2010, through Ordinance No. 38762. Strategic Communications for Program Implementation TASK 1. Develop and implement a comprehensive marketing strategy for the overall program. Objective A comprehensive marketing strategy for the Program will be developed to attract desired participants, identify target markets,create strategies and tools to reach those audiences, and establish a Program brand and name. Scope A.1.1. Identify Categories of Stage 1 Target Markets of Program Participants and stakeholders. • Identify and record Green Zone ownership, location, and building type. • Identify the fifty(50) most high-touch and high-tech socially-connected individuals (aka the "Big 50")within the Green Zones of both communities,for a total of 200 contacts. High- touch individuals will be identified through qualitative attributes like ADT signage in windows and community involvement,while high-tech individuals will be identified through the MindMixer web application. • Identify grassroots outreach opportunities and stakeholders within the Green Zones, including community gathering places, local employers and businesses, elected officials, NGOs, agencies,and local and national interest groups. A.1.2. Develop a Comprehensive Marketing Strategy for Stage 1. • Develop a strategy document that identifies appropriate marketing and engagement tools to reach each Target Market. • Develop a schedule of meetings, distribution dates, contacts and opportunities to educate and engage targets in both the residential and commercial building categories based on tiered category of Target Markets. • One (1) meeting will be held with the combined Market Strategy, Consumer Information and Neighborhood Advocacy workgroups to review draft strategies, progress reports and provide feedback. A.1.3. Develop a schedule of Program implementation for market-stratified groups. A.1.4. Develop a media plan (including earned,shared and paid advertising opportunities)that achieves visibility and corresponds with Program events.Talking points for each phase of the project will be developed to ensure messaging is constant,transparent and consistent. Nnv. mor... 00mR .r7, 2 ,/ ••. . . • PROFESSIONAL SERVICES AGREEMENT FOR MARKETING AND ENGAGEMENT FOR THE OMAHA-LINCOLN RETROFIT RAMP-UP PROGRAM THIS AGREEMENT is hereby made and entered into this 12th day of November, 2010, by and between the City of Omaha, a municipal corporation located in Douglas County, Nebraska (hereinafter referred to as the "City") and HDR Engineering, Inc. (hereinafter referred to as "Provider"), on the terms, conditions and provisions as set forth herein. PROJECT NAME AND DESCRIPTION The project is described as the Omaha-Lincoln Retrofit Ramp-Up (OLRR) Program. The Provider will develop and implement a comprehensive marketing strategy for the OLRR Program, in addition the Provider will develop a system to foster coordination and collaboration among approximately thirty (30) community partners in order to implement the OLRR Program. II. DUTIES OF PROVIDER A. Provider agrees to perform professional services for the City, as set out and more fully described in the Scope of Services, attached hereto as Exhibit A, relative to the above-referenced project, to which a schedule and fee is provided in Exhibits B & C, also attached hereto. Such services shall be completed by May 25, 2013. 1. Provider agrees to amend the Scope of Services periodically to reflect any changes as to the program scope of services and that any amendment will be submitted to City Council for approval. B. Provider designates Stephanie White, VP whose business address and phone number are: 8404 Indian Hills Drive, Omaha, NE 68114, 402-926-7037, as its project manager and contact person for this project. C. Provider agrees to maintain such records and accounts, including property, personnel and financial records, sufficient to identify and account for all costs pertaining to the project and certain other records as may be required by the City to assure a proper accounting for all project funds. These records shall be made available to the City and U.S. Department of Energy for audit purposes and shall be retained for a period of five (5)years after the expiration of this Agreement. D. Provider agrees to prepare a schedule of compensation, detailing hourly rates for all compensated providers, employees, and subcontractors. III. DUTIES OF CITY A. The services set forth in the Scope of Services, attached as Exhibit A and described more fully in the schedule and cost breakdown in Exhibits B and C, represent Stages Zero and One of the Programs Zero to Five Stages. Additional scope of services shall be negotiated for Stages Two through Five. The cost of services shall be accounted for on a lump-sum: percent of task completed basis, in accordance with tasks agreed to for each Stage. However, in no event will the total(all stages)payment to Provider exceed$525,000. B. Contractor shall submit monthly periodic invoices to the City contact person, detailing services performed and the cost thereof. Upon approval by the City, payment will be made on invoices within thirty (30) days after the date of the invoice. C. Reimbursable expenses shall be billed to the City by the Provider. The City will review the expenses submitted by Provider and determine which expenses, if any, to reimburse. D. The parties hereto acknowledge that, as of the date of the execution of the Agreement, Section 10-142 of the Omaha Municipal Code provides as follows: Any amendment to contracts or purchase which taken alone increases the original fee as awarded (a) by ten percent, if the original fee is one hundred fifty thousand dollars ($150,000) or more, or (b) by seventy-five thousand dollars ($75,000) or more, shall be approved by the City Council in advance of the acceptance of any purchase in excess of such limits. However, neither contract nor purchase amendments will be split to avoid advance approval of the City Council. E. The originally approved scope and primary features of a contract or a purchase will not be significantly revised as a result of amendments not approved in advance by the City Council. The provisions of this section will be quoted in all future City contracts. Nothing in this section is intended to alter the authority of the Mayor under Section 5.16 of the Charter to approve immediate purchases. F. Provider is authorized to begin preliminary work upon Notice to Proceed from the City designee of the Project as described in Scope of Services, Exhibit A, prior to execution of this Agreement. The Provider assumes the risk of loss should the Agreement fail to pass City Council approval. Upon application and approval by the City, the City will pay Provider for services rendered prior to the date of City Council approval. V. TERMINATION OF AGREEMENT This Agreement may be terminated by either party upon written notice of such termination and specifying the effective date at least thirty (30) days prior to the effective date of such termination. All finished or unfinished documents, data, studies, models, reports or photographs shall become the City's property. Should Provider take any legal action against the City this Agreement will terminate immediately. VI. INDEMNIFICATION (1) To the fullest extent permitted by law, the Provider shall indemnify and hold harmless the City, its agents and employees, their successors and assigns, individually and collectively, from and against all claims, suits, damages, fines, losses and expenses, including but not limited to attorneys fees, arising out of or resulting from the provision of services under this Agreement, provide that such claim, suit, damage, fine, loss or expense is attributable to bodily injury, sickness, disease or death, or to injury to or destruction of tangible property including loss of use resulting there from, but only to the extent caused in whole or in part by negligent acts or omissions of the Provider, anyone directly or indirectly employed by it, or anyone for whose acts it may be liable, regardless of whether or not such claim, suit, damage, fine, loss or expense is caused in part by a party indemnified hereunder such obligation shall not be construed to negate, abridge, or reduce other rights or obligations of indemnity which would otherwise exist as to a party or person described in this paragraph. (2) In claims against any person or entity indemnified under this paragraph by an employee of the Provider, anyone directly or indirectly employed by it, or anyone for whose acts it may be liable, the indemnification obligation under this paragraph shall not be limited by a limitation on amount or type of damages, compensation or benefits payable by or for the Provider under workers' or workmen's compensation acts, disability benefit acts or other employee benefit acts. VII. OWNERSHIP The City shall own all information developed by Provider pursuant to the terms of this Agreement, including, but not limited to, databases, documentation,.web information, data, qualified products,web tools and deliverables. VIII. ADDITIONAL SERVICES In the event additional services for the aforementioned project not covered under this Agreement are required, Provider agrees to provide such services at a mutually agreed upon cost. I X . Written evidence of such insurance shall be submitted to the City for approval. X. GENERAL CONDITIONS A. Non-discrimination. Provider shall not, in the performance of this Agreement, discriminate or permit discrimination in violation of federal or state laws or local ordinances because of race, color, sex, age, national origin, political or religion opinions, affiliations, marital status or disability as recognized under 42 U.S.C. § 12101 et seq., and the Omaha Municipal Code § 13-89. B. Captions. Captions used in this Agreement are for convenience and are not used in the construction of this Agreement. C. Applicable laws. Parties to this agreement shall conform with all existing and applicable City ordinances, resolutions, state laws, federal laws, and all existing and applicable rules and regulations. Nebraska law will govern the terms and the performance under this Agreement. D. Small & Emerging Small Business Program. The Provider will work to meet the intent of the Small and Emerging Small Business Program ordinance as it applies to all work contracted by the Provider. E. American Recovery and Reinvestment Act of 2009. Provider agrees to comply with all requirements of the American Recovery and Reinvestment Act ("ARRA"), Public Law 111-5. The ARRA appropriates funding for the Department of Energy ("DOE") to issue/award formula-based grants to states,U.S. territories,units of local government, and Indian tribes under the Energy Efficiency and Conservation Block Grant (EECBG) Program. DOE's authorization for this program is set forth in Title V, Subtitle E of the Energy Independence and Security Act(EISA)of 2007. The Provider and the City will comply with the Special Terms & Conditions of ARRA, including a "Flow Down" Requirement that includes these special terms and conditions in any subaward, including the contracted projects. Be advised that special terms and conditions may apply to projects funded by the Act relating to: • Reporting,tracking and segregation of incurred costs; • Reporting on job creation and preservation; • Publication of information on the Internet; -4 - er this Agreement are required, Provider agrees to provide such services at a mutually agreed upon cost. These special terms and conditions will be based on provisions included in Titles XV and XVI of the Act. Compliance with the Department of Energy's Energy Efficiency and Conservation Block Grant program directives. Provider will be required to meet requirements for prevailing wage for all laborers and mechanics (i.e. Davis Bacon Act), National Environmental Policy Act ("NEPA") compliance, waste management for any sanitary or hazardous waste generated as a result of the proposed project, and Section 106 of the National Historic Preservation Act. G. Interest of the City. Pursuant to Section 8.05 of the Home Rule Charter, no elected official or any officer or employee of the City shall have a financial interest, direct or indirect, in any City agreement. Any violation of this section with the knowledge of the person or corporation contracting with the City shall render the agreement voidable by the City. H. Interest of the Contractor. The Provider covenants that it presently has no interest and shall not acquire any interest, direct or indirect,which would conflict with the performance of services required to be performed under this Agreement; it further covenants that in the performance of this Agreement, no person having any such interest shall be employed. Merger. This Agreement shall not be merged into any other oral or written agreement, lease or deed of any type. No representations were made or relied upon by either party other than those that are expressly set forth herein. No agent, employee or other representative of either party is empowered to alter any of the terms hereof unless done in writing and signed by an authorized officer of the respective parties. K. Assignment. The Provider may not assign its rights under this Agreement without the express prior written consent of the City. L. Strict compliance. All provisions of this agreement and each and every document that shall be attached shall be strictly complied with as written, and no substitution or change shall be made except upon written direction from authorized representative. M. Documentation and Record-Keeping. All Provider records with respect any matters covered in this Agreement shall be made available to the City, its designees or the U.S. Department of Energy, at any time during normal business hours, as often as the City deems necessary, to audit, examine, and make excerpts or transcripts of all relevant data. Any contract entered into by the Provider with any contractor or subcontractor shall include this Section to ensure said access. Upon completion of the Agreement or if the Agreement is terminated by either party, Provider acknowledges that the City shall retain control and possession of any information prepared pursuant to this Agreement including,but not limited to, databases, documentation, web information, data, qualified products, web tools developed pursuant to this Agreement, and deliverables prepared by Provider. N. Release of Information Laws. The Provider specifically hereby states, agrees and certifies that it is familiar with the limited purpose set forth in the Federal Laws, Rules and Regulations, and in the laws of the State of Nebraska, for which personal information requested may be used and that the information received will be used solely for those limited purposes and not to harass, degrade or humiliate any person. The information released shall be used for the limited proposes stated, and the Provider further agrees to indemnify and hold harmless the City of Omaha for any liability arising out of the improper use by the Provider of information provided. O. Independent Contractor. Nothing contained in his Agreement is intended to, or shall be construed in any manner, as creating or establishing the relationship of employer/employee between the parties. The Provider shall at all times remain an independent contractor with respect to the services to be performed under this Agreement.
