The attached resolution approves an amendment to the City of Omaha's contract with EHPV Lottery
Services LLC, dba "Big Red Keno," to operate a keno lottery on behalf of the City and Douglas
County. The amendment extends the term of the contract for five years,to May 14, 2016, without
changing any other contract provisions.
The keno lottery contract was initially awarded to Big Red Keno in 1991. This will be the fifth
extension at five-year intervals.

AMENDMENT OF THE AGREEMENT BETWEEN THE CITY
OF OMAHA AND EHPV LOTTERY SERVICES LLC TO
OPERATE A KENO LOTTERY
THIS AMENDMENT is made and entered into this 3 day of 61fillc 2011,by
and between the City of Omaha, a municipal corporation, hereinafter referred to as "City", and
EHPV Lottery Services LLC, dba"Big Red Keno", a Nebraska limited liability company presently
doing business at 11248 John Galt Boulevard, Omaha, Nebraska, hereinafter referred to as "Big
Red", to amend the Lottery Operator's Agreement currently in effect between the parties and extend
the term of the Agreement.
WHEREAS, by Ordinance No. 32375, adopted May 7,1991, the City entered into an
Agreement with Big Red's predecessor corporation to operate a keno-type lottery within the City
(hereinafter referred to, inclusive of all previous amendments,as "the Agreement"); and,
WHEREAS, the Agreement's term continues through May 14, 2011, and permits renewal
by the Omaha City Council for a term not to exceed five(5)years; and,
WHEREAS,Big Red has requested extension of the Agreement; and,
WHEREAS, the City Council of the City of Omaha finds it to be in the best interests of the
City and its residents to extend the Agreement in the manner set forth below.
NOW,in consideration of the premises, it is agreed by and between the parties as follows:
Section 1. PURPOSE. This Amendment is intended to amend the Agreement and its terms
only as set forth in this Amendment. This document does not alter or otherwise affect any right or
obligation of either party with respect to any matter not specifically set out in this Amendment.
Section 2. TERM. Unless otherwise terminated pursuant to the provisions of the
Agreement or by law, the Agreement shall continue for a period of five (5) years commencing on
May 15, 2011, and ending May 14,2016.

Section 3. CITY;RECOURSE. The City shall not, by this Amendment, be deemed to have
waived any rights it may have regarding any matter arising from the Agreement, whether arising
prior to or subsequent to this Amendment.

WHEREAS, effective May 14, 1991, and thereafter amended, the City of Omaha
entered into a contract with Big Red Keno, Ltd., which was subsequently transferred to EHPV
Lottery Services LLC,dba"Big Red Keno",(hereinafter"Big Red")authorizing it to operate'a keno
lottery game on behalf of the City of Omaha(hereinafter referred to as "the Agreement"); and,
WHEREAS,the Agreement has been subsequently amended and extended and has a
current term expiring May 14, 2011; and,
WHEREAS,the Agreement permits renewal for periods not to exceed five(5)years,
and permits modification by mutual agreement; and,
WHEREAS,Big Red has requested extension of the Agreement without modification • '
as.reflected in the attached Amendment of the Agreement; and, ,'
WHEREAS, this City Council finds that the term of the Agreement with Big Red
should be extended as provided in the attached Amendment of the Agreement. .
