Transmitted herewith is a Resolution approving Amendment No. 2 to the Professional Services
Agreement with BCDM, Inc. to provide additional services to update the Public Facilities
Element of the City's Master Plan. The original Professional Services Agreement was approved
by Council Resolution No. 1198 on October 19, 2010.
The attached Amendment to the Agreement authorizes BCDM, Inc., to provide additional
services not included in the scope of the original contract or previous Amendment to integrate
community centers into the Public Facilities Master Plan update. The exact scope of services is
included in Exhibit "A" of the attached Amendment. BCDM, Inc. has agreed to perform
professional services needed as detailed in the attached Amendment No. 2 to the Agreement for
an additional fee not to exceed $30,100.00, which is payable from 2006 Recreation and Culture
Facilities Bond Fund 13354, Organization 117316, 2011 Issue Recreation and Culture Bond.
The contractors have on file a current Annual Contract Compliance Report Faun (CC-1). As is
City policy, the Human Rights and Relations Director will review the contractor to ensure
compliance with the Contract Compliance Ordinance.
The Planning Department requests your consideration and approval of the attached Resolution
and Amendment to the Professional Services Agreement.

following the Rules-and Procedures of the American Arbitration Association, by a mutually acceptable arbitration
organization in Tucson, Arizona. The arbitrator's award will be final and binding and may be entered in any court having
jurisdiction thereof. The prevailing party shall be awarded all its costs, including but not limited to any filing fees, the fees
of the arbitrator, reasonable attorneys'fees, travel expenses, and/or any other costs incurred relating to the dispute.
12.5 Force Majeure
Neither party shall be liable for delays or failure in performance thereunder caused by acts of God, war, strike, riot,
labor dispute, work stoppage, fire, judicial or governmental action, or any other cause, whether similar or dissimilar,
beyond reasonable control of that party.
12.6 Waiver

AMENDMENT #2 TO
• PROFESSIONAL SERVICES AGREEMENT

THIS AMENDMENT, made and entered into this day of
2011 by and between the firm of BCDM, Inc, a corporation of the State of Nebraska, with
offices at 1015 N. 98th St., Suite 300, Omaha,Nebraska 68114-2334 and hereinafter
referred to as the "Consultant", and the City of Omaha,Nebraska, acting by and through
its Mayor, hereinafter, referred to as the "City".
WHEREAS, the City desires to engage the Consultant to amend the Agreement
for Professional Services to update the Public Facilities Element of the Master Plan which
was entered into on October 20th, 2010 and previous Amendment, hereinafter called
existing Agreement.
NOW THEREFORE, it is hereby agreed that the existing Agreement be amended as
follows:
1. The scope of the original agreement shall be amended to include additional
professional services as outlined in the attached "Exhibit A", Scope of
Additional Professional Services for the City of Omaha Public Facilities
Master Plan, Integrate Community Centers-Part 2.
2. The fee will consist of a compilation of estimated direct salary costs, direct
non-salary costs, indirect salary costs, indirect non-salary costs and direct
salary payroll additives, as provided in Exhibit"A" attached.
3. This modification will increase the existing agreement by $30,100.00.
This AMENDMENT shall be deemed a part of, and be subject to all terms and conditions
of the existing Agreement. Except as modified above,the existing Agreement shall
remain in full force and effect.

G. Develop prototypical community center macro-level building and site program.
H. Publish draft building space program and site requirements document.
I. Revise/finalize staffing,building,and site programs.

II. FEE AND TIMING
A. The above Part 2 Additional Scope of Services will be performed on an hourly basis in
accordance with the rates of the Professional Services Agreement not to exceed the additional
sum of Thirty Thousand,One Hundred and no/100's Dollars ($30,100.00).
B. The above Additional Scope of Services will be performed upon written authorization to
proceed by the CLIENT. Services shall be completed concurrently with other facilities in the
Master Plan in time for the CLIENT's CIP process.
C. Any other additional services shall be authorized in writing by the CLIENT prior to initiation
and compensated as negotiated.

12.4 Arbitration
Any claim, controversy or dispute among the parties to this Agreement will be resolved by binding arbitration,
following the Rules-and Procedures of the American Arbitration Association, by a mutually acceptable arbitration
organization in Tucson, Arizona. The arbitrator's award will be final and binding and may be entered in any court having
jurisdiction thereof. The prevailing party shall be awarded all its costs, including but not limited to any filing fees, the fees
of the arbitrator, reasonable attorneys'fees, travel expenses, and/or any other costs incurred relating to the dispute.
12.5 Force Majeure
Neither party shall be liable for delays or failure in performance thereunder caused by acts of God, war, strike, riot,
labor dispute, work stoppage, fire, judicial or governmental action, or any other cause, whether similar or dissimilar,
beyond reasonable control of that party.
12.6 Waiver

RESOLVED BY THE CITY COUNCIL OF THE CITY OF OMAHA:
WHEREAS, an Agreement with BCDM, Inc. to provide professional services to
update the Public Facilities Element of the City's Master Plan was approved by Council
Resolution No. 1198 on October 19, 2010; and,
WHEREAS, additional services not included in the scope of the original contract
or previous amendment are required to integrate community centers into the Public Facilities
Master Plan update; and,
WHEREAS, BCDM, Inc. has agreed to perform professional services needed as
detailed in the attached Amendment No. 2 to the Agreement, which by this reference is made
part hereof, for an additional fee not to exceed $30,100.00 to be paid from 2006 Recreation and
Culture Facilities Bond Fund 13354, Organization 117316, 2011 Issue Recreation and Culture
Bond.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF OMAHA:
THAT, as recommended by the Mayor, Amendment No. 2 to the Professional
Services Agreement with BCDM, Inc. to provide additional services not included in the scope of
the original contract or previous amendment to integrate community centers into the Public
Facilities Master Plan update, is hereby approved.
BE IT FURTHER RESOLVED:
THAT, the Finance Department is authorized to pay the additional fee not to
exceed $30,100.00 for these professional services from the 2006 Recreation and Culture
Facilities Bond Fund 13354, Organization 117316, 2011 Issue Recreation and Culture Bond to
finance this project.
