RES 2011-0499 - Sale of property southeast of 13th and Nicholas Sts to Midstates HOldings C-25A CITY OF OMAHA LEGISLATIVE CHAMBER 4"-;" Omaha,Nebraska May 3, 2011 RESOLVED BY THE CITY COUNCIL OF THE CITY OF OMAHA: WHEREAS,the City of Omaha is the owner of parcels of land located Southeast of 13th and Nicholas Streets, no longer needed for public purposes for the City of Omaha legally described as follows: Beginning at the Northwest corner of Lot 4, Block 318, Original City of Omaha,thence West along the North property line of vacated 13th Street for a distance of 16.0 feet, thence South along the East R.O.W. line of 13th Street for a distance of 39.0 feet, thence East and parallel to the North circular line for a distance of 10.0 feet, thence along the arc of a radius of 95.0 feet, a chord distance of 49.4 feet to a point, said point being 4.0 feet South of the North property line and 35.00 feet East of the Northwest corner of Lot 4, thence North and parallel to the East R.O.W. line of 13th Street for a distance of 4.0 feet to the North property line of said Lot 4, thence West along the North property line for a distance of 29.0 feet to the point of beginning (as described in Deed Book 1800, Page 675). ti WHEREAS, Section 5.20 of the Home Rule Charter, City of Omaha, 1956, as amended,provides for the disposal of real property holdings of the City of Omaha that are no longer needed for public purposes; and WHEREAS, on March 2, 2011, the Planning Board of the City of Omaha, upon recommendation of the Planning Department, recommended the disposal of said property; and WHEREAS, pursuant to Omaha Municipal Code Sec. 27-52, the Appraisal Committee of the City of Omaha has appraised the value of the said real property to be $8,125.00; and, WHEREAS, Section 27-71 of the Omaha Municipal Code provides that the City Council may authorize by resolution the disposal of City property by sale at an amount not less than the appraised value. WHEREAS, Midstates Holdings wishes to purchase the property for the appraised price. By Councilmember • Adopted City Clerk Approved Mayor g and signed by the party against which such amendment, change, waiver, or discharge is sought to be enforced. 12.2 Governing Law This Agreement shall be construed in accordance with the laws of the State of Arizona. 12.3 Independent Contractors The Parties agree that simpleview and its personnel, in performance of this Agreement, are acting as independent contractors and that this Agreement shall not create any agency between the Parties. 12.4 Arbitration Any claim, controversy or dispute among the parties to this Agreement will be resolved by binding arbitration, following the Rules-and Procedures of the American Arbitration Association, by a mutually acceptable arbitration organization in Tucson, Arizona. The arbitrator's award will be final and binding and may be entered in any court having jurisdiction thereof. BE IT FURTHER RESOLVED: THAT, upon the payment of the appraised price, the Mayor shall be authorized to execute and deliver a deed of such property to Midstates Holdings.
